MECHANICAL LICENSE
The undersigned publisher does hereby grant to you a non­exclusive and non­
assignable compulsory license under Section 115 of the United States Copyright Act
for the manufacture and distribution of phonorecords (including phonorecord,
cassette, compact disc and accompaniment track configurations) embodying our
musical composition (hereinafter called the “Composition”). Copyright notice for the
Composition shall appear on the label of each phonorecord manufactured hereunder,
or on the permanent packaging thereof in the manner provided to you by separate
notice. This license is limited to the United States, its territories and possessions.
This license covers and is limited to the phonorecord as specified in Section B; and
this license does not supercede nor in any way affect any prior licenses now in
effect respecting phonorecordings of the Composition.
1. In connection with your exercise of the right and license granted herein, you
shall have the right to make a musical arrangement of the Composition to the extent
necessary to conform it to the style or manner of interpretation of the performance
involved, provided, however, that any such arrangement shall not change the basic
melody, lyric or fundamental character of the Composition and shall not be subject
to copyright protection as a separate derivative work. Our written permission is
required prior to the creation of a derivative work of the composition. If a derivative
work is created, you hereby transfer and assign to us all rights, title, and interest in
and to any such arrangement.
2. You agree that you will not use the title of the Composition as the title of any
phonorecord or other work embodying the performance of the Composition without
our express written consent. Except as provided herein, you shall have the rights
granted to, and all of the obligations which are imposed upon, users of a
copyrighted work under the compulsory license provisions of the United States
Copyright Act after phonorecords of a copyrighted work have been distributed to the
public in the United States by another person under the authority of the copyright
owner.
3. Within forty­five (45) days following the end of each calendar quarter you
agree to render to us a statement of all phonorecords embodying the Composition
made and distributed hereunder during such calendar quarter, and to remit
therewith payment in the full amount of the sums shown thereon to be due us. In
the event that you fail to account and pay royalties to us as herein provided, and fail
to remedy such default within thirty (30) days after written notice is given to you,
this agreement and all rights herein granted shall automatically terminate, and such
termination shall render either the making or the distribution, or both, of all
phonorecords for which the royalty has not been paid actionable as acts of
infringement under the United States Copyright Act, fully subject to the remedies
therein. In the event that less than 2,500 copies of the phonorecord herein licensed
are manufactured, royalties shall be due at the time of manufacture.
4. In consideration of the rights herein granted, the royalty rate shall be
Statutory x Total # of Uses, for all phonorecords made and distributed. As used in
this agreement the word “phonorecord” and the phrase “made and distributed” shall
have the meanings ascribed thereto in the United States Copyright Act and the
regulations properly adopted in connection therewith.
5. You shall supply us with 1 complimentary copy(s) of the phonorecord.
6. We shall have the right to inspect and audit your books and records relating
to this agreement upon fifteen (15) days written notice.
7. On the label affixed to each phonorecord manufactured by you on the
permanent packaging thereof, you shall include the title of the Composition, the
name(s) of the author(s) of the Composition thereto, our name as publisher, and,

the name of our performing rights affiliate. You may print lyrics on the liner or lyric
sheet with the items listed above followed by: All rights Reserved. International
Copyright Secured. Used by Permission.
8. We hereby warrant, covenant and represent that we possess full right and
authority to grant the rights and license herein described.
9. This agreement shall be binding upon the heirs, legal representatives,
successors and assigns of each of the parties.
10. SPECIAL PROVISIONS: You shall not pay another publisher whose
composition is on this phonorecord at a rate higher than the rate you are paying us
under this agreement.
