7th Annual Bazaar with a
Cause was a SUCCESS

On Saturday, November 3, 2012 BCT
hosted its seventh Annual Holiday Craft
Bazaar showcasing over 90 craft vendors while raising money for the Oregon
City Pioneer Center’s Meals on Wheels
program and the Oregon City Children’s
Theatre. This event with a cause was held
from 10am to 4pm at Beavercreek Elementary School with the proceeds totaling over $2,300, this is a $500 increase
over last year from both booth and food
sales. Santa listened to the holiday wishes
of little ones and posed for pictures while
the Oregon Trail Pitchpipers serenaded
us with holiday favorites throughout the
school halls. The Oregon City Children’s
Theatre performed as well as dancers from Maralee’s School of Dance, a
yearly favorite, returned to show their latest dance moves. The event was a huge
success on all accounts with over 1000
people in attendance.

Who is
CBS?
You might think you know all about CBS,
but in our world it’s more than just a TV
Network with some favorite Primetime
shows. To BCT, CBS is a company that
was established in 2012 and is short
for Consolidated Business Services, LLC
which is a partnership between Canby Telcom (C), Beaver Creek Cooperative Telephone Co (B), and Stayton Cooperative
Telephone Company (S). These companies
have come together with common objectives of finding efficiencies and reducing
costs. These efficiencies are already being
realized as the Accounting and Human
Resources departments have been combined, which means there is now one Accounting department doing work for three
companies. CBS continually looks to combine services where it can in order to be
an entity to bring cost savings and efficiencies to each company through administrative and management type services.
Why, you may ask? In the past there was
very little cooperation between companies which in turn created a vast amount
of duplicated networks, at a tremendous
cost for each company to carry individually. The independent telecom industry has
seen many changes over the past several
years and sharing these resources has cre-
ated a more efficient business model. We
are finding that the benefits of sharing resources with other neighboring companies
not only reduces operating and capital
costs but allows companies to collaborate
by learning from each other’s experiences.
BCT has been strengthening relationships
with its neighboring companies and has
been sharing employees and services
for over three years. CBS was formed in
2012 to further the opportunities of sharing resources including a central location
for employees to be able to work with
many different companies.
The CBS offices are located in Mt. Angel
for various reasons, but one main reason
is because Mt. Angel offers a central location and is within 35 minutes of 10 different cooperative telephone companies.
We are hopeful that these other cooperatives will see the value in working together,
hence lowering their costs to operate as
well.
The ultimate goal of CBS is to continue to
build cooperative relationships and joint
ventures all while allowing each telecom
to remain a separate entity and support the
community that they reside in.

CAPITOL CREDITS
Capital credits are the allocation of profits
and losses from the Cooperative’s operations
that may be distributed to the members, in
the form of dividends. The allocation to each
member is based on how much each member has spent with the Cooperative relative
to all of the other members.
BCT is not in a position to payout any capital credits and has not been in a position
to pay them out over the past several years
due to a few factors. The main factor that
prohibits BCT from paying out dividends to
its members is the debt load and loan covenants imposed by the lending institution
that refinanced the majority of BCT’s debt in
2010. The loan covenants strictly state that
BCT cannot pay out capital credits due to the
commitments BCT already has with its loan
payments for loans that were borrowed in
the late 1990’s up through 2005 for construction and technology projects.
BCT’s total debt was as high as $19.6 million in 2005 but with the commitment of the
current board of directors and management
as well as the restructure of the debt that
was refinanced in 2010, BCT has paid that
debt balance down to approximately $10.5
million. The inability to pay out dividends
has been one of the most difficult, although
necessary drawbacks to our situation as we
have received many requests for payouts.
BCT is very sensitive to the requests but currently must abide by the loan covenants that
prevent any payouts of capital credits. Violation of the loan covenants could cause the
lending institution to call the loan for immediate payment.
Please recognize that the current Board of
Directors and management of BCT are committed to working hard to put the Cooperative back on strong financial footing. It is of
the highest priority so that we may offer the
technology services that you, our members,
want and need going forward.
Below are the most frequently asked questions and answers about capital credits.
How often will I be notified of my capital
credits balance?
Members are notified after the annual audit
of the changes to their capital credits account
due to the annual operations of the Cooperative and their balance of their account.

How often are capital credits paid out?
Capital credits may be retired for dividend
distribution after the board of directors has
reviewed the annual audit and is in compliance with any restrictions or loan covenants. The Cooperative must plan ahead
for disbursements based on these factors and
whether it is economically feasible for the
Cooperative to pay out dividends.
What must I do if I move out of the area?
You must keep the Cooperative notified of
your current address when you move as you
may risk losing your capital credits if the Cooperative is unable to contact you.
however is not the same as a bank account.
While the Cooperative does account for
each capital credit account balance, it has
reinvested these funds in the Cooperative
for projects such as technology upgrades
and can only pay them to members when
allowed and economically feasible for the
Cooperative. This can only be done at the
approval of the board of directors and only
after meeting the restrictions and loan covenants.

IR EXTENDER
An IR (infrared) Extender gives you more flexibility
when choosing a location for your set top by allowing you to place your set top box wherever you
would like (inside an entertainment center, bookcase or any other out of sight place). Simply connect the IR Extender to the USB port and then make
sure the other end of the IR Extender can be “seen”
by the remote control. Then you point your remote
at the IR Extender and you can watch your favorite
channels without having to worry about having direct line of sight of your set top box.

1. Laugh ~ Laughing not only eases stress, promotes social bonding, and lowers blood pressure, it may also boost your immune system.
2. Don’t Skip Breakfast ~ Fiber in the morning means less hunger late in the afternoon, when
you’re most likely to feel tired and gorge yourself on sugar. An early start on eating also keeps
your metabolism more active throughout the day.
3. Hit the Sack ~ Seven hours of sleep a night not only helps you live longer, but also lowers

6. Taste the Colors ~ Foods with bright, rich colors are packed with flavonoids and carotenoids, powerful compounds that bind the damaging free radicals in your body, lowering
inflammation. Eat nine fistfuls of colorful fruits and vegetables each day and you’ll reap the
benefits without having to give up other foods.
7. Brushing is Not Enough ~ No matter how thoroughly or long you brush your teeth, you’re
missing a good portion of their total surface. The dangers of
not flossing go beyond hygiene: The bacteria that linger can
increase your risk of heart disease.
8. Take a Deep Belly Breath ~ Push out your bellows and suck
air through your nose until your lungs are full. They’ll fill with
nitric oxide, a chemical found in the back of your nose that
opens up blood vessels. The dose of oxygen will make you
feel happier and more alert.
9. Join a Yoga Class ~ Yoga eases stress, lowers blood pressure, slows heart rates, and increases flexibility. Loosening
your muscles will make them more adaptable, so you may be
less likely to injure yourself playing sports.
10. Don’t Be an Island ~ If you face life’s stresses alone, you will make yourself older. With

APPLE PIE SNACKS
INGREDIENTS:
Graham Crackers
Light cream cheese
2 apples
1 teaspoon sugar
1/2 teaspoon cinnamon
1 teaspoon brown sugar
DIRECTIONS:
Chop apples into tiny pieces and place in a bowl.
Sprinkle the sugars and cinnamon over the apples.
Microwave the apples for 1 minute.
Take them out and stir.
Put them back in for 1 more minute.
While apples are cooking, spread cream cheese on top of graham crackers.
Scoop chopped/cooked apples onto graham crackers with cream cheese.
Optional: Add a tiny bit of caramel and/or chocolate drizzle on top.
