TENDER FOR OPERATING RESTAURANT ON LICENSE BASIS AT THIRD
FLOOR OF HANDLOOMS MARKETING COMPLEX (HMC)
Offers are invited for Restaurant Services on License Basis at 3rd floor of the HANDLOOM
MARKETING COMPLEX (HMC), under two bids format, ‘Technical Bid’ and ‘Financial Bid’
in the prescribed enclosed format.
Description of the Tender
Operating Restaurant on license basis for a period of 3 (three) years at Handlooms
Marketing Complex (HMC), Janpath, New Delhi.
It is proposed to have a restaurant catering the best of Indian including Regional cuisines.
India boasts a great wealth and variety of cuisines and the idea is to focus on authentic and
relatively unknown delicacies from different traditions, understanding their nutritive
values and, where appropriate, giving them a twist to make them healthier or more
delicious. As this is the Marketing Complex, initiatives which celebrate the craft of Indian
cooking would be welcome. High standards of hygiene, presentation and service are
expected.
NOTE:
1.
The document contains 17 Pages.

The Technical and Financial Bids shall be duly filled in and submitted in original.

The Bids should be signed on all pages by the Applicant under seal.

All information to be written legibly. Where figures are furnished, these are to be written in
words also, within brackets.

DEFINITIONS
HHEC shall mean The Handicrafts & Handlooms Exports Corporation of India Limited.
HMC shall mean Handloom Marketing Complex
HMCAA shall mean Handloom Marketing Complex (Janpath) Allottees Association (or the name
finally registered)
Bidder shall mean the firm who participates in the tender and submits its Bid.
Bid/ Proposal shall mean the Bid submitted by the Bidders in response to this tender.
Bid Validity Period shall mean a period of not less than 120 days from the last date for submission
of the Bid Proposal.
Management of HMCAA shall mean HHEC at present and after formation of management
Committee of HMCAA and thereafter, it shall be Management Committee of HMCAA.
Services shall mean providing Restaurant services to HMC at Janpath New Delhi-110001
Successful Bidder The Bidder who interalia meets the following requirements
(a)
Meets the Technical and Financial criteria;
(b)
Whose Bid Proposal are acceptable to the Tender committee of HMCAA and
(c)
Adheres / consents to adhere to all other conditions laid by HMCAA.
Restaurant’ means the restaurant at third floor of the Handlooms Marketing Complex (HMC).
‘Commencement Date’ means a date, mentioned in the letter of award, and in absence of a
specified date in the letter of award, the date of the letter of award, from which the license granted
to the Licensee for operation of the Restaurant is intended to commence.
‘License Agreement’ means the agreement to be executed between the Licensee and HMC for
award of license to the Licensee to operate the Restaurant.
‘Licensee’ or ‘Agency’ means the Bidder/Individual/Firm/Company/Co-operative society selected
for award of license to operate the Restaurant.
‘License Fee’ is the annual fee paid by the Licensee to the Licensor.
‘Licensed Premises’ means the third floor area defining the Restaurant, adjoining the Bridge Gate
of HMC and covering an area of approximately 2245 sq ft. (including Kitchen)
‘Licensor’ means Handlooms Marketing Complex Allottees Association (HMCAA

A Committee of three officials will visit the outlet of the bidders for evaluation and award marks
on the basis of above criteria. Bidders earning more than 35 marks out of 50 marks shall be
technically qualified.

Please apply in the enclosed format enclosing Earnest Money Deposit (Refundable) in the
form of Demand Draft from a Nationalised Bank for Rs.1,00,000 /- (Rupees One Lakh only) in
favour of ‘The Handicrafts and Handlooms Exports Corporation of India Limited A/C-HMC.’
5.
Draft of Rs. 1,000.00 as Tender Cost in favour of “HHEC of India ltd. - A/c HMC”
payable at New Delhi has to be enclosed along with the tender in the technical bid.
6.
The applications in the prescribed format shall be sealed in two separate envelopes. The
Demand Draft shall be attached to the ‘Technical Bid’. The envelopes shall be superscribed as
‘Technical Bid’ and ‘Financial Bid’. Both the envelopes then will be sealed in one envelope. The
outer envelope shall be superscribed as ‘Offer for Restaurant Services on Licence basis at
HMC‘. The envelope shall be dropped in TENDER BOX at Handloom Marketing Complex,
Janpath New Delhi.
7.
HMC is a Handloom Marketing Centre set up by Ministry of Textiles, Govt. Of India
situated at Janpath, Near Indian Oil Bhawan (A prime location of Connaught Place) having
renowned Central/State/Co-operatives owned emporia.
8.
Last date for receipt of application: 18.05.2015. The technical bids will be opened at
Handloom Marketing Complex at Janpath on the same day at 3:00 PM in the presence of bidders
who may wish to be present. The date of opening of the Financial Bid will be intimated later.
9.
Technical Bids not accompanied with the Earnest Money Deposit of Rs.1, 00,000/- &
Tender Fee of Rs. 1,000/- shall be rejected even if it is claimed that the Demand Draft is attached to
Financial Bid. Similarly,

Selected party will be responsible for all licences / clearances and compliance with all
applicable laws relating to operation of ‘Restaurant’ and engagement of trained manpower / service
provider relating thereto.
11.
Incomplete applications shall be rejected.
12.
Management reserves the right to accept / reject any bid without assigning any reason
therefore.

1.
Eligibility Criteria :
Experience: At least 3 years in restaurant business.
2.
Turnover : Minimum turnover of Rs.50.00 Lakhs during last one year or a total of Rs.90.00
Lakhs during last two years or a total of Rs.1.20 Crores during the last three years. In case of
reputed National / International chain of restaurants or their franchisee, the turnover and experience
criteria can be relaxed with the approval of competent authority. ( Documentary Evidences be
attached as proof)
ANNEXURE
TERMS & CONDTIONS OF THE TENDER
A.
General Terms
1.
Bidders must submit their Technical bid in hard copy. Tenders received through fax
and / or through e-mail will not be considered.
2.
As a policy, tenders received late, delivered at an address other than as specified in
the tender, or delayed in transit will not be accepted irrespective of whether the delay has
arisen on account of the delivery system, i.e. postal, courier, etc.
3.
The rates quoted shall be clearly typed / written in figures and words, repeat in
figures and words free from over typing or over writing. The corrections, if any, must be
authenticated by the full signature of the person who has signed the Bid.
4.
HMC reserves the right to reject any Bid at any stage without assigning any reason
whatsoever.
5.
The Price Bid Envelope should contain only the hard copy of the financial offer.
6.
Price Bids of only those bidders, who qualify on the basis of evaluation of their
Technical Bids, would be opened, and accordingly such bidders would be intimated in
advance about the date of opening of the Price Bids.
7.
The bidders, who qualify in the Technical Bid, would be invited to attend the
opening of the Price Bids.
8.
The commission/discount/license fee offered in the Price Bid must be exclusive of
all applicable taxes, duties, levies.
9.
The Price Bids have to be complete in all respects and no representation
whatsoever would be entertained by HMC for inclusion of any other cost head / cost after
the opening of the tender.
10. Restaurant Timing would be as per Hamdloom marketing Complex timings.
B.
ENQUIRIES FROM BIDDERS:
All enquiries from the Bidder must be sent in writing addressed to the contact person(s) as
notified in the tender. The preferred mode of communication for this purpose would be
through e-mail. Telephonic enquiries/ discussions would not be binding.
C.
VALIDITY OF THE BIDS:
1.
The bidder’s offer shall be valid for a minimum period of 120 days from the closing
date of the tender. If HMC so requires, during the evaluation/finalization of the tender, the
bidder can be asked to extend the validity of the offer for a further period of 60 days which
will be binding on the bidder.
2.
HMC will not accept any inclusion/modification of any terms including prices after
opening/ acceptance of the bids.
D.
INSPECTION CLAUSE:
1.
HMC reserves the right to inspect the present facility / facility from where the similar
services being offered by the bidder(s) in order to assess their infrastructure, quality and
capability to deliver the services during tender evaluation process.
2.
HMC further reserves the right to inspect the facilities of the selected bidders in
order to confirm consistency of quality of the food being served during the contract period.
E.
JURISDICTION:
Any dispute whatsoever shall be subject to the jurisdiction of Delhi Courts only.
F.
EVALUATION CRITERIA:
1.
Evaluation Criteria for Technical bids
The Technical bids would be evaluated for their compliance to the eligibility criteria
specified in main tender. HMC reserves the right at its sole discretion to seek whatever
information, documents etc. from the bidder as it may consider necessary for the purpose
of evaluation of the bids.
2.
Evaluation Criteria for Price bid
The Price Bids of only those bidders who qualified in the evaluation of their Technical Bids
would be opened. The date and time of opening of the Price Bids would be intimated in
advance to the bidders who have qualified in the Technical Bid evaluation, and their
authorized representatives only would be permitted to participate in the opening of the
Price Bids.
3.
Evaluation of price bids & selection of Bidders –
i)
The bidder offering the highest license fee for the three years will be considered as
H1 and shall be considered for award of the concessionaire arrangement contract,
however, offering the highest license fee shall not confer any right on the bidder to seek
award of the contact. HMC reserves its right to reject the bid at any stage including after
opening of financial bid.
ii)
HMC will not accept inclusion of any additional costs, after opening of the tender.
iii)
Submission of incomplete or incorrect information or with arithmetical errors in
compilation of the data would be at the bidder's sole risk, and the decision of HMC in such
cases would be final and binding.

I/We have carefully read and understood the terms and conditions of the License as contained in
the Tender Document issued by THE HANDICRAFTS AD HANDLOOMS EXPORTS
CORPORATION OF INDIA LIMITED Implementing Agency (COMPETENT AUTHORITY OF
HMC) including the following:
a.
EMD is liable to be forfeited if on award of License I/we do not accept the award or do not
fulfill any of the conditions stipulated in the Tender document, within the prescribed time.
b.
On account of non-acceptance of award or on account of non-completion of Tender
conditions within the prescribed time, I/we shall be debarred by COMPETENT AUTHORITY OF
HMC from further participation in Tenders under the control of COMPETENT AUTHORITY OF
HMC for a period of 3 (three) years.
c.
In case the documents submitted by my/our firm along with the Tender are found
inadequate/false/incorrect, the Tender of my/our firm will be liable to be rejected without
assigning any reason. In addition, COMPETENT AUTHORITY OF HMC reserves its right to forfeit
the EMD of my/our firm and debar my/our firm from participation in any further Tender of
COMPETENT AUTHORITY OF HMC.
d.
COMPETENT AUTHORITY OF HMC reserves itself the right to reject the conditional offer
without assigning any reason thereto.
e.
COMPETENT AUTHORITY OF HMC does not bind itself to accept the highest or any
tender and reserves to itself the right of accepting the whole or any part of the Tender and the
Applicant shall be bound to provide the service at the rate quoted.

HANDLOOM MARKETING COMPLEX, JANPATH
WHEREAS

partnership registered under the Indian Partnership Act, 1932/ an individual proprietor], and
having its office at [address of the Applicant], (hereinafter referred to as “Our Client”, which
expression, unless excluded or repugnant to the context or meaning thereof, includes its successors

defaults under the Contract and any resentment, demand, protest or any notice of any kind.
We the Guarantor, as primary obligor and not merely Surety or Guarantor, do hereby irrevocably
and unconditionally give our Guarantee and undertake to pay any amount you may claim (by one
or more claims) up to the amount mentioned aforesaid during the period from and including the
date of issue of this guarantee through the period.
We specifically confirm that no proof of any amount due to you under the Contract is required to
be provided to us in connection with any demand by you for payment under this Guarantee other
than your written demand.
Any notice by way of demand or otherwise hereunder may be sent by special courier, telex, fax,
registered post or other electronic media to our address, as aforesaid and if sent by post, it shall
deemed to have been given to us after the expiry of 48 hours when the same has been posted.
If it is necessary to extend the Guarantee on account of any reason whatsoever, we undertake to
extend the period of this Guarantee on the request of our constituent under intimation to you.
This Pro forma Bank Guarantee shall not be affected by any change in the constitution of Our
Client nor shall it be affected by any change in our constitution or by any amalgamation or
absorption thereof or therewith or reconstruction or winding up, but will ensure to the benefit of
you and be available to and be enforceable by you during the period from and including the date of
issue of this guarantee through the period.
Notwithstanding anything contained hereinabove, our liability under the Pro forma Bank
Guarantee is restricted to INR… (in words and figures) and shall continue to exist, subject to the
terms and conditions contained herein, unless a written claim is lodged on us on or before the
aforesaid date of expiry of the Guarantee.

recipient of authority by express delegation of power/s and has/have full power/s to execute this

We further agree that the exercise of any of your rights against Our Client to enforce or forbear to
enforce or any other indulgence or facility, extended to our constituent to carry out the contractual
obligations as per the said Contract, would not release our liability under this Guarantee and that
your right against us shall remain in full force and effect, notwithstanding any arrangement that
may entered into between you and our constituent, during the entire currency of this guarantee.

Any payment made hereunder shall be free and clear of and without deduction for or on account of

terms and conditions contained herein, it shall be deemed to be automatically cancelled.

hereby submit to the exclusive jurisdiction of courts at New Delhi for the purpose of any suit or
action or other proceedings arising out of this Guarantee or the subject matter hereof brought by
you may not be enforced in or by such count.
