Amendment to the Grant Agreement
We refer to the Grant Agreement dated March 28, 2012, between the People's Republic of
Bangladesh (the "Recipient") and the International Development Association (the "World Bank"), acting
as administrator of the Bangladesh Health Sector Development Program Multi-Donor Trust Fund
(MDTF), and the USAID Support to the Bangladesh Health Sector Development Program Trust Fund, for
the above-mentioned Project (the Grant Agreement); as amended.
We are pleased to inform you that we have received installment payments from the Government
of Canada as represented by the Minister for International Cooperation acting through the Department of
Foreign Affairs, Trade and Development (DFATD) in an amount equivalent to three million seven hundred
fifty nine thousand three hundred forty five (US$3,759,345) and from the U.S Agency for International
Development (USAID) under Trust Fund No. TF0A2917 (parallel to USAID Trust Fund Grant No.
TFO01228 1) in an amount equivalent to one million four hundred seventy eight thousand five hundred and
fifty two (US$1,478,552) (each such agency, a "Donor").
Based on the contributions received, we are proposing to add three million seven hundred fifty
nine thousand three hundred forty five United States Dollars (U.S. $3,759,345) to the Bangladesh Health
Sector Development Program Multi-Donor Trust Fund (BHSDP MDTF) and one million four hundred
seventy eight thousand five hundred fifty two United States Dollar (U.S. $1,478,552) to the Bangladesh
Health Sector Development Program Single-Donor Trust Fund. Accordingly, the World Bank proposes
to amend the Grant Agreement as follows:

All references to the Grant Agreement to Bangladesh Health Sector Development Program
(BHSDP) MDTF Grant No. TF011556 and USAID Trust Fund Grant Number TF012281" shall
be amended to read "Bangladesh Health Sector Development Program MDTF Grant No.
TF 11556; USAID Trust Fund Grant Number TF012281; and USAID Parallel Trust Fund No.
TF0A2917".

Section 3.01 of the Grant Agreement is amended to read as follows (emphasis added):

"3.01. The World Bank agrees to extend to the Recipient, on the terms and conditions set forth
or referred to in this Agreement: (a) a grant in an amount equal to forty-eight million seven
hundred sixty-four thousand five hundred fifteen United States Dollars (U.S.$48,764,515)
("Original MDTF Grant"); (b) a grant in an amount equal to eighteen million five hundred thirtysix thousand five hundred eighty United States Dollars (U.S.$18,536,580) ("First Additional
MDTF Grant"); (c) a grant in an amount equal to seven million six hundred thousand United States
Dollars (U.S.$7,600,000) ("USAID Trust Fund Grant"); (d) a grant in an amount equal to fortytwo million five hundred sixty-six thousand eight hundred forty United States Dollars
(U.S.$42,566,840) ("Second Additional MDTF Grant"); (e) a grant in amount equal to eleven
million four hundred three thousand six hundred United States Dollars (U.S.$11,403,600) ("First
Additional USAID Trust Fund grant"); (f) a grant amount equal to twenty-five million nine
hundred fifty-seven thousand United States Dollars (U.S.$25,957,000) ("Third Additional MDTF
Grant"); (g) a grant in an amount equal to sixty-eight million seven hundred fifty-nine thousand
United States Dollars (U.S.$68,759,000) ("Fourth Additional MDTF Grant"); (h) a grant in an
amount equal to one million nine hundred two thousand six hundred and nine United States Dollars
(U.S.$1,902,609) ("Second Additional USAID Trust Fund grant"); (i) a grant amount equal to
thirty-seven million five hundred fifty- two thousand three hundred fifty-five United States Dollars
(U.S.$37,552,355) ("Fifth Additional MDTF Grant"); (j) a grant in an amount equal to twenty
million two hundred eighty-one thousand seven hundred ninety-seven United States Dollars
(U.S.$20,281,797) ("Sixth Additional MDTF Grant"); (k) a grant in an amount equal to seven
million one hundred thirty-seven thousand four hundred forty-six United States Dollars
(U.S.$7,137,446) ("Third Additional USAID Trust Fund grant"); (1)a grant in an amount equal
to twenty-six million seven hundred eighty-one thousand United States Dollars (U.S.$26,781,000)
("Seventh Additional MDTF Grant"); (m) a grant in an amount equal to thirty five million twelve
thousand United States Dollars (U.S.$35,012,000) ("Eighth Additional MDTF Grant"); a grant in
an amount equal to eight million five hundred forty eight thousand United States Dollars
(U.S.$8,548,000)) ('Fourth Additional USAID Trust Fund Grant); (n) a grant in an amount equal
to three million seven hundred fifty nine thousand three hundred forty five United States Dollars
(U.S.$3,759,345) ("Ninth Additional MDTF Grant") resulting in aggregate Grant Funds (for the
BHSDP MDTF GrantNo. TFO 11556) of three hundred twenty seven million nine hundred seventy
thousand four hundred thirty two United States Dollars (U.S.$327,970,432), such amount being
inclusive of the cancelled amount of seven hundred six thousand three hundred five United States
Dollars (U.S.$ 706,305); an aggregate Grant Funds (for the USAID Grant No. TF012281) of thirty
six million five hundred ninety one thousand six hundred fifty five United States Dollars
(U.S.$36,591,655), such amount being inclusive of the cancelled amount of thirty three thousand
ten United States Dollars (U.S.$ 33,010); and Grant Funds (from USAID Parallel Trust Fund
Grant No. TFOA2917) of one million four hundred seventy-eight thousand five hundred fifty-two
United States Dollars (U.S.$1,478,552). Accordingly, the Grant Funds available to the Recipient
amounts to three hundred sixty five million three hundred one thousand three hundred twenty four
United States Dollars (U.S.$365,301,324), to assist in financing the Project.

The table in paragraph 2 of Section IV.A of Schedule 2 to the Grant Agreement is amended to
read as set forth in the Attachment to this letter.
Except as specifically amended by this letter of amendment, all other provisions of the Grant
Agreement shall remain unchanged and in full force and effect.
The World Bank will disclose this letter of amendment and related information in accordance with
the World Bank's policy on Access to Information. By entering into this letter of amendment, the Recipient
consents to such disclosure.
