appeared intheActionpending beforethisCourt. TheCourthassubjectmatterjurisdictionover
theActionpursuantto 28U.S.C.jj 1332(d)(2),1407 and,in thecase ofa removed Action,j
1441(a).

Forpurposesofeffectuating theSettlem ent,and in accordance with FederalRules
ofCivilProcedure23(a)and23(b)(3),theCourtcertifiestheSettlementClassdefinedas:
AllBrmk ofOklahom acustom ersin the United Stateswho had one
or more consumer accounts and who, during the Class Period
tlanuary 1,2005through andincludingAugust31,2011),incurred
an OverdraftFee as a resultofBnnk of Oklahoma's High-to-low
DebitCard Transaction Sequencing.

TheAction isherebydismissedwithprejudice,each sideto bearitsown feesand
costs,exceptas otherwise provided in the FinalApprovalOrder. The SsActions,''as defined in
theAgreem ent,includesthe following case in thisM DL proceeding which ishereby dismissed
withprejudice;S.D.FL CaseNo.1:11-cv-20815-JLK;W .D.Okla.CaseNo.;5:10-cv-00901.

W ithoutlim iting the scope ofSection X1V ofthe Agreement,as ofthe Effective
Date,Plaintiffsand each SettlementClassM ember,each on behalfofhim selforherselfand on
behalfofhisorherrespective heirs,assigns,beneficiaries,and successors,shallautom atically be
deem ed to have fully and irrevocably released and forever discharged BOK and each of its
present and former parents, subsidiaries, divisions, affiliates, predecessors, successors and
assigns,and thepresentand formerdirectors,ofticers,em ployees,agents,insm ers,shareholders,
attorneys, advisors, consultants, representatives, pm ners, joint venturers, independent
contractors,wholesalers,resellers,distributors,retailers,predecessors,successors,and assignsof

each of them, of and from any and a11 liabilities,rights, claims, actions, causes of action,
dem ands,dam ages,costs,attorneys'fees,losses,and remedies,whether known or unknown,
existing orpotential,suspected or unsuspected,liquidated or tmliquidated,legal,statutory,or
equitable,thatresultfrom ,arise outof,arebased upon,orrelateto the conduct om issions,duties
orm attersbetw een January 1,2005andAugust31,2011,thatwere orcould havebeen alleged in
the Action, including, without lim itation, any claims, actions, causes of action, dem ands,
damages,losses,orremediesrelating to,based upon,resulting from,orarising outof(a)the
assessm entofone orm ultiple OverdraftFeeson a B0K Accountorthe am otmtofone orm ore
OverdraftFees assessed on an Account,or(b)Bnnk ofOklahoma'sHigh-to-low DebitCard
Transaction Sequencing. The foregoing release includes,by way ofexsmple butnotlim itation,
any and a11ofthe following to the extentthey involve,resultin,orseek recovery orrelieffor
OverdraftFeesorBnnk ofOklahoma'sHigh-to-low DebitCardTransaction Sequencing: (1)the
authorization,approvalorhandlingofany DebitCardTransaction,(2)anyfailuretonotifyorto
obtain advance approvalwhen a DebitCard Transaction would ormightcause a BOK Account
tobecomeoverdrawnorfurtheroverdrawnoranOverdraftFeetobeassessed,(3)any failureto
allow the holderof any BOK Acctluntto opt-outofoverdrafts,orto publicize or disclose the
ability oftheholderofany BOK Accountto opt-outofoverdrafts,(4)any failuretoadequately
orclearly disclose,in one orm ore agreem ents,Bnnk of Oklahoma's High-to-low DebitCard
Sequencing,OverdraftFees,or the mnnnerin which Debit Card Transactions are or would be
approved,processed,orpostedtoBOK Accolmts;(5)any conductorstatementsencomagingthe
useofBOK DebitCards,and(6)anyadvertisementsrelatingtoanyoftheforegoing.

Those persons identiEed on the Listof Exclusions attached hereto as ExhibitA
arehereby excluded from the Settlement,shallnotreceive any distribution from the Settlement,
and arenotbound by thisJudgm ent.
The Partiesto the Settlem entsubmit to,and this Courtexpressly reserves and
retains,exclusivejurisdiction overtheAction andtheParties,including BOK,Plaintiffs,and a11
SettlementClassM embers,to administer,im plem ent,supervise,construe,enforce and perform
the Settlementin accordance with itsterm s,and to enforce the FinalApprovalOrder. W ithout
limitingtheforegoing,andbywayofexnmpleonly,theCourtretainsjurisdictionto:(i)address,
determ ine and approve the cy pres recipients which willreceive the cy pres m onies,if any,
providedforinparagraph 85oftheAgrtement;and(ii)adjudicateany suit,action,proceedingor
disputemising outoftheAgreement.The Courtshallalso retainjurisdictionovera11questions
and disputesrelated to the Notice Program ,Settlem entAdm inistrator,the Notice Adm inistrator
andtheTax Adm inistrator.
Nothing in the Agreem ent,the FinalApprovalOrder,or this Judgment shallbe
deemedtobeanadmission,orto constimtean adjudication bytheCourqofthetruthorfalsity of
any claims or defenses heretofore m ade,or an acknowledgmentor admission by BOK or any
party ofany fault,liability orwrongdoing ofany kind whatsoeverorofany violation ofstatute,
regulation orlaw .
10. Plaintiffsanda11SettlementClassM embersarehereby barred and enjoined from
asserting any oftht Released Claim s,including,butwithoutlimitation,dm ing any appealsfrom
the FinalApprovalOrderand thisJudgment.
