Definitions:Theterm“Operator”referstoPacificWorkplacesanditsoperatingentities.Theterm“Client”referstoonecompany,
andoneperson(oneuser)whohasacceptedthetermsoftheagreement.Notethatadditionalchargesapplyformultipleusers.
TermofthisAgreement:ThisAgreementshallcommenceondateofVirtualOfficePurchaseandshallcontinueforaninitialperiod
of(12months*)or(month-to-month).Todiscontinueortodowngradeservices,Clientmustgiveatleast30days’writtennotice
priortotheendoftheinitialterm.Regardlessofcommencementornotice,thisAgreementcanonlybeterminatedbyClientatthe
endofacalendarmonth.Clientunderstandsandagreesthata4%increasetotheservicepackagewillbeassessedannually.
*12MonthTerm:Clientmustpre-payinitial10-monthsofserviceandadministrativefeeatcommencementofthisagreement.
Assumingtheaccountiscurrent,uponcompletionofthefirst10fullmonths,thefixedservicepackagefeeformonth’s11and12
willbefree.AftercompletionoftheInitialTerm,theAgreementwillcontinueonamonth-to-month.
ServiceCharge:Includedintheserviceamount,Operatorwillprovidetheservicesoutlinedintheservicepackageselectedatthe
timeofexecutionofthisAgreement.Detailsareoutlinedathttp://pacificworkplaces.com/virtual-offices/Clientisresponsiblefor
anyadditionalcostsforservicesincurredbyClient,uponrequest,butnotlimitedto:postage,packagingsupplies,administrative
support(includingcallingoremailingtocheckstatusofmail),officeandconferenceroomusage,beverageandcateringservices,and
messengeranddeliveryservices.Chargesmayvaryfromlocationtolocation.

PaymentofServices:Paymentisdueonthe1 dayofeachmonth.Paymentnotreceivedbythe5 dayofthemonthwillbeconsideredlate

andwillincura$25.00latefee,chargedtoClientonthe1 dayofthenextcalendarmonth.Serviceswillbeterminated,mailwillbereturnedto

senderandphoneservicewillbediscontinuedifClienthasnotpaidbycloseofbusinessonthe15 dayofthemonth.Onceindefault,thetotal
balanceduemustbepaidinfullandOperatorwillassessClientanadditionalre-activationfeeofninety-nine($99)toresumeservices.
Declinedpayments:Anycreditcardtransaction,wire-transferorotherpaymentmethodthatisdeclinedforinsufficientfundsorotherreasons,
shallresultina$25.00feeperoccurrence.Clientremainssubjecttothetimingandlatefeeprovisionsestablishedabove.ReturnedCheckswill
resultina$50feeforeachcheck.
AdministrativeServiceFee:Clientagreestopayaone-time,non-refundableadministrativefeeof$99.00.
ServiceDeposit:ClientisnotrequiredtodepositwithOperatoranadvancedretainerforservices.However,bysubmittingClient’screditcarddata
toOperator,ClientacknowledgesthatClient’sinvoicedpaymentwillbeprocessedonthe1stdayofeachmonth.IfClient’screditcardisdeclined
foranyreason,andClientdoesnotmakealternativepaymentarrangementsinordertoensuretimelypayment,inaccordancewiththeabove
section“PaymentofServices”,Clientwillbeindefault.Ifsuchdefaultoccurs,itisuponOperatortorequestrefundableretainertoholdon
account,interestfree,untilsuchtimeasthisAgreementisterminatedandClienthaspaidOperatorinfull.
MannerofUse:ClientmayusethefacilitiesandservicesofOperatorforlegitimatebusinesspurposesonly.Clientshallnotconduct
anyactivityonthepremiseswhichisforbiddenbylaw,hazardous,offensivetoothers,ormayinvalidateorincreasethepremiumof
anyinsurancepolicycarriedbyOperator.Clientshallnotconductanyactivitywhichimpairsthecharacter,quietenjoyment,
reputation,appearance,oroperationofthebusiness.Clientagreestostrictlyadheretotherulesandregulationsmandatedby
Operator’spartner/landlordandbycenterstaff.Clientisresponsibletoensurethatitspersonnelandguestsconductthemselvesina
business-likeandprofessionalmanneratalltimes.IfClient,orClient’semployeesorguests,usevulgar,abrasive,harassing,
threatening,insultinglanguage;demonstratesaggressive,threatening,hostile,sexuallyinappropriate,orinappropriatebehavior
directedtowardorobservedbyanyofOperator’sstaff,OperatormayimmediatelyterminatethisAgreement,regardlessofterm.
Clientacknowledgesthatithasonlyacontractedservicerelationshipandhasnotenancyorrealpropertyinterestinanyleasehold
orownedassetofOperator.
HoursofOperation:Unlessagreedotherwise,ClientmayusetheservicesMonday–Friday,8:30amto5:00pm,holidaysexcluded.
(Somelocationhoursmayvary).
Office/ConferenceRoomUsage:IfClient’sServicePackageincludesaccesstoconferenceroomsorofficespace(Boardroomsmay
beexcluded),ClientwillreceivecontactinformationforschedulingandconfirmingClient’suse.Clientunderstandsandagreesthat
schedulingofconferenceroomsandofficesisonafirst-come,firstservedbasis.Clientacknowledgesthatitsaccountwillbecharged
in1-hourincrements.Contractedhoursaretobeusedbythelastdayofeachbillingmonth(16thto15th)andhourswillnotbe
carriedover.Hourlyuseoverthecontractedamountwillbebilledatthepublishedhourlyratespercenter.Clientagreestoadhere
toOperator’scancellationpolicywhichrequireswrittencancellation24ormorehoursinadvanceofthestartofthescheduleduse
toavoidbeingchargedthefullamountofthereservation.Clientacknowledgesthatamenities,services,andservicepricingmayvary
amonglocations.Clientmayberequiredtopre-payforcontractedservicessuchascateringandspecializedaudio-visualequipment.
Clientmustbepresentattimeofuse.
MailService:(IfApplicable)OperatorwillactasanagentforClientinreceivingmailandreasonablysizedpackageswhensuchare
deliveredtoOperatorinconjunctionwithservicetoClient.ClientagreestocompleteandsubmittoOperatoraU.S.P.S.Form1583
whichwillbecomepartofthisAgreementandservicewillnotcommencepriortocompletedformsbeingreturnedandconfirmedby
Operator’staff.ClientauthorizesOperatorstafftosignformailandpackagesdeliverableonlyuponsignatureandagreestopickup
mailandpackagesinatimelymanner.Whereforwardingisavailableanduponwritteninstruction,Operatorwillforwardmailand
deliveriestoanotheraddressbyre-packagingandpostingthecontentsofClients’mailanddeliveries.Clientagreestopayfor
administrativecosts,supplies,andpostagetoaccommodateforwarding.Operatorwillnotberesponsibleforanydelayorlossof
mailduringforwardingprocess.Internationalforwardingofpackagesisnotavailableandinsomecases,mailmaynotbeeligible
forforwardinginternationally.OvernightorexpressforwardingofpackagesmayrequireClient’saccountnumber,atthediscretion
oftheOperator.
ClientagreesthatadministrativechargeswillapplyifClientcontactsOperator’stafftoreviewand/orreadcontentsofClient’smail.
Operatorisnotresponsibleformailreturnedtosenderfornon-payment.
OperatorwillacceptmailinClient’sname,asingularcompanynameand/orindividualuser,asdetailedbyClientuponapplicationof
thisserviceONLY.Operatorisnotresponsibleformailreturnedtosenderforimproperaddress.Mailmustbeaddressedaccording
totheinstructionsprovidedbyOperatoruponcommencementofthisAgreement.
AnyviolationofUSPSlawsorregulationsbyClientmayresultinimmediateterminationofservicesbyOperator.
ScanningServices(Ifapplicable):IfClientchosestohaveOperatoropenandscanthecontentsofitsmail,Clientagreesthat,unless
specificallyrequestedinwritingtodiscardmail,Operatorwillforwardtheaccumulatedmail,onetimepermonth,atarateof$6.00
pluspostage,plus20%.
TelephoneService:(IfApplicable)OperatorwillprovidepersonalizedphoneservicesperClient’sServicePackageduringbusiness
hoursaspublishedonthewebsite,holidaysexcluded.Unlessagreedotherwise,receptionservicesareprovidedforoneuser,viaone
assignedphonenumberandonevoicemailboxwithuniversalmessagingand24-houraccessibility.Unlessotherwiseagreed,
serviceswithcallforwardingarerestrictedtocallswithintheUnitedStatesandCanada.ClientagreesthatitsuseoftheTelephone
Serviceisforlegitimatebusinesspurposesonly,andthatthevolumeofcallsiscommensuratewiththenormalusageexpectedof
client’sprofession.ClientacknowledgesandaffirmsthatallcomponentsofOperator’sTelephoneService,includingphone
number(s),unlessClientpurchasesaportablephonenumberatthecommencementofthisAgreement/Service,issuedbyOperator
andusedbyClientwillremainatalltimespropertyofOperator.Clientagreestostrictlyadheretothereasonablerulesand
regulationsmandatedbyOperatorwithrespecttothemanagementofthepersonalizedTelephoneansweringservices.Operator
mayimmediatelyterminateaClient’sAgreement,regardlessofterm,ifClient,oritsemployeeorguests,usevulgar,abrasive,
threatening,harassing,insulting,orotherwiseinappropriatelanguageordemonstratesaggressive,hostile,harassing,orthreatening
behaviortowardOperator’sansweringservicesstafforifClient’scallvolumeimpedesthenormaloperationsofOperator’s
answeringservices.
TransitionServices:ClientacknowledgesthattheU.SPostalServicewillnotaccepta“ChangeofAddress”requestforanyOperator’
virtualclient.Therefore,atcancellation,a$95.00terminationfeewillbeassessedwhichwillcovera90-dayphonereferralvia
voicemailand90-dayforwardingserviceformail/packagesofreasonablesize.ThisserviceisonlyavailabletoClientswhoseaccounts
arepaidinfullandClientaffirmsthatfollowingtheforwardingterm,ifanyallmailaddressedtoClientwillbemarkedandreturned
tosender.
IndemnifyandHoldHarmless:Duetotheimperfectnatureoftechnologyandverbal,written,mailed,orelectroniccommunication,
aswellasmistakesbyemployeesorassociates,orduetostrike,ForceMajeure,orotherunforeseenoccurrence,Clientagreesthat
OperatorisfreefromallliabilityforclaimsfordamagesbyanyreasonbarringwillfulmisconductonbehalfofOperator.This
indemnificationofliabilityincludesanyperceivedlossofbusiness,profits,oranticipatedearningsthatarisesoutoforinconnection
withClient’suseofOperator’servicesincluding:telephone,voicemail,phoneanswering,maildeliveryormailforwarding,internet
andcomputerservices,orcenterspecificservices.ClientagreesthatOperatoristobefreefromallliabilityforclaimsfordamagesby
reasonofinjurytoanypersonorlossordamagetoanypropertyfromanycausewhilein,upon,orinanywayconnectedwiththe
facilitiesofOperator.ClientagreestoholdOperatorharmlessfromallliability,loss,cost,orobligationsonaccountof,orrisingout
ofanysuchinjuriesorlosses,howeveroccurring.
LimitationofLiability:Operatorshallnotbeliableforanydirect,indirect,incidental,punitive,special,multiple,orconsequential
damagesresultingfromClient’suseorinabilitytousetheServicesorforcostofprocurementorsubstitutegoodsandservicesor
resultingfromanyproductsorservicespurchasedorobtainedthroughthesiteincludinglossofprofits,use,dataorintangible
property,evenifOperatorhasbeenadvisedofthepossibilityofsuchdamages.TheentireliabilityofOperator,andClient’sexclusive
remedywithrespecttotheuseofthesiteandServices,arelimitedtothelesserof:1)theamountactuallypaidbyClientforthe
Servicesduringthethree(3)monthsprecedingthedateofanyclaimmadebyClient;or2)$500.00(US),whicheverisless.By
acceptanceofthisAgreement,ClientherebyreleasesOperatorfromanyobligations,liabilitiesand/orclaimsinexcessofthis
limitation.
LawfulUse:Clientagreesthattheuseoftheseservices,andanyrelatedservices,issubjecttoallapplicablefederal,stateandlocal
lawsandregulationsandthatClientissolelyresponsibleforensuringcompliancetothisprovision.Operatormayterminateservices,
immediately,withorwithoutnoticetoClient,ifthelegalityoftheClient’sbusinessisquestionedbyanylocal,stateorfederal
policingorregulatoryauthority.
Severability:IntheeventthatanyprovisioninthisAgreementisdeemedinvalid,unenforceable,orvoidforanyreason,inwholeor
inpart,suchdeterminationshallaffectonlytheportionoftheAgreementdeemedassuch.
Operator’sEmployees:ClientagreesthatduringthetermofthisAgreementandfortwelve(12)monthsaftertermination,neither
Client,noranyaffiliateofClient,shallhireanyonewhoisorhasbeenanemployeeofOperatorduringtheClient’sAgreement,or
acceptcompensationinconnectionwiththeemploymentofOperator’semployees.Uponbreachofthisprovision,Clientagreesto
paytheOperatortenthousanddollars($10,000.00)ascompensationandagreesthatthisprovisionforliquidateddamagesis
reasonableandthattheactualdamagewhichwouldbesustainedbytheOperatorasaresultofsuchbreachwouldbedifficulttofix.
Notices:FormalnoticesdeliveredtoOperatormustbesentto:[email protected]
communicationtoconsiderthenoticetohavebeenreceived.OperatorwilldirectcorrespondencetoClientviatheelectronice-mail
addresslastprovidedbyClient.IfClient’selectronice-mailaddressisnolongerviable,Clienthaswaivedtherightofformal
notification.
Bycheckingthe“IagreetotheTermsandConditions”boxontheOperatororderpage,youagreetobeboundbythetermsofthis
Agreement.
