More homeowners carrying mortgage debt past age 65 BY ANDREW KHOURI Los Angeles Times When Tom Greco bought his fourbedroom home three decades ago, he assumed he’d pay off the mortgage before retirement just as his parents did. Things didn’t work out that way. Instead, his $4,500 monthly mortgage payments — a consequence of several equity withdraws over the years — became a financial drag. “It’s pretty hard to retire with that,” the attorney, 66, said. More and more older homeowners are carrying mortgage debt, a burden that threatens to delay their retirement and curtail spending among the massive baby boomer population. Nearly a third of homeowners 65 and older had a mortgage in 2011, up from 22 percent in 2001, according to an analysis from the Consumer Financial Protection Bureau, using the latest available data. The debt burden also grew with older homeowners owing a median of $79,000 in 2011, compared with an inflation-ad- justed $43,400 a decade earlier. For decades, Americans strove hard to pay off their mortgages before retirement, an aspiration that when achieved was celebrated with mortgage-burning parties. But for the latest retirees, reaching that goal, if they ever had it, is increasingly less likely. Baby boomers bought homes later in life, and with smaller down payments, than previous generations, said Stacy Canan, deputy assistant director of the consumer bureau’s Office for Older Americans. Many also refinanced during the housing bubble and used cash from their equity withdraws to pay off other debt, take vacations or put children through college. Surging home prices and low interest rates made that possible. Then the recession hit. Job losses delayed attempts to pay off mortgages. And many baby boomers took in their adult children after the collapse, refinancing to help their kids weather a brutal job market, said James Wells, a housing counselor with ClearPoint Credit Counsel- ing Solutions. “Before, the children could take care of themselves,” he said. “Now, not so much.” The number of mortgage-holding households headed by someone 65 or older rose from 3.8 million in 2001 to 6.1 million a decade later, the consumer bureau said. Rising debt levels also reflect a psychological shift among Americans, financial advisers and economists say. “People who lived through the Great Depression came out of that period with a great aversion to debt,” said Lori Trawinski, director of banking and finance with AARP’s Public Policy Institute. “As a culture we have loosened our opinion of debt.” As baby boomers enter retirement age — 10,000 per day, according to one estimate — the decisions that once supported an easier lifestyle could make later years tougher. Some may have to keep working to pay their mortgage, and oth- Depending on circumstances, those retiring with a mortgage can take a variety of steps to lessen the financial burden. Jonathan Dash, owner of a wealth management firm, often recommends taking money out of savings accounts, whose low interest rates are not going to yield much of a return, and using the cash to pay down the mortgage more quickly. If payments are unmanageable, seniors can sell their home and move to a smaller place, said James Wells, a housing counselor. By downsizing, seniors can not only reduce their mortgage payments but also other expenses that come with a larger home. The Consumer Financial Protection Bureau also recommends setting a goal to pay off the mortgage by a certain time and including that in one’s retirement plan. And for those nearing retirement age who are buying a new home or refinancing, the agency says to consider a term of 10 to 15 years rather than 30. “You’ll have higher monthly payments now, while you’re still working, and be less likely to still have a mortgage in retirement,” the agency said in a consumer advisory. Indeed, the most important step is to look and plan, experts say. Lori Trawinski, director of banking and finance with AARP’s Public Policy Institute, said those entering retirement should prepare a detailed analysis of their expenses and expected retirement income. “Everything depends on someone’s personal financial situation,” she said. “Having a mortgage or tapping into home equity is not, in and of itself, a bad thing.” Those who do get into trouble can receive free counseling though AARP’s housing solutions center, set up in the wake of the foreclosure Please see BURDEN | 2C Please see MORTGAGE | 2C First Paducah Dunkin’ Donuts to open next month BY LAUREN P. DUNCAN [email protected] The first of two Dunkin’ Donut stores set to open in Paducah will be ready for business at the end of October. Scott Morris, director of development for Tasco Properties, a Paducah-based company, said the free-standing Dunkin’ Donuts being constructed at the corner of Lone Oak Road and Jackson Street will likely open around Oct. 30. The 1,800-square-foot store will be Tasco Properties’ first Dunkin’ Donuts in the city. The company operates other stores of the nationally established chain around Kentucky, including one in Murray. The second shop is set to open in March or April and will be at 2781 West Park Drive, just off Hinkleville Road west of Walmart. The Dunkin’ Donuts location will be a part of a 17,000 square-foot retail center being constructed there. The center is being built in two separate phases. The first phase, which is finished, is home to a Pancheros Mexican Grill and Firehouse Subs. Pancheros Mexican Grill opened on Sept. 9 and is the first store of the chain to open in Kentucky. The restaurant dubs itself as “fast-casual Mexican grill known for its made-to-order burritos.” Firehouse Subs opened July 22. The restaurant is also fastcasual and features hot subs in its firefighter-theme location. Morris said spaces are still available in the second portion of the new retail center that remains under construction. Morris said he and business partner Tanya Spaulding of Paducah are happy to see the first Dunkin’ Donuts in the city opening soon. “We can’t wait. Under the guidelines issued Friday by the European Aviation Safety Agency, European airlines can allow passengers to use electronics during the entire flight, without putting them into “airplane mode.” “We’re basically opening the door where, in theory, you’ll be able to continue making your phone call through the gate throughout the flight ... like you would on a train,” spokesman Ilias Maragakis told The Associated Press. Standing in the way is the difficulty of getting a cell phone signal at high altitudes, and also how passengers will react to the thought of sitting next to a chatterbox across the Atlantic. That’ll be up to the airlines to figure out as they implement the new rules. In addition to phones, the guidelines apply to all other portable electronics, including book readers, tablet computers, mp3 players and other devices. EASA, which is based in Cologne, Germany, said the new rules are effective immediately and apply to any airplane operated by a European-based carrier, no matter where the flight originates. Airlines will now need to decide what devices they will allow and how they will allow them to be used. In practice, that will likely take several months as airlines will first have to certify that their planes aren’t affected by transmission signals. EASA cautioned that even within airlines, the devices allowed could depend upon the aircraft type. Older models would require more modifications to make sure the use of handsets is safe. “Basically we are saying you can have it switched on, and it’s up to the airline first to allow you,” Maragakis said. He de- clined to say what, if any, airlines intended to offer gate-to-gate handset use. Technically, internet and phone use is already possible on airplanes at high altitudes through satellite connections. Once again, it will be up to airlines to decide whether to allow passengers’ handsets to connect to that system, and whether to charge for the service. Jacqueline Murphy is doing just that. The former clerical worker for the New York City Police Department retired in March, thinking her pension and Social Security, coupled with a part-time job, would allow her to live comfortably and cover mortgage payments on the Bronx town home she bought for $375,000 during the housing bubble. But the 63-year-old hasn’t yet found a part-time gig, and a large chunk of her income is going to the $2,200-a-month mortgage. So she’s cutting back. She keeps the lights off as much as possible, has cut back on gardening to reduce the water bill, and sometimes gets help from family to buy groceries. “I thought retirement was going to be wonderful,” she “airplane mode,” which keeps them from transmitting signals. Similarly, the U.S. Federal Aviation Administration last year lifted its own restrictions on the use of most personal electronic devices during takeoffs and landings — but not cellphone calls, which fall under the Federal Communications Commission. Passengers were also told to keep the devices on “airplane mode.” Before that, the FAA long had barred the use of electronic devices below 10,000 feet (3,048 meters) because of concern they could cause electronic interference with aircraft systems during landings. from the University of Memphis in print journalism. BURDEN said. “Now that I am retired, I am sorry that I did. I am focused on how I am going to make it to next week, how am I going to make it to the next mortgage payment, and I am constantly worried.” Wells, the housing counselor, said those he counsels often didn’t budget for reduced retirement income when they refinanced to help their children, fix a car or take a vacation. They were working then, so the payments seemed reasonable. “They are not really thinking long term at that point,” he said. Greco, the attorney, said he took a “shortsighted view.” Enticed by dropping interest rates, he refinanced his Irvine home four times. He then used the money from the cash-out refinancings to pay down credit card debt and finance home renovations, including a pool he himself designed. “A foolish move,” he said of the refinancing, but one that many others, including friends, did as well. A recent study from Harvard University’s Joint Center for Housing Studies showed that of mortgage holders ages 65 to 79, nearly half spent 30 percent or more of their income on housing costs. Of mortgage holders 80 or older, 61 percent pay that amount on housing. And the debt carries further risks. Sudden changes in expenses, such as those stemming from health problems, can expose seniors with mortgages to greater financial peril, the consumer bureau’s study said. And if another downturn comes, retirement savings and investments are likely to take a hit, raising the chance of foreclosure. One option is to downsize. That’s the choice Greco made. In August, he and his wife sold their house. Next month they plan to move into a condo, knocking down their mortgage payment by thousands of dollars. Even after downsizing, Greco said, he simply can’t retire as he wishes. There’s the condo mortgage and other debt he must pay. So instead, he plans to gradually work less and less. He started this month, a day after his 66th birthday, by working half days on Fridays. In five years, he hopes to have paid down the condo loan enough to get a reverse mortgage that will allow him to only take on cases that interest him. Reverse mortgages allow people at least 62 years old to receive payments based on the equity in their homes. But unlike a traditional home equity loan, a reverse mortgage does not require monthly payments. The loan, which is easier to qualify for than a home equity line of credit, doesn’t come due until the home is sold or the borrower moves out or dies. Having to still work is not the ideal situation, Greco said, but retirement will be far easier without the house as an anchor. “I needed to get out of that mortgage,” he said. CONTINUED FROM 1C crisis. One person they may speak to is Wells. Based in Atlanta, Wells handles calls from seniors across the country, many of whom were referred by AARP. Since he started as a housing counselor six years ago, the number of older clients with mortgage debt has more than doubled, he said. Most of the time, to deal with that debt, some simple belt-tightening is all that’s needed, Wells said. “It’s OK you can do this,” he says he tells many clients. “It’s just rearranging the budget. It’s OK to reduce the amount in dry cleaning expense. It’s OK to reduce the amount on cable. “At the end of the counseling session they do come to the realization they can’t keep going the way they are going.” For some, though, a mortgage may not be a burden. For those seniors — ones with significant financial assets or income streams — it’s often unwise to rapidly pay off the debt simply to own the home outright, experts said. Instead, some financial planners say, the money can be invested where it can earn more than the interest payments on the mortgage. “Being debt free is great, but you have also locked up all that capital in one asset,” said William Ryan, a financial consultant. And a mortgage, if affordable, can free up money for investments such as home renovations that help seniors live in their homes despite worsening health, Trawinski said. Economy’s Q2 rebound was faster than thought BY MARTIN CRUTSINGER Associated Press WASHINGTON — The U.S. economy’s bounceback last quarter from a dismal winter was even faster than previously thought, a sign that growth will likely remain solid for rest of the year. The economy as measured by gross domestic product grew at a 4.6 percent annual rate in the April-June quarter, the Commerce Department said Friday. It was the fastest pace in more than two years and higher than the government’s previous estimate of 4.2 percent. The upward revision reflected stronger-thanexpected business investment and exports last quarter. The healthy secondquarter growth marked a sharp rebound from the January-March quarter, when the economy shrank at a 2.1 percent rate in the midst of a brutal winter that idled factories and kept consumers at home. As the third quarter nears an end, economists envision a strengthening economy through the end of 2014 and into 2015. Many think the economy is growing in the current July-September quarter at a rate of around 3 percent. Sal Guatieri, senior economist at BMO Capital Markets, is slightly more optimistic than most. The final upward revision was driven by newfound strength in business investment, which grew at an annual rate of 9.7 percent last quarter thanks to higher spending on structures and equipment. The government’s previous such estimate had been 8.1 percent Exports also helped boost the economy. The data showed that exports grew at an 11.1 percent rate in the second quarter, stronger than 10.1 percent in its earlier estimate. Consumer spending, which accounts for more than two-thirds of economic activity, grew at a 2.5 percent annual rate. That figure was unchanged from the previous estimate. But it represents twice the 1.2 percent growth in consumer spending in the first quarter. The surge of activity this spring was in part a turnaround from the harsh winter, which disrupted factory production and kept consumers away from stores. Because of the rough start to the year, growth for 2014 overall is expected to be a temperate 2.1 percent, little changed from last year’s 2.2 percent increase. Analysts have sketched a much brighter outlook for 2015. They say that the economy is entering a period of above-trend growth as unemployment falls. More job growth should translate into stronger consumer spending. Economists at JPMorgan Chase predict growth of 3 percent next year. That would be a significant improvement on the economy’s average annual growth of around 2 percent since the end of the recession in June 2009. Federal Reserve policymakers last week decided to keep a key short-term interest rate at record lows, near zero, and indicated that they planned to keep it there for a “considerable time.” Analysts regarded the Fed’s comments as support for their view that the Fed won’t start raising rates until the mid-2015. The low rates should help bolster higher spending by consumers and businesses, which in turn would boost growth and drive down the unemployment rate, now at 6.1 percent. NEW YORK — Data breaches at retailers aren’t going away but there are ways consumers can protect themselves from future heists of their payment card information. Home Depot said Thursday that malicious software lurking in its check-out terminals between April and September affected 56 million debit and credit cards that customers swiped at its stores. Target, Michaels and Neiman Marcus have also been attacked by hackers in the past year. More breaches are likely. The Department of Homeland Security Department warned last month that more than 1,000 retailers could have malware in their cashregister computers. Here are three ways to protect yourself: Consider another way to pay Try newer ways to pay, such as PayPal or Apple Pay. “Any technology that avoids you having your credit card in your hand in a store is safer,” says Craig Young, security researcher for software maker Tripwire. Those services store your credit card information and it’s not given to the retailer when you make a payment. Many big retailers, including Home Depot, accept PayPal at their stores, but many others don’t. Apple Pay, which was only introduced this month, has even more limitations: It is available in just a small number of stores so far and only people with an iPhone 6 can use it. “Any technology that avoids you having your credit card in your hand in a store is safer.” ing, but you should never click on the links. Sign it, don’t PIN it If you’re planning on paying with a debit card, sign for your purchase instead of typing in your personal identification number. You can do this by asking the cashier to process the card as a credit card or select credit card on the display. Not entering you PIN into a keypad will help reduce the chances of a hacker stealing that number too, Young says. Crooks can do more damage with your PIN, possibly printing a copy of the card and taking money out of an ATM, he says. Beware of email scammers After big data breaches are exposed, and get a lot of media attention, scammers come out of the woodwork looking to steal personal information. Some emails may mention Home Depot or offer free credit monitor- Scan credit card statements every month for any unauthorized charges. And keep an eye out for smaller charges. Thieves will charge smaller amounts to test to see if you notice and then charge a larger amount later, Litan says. They may also steal a small amount from millions of accounts, scoring a big payday, she says. And check your credit report for any accounts that crooks may have opened in your name. Credit reports are available for free, from each of the three national credit reporting agencies — Equifax, Experian and TransUnion — every 12 months from AnnualCreditReport.com. Home Depot is also offering free credit monitoring and identity protection services to customers. Customers can go to the company’s website for more information or call them at 800-466-3337. Go old school Use cash. When possible, the safest bet is to not swipe a card at all. The Fed’s unprecedented economic stimulus has in large part driven a surge in stock prices since 2009. The central bank has bought trillions of dollars of bonds and kept shortterm interest rates close to zero. That’s allowed businesses and consumers to refinance their debt at lower rates, freeing up cash to spend. But if history is a guide, investors have nothing to fear. In the nine instances since 1955 that the Fed has started raising rates after a recession, the Standard & Poor’s 500 index has risen by an average of 58 percent between the first hike and the peak of the market, according to LPL Financial, an independent broker-dealer based in Boston. The Fed is set to end its bond purchases in October and most economists expect the first short-term rate hike by mid-2015. These early increases, analysts say, are unlikely to derail the current bull market for stocks, because the Fed would be raising rates in response to a growing economy. Manufacturing expanded in August at the strongest pace in more than three years. ROSENBERG Associated Press NEW YORK — When Monty Hagler learned his employee insurance premiums could rise as much as 38 percent, the small business owner decided he couldn’t afford coverage that complies with the health care overhaul. He considered a variety of plans from different carriers, but they were too expensive or bare-bones. “Unless we dramatically changed our plan and went with the most basic plan, I said, ‘this is not sustainable,’” says Hagler, owner of RLF Communications, a Greensboro, North Carolina-based marketing company. So Hagler told his 12 staffers he would give them money starting in May to buy their own insurance, coverage likely to be better than what he could offer. He joined a growing number of small business owners who are forgoing coverage and paying staffers more to compensate for the lost benefits. Health insurer Wellpoint said last month its roster of small businesses has shrunk by 12 percent so far this year. Losing coverage Insurance brokers are getting more inquiries about individual coverage, a sign to them that many people are losing coverage at work. The brokerage HealthMarkets Inc. has had a 40 percent pickup in applications for individual insurance since the open enrollment period for insurance ended March 31. Spring and summer are normally a slow period for policy purchases. “We’re seeing this happen with increasing frequency and we’re believing we’ll see it with greater frequency this fall,” says Ken Fasola, CEO of HealthMarkets, based in North Richland Hills, Texas. If policy cancellations do rise this fall, it would likely be due to the fact many small businesses renewed their coverage before Jan. 1, 2014, when policies were required to comply with the health care law. As those policies come up for renewal, owners will have to decide whether to buy the new insurance. Owners like Hagler aren’t required to offer insurance. The health care law exempts companies with fewer than 50 workers. But many of these owners provided coverage because insurance is a benefit that helps retain staffers and recruit top talent. But workers may get a better deal on governmentrun health insurance exchanges, especially if they qualify for government subsidies that will lower premium costs for individuals and families. The government will subsidize coverage on the exchanges for individuals earning up to $45,960. About half of Hagler’s employees bought their insurance on the North Carolina exchange, while others got insurance through their spouses’ plans or bought it privately. A healthier economy also means stronger corporate earnings, which drive stock prices, says Jim McDonald, chief investment strategist at Northern Trust Asset Management. Upcoming hikes are expected to be small and gradual, so they don’t choke off growth, says Brad Sorensen, a director of market and sector research at Charles Schwab. The median short-term rate supported by Fed policymakers at the end of next year is 1.38 percent, up from a range of zero to 0.25 percent currently. Risks Of course, the Fed won’t always read the economy right, and that’s what makes stock investors nervous. Four of the five previous bull markets since 1970 ended as investors got spooked by a recession, or the anticipation of one, and sold stocks. And what causes recessions? In three of the past five, it was the Fed hiking interest rates to slow inflation. Typically, though, the problems for the economy and stock market don’t come until after the Fed has hiked rates a number of times, not early in the process. Eventually, higher rates put a brake on the economy and crimp earnings, prompting investors to sell stocks. The last cycle of rate hikes topped out at 5.25 percent, with the final increase coming in June 2006. Stocks peaked in October of the following year. Still, some investors worry that the next hikes will defy historical patterns because of the Fed’s unprecedented stimulus. Once the central bank ends its third round of quantitative easing after its next meeting that starts Oct. 28, its balance sheet will stand at close to $4.5 trillion, about five times its size from before the financial crisis. “A pessimist could say ‘well, it’s going to be different this time because the market’s going to be inflated by all the stimulus from the Fed,’” Northern Trust’s McDonald says. Like Sorenson, though, he thinks the most likely scenario is that the Fed will raise rates gradually, the economy will continue expanding, and stocks will keep rising. Investors will listen for more clues to the Fed’s rate strategy at its next policy meeting in late October. Turning it off closes and locks the door. It’s the opposite of what you might think: Private Mode needs to be off for your content to be secure. Once locked, it is as though the content never existed. No one will know what’s inside the vault, or whether there’s even anything inside. To unlock the vault, you need your passcode or fingerprint ID. The private-mode feature is also part of Samsung’s Galaxy Tab S tablets and the upcoming Galaxy Note phones. Passcodes, other tools can enhance digital privacy BY ANICK JESDANUN Associated Press NEW YORK — Apple got a lot of attention last week when it released a new privacy policy along with a declaration that police can’t get to your passwordprotected data. Essentially, your photos, messages and other documents are automatically encrypted when you set up a passcode, with or without a fingerprint ID to unlock the phone. Apple says it cannot bypass that passcode, even if law enforcement asks. Google says it will also encrypt data by default in an upcoming Android update. The option has been there, but many people don’t know about it or bother to turn it on. Apple, Google and other tech companies have been trying to depict themselves as trustworthy stewards of personal information following revelations that the National Security Agency has been snooping on emails and other communications as part of an effort to identify terrorists. Apple is also trying to reassure customers about its commitment to security after hackers broke into online accounts of celebrities who had personal photos stored on Apple’s iCloud. Here’s a closer look at some of those options: Apple’s iPhones and iPads In the latest software update for mobile devices, iOS 8, Apple offers an easier way to hide photos from your collection in the Photos app. Simply press down on the photo or the thumbnail of it and tap “Hide.” However, the photo will still appear in individual albums, including a new one called “Hidden.” You can go there to unhide hidden photos. So why bother? This fea- ture is mainly useful when you want to let people glance through your entire collection of photos. That could be when you’re sitting with a friend in the same room or making a presentation before a large audience. You can hide embarrassing or incriminating photos — such as naked selfies — as long as you remain in control of the device. If you hand it to a friend and walk out, your friend can browse through the albums section. Samsung’s Galaxy devices The Galaxy S5 phone introduced a private mode. You turn it on in the settings, under “Private Mode” in the Personalization section. You then go through your phone to mark certain content as private. With photos, for instance, just go to the Gallery app and select the photos or albums you want to keep private. Then hit the menu icon for the option to “Move to Private.” This also works with selected video, music, audio recordings. After you’ve marked your files as private, you need to go back to the settings to turn Private Mode off. Think of that setting as the door to a vault. Turning it on opens the door and lets you move stuff LG’s flagship phone has a guest mode. You can lend a phone to a friend without giving your friend access to everything. You can even set a separate unlock code for the guest, so that you don’t have to give out yours. Look for “Guest mode” in the settings under the General tab. You then specify which apps your guest can access. For instance, you might want to give access to the phone, alarm clock and music, but you might want to block email and texts. In some cases, guests have limited access to your content. With the Gallery app, your collection of photos won’t generally appear unless they are in the “Guest album.” Guests can take photos, too, and have them appear there. On the other hand, if you enable access to the Photos app, your guest gets everything. Likewise, there are no restrictions with email or texts if you allow access to those apps. I recommend logging in as a guest — with the alternative code — to verify what’s available after you pick the apps to allow. Beyond the guest mode, the G3 lets you lock certain images in the Gallery app during normal use, similar to what the Galaxy devices offer. The bigger picture These tips touch only the surface of what you can do to protect your privacy. For instance, these apply only to data stored on the device. For files stored on Internet-based storage services such as iCloud and Dropbox, you’ll want to make sure you have a strong password and turn on a second layer of protection, often known as two-step verification. With iOS, you can choose which apps can know your location and when, such as all the time or only when the app is actively running. Go to the “Location Services” settings under “Privacy.” Unfortunately, it tends to be all or nothing with Android. You can turn off location services, but that affects all apps, including maps and others that might need your location. Activist investor pushes Yahoo to buy rival Internet firm AOL BY MICHAEL LIEDTKE Associated Press SAN FRANCISCO — Yahoo CEO Marissa Mayer is getting some unsolicited advice on how to turn around the long-struggling Internet company, just like some of her predecessors who tangled with investors dissatisfied with management’s performance. In a letter on Friday, activist investor Jeffrey Smith urged Yahoo Inc. to buy another fallen Internet star, AOL Inc. and take steps to reduce the future taxes on the company’s lucrative stake in China’s Alibaba Group. He also chastised Mayer for spending $1.3 billion to acquire an Internet blogging service and more than two dozen other startups during the past two years with little to show in return so far. To bolster his arguments, Smith says he has built a “significant” stake in Yahoo through Starboard Value LP. The size of the stake wasn’t quantified in Friday’s letter and hasn’t yet been divulged in regulatory filings. The idea of Yahoo and AOL is getting together isn’t a new one. Various analysts and other Internet observers have argued a marriage between the two companies would allow them to cut costs, attract more Web surfers and, most importantly, strengthen their online advertising arsenal to improve their chances of competing against Internet stalwarts Google Inc. and Facebook Inc. “It makes a lot of sense,” said BGC Financial Partners Colin Gillis. Yahoo and AOL didn’t respond to requests for comment Friday. The prospect of a change in Yahoo’s recent direction seemed to excite investors. Yahoo’s stock rose $1.74, or 4.5 percent, to $40.69 in Friday’s afternoon trading. AOL’s stock added $1.53, or 3.6 percent, to $44.50 as investors reacted to a potential buyout bid. Smith previously agitated for change at AOL in 2012 after he acquired a 5.3 percent stake in that company and mounted an unsuccessful campaign to win three board seats. This is the third time in the past six years that an activist investor has targeted Yahoo for a shake-up. Billionaire Carl Icahn seized three spots on Yahoo’s board in 2008 after attacking the company for spurning a $47.5 billion takeover offer from Microsoft Corp. and hedge-fund manager Daniel Loeb also wound up with three board seats in 2012 after orchestrating the ouster of one of Yahoo’s previous CEOs, Scott Thompson. Since becoming Yahoo’s CEO in July 2012, Mayer has been buying startups and trendy services such as Tumblr in an effort to appeal to a younger demographic and expand Yahoo’s audience on smartphones and tablets. Given AOL is still closely associated to the days when people relied on dial-up modems to surf the Web, Mayer might view a buyout to be “too backward-looking for Yahoo,” Gillis said. Yahoo could easily afford to take over AOL, whose market value is currently hovering around $3.5 billion. After paying taxes, Yahoo is expected to pocket about $6 billion from selling 140 million of its shares in Alibaba, a rapidly growing e-commerce company that went public last week. Yahoo still holds a 15 percent stake in Alibaba worth about $34 billion, an asset that Smith contends has been mismanaged. He believes that Yahoo could boost its stock price by about $16 per share by coming up with a strategy that would minimize the company’s taxes when it sells the rest of its holdings in Alibaba Group and another investment in Yahoo Japan. One way this might be done would be to engineer a tax-free spin-off of Yahoo’s Asian investments, though Smith didn’t explicitly float that idea in his letter. As it is, Yahoo’s stakes in Alibaba and Yahoo Japan are valued at a combined $42 billion. Before the letter was released, Yahoo’s total market value stood at $39 billion — an assessment indicating that investors put little or no value on the company’s ongoing U.S. business while discounting for the taxes that currently would have to be paid in eventual sales of the Alibaba and Yahoo Japan stakes.
