Non-printing Colours Non-print 1 Payflow Non-print 2 JOB LOCATION: PRINERGY 3 Additional Conditions These additional conditions relate to the Payflow Service and supplement and amend the general conditions of your Customer Agreement with us (Barclays Bank PLC). In the event of any inconsistency between these additional Conditions and the general conditions of the Customer Agreement, these terms will apply in relation to the Payflow Service. 1. Definitions 1.1 ‘Masterfile’ is the computerised data file containing information relating to you and your proposed beneficiaries and/or payers. 1.2 ‘Payflow Service’ is the automated payment service to be provided to you as described in the User Guide(s). 1.3 The ‘User Guide’ means the ‘Payflow Crediting User Guide’ (as amended and updated from time to time) by Barclays which describes the use and operation of the Payflow system and the Payflow service. 1.4 ‘Bacs’ means VocaLink Ltd, the company that processes payments for Bacs Payment Schemes Limited. 1.5 ‘Payment Instructions’ means the instructions to initiate payments from your account(s) with us through the Payflow system. 1.6 ‘Authenticated Payment Instructions’ means the Payment Instructions which have been authenticated in accordance with the authentication procedure described in the User Guide and received by us. 1.7 ‘Submission’ means a submission by you of all the Payment Instructions relating to any one Payflow application which you wish to be implemented via the Payflow system on the same payment day. 1.8 The ‘Suggested Maximum Payment Value’ means the maximum value (as specified in the relevant Barclays Payflow application form) of transactions which may be included by you in the relevant Submission. 1.9 Other words and phrases have the same meaning as in the general conditions of the Customer Agreement. 2. Term of the Payflow Service 2.1 The Payflow Service will commence when you are notified by us that we have accepted your Payflow application. 2.2 We may stop providing the service to you by giving two months’ written notice at any time. We will immediately stop providing the service on giving you written notice if you have seriously or persistently broken any of these Additional Terms or the terms of the Customer Agreement. 2.3 You can ask us to stop providing the service to you by giving us two weeks’ written notice at any time. Payflow charges 3.1 In addition to the methods of instructions set out in the general conditions, you may give us instructions by fax, in accordance with these Additional Conditions and the User Guide, to debit any of your bank accounts with us and to make payments to third parties. 6.1 Our charges for the Payflow Service are calculated at the rates and on the basis notified to you before you start using the service and debited to an identified account. 3.2 We will only accept instructions by fax if the instruction is authenticated with a code word taken from a list in your possession which has been provided to you. 3.3 You must confirm receipt of the list of code words before we will act on any instructions and you must comply with the obligations relating to payment instruments in the general conditions in relation to the list of code words we provide to you. 4. Compliance with the User Guide and duty of care The authentication procedure and checking arrangements described in the User Guide are designed to provide safeguards against unauthorised use. You undertake to comply strictly with the User Guide and to restrict access to the password numbers and the User Guide to appropriate employees. 5. Significance of the Suggested Maximum Payment Value 5.1 We may refuse to accept your Payment Instructions if the aggregate value of the Payment Instructions included in a Submission exceeds the Suggested Maximum Payment Value. We will notify you of the refusal as set out in the general conditions. 6.2 Where you request us to cancel a proposed payment, we will levy an additional charge for the work involved. If you ask us to recall a payment after we have processed it, we will use our best efforts to recall it, subject to the limitations contained in the User Guide. 7. Barclays liability 7.1 Other than as set out in the general conditions, we have no liability to you for any loss caused by any delay in debiting or crediting of accounts. 7.2 We shall not be liable to you for any loss, damage, or destruction or alteration of the Masterfile or any errors or omissions in the instructions transmitted to Bacs caused by distortion, interruption or failure of any telephone lines or modems. 7.3 We will hold and process data in accordance with the Data Protection Act 1998. For all data where we are acting as a processor, which is provided to us by you and relates to third parties, we will only act on your instructions in relation to that data. Any data held by us as a data processor which is owned by you will be returned to you upon your request, subject to us being able to retain copies of sufficient data to be able to satisfy the requirements of our auditors or external Regulators. 8. Entire agreement The Customer Agreement, the User Guide and the Barclays Payflow fact sheet, application and amendment form(s) constitute the entire agreement between us in respect of the Payflow Service. No warranty shall be implied or have any effect unless specifically included in the Customer Agreement and in any changes subsequently notified.
