The City of Bonney Lake is accepting SEALED BIDS for the sale of the above surplus property.
Submittals will be received only at the City Clerk's Office, located in Suite 150 of the Justice
and Municipal Center, 9002 Main Street East, Bonney Lake, WA 98391.
BIDs will be received until 4:00 p.m., Pacific Time, Monday, December 5, 2016, at which time
they will be opened and read aloud, and then forwarded to the Chief Contract Officer of the City
for disposition. The City reserves the right to reject any and all submittals, waive minor
deviations or informalities, and if deemed to be in the City's best interest, pursue other methods
of sale.

SECTION 1-BID SOLICITATION
Introduction. The City of Bonney Lake ("City") is soliciting sealed bids from persons or entities
("BIDDERs") interested in the acquisition of an undeveloped residential building lot located at
4824 Aqua Drive E, Bonney Lake, WA 98391. This property previously had a garage on it that
served as a volunteer fire station and housed an old fire truck. The station has been closed and
the garage demolished. Power, water, and sewer to the lot are available in the street (Aqua Drive
E). A water service and power service has been previously extended to the parcel, but there is no
sewer stub Gust a sewer main in the street).
In general, bids will be evaluated based on the purchase price offered as well as the proposed
future uses of the property, with price being the major determinant.
BIDDERs must be willing and able to pay, at least, the amount established as the minimum bid
amount ($79,700). In order for a BID to be considered for award, it must conform to all the
requirements of this BID, including the Minimum BID Requirements provided herein.
Delivery of Submittals To The City. The City of Bonney Lake is accepting SEALED BIDS for
the sale of the above surplus property. Submittals will be received only at the City Clerk's
Office, located in Suite 150 of the Justice and Municipal Center, 9002 Main Street East, Bonney
Lake, WA 98391.
BIDs will be received until 4:00 p.m., Pacific Time, Monday, December 5, 2016, at which time
they will be opened and read aloud, and then forwarded to the Chief Contract Officer of the City
for disposition. Facsimile (fax) or emailed bids will not be accepted.
Each submittal shall be completely sealed, with the name of the submitting party (hereinafter
"Bidder") and "4824 Aqua Drive E Lot Purchase" clearly marked on the exterior of the
envelope. City offices are not open for special mail or other deliveries on weekends and City
holidays.
Submittals may be delivered to the City by mail or in person; however, the Bidder is solely
responsible for timely delivery of its submittal to the City Clerk.
Submittals received after the time stated in the solicitation announcement will not be accepted
and will be returned, unopened, to the Bidder.
Withdrawal of Submittal. Submittals may be withdrawn prior to the deadline by providing
written notice to the City Clerk. The notice may be submitted in person or by mail; however, it
must be received by the City Clerk prior to the submittal deadline. No submittal can be
withdrawn after having been opened.
Submittal Is Non-Collusive. The Bidder acknowledges that by its delivery of a submittal to the
City in response to this bid solicitation it represents that the prices in such submittal are neither
directly nor indirectly the result of any formal or informal agreement with another Bidder.
Opening and Acceptance of Submittals. Submittals, unless previously withdrawn, will be read
aloud, irrespective of any irregularities or informalities in such submittal, at the time and place
specified in the solicitation announcement.
Right To Reject. The City of Bonney Lake reserves the right to reject any and all submittals,
waive minor deviations or informalities, and if necessary, call for new bids or determine an
alternate means of sale.
Terms and Conditions. By submitting a bid in response to this solicitation, the Bidder
acknowledges and consents to the City's terms and conditions listed below. With regard to this
bid process, the City reserves, holds without limitation, and may exercise, at its sole discretion,
the following terms, rights and conditions:

To waive any defect, technicality, or any other minor informality or irregularity in any
written notice to the Bidders for any reason whatsoever.

To supplement, amend or otherwise modify or clarify the bid requirements or
specifications, at any time upon prior notice to Bidders.

To request clarifications, additional information, and/or revised submittals from one or
more Bidders.
5.
To conduct investigations with respect to the qualifications and experience information
for each Bidder included in a submittal and to request additional evidence to support any
such information.
6.
To eliminate any Bidder that submits an incomplete or inadequate response, or is non­
responsive to the requirements of the solicitation, or is otherwise deemed to be
unqualified during any stage of the process.
7.
To take any other action affecting the bid specifications or the procurement process that
is determined to be in the City's best interests.
8.
In the event the City receives questions concerning bid specifications from one or more
Bidders prior to the deadline for response, the City reserves the right to provide such
questions, and the City's responses, if any, to all Bidders.
9.
Neither the City, its officials, staff, agents, employees, representatives, nor consultants
will be liable for any claims or damages resulting from any aspect of this bid process.
Evaluation of Bids. The City of Bonney Lake reserves the right to sell the surplus property to
the highest and most responsible Bidder(s) delivering a submittal in compliance with the bid
solicitation, provided such submittals are reasonable and are in the best interest of the City to
accept, in the sole opinion of the Chief Contract Officer of the City.
Completion of City Forms. All submittals must be completed in ink or typewritten using the
forms included with this bid solicitation, and submitted as specified. City forms requiring
signature must be signed in ink by an authorized officer, employee or agent of the Bidder.
The bid price must be stated in figures. Corrections shall be initialed in ink by the person signing
the submittal. Prices having erasures or interlineations (cross outs) will not be accepted unless
initialed in ink by the Bidder.

Correction of Ambiguities and Obvious Errors. The City reserves the right to correct obvious
errors in the Bidder's submittal.
Questions and Clarifications. Questions regarding this bid solicitation are to be submitted in
writing to the City Administrator All requests for interpretation must be received by the City no
later than five business days prior to the opening date. Any interpretation of this Specification
will be made by addendum duly issued and posted to the City's at
www .ci.bonney-lake.wa.us
(Click the business tab, and then "Doing Business With the City". Such addendum must be

acknowledged in the submittal. The City of Bonney Lake will not be responsible for any other
explanation or interpretation of the specification documents.
Alterations Not Allowed. Except as otherwise specifically provided in these bid documents,
submittals that are incomplete or conditioned in any way, contain erasures, alternatives or items
not called for, or not in conformity with law, may be rejected as being non-responsive. Any
attempt to condition the submittal by inserting exceptions to the Specification or any conditions,
qualifications or additions that vary its terms may result in rejection of the submittal.
Insertion of Material Conflicting With Specifications. Only material inserted by the Bidder to
meet requirements of the specification documents will be considered. Any other material inserted
by the Bidder may be disregarded by the City of Bonney Lake as being non-responsive.
Public Disclosure. Washington State Public Disclosure Act (RCW 42.56 et seq.) requires public
agencies in Washington to promptly make public records available for inspection and copying
unless they fall within the specified exemptions contained in the Act. Documents submitted
under this Specification are considered public records and, unless exempt from disclosure under
the Act, will be made available for inspection and copying by the public in response to a public
records request.
Proprietary or Confidential Trade Secret Information. If the Bidder considers any submittal
document to be exempt from disclosure under the law, the Bidder shall clearly mark on the
specific page(s) affected such words as "CONFIDENTIAL," "PROPRIETARY" or "TRADE
SECRET." The Bidder shall also submit an index with its submittal identifying the affected page
number(s) and location(s) of all such identified material. Failure to provide an index identifying
the location of the material in the submittal that Bidder considers to be protected from disclosure
will result in the records being released in response to a request for those records without further
notice to Bidder. Marking the entire submittal as "confidential" or "proprietary" or "trade
secret" is not acceptable and is grounds to reject such submittal.
If a public records request is made for disclosure of all or any part of Bidder's submittal, and
Bidder has (i) properly marked and (ii) indexed the material it asserts to be exempt from
disclosure, the City will determine whether the material is exempt from public disclosure. If, in
the City's opinion, the material is subject to a possible exemption to disclosure, the City will
notify Bidder of the request and impending release and allow the Bidder ten
( 10) business days
to take whatever action Bidder deems necessary to protect its interests. The City will reasonably
cooperate with any legal action initiated by the Bidder to prevent release; provided that all

expense of such action shall be borne solely by the Bidder, including any damages, penalties,
attorney's fees or costs awarded by reason of having opposed disclosure and Bidder shall
indemnify City against same. If the Bidder fails or neglects to take such action within said
period, the City will release all materials deemed subject to disclosure. Submission of materials
in response to this solicitation shall constitute assent by the Bidder to the foregoing procedure
and the Bidder shall have no claim against the City on account of actions taken pursuant to such
procedure.
Legal Disputes. Bidder agrees and stipulates that in the event any litigation should occur
concerning or arising out of this solicitation or any submittal delivered in response hereto, the
sole venue of any such legal action shall be the Pierce County Superior Court of the state of
Washington and the interpretation of the terms of the solicitation and submittal shall be governed
by the laws of the state of Washington.
Bidder's Refusal to Enter Into Contract. Any Bidder who refuses to enter into a contract after it
has been awarded to the Bidder will be in breach of the agreement to enter the contract, and the
Bidder's certified or cashier's check shall be forfeited.
Award. Pursuant to Bonney Lake Municipal Code Section 2.08.100(C4) the Chief Contract
Officer of the City (City Administrator) shall be the final judge as to which submittal(s) is/are the
lowest and best responsible, and best meets the interest of the City of Bonney Lake to accept.

BIDDER acknowledges that it shall have no right to rely on such information. Further, by
submitting a BID, BIDDER acknowledges that BIDDER is solely responsible for the
independent verification of all property information and for performing independent due
diligence of the condition, value, and title of the property.
SECTION III - MINIMUM BID REQUIREMENTS
In order for a BID to be considered responsive, a BID must conform to all the requirements of
this BID, including the following:
BID Form. BIDDER must submit an executed copy of the BID Form provided herein as
provided in Appendix "A".
BID Content. The contents of the BID should generally conform to the requirements of Section
V herein.
Purchase Price. BIDDERs must submit a Purchase Price on the BID Form provided herein.
Minimum Bid Amount: The Purchase Price offered must be no less than Seventy-Nine Thousand
and Seven Hundred Dollars
($79,700).
Earnest Money. Each BID must be accompanied either by a certified or cashier's check for
three thousand nine hundred and eighty-five dollars
($3,985), payable to the City of Bonney
Lake. The Earnest Money will be deposited with the City and will offset the amount owed as the
purchase price for the BID which is selected. The City will not accept a regular check, bond or
promissory note as payment for the earnest money requirement. The Earnest Money will be
refunded to all BIDDERs who are not selected for the sale of the Property and the City will make
best efforts to make this refund as soon as possible after the BIDDERs are notified of the City's
selection. The Earnest Money will not be refunded to the BIDDER who is selected for award,
unless the City is unwilling or unable to finalize the sale of the Property to the selected BIDDER
due to no fault of the BIDDER, in which case the earnest money will be refunded in full.
SECTION IV - TRANSACTION
"As ls". BIDDER acknowledges that the Property will be purchased under the Purchase and
Sale Agreement in an "as is" condition. No warranties as to the condition of the Property shall be
given or implied.
Inspections. BIDDER agrees that it will rely on its own inspections and evaluations of the
Property, with the exception of any disclosures required by law, to determine the suitability of
the Property for BIDDER's intended use.
Deed in Escrow. Within thirty
(30) days of the signing of the purchase and sale agreement, the
City shall deliver to Pacific Northwest Escrow ("Escrow Agent") a statutory warranty deed
("Deed"). The Escrow Agent shall hold the Deed until the Closing, at which time the Deed shall

be recorded and the Property transferred to the BIDDER. If for any reason the sale of the
Property does not close, the City shall be entitled to retrieve the Deed from the Escrow Agent.
Closing. The Closing shall be held at the offices of the Escrow Agent. The Closing shall occur
on a mutually agreeable date selected by the City and BIDDER. The Closing shall mean the date
when all deeds and other documents necessary for transfer of the Property to BIDDER are
recorded and full payment is made by BIDDER.
Documents to be delivered by the City. The City shall deliver to the Escrow Agent on or
before the Closing the following documents (all of which shall be duly executed and
acknowledged where required):
(i) Excise Tax Affidavit. An excise tax affidavit for filing with the County Auditor at the time of
recording the Deed.
(ii) Title Documents. The Deed and such other documents as shall be reasonably required by the
Title Company as a condition to its insuring the City's good and marketable fee simple title to
the Property.
(iii) FIRPTA Affidavit. The affidavit of non-foreign status, as required by federal tax law.
(iv) Plans. Such surveys, site plans and plans and specifications relating to the Property as are in
the possession or control of the City.
Payment of Costs. The City and BIDDER shall pay their own costs incurred with respect to the
purchase and sale of the Property, including attorneys' fees. Notwithstanding the foregoing, the
City shall pay any excise tax due and payable, the cost to record the Deed and recording fees
necessary to remove encumbrances (if any), and the full cost of the standard coverage Title
Policy (as defined below). The Parties shall equally share the escrow fee.
Real Property Taxes and Utility Bills. Real property taxes and general assessments with
respect to the Property shall be prorated as of the Closing Date, with City responsible for any
such taxes and assessments which relate to the period prior to the Closing Date and with
BIDDER responsible for any such taxes and assessments which relate to the period from and
after the Closing Date.
Conditions to BIDDER's Obligation.
(a) Investigation of the Property. Within fifteen

days of this Agreement, the City shall
provide to BIDDER all documents and information pertaining to the Property, including
any soils reports and environmental studies, surveys, architectural drawings or
renderings, plans and specifications (the "City Documents").

BIDDER's sole cost and expense, a feasibility study of the Property (the "Feasibility
Period") and to satisfy itself, at its sole cost and expense and in its sole discretion, as to
any and all matters affecting the Property including, without limitation, the feasibility of
BIDDER's use, occupancy, and development of the Property. This condition to closing

shall be deemed to be satisfied unless BIDDER advises City in writing at or before the
expiration of the Feasibility Period that this condition has not been satisfied. In the event
BIDDER advises City that this condition has not been satisfied, BIDDER shall specify in
such notice the basis for its dissatisfaction and either provide City with an opportunity to
respond to and to commit to correct, as of the Closing Date, any areas of dissatisfaction
or advise City that it is terminating this Agreement. In the event BIDDER elects to
terminate this Agreement pursuant to this Paragraph 8, neither party shall have any
further rights or obligations hereunder.
In addition, BIDDER and its employees and
agents shall have the right from the date of this Agreement through the Closing Date to
enter the Property at all reasonable times, at BIDDER's cost and expense, to take soil,
water and other tests or studies under the provisions of this Agreement; provided,
however, BIDDER shall indemnify and hold harmless the City from and against all
claims for damages and any mechanic's or other liens or claims that may be filed or
asserted against the Property or City by any actions taken by BIDDER in connection with
the Property.
(b) Condition of Title.
(i)
Within fifteen
(15)
days of this Agreement, the City shall deliver to BIDDER
preliminary commitment (the "Title Report") for extended coverage title
insurance with respect to the Property (the "Title Policy"); provided, however that
BIDDER shall pay the difference between standard and extended coverage.
(ii)
Within thirty
(30)
days of receiving the Title Report, BIDDER shall either
approve any matters of title disclosed therein, or deliver to the City written notice
of disapproval or conditional approval. Any approved conditions shall constitute
"Permitted Exceptions." If BIDDER does not notify the City of its approval,
disapproval, or conditional approval, BIDDER shall be deemed to have approved
all matters of title shown or described in the Title Report. Within fifteen
(15)
days of receiving a notice of disapproval or conditional approval from BIDDER,
the City shall identify to BIDDER in writing which of such matters the City is
willing to cure. BIDDER shall then have fifteen
(15)
days to advise the City
whether BIDDER will accept title. If BIDDER is not willing to accept title,
BIDDER may terminate this Agreement, in which event neither party shall have
any further rights or obligations hereunder.

BID SUBMITTAL
BIDDER Description. In its BID, BIDDER shall provide the following information:

Provide Name and Addresses of BIDDER. If BIDDER is a business entity
provide names of principals, officers, members, shareholders, state of
incorporation, and principal business address, as applicable.

Explain BIDDERs interest in this Property.
Provide BIDDER's intended future use(s) and plans for the Property. BIDDERs
are encouraged to provide specific and detailed information about their intended
use(s) of the Property.

Provide an estimated timeframe for development of the property.

Inspection Period. During the Inspection Period, BIDDERs will have an opportunity to schedule
a physical inspection(s) of the Property. BIDDER's inspection of the Property may include
performing any structural, mechanical, environmental, cosmetic, or other feasibility investigation
and analysis necessary for BIDDER to perform its due diligence; provided that any intrusive
analysis of the Property and facility located thereon must be approved in advance by the City;
and not result in damage to the Property unless promptly repaired by BIDDER to the previous
condition of said Property prior to the investigation to the satisfaction of the City.
BID Submittal Date. BIDs must be submitted by the date and time specified on the Request for
BIDs page located toward the beginning of this document. BIDs submitted after this time and
date will not be considered.
Bid Submittal. An original and two copies of the BID must be delivered to the City Clerk's
Office, located in Suite

98391. BIDs must include the bid form, earnest money check, and BIDDER
description information requested above.
BIDs will be received until

Bid Validity. BIDDER will honor its BID for one hundred twenty
(120) days for acceptance by
City of Bonney Lake from the due date for BID Submittal.
Costs to Prepare Bid. The City of Bonney Lake is not liable for any costs incurred by the
BIDDER for the preparation of a BID submitted in response to this BID, for conducting any
presentations to the City, or any other activities related to responding to this BID.
Bid Revisions. In the event it becomes necessary to revise any part of this BID, an addendum
will be published on-line on the Purchasing website, and notice sent to any prospective bidders
on file.
Responsiveness. All BIDs will be reviewed by the City to determine compliance with the
requirements and instructions specified in this BID. The BIDDER is specifically notified that

failure to comply with any part of the BID may result in rejection of the BID as non- responsive.
The City of Bonney Lake reserves the right, in its sole discretion, to waive irregularities deemed
by the City of Bonney Lake to be immaterial. The final selection, if any, will be that BID which,
in the sole judgment of the City of Bonney Lake, after review of submissions and potential
interviews, best meets the requirements set forth in the BID.
City Rights And Procurement Conditions. The City reserves, holds without limitation, and may
exercise, at its sole discretion, all rights (which rights shall be exercisable by the City at its sole
discretion) available to it under applicable law, including without limitation, the following, with
or without cause and with or without notice. By responding to this BID, BIDDERs acknowledge
and consent to the following City rights and conditions:
1.
The right to cancel, withdraw, postpone or extend the BID in whole or in part at any time
without incurring any obligations or liabilities and to terminate the BID process or decide
not to select a BID for any reason whatsoever.
2.
The right to issue a new BID.
3.
The right to reject any and all submittals, responses and BIDs received at any time and to
eliminate any BIDDER that submits an incomplete or inadequate response, or is not
responsive to the requirements of this BID, or is otherwise deemed to be unqualified
during any stage of the BID process.
4.
The right to modify all schedule dates set or projected in this BID.
5.
The right to terminate evaluations of BIDs received at any time.
6.
The right to suspend and terminate the BID process at any time.
7.
The right to revise and modify, at any time prior the BID submittal date, factors it will
consider in evaluating responses to this BID and to otherwise revise its evaluation
methodology.
8.
The right to issue addenda, supplements, and modifications to this BID, including but not
limited to modifications of evaluation criteria or methodology and weighting of
evaluation criteria and to without prior notice, supplement, amend or otherwise modify
this BID, or otherwise request additional information.
9.
The right to hold meetings and conduct discussions and correspondence with one or more
of the BIDDERs responding to this BID to seek an improved understanding and
evaluation of the responses to this BID.
10. The right to seek or obtain data from any source that has the potential to improve the
understanding and evaluation of the responses to the BID, including the right to seek
clarifications from BIDDERs.
11. The right to add or delete BIDDER responsibilities from the information contained in this
BID.
12. The right to use assistance of outside technical and legal experts and consultants in the
evaluation process.
13. The right to waive deficiencies, informalities and irregularities in a BID, accept and
review a non-conforming BID or seek clarifications or supplements to a BID and to
waive any defect, technicality or any other informality or irregularity in any BID, or any
other response from BID BIDDERs.
14. To conduct investigations with respect to the qualifications and experience of each
BIDDER or BID and to request additional evidence to support any claim made in a BID.
15. To take any action affecting the BID process, or the Property that is determined to be in

the City's best interests.
Public Records. All information provided by BIDDER to the City pursuant to this BID, including
the BID, are, upon their receipt by the City, deemed the property of the City, will not be returned
to the submitting BIDDER and are subject to the Washington Public Records Act, RCW Ch.
42.17 (the "Public Records Act"). BIDDERs should familiarize themselves with the provisions
of the Public Records Act. In no event shall the City, or any of its agents, representatives,

the Property and the City will make best efforts to make this refund as soon as possible after the
BIDDERs are notified of the City's selection. The Earnest Money will not be refunded to the
BIDDER who is selected for award unless the City is unwilling or unable to finalize the sale of
the Property to the selected BIDDER due to no fault of the BIDDER, in which case the earnest
