elected directors of National Roads and Motorists’ Association Limited.

Regional Election
Candidate Information
The 2015 Board of Directors’ Election for National Roads and Motorists’
Association Limited (NRMA) is your opportunity to elect a director to the
Board for your region.
Except as indicated otherwise the candidate statements and information
on page 3 have been provided by the respective candidates and have
been published as submitted, except for minor spelling or grammatical
changes. NRMA does not make any representations as to their truth
or accuracy.
In 2010, NRMA members voted for a number of changes to the
Constitution. One of the key changes was to allow the Board to reduce
the number of NRMA Board electoral regions from nine to eight when
a director in the Greater Sydney Metropolitan Area (GSMA) resigned or
retired, with the maximum number of directors remaining at nine, thus
enabling the Board to appoint a director with specialist skills in addition
to the eight directors elected by members in the regions. With the recent
retirements from the Board of two long serving GSMA directors, the
Board commissioned a review and appointed advisers and specialists
to help it assess how best to reduce the number of regions to eight.
The new electoral regions were set out for members in the May/June
edition of the 2014 Open Road and were also published on the
mynrma website. Maps of the regions which also show the local
government areas that make up each region may be viewed at
mynrma.com.au/about/nrma-electoral-regions.htm by following
the link to the NRMA electoral regions.
In summary, as a result of the review:
‚‚ T here are now four Greater Sydney Metropolitan Areas (GSMA)
regions and four Rest of the Combined Territory regions compared
with five Metropolitan and four Rest of the Combined Territory
regions in 2011.
‚‚ The former GSMA regions of Perry and Simms were combined to
form the new region of Harbour.
‚‚ There were some other (relatively minor) adjustments to ensure
each region complies with the required measure of average regional
membership i.e. each region needs to have a similar number of
members (within +/- 10%).
‚‚ The names of all the other regions remain the same as they were
in 2011.
The GSMA regions are Cox, Harbour, Hoddle and Howe. The other
regions are Coghlan, Keele, Mann and Townsend.
The Region of Keele covers the NSW Central Coast and Hunter and
comprises the local government areas of Lake Macquarie, Gosford,
Wyong, Hawkesbury, Newcastle, Maitland and Cessnock.
Additional Disclosures: the candidate information includes the names
of the entities (other than any NRMA Group entity and any trustee
of a family trust or self managed superannuation fund under which
the candidate is a beneficiary or member) of which the candidate is a
director and a short description of the principal nature of the entity’s
business as disclosed by the candidate. If none were disclosed, the word
“Nil” appears.
Term of Office
The elected director for each region will hold office for four (4) years
commencing Saturday 5th December unless they resign or their office
becomes vacant in accordance with the Constitution.
Returning Officer
The Returning Officer for the 2015 Board of Directors’ Election is
Mr Richard Hannan, an employee of Computershare Investor Services
Pty Limited. The Returning Officer is responsible for managing the
election process, including the dispatch of information to members,
online voting and the validation and counting of votes.
Election Rules
The 2015 Board of Directors’ Election is being conducted in accordance
with the Constitution and the Election Rules determined by the Board
under rule 15.5 of the Constitution.
Method of Voting
In accordance with the Constitution, a “first past the post” method
of voting applies to this Board of Directors’ Election. This means the
successful candidate for a region will be the one who receives the
highest number of valid votes for that region.
How to Vote
A total of eight directors are to be elected.
You may submit your vote in one of two ways:
One director is to be elected for each of the eight regions. Any
current director who wishes to continue to be on the Board is
required to stand for election.

page 4 of this booklet provide full details on how to submit your vote.

and Living Well Navigator. These join the
existing services of Safer Driving Schools,
Holiday Parks, Thrifty Car Rental, travel and
community grants. This adds more value to
our legendary roadside assistance.
I have worked hard to ensure that NRMA has
a stable board which delivers good corporate
governance and strong financial results.
I believe NRMA must continue to lead in
these areas and my skills, knowledge and

Biographical Notes
Dr. Phil Rogers had a long career as an
executive at ExxonMobil Corporation. His
posts included Sydney, where he built and
managed Australia’s preeminent business
analytics group, and various locations in
Europe and the United States, where he held
executive positions in Treasury Operations
and Information Systems. During his career,
Phil, and the teams he managed, solved and
implemented solutions to a wide variety of
business problems in areas such as insurance,
transportation, cash management, capital
budgeting, forecasting, information systems,
security and control and health and safety.

Arizona State University and the University
of North Carolina. He has been teaching in
Masters of Business Administration,

PRIVACY AND INTEGRITY
The secrecy of your Postal Vote is important to us. Computershare will detach the flap containing your membership number before opening your ballot
paper envelope.
If you vote online your vote will be cast through an encrypted secure connection to the Returning Officer. In addition, your NRMA membership number will
be recorded separately from your vote; this is to ensure your voting intention is kept secret.
The fact that you participated in the election will be recorded and used by NRMA in accordance with its privacy policy. However, the way that you voted
will NOT be recorded by NRMA, except on an aggregated basis to determine the outcome of the election in your region.
