An Act to consolidate the enactments for
enabling the trustees of lands held for a
Mechanics' Institute or School of Arts, or
other institution for public instruction or
amusement, to sell, lease, and mortgage such
lands, for providing for the appointment of
new trustees, and for other matters in con­
nection therewith. [5th September, 1902.]

2. (1) T h e A c t fifty-seven V i c t o r i a n u m b e r five is h e r e b y repealed.
(2) A l l sales, leases, or m o r t g a g e s effected, all resolutions
passed or carried, all notices given or p u b l i s h e d , all consents or
a p p r o v a l s obtained, a n d all persons a p p o i n t e d or elected u n d e r t h e
provisions of t h e A c t h e r e b y repealed a n d existing, h a v i n g a n y effect,
or h o l d i n g office, as t h e case m a y be, a t t h e t i m e of t h e p a s s i n g of this
A c t , s h a l l be d e e m e d to have b e e n effected, passed, carried, given,
p u b l i s h e d , o b t a i n e d , appointed, or elected respectively h e r e u n d e r .
3 . I n t h i s A c t , unless t h e c o n t e x t or s u b j e c t - m a t t e r o t h e r w i s e
i n d i c a t e s or r e q u i r e s , —
" i n s t i t u t i o n " m e a n s M e c h a n i c s ' I n s t i t u t e , School of A r t s , of
o t h e r i n s t i t u t i o n for p u b l i c i n s t r u c t i o n or a m u s e m e n t ;
" l a n d s " m e a n s lands reserved, dedicated, g r a n t e d , or h e l d for
any institution;
" Minister " means the Minister administering the Public Instruc­
t i o n A c t of 1880, or a n y A c t in s u b s t i t u t i o n of t h e s a m e ;
" t r u s t e e " m e a n s t r u s t e e of l a n d s .
4 . N o t h i n g in t h i s A c t shall affect a n y of t h e provisions of a n y
A c t r e l a t i n g to a n y p a r t i c u l a r i n s t i t u t i o n or t h e t r u s t e e s thereof.
5. (1) A n y t r u s t e e s desiring to sell, lease, or m o r t g a g e a n y lands
or a n y p a r t thereof, m a y , b y g i v i n g f o u r t e e n days' notice b y advertise­
m e n t in t w o s e p a r a t e issues of a n e w s p a p e r c i r c u l a t i n g in t h e district
i n w h i c h s u c h l a n d s a r e situate, convene for t h e special p u r p o s e of
considering t h e desirability of s u c h sale, lease, or m o r t g a g e , a m e e t i n g
of t h e m e m b e r s of t h e i n s t i t u t i o n for w h i c h s u c h lands are reserved,
dedicated, g r a n t e d , or held.
(2) If a t s u c h m e e t i n g a resolution to t h e effect t h a t it is
desirable to sell, lease, or m o r t g a g e such lands is d u l y passed a n d carried
b y a m a j o r i t y of n o t less t h a n t h r e e - f o u r t h s of s u c h m e m b e r s present
a t such m e e t i n g , t h e t r u s t e e s m a y , b y g i v i n g fourteen days' notice as
aforesaid, c o n v e n e for t h e special p u r p o s e of confirming s u c h resolution
a second m e e t i n g of s u c h m e m b e r s .
( 3 ) S u c h second m e e t i n g shall be held n o t less t h a n one
m o n t h from t h e date of h o l d i n g t h e m e e t i n g first above m e n t i o n e d .
(1) A t s u c h second m e e t i n g s u c h resolution m a y b e confirmed
b y a resolution d u l y passed a n d carried by a m a j o r i t y of n o t less t h a n
t h r e e - f o u r t h s of s u c h m e m b e r s p r e s e n t a t s u c h second m e e t i n g .
6 . Such t r u s t e e s m a y also a p p l y to t h e M i n i s t e r on a full
s t a t e m e n t t o h i m of t h e facts r e l a t i n g to t h e proposed sale, lease, or
m o r t g a g e , for his consent t h e r e t o in writing.
7. (1) T h e M i n i s t e r m a y in a n y case give his consent, e i t h e r as
to t h e whole, or as to p a r t of a n y lands in respect of which a n y
a p p l i c a t i o n is m a d e , a n d m a y a t a n y t i m e w i t h d r a w his consent,
e i t h e r wholly or partially, or v a r y t h e t e r m s a n d conditions thereof, if
h e c a n do so w i t h o u t prejudice to t h e r i g h t s of t h i r d parties.

(2) I n t h e case of a n a p p l i c a t i o n for l e w e to sell or lease a n y
lands, t h e M i n i s t e r m a y give his c o n s e n t e i t h e r g e n e r a l l y b y a u t h o r i s i n g
t h e sale or lease of s u c h l a n d s subject to s u c h conditions, restrictions,
reservations, a n d c o v e n a n t s , a n d in s u c h m a n n e r a n d w i t h i n s u c h t i m e ,
as h e m a y t h i n k desirable, or by a p p r o v i n g of p a r t i c u l a r c o n t r a c t s of
sale or lease.
(3) I n t h e case of a n application for leave to m o r t g a g e a n y
l a n d , s u c h g e n e r a l a u t h o r i t y s h a l l n o t be given, b u t t h e t e r m s of t h e
proposed m o r t g a g e shall i n each case b e s u b m i t t e d to t h e M i n i s t e r for
approval, a n d his consent shall n o t , unless u n d e r c i r c u m s t a n c e s w h i c h
in t h e m i n u t e of approval he certifies to b e e x c e p t i o n a l , be given t o a
m o r t g a g e of a n y lands for m o r e t h a n one h a l f of t h e i r e s t i m a t e d v a l u e .
8 . (1) A f t e r t h e confirmation of s u c h resolution as aforesaid
a n d after o b t a i n i n g t h e w r i t t e n consent hereinbefore m e n t i o n e d , a n d
n o t otherwise, t h e t r u s t e e s m a y sell, lease, or m o r t g a g e t h e l a n d s , i n
r e s p e c t of w h i c h s u c h r e s o l u t i o n was passed a n d c o n s e n t given,
according to t h e t e r m s of s u c h c o n s e n t :
P r o v i d e d t h a t w h e r e t h e M i n i s t e r h a s given his consent g e n e r a l l y ,
as i n t h e n e x t p r e c e d i n g section provided, n o lands shall b e sold or
leased in p u r s u a n c e of s u c h consent, unless in each case t h e price
a g r e e d u p o n or r e n t reserved h a s been s u b m i t t e d t o a n d a p p r o v e d of
by him.
(2) A m o r t g a g e u n d e r this A c t m a y c o n t a i n a p o w e r of
sale.
9 . (1) I n a n y case in w h i c h t r u s t e e s desire to exercise t h e p o w e r s
conferred b y t h i s A c t , t h e M i n i s t e r m a y a p p o i n t some person w h o
shall have power to e x e c u t e all c o n v e y a n c e s a n d i n s t r u m e n t s , a n d do
all t h i n g s necessary to t h e d u e exercise of s u c h powers.
(2) T h e receipt of t h e p e r s o n so a p p o i n t e d shall b e a
sufficient discharge to a n y p u r c h a s e r , lessee, or m o r t g a g e e b o n a fide
p a y i n g m o n e y i n respect of a n y sale, lease, or m o r t g a g e u n d e r t h i s
Act.
1 0 . N o p u r c h a s e r , lessee, or m o r t g a g e e d e a l i n g b o n a fide w i t h
a person a p p o i n t e d u n d e r section n i n e shall b e prejudiced or affected
b y a n y omission or i r r e g u l a r i t y i n r e s p e c t of a n y of t h e m a t t e r s
prescribed by t h i s A c t .
1 1 . ( 1 ) T h e proceeds of a n y sale, lease, or m o r t g a g e u n d e r t h i s
A c t shall be h e l d b y t h e t r u s t e e s , after p a y m e n t of costs, expenses, a a d
e n c u m b r a n c e s , for t h e general purposes of t h e t r u s t , a n d shall be
i n v e s t e d or applied as t h e M i n i s t e r directs.
(2) T h e M i n i s t e r m a y direct t h a t a n y portion of t h e i n c o m e
or r e v e n u e of t h e t r u s t e e s shall be set a p a r t for p a y m e n t of i n t e r e s t on,
or t h e g r a d u a l e x t i n c t i o n of, a n y m o r t g a g e debt, a n d t h e p o r t i o n so set
a n a r t shall be invested as t h e M i n i s t e r directs.

1 2 . L a n d s conveyed to a n y person u n d e r t h e provisions of t h i s
A c t shall vest i n h i m free from all t r u s t s w h i c h affected t h e m i n t h e
h a n d s of t h e persons by w h o m or o n whose behalf t h e y w e r e conveyed.
1 3 . A n y t r u s t e e , w h e t h e r a p p o i n t e d as hereinafter provided, or
otherwise, m a y resign b y g i v i n g w r i t t e n notice to t h e Minister.
1 4 . (1) I f a n y trustee, w h e t h e r appointed' as h e r e i n a f t e r
p r o v i d e d or otherwise, resigns, or dies, or becomes b a n k r u p t or insane,
or if for a n y o t h e r reason it is n o t desirable t h a t h e should c o n t i n u e in
t h e a d m i n i s t r a t i o n of t h e t r u s t , t h e m e m b e r s of t h e i n s t i t u t i o n m a y ,
b y a r e s o l u t i o n d u l y passed a n d carried a t a m e e t i n g specially convened
for t h e p u r p o s e , of w h i c h n o t less t h a n f o u r t e e n days' n o t i c e shall be
g i v e n i n t h e m a n n e r provided i n section five, declare t h e office of s u c h
t r u s t e e v a c a n t , a n d t h e r e u p o n t h e office of s u c h t r u s t e e shall b e v a c a n t .
( 2 ) A copy of s u c h resolution shall be sent to t h e M i n i s t e r .
(3) T h e r e u p o n s u c h m e m b e r s m a y , a t a second m e e t i n g , of
w h i c h notice shall b e given as aforesaid, elect one or m o r e n e w t r u s t e e s
to fill t h e v a c a n c y so caused.
(4) If t h e M i n i s t e r approves of t h e n e w t r u s t e e or trustees
so elected, or a n y of t h e m , h e shall declare his a p p r o v a l b y notice in
the Gazette.
( 5 ) S u c h notice shall be evidence of t h e a p p o i n t m e n t of t h e
n e w t r u s t e e or t r u s t e e s so a p p r o v e d , a n d shall have t h e effect of
d i v e s t i n g t h e estate of t h e t r u s t e e whose office was so vacated as
aforesaid, a n d of v e s t i n g t h e t r u s t p r o p e r t y , t o g e t h e r w i t h all powers,
r i g h t s , a n d choses in a c t i o n r e l a t i n g t h e r e t o i n t h e n e w t r u s t e e or
t r u s t e e s so a p p r o v e d as aforesaid j o i n t l y w i t h t h e s u r v i v i n g or con­
t i n u i n g t r u s t e e or t r u s t e e s , if a n y .
