The meeting held December 7, 2010 was composed of three segments:
1. THE BOARD MEETING:
The Board Meeting was convened at 6:30 PM with Ervin Patrick and Diane Busby
present fulfilling the requirement in the by-laws of a majority quorum.
A handout was made available containing the general information to be discussed,
Board Rulings made this quarter, the changes to the “Rules and Regulations, and
Information specific to the Reserve Fund Status and the 2011 proposed Budget. This
handout was also e-mailed and/or mailed to all owners in advance of the meeting.
General information included availability of the “Windshield Parking decals” to help
identify cars owned by residents, the 2010 accomplishments, some future opportunities for
future boards, the current Owner Status and Delinquency Report, and the availability of a
new web site to help residents stay current with the association.
Board rulings involved clarification of garage ownership and use, guidelines for
community garage sales, exterior appearance, and the reclassification of 22 units previously
misclassified.
Changes to the Rules and Regulations involved clarification of the rule on external
appearance, Inclusion of the new recycling effort, and inclusion of rules implementing SB
1196 which was passed by the Florida Legislature in 2010.
Information specific to the Reserve Fund and the proposed 2011 budget involved the
proposal to move the Reserve funds into Money Market and/or Certificates of Deposit, to
change all future Reserve assessments from separate Categorized Funds to a Pooled Fund
concept, and to transfer funds collected from arrears fees to the pooled Reserve Fund.
Resolutions of the board distributed at the meeting were disposed of as follows:
1. Resolved due to increase cost of needed repairs and costs of upgrading to meet new
legal regulations the Jacuzzi will be closed and filled in.
Because of the opposition of this resolution a committee of three was appointed to
make a proposal. The committee is composed of three owners of the membership.
The proposal is due back to the Board at the December 30 Board Meeting. Any
proposal will include a special assessment which must be submitted to the members
and requiring a not less than 51% approval of the members.
2. Resolved the revisions in the Rules and Regulations as documented herein are approved
by the Board and are effective immediately.
This resolution was passed and is effective immediately
3. Resolved effective with the acceptance of the 2011 expense budget that all future
contributions to the reserve fund be accumulated as a pool amount to permit flexibility
in maintaining the items specified in the Reserve fund budget.
4. Resolved that accumulated funds resulting from the collection of Arrears COA Fees be
allocated as follows:
a. $24,000.00 will be allocated to reduce the 2011 expense budget to permit the
COA Fees for 2011 to remain in line with 2010.
b. Any remainder as specified by the Board will be allocated to the Reserve Fund,
currently significantly underfunded, to offset the need for future special
assessments.
These two resolutions as recommended by the finance committee were accepted by
the Board.
5. Approval of the 2011 proposed Budget
A revision was suggested from the floor at the 12/7 Board Meeting that the COA fee
be increased by a small increment to leave the fee the same as 2010. The only
changes over the previously submitted budget is an increase in the Reserve
Assessment of $1885.45 to help reduce our underfunding in that area and a minimal
increase in the COA fees to bring them to the same level as was assessed in 2010.
Since the members present all appeared to agree with this suggestion the board
agreed to revise the 2011 budget accordingly and resubmit it to the members. After
the statutory limit of 14 days the Board will meet again at 1:00 PM December 30th
to approve the revised budget.
ANNUAL MEETING:
Since the quorum of 33 1/3% as required by the By-Laws was not met this year, no
official association action or official membership votes were possible and previous
meeting minutes were not presented.
ELECTION OF BOARD MEMBERS FOR 2011 YEAR:
Since the By-Laws do not require a quorum of members as long as 20% of the units
participate in the vote for Board Members, the election of Board members for the
2011 year proceeded. Stephanie Holmes, Diane Busby and David Gusinski were
elected to serve on the Board of Directors.
