lWENTY-SIXTH AMENDMENT TO CONTRACT WITH STRUCTURAL ENGINEERING
ASSOCIATES, INC. FOR PROFESSIONAL SERVICES RELATED TO SURVEYING
FOR RIGHT-OF-WAY ACQUISITION AND RAIL ROAD CROSSING USE AND FOR
CONSTRUCTION SUPERVISION
On the 81h day of October, 2001, the County of El Paso, Texas ("County"), and Structural
Engineering Associates, Inc., a Texas corporation ("Consultant"), entered into a
Professional Services Contract to Provide Permitting Services, Surveying, Design,
Preparation of Plans and Specifications, Project Management, Resident Project
Representative (Inspection Services) and Materials Testing for the Fabens International
Bridge, Border Facilities and Access Roadway, ("Agreement"). The Agreement was
subsequently amended on March 25, 2002, April 22, 2002, twice on September 16,
2002, November 18, 2002, June 23, 2003, June 30, 2003, December 15, 2003, April 4,
2005, September 19, 2005, December 19, 2005, December 18, 2006, November 11,
2007 (as corrected on November 26, 2012), May 19, 2008, September 15, 2008, June
1, 2009, September 20, 2010, November 1, 2010, April 16, 2012, June 18, 2012,
November 19, 2012, November 26, 2012, January 28, 2013, June 3, 2013, April 28,
2014 and July 28, 2014. The Parties now desire to amend the Agreement again for
good and valuable consideration specified herein. All sections of the Agreement not
specifically amended shall remain in full force and effect.
CONSTRUCTION PHASE SERVICES
1. As described in the Fourth Amendment to Professional Services Agreement, a
portion of Exhibit A to the Original Contract dated October 8, 2001 was omitted
by mutual error. Along with the portion of Exhibit A attached to the original
contract the additional pages of Exhibit A attached to Amendment 4 describe the
Scope of Work amended herein.
2. Section V. Compensation and Payment of the original agreement dated the 81h
day of October, 2001, shall be amended to increase the maximum total of
reimbursable expenses permitted under the agreement by Forty Two Thousand
Sixty-six and 00/100 Dollars ($42,066.00) for a total maximum reimbursable
expense budget of Five Hundred Forty-eight Thousand Sixty-eight and 10/100
Dollars ($548,068.10).
3. Pursuant to 2G. of Exhibit A to the base contract, Structural Engineering
Associates, Inc. designed the access roadway known as FM 3380, and SEA's
employee Sidney A. Mielke, P.E. signed off on the construction drawings as a
Professional Engineer, in Texas. In this role, SEA must oversee any changes
that are made to the original design specifications of the road and determine that
the changes do not compromise the integrity of the project. SEA will make one

site visit per month for a a total of 14 months and one construction site visit per
month for 14 months. In preparation for and during construction, SEA will review
and approve revisions to drawings related to the use of TxGirders (as approved
by TxDOT) in lieu of Type IV beams originally shown in the construction plans.
SEA shall participate in substantial and final completion walks-through. SEA will
not participate in daily construction observation/inspection, materials testing,
construction administration or any other construction phase services excluded
from their proposal, attached hereto. SEA will not prepare or review of repair
details for construction error.
4. Professional Service Fees for professional engineering services and subconsultant services necessary during the construction phase of FM 3380, as
authorized by Exhibit A, Sections 2g and 4a, are amended to add the total
amount of Two Hundred Thousand Eight Hundred Eighty Seven and 36/100
Dollars ($200,887.36) are approved for the work documented below and more
specifically detailed in Attachment A hereto:

5. Pursuant to Exhibit A. Sections 2G. and 4A, of the base contract, Structural
Engineering Associates will prepare/oversee the preparation of an amendment to
the construction drawings to add fence construction to the work to be performed
by the contractor selected to construct FM 3380. Work shall include all
necessary revisions to engineering plans and the preparation of plans for a
change order.
The details of the work are more specifically detailed in
Attachment B hereto.
6. Structural Engineering Associates' total fee to perform this work is Seven
Thousand Nine Hundred Eighty and 72/100 Dollars ($7,980.72).
Revisions to Parcel 4 (Lutich) to Transfer a Portion of Land to Adjacent Landowner
7. Pursuant to Exhibit A. Section 2G. of the base contract, Structural Engineering
Associates will prepare I oversee the preparation of revised surveys and
amended construction drawings related to the transfer of a portion of Parcel 4 to
W. D. Pruitt for a widened farm road. These revisions shall include necessary
changes to the pond and the maintenance road currently shown on Parcel 4 in
the construction drawings.
It will also include the preparation of survey
documents and metes and bounds legal descriptions for the both the tract of land

to be conveyed by the County to Pruitt and the tract of land to be conveyed to
TxDOT. Work shall include the setting of any monuments, the revision of
engineering plans, and the preparation of plans for a change order. The details
of the work are more specifically detailed in Attachment C hereto.
8. Structural Engineering Associates' total fee to perform this work is Twelve
Thousand One Hundred Forty-two and 00/100 Dollars ($12,142.00).
Revisions to Parcel 8 Part 3 to Revise the ROW Acquisition Drawings for University
Land Office
9. Structural Engineering Associates will prepare I oversee the preparation of
revised surveys and amended construction drawings related to the acquisition of
a reduced portion of Parcel 8, Part 3 from University Land Office for right-of-way.
Survey documents and metes and bound legal descriptions for the tracts of land
to be purchased from University Land Office shall be finalized. Work shall
include the setting of any monuments, the revision of engineering plans, and the
preparation of plans for a change order, as necessary.
10. Structural Engineering Associates' total fee to perform this work is Thirteen
Thousand Six Hundred Nine and 36/100 Dollars ($13,609.36).
Staking of the O.T. Smith western right-of-way line to facilitate relocation of the El Paso
Electric Company overhead power lines. in advance of construction.
11. Structural Engineering Associates will oversee the field surveying to place
survey markers along the western right-of-way of 0.T. Smith Road. This staking
will provide the guidance needed for El Paso Electric Company to relocation
various overhead electric lines as needed to clear the construction for this
project. The details of the work are more specifically detailed in Attachment D
hereto.
12. Structural Engineering Associates total fee to perform this work is Five Thousand
One Hundred Seventy Six and 84/100 Dollars($ 5, 176.84).
The amount for all amendments in this contract total Two Hundred Eighty-one
Thousand Eight Hundred Sixty-two and 28/100 ($281,862.28) made up of: (1) Two
Hundred Thirty Nine Thousand Seven Hundred Ninety-Six and 28/100 Dollars
($239,796.28) for professional services and Forty Two Thousand Sixty-six and 00/100
Dollars and (2) ($42,066.00) for reimbursable expenses. Services of the Consultant's
sub-consultants (Frank X. Spencer and Associates) and will be lump sum. All other
services described in this Amendment will be billed on an hourly basis as work is
actually performed. Amounts stated in this Amendment, which will be billed on an
hourly basis are "not to exceed" amounts.
15-0703 SEA Amendment #26 - Fabens Bridge Demolition
Regardless of the date of execution, this Twenty-sixth Amendment shall be effective on
December 14, 2015 and all services shall be provided by December 31, 2018 or the end
of the construction & demolition projects, whichever is later.
IN WITNESS, the parties execute this Twenty-sixth Amendment to the Agreement on
