Mission Statement
Established in 1972, Modesto Food Distributors, Inc. is a custom poultry supplier servicing
the greater San Francisco Bay Area. We focus on individual customer needs, seeking longterm relationships that allow us to better anticipate and fulfill our customers' requirements. We
work with customers to custom-tailor their orders, and each order is given careful attention and
produced to customers' expectations. Key management staff is always available to work with our
customers, and we maintain open phone lines and flexible delivery times to further strengthen
our pledge to customer service.
Our established customer base facilitates our commitment to excellence by enabling us to stock
a wide variety of fresh and frozen poultry as well as game birds, rabbits, ducks, cheese and
other specialty products. We maintain close, personal relationships with our suppliers. Fresh
chickens are delivered to us daily. In addition, our farm fresh game birds come directly from
farmers and farmer cooperatives. While we have competitive pricing, we opt not for the quick
sell as we are more concerned with quality - we therefore do not compromise our commitment
to our customers with lower prices for inferior products. To further assist our pledge to customer
satisfaction, we consistently exceed USDA requirements by keeping our plant and equipment
modern and up-to-date, enabling us to provide the best quality products possible.

How and when do I pay for my order?
We have many different types of payment options. Some customers
like to pay for their orders on-the-spot. Other customers have applied
for credit with us, and are billed on a weekly or monthly basis. To find

Types of Ready-to-Cook Chicken
Processed chickens may be classified into one of seven different USDA defined
groups: broiler, roaster, capon, rock Cornish hen, rock Cornish fryer, hen and
rooster.
Broiler:
Roaster:
A young chicken usually 6-8 weeks old. A broiler may be
of either sex and will be tender-meated. The dressed
weight of whole birds will range from 2.85 to 4.50
pounds. Broilers are sometimes referred to as fryers.
Roasters have the same general characteristics as
broilers, except that their dressed weight will range from
4.75 to 7.50 pounds. Roasters are processed when they
are 8-12 weeks old. Roasters are generally sold as
whole birds.
Capon:
A surgically desexed male chicken. Capons are grown
to the ripe old age of 15 weeks. Dressed weights range
from 6-9 pounds. Sometimes called The Christmas Bird,
capons are meaty, flavorful, tender and highly regarded
for holiday meal celebrations. Capons are marketed as
whole birds.
Rock Cornish Hen:
The offspring of a Cornish chicken or a Cornish
chicken crossed with another breed of chicken. The
Cornish hen is a young, immature chicken, usually 5-6
weeks old, with a dressed weight of not more than 2
pounds. (Poussin)
Rock Cornish Fryer:
A cross between a purebred Cornish and a purebred
Rock Chicken. Rock Cornish Fryers are young, of either
sex, and will be tender-meated. The dressed weight will
range from 1-2 pounds.
Hen:
A mature female chicken. Chickens of this classification
are generally spent hens. Referred to as fowl, hens may
be further classified as heavy or light depending on their
breed or weight. Hens may be used for stewing, baking
or may be deboned for use in processed meats.
Rooster:
A mature male chicken with coarse skin and toughened,
dark meat. Roosters are generally spent breeders that
are deboned for use in processed meats.
Glossary
Airline Breast
Boneless skin on Breast with first wing joints attached.
Normally sold split sometimes sold skinless.
Buffalo Wing
Normally Drummette and middle joint wing separated.
Butterfly
Describes a boneless chicken breast as whole, also a chicken cut
along back to allow it to lay flat.
"Chinese Style"
Birds sold with head and feet attached.
"Frenching"
Cutting knuckle on wing joint with saw.
Gib Sets
Bag containing neck, heart, liver and gizzard.
Glove Boned
A boneless bird boned without breaking skin. Depending on
processor leg or wing bones may be left in.
Gourmet Breast
Boneless skin on breast.
Halal
Poultry certified as muslim approved.
Hofo
See Chinese style.
Hot Wing
See Buffalo Wing.
IQF
Chicken frozen in individual pieces. Very quickly, within 60 min.
Jambonette
Chicken leg with boned thigh and knucle of drumstick cut out.
"KFC"

USDA Grade
Grading is an optional service provided by the USDA Agriculture
Marketing Service. Ready-to-cook chicken may be quality graded
into one of three grades: U.S. Grade A, Grade B, or Grade C.
Factors affecting the specified grade include fleshing, conformation,
exposed flesh, and missing parts. The presence of the USDA Grade
A shield on chicken and further processed chicken products is an
indication of the highest possible quality.
USDA Inspected
The USDA Food Safety Inspection Service has been recognized as
a model for food inspection services in many countries of the
world. All U.S. chicken and chicken products offered for export
must be inspected and passed by USDA/FSIS. A U.S. Inspected
stamp on the chicken product was properly processed, has been
inspected, and is safe to eat.
WOG
Without giblets, bird sold without the neck, heart, gizzard and liver.

TERMS OF THE SALE
REPRESENTATION OF SOLVENCY - RETURN CHECK POLICY & NOTICE OF
CHANGES
The undersigned (Purchaser) agrees that all purchases made by Purchaser from Modesto Food Distributors or any of its subsidiaries
and affiliated entities (Seller) are subject to the following terms and conditions:
1. All amounts due for goods and services purchased from Seller are payable at the Seller's accounting facility from which this contract
is initiated. All obligations incurred hereunder are performable thereat. Purchaser acknowledges that such amounts are not payable in
installments, but are payable in full as stated herein.
2. All amounts due Seller are payable in 30 days, unless otherwise specified, from date of invoice of goods and services delivered. If
any amount due Seller is not paid within 42 days, then the unpaid balance will be subject to a 1% late charge.
3. In the event of any action by and between the parties to enforce the terms and conditions of this agreement of any and all rights by
and among the parties, including payment of any obligation, the prevailing party therein shall be entitled to recover actual attorney fees,
in addition to any other amounts.
4. Purchaser shall notify Seller by certified mail of any change of ownership or any information provided on this application. Purchaser
warrants to Seller that all financial information on this application is true, correct and complete in all material respect, and Purchaser
authorizes Seller to investigate all references furnished pertaining to the credit and financial responsibility of Purchaser. In the event
Purchaser fails to so notify in writing by certified mail Seller of any changes, Purchaser shall be liable for all credit extended prior to said
written notification as though no changes in fact occurred, without prejudice to Purchaser rights to proceed, additionally against any
successors.
5. The Purchaser agrees to neither order nor accept goods from Seller while Purchaser is insolvent within the meaning if Uniform
Commercial Code Section 11201(23). Every order placed, or delivery accepted, while the Purchaser is insolvent shall constitute a
written misrepresentation of solvency to the Seller within the meaning of Uniform Commercial Code Section 22702(2).
6. Purchaser expressly agrees that Seller shall not be responsible for any nonconformity as to quantity, quality or price unless noted on
the original delivery receipt at the time of delivery or unless the goods are rejected in writing within five (5) days of delivery, by certified
mail, return receipt requested, to the Seller.
7. All returned checks will be assessed at $24.00 returned item charge unless otherwise specified.

INDIVIDUAL PERSONAL GUARANTY
I, _____________________________, in consideration of your extending credit at my request to __________________________(The
Purchaser, Corporate Officer or Owner,) personally guarantee prompt payment of any obligation of the Purchaser to Modesto Food
Distributors and each of its subsidiaries and affiliated entities, whether now existing or hereinafter incurred, and I further agree to bind
myself on demand any sum which is due by the Purchaser to Seller whenever the Purchaser fails to pay same. It is understood that this
guaranty shall be an absolute, continuing guaranty for such indebtedness of the Purchaser until revoked in writing by certified mail.
I expressly waive presentment, demand, protest, notice of protest, dishonor, diligence, notice of default of nonpayment, notice of
acceptance of this guaranty, notice of the extending of any guaranteed indebtedness already hereafter contracted for by the Purchaser
hereby guaranteed, notice on any renewal or extension of indebtedness hereby guaranteed and to all renewals or extensions of
indebtedness. I further waive any right to require Seller to proceed against, or make any effort at collection of the guaranteed
indebtedness from the Purchaser of any other party liable for such indebtedness.
In the event more than one party executes this Guaranty as a guarantor, then each guarantor agrees to be jointly and severely liable for
the guaranteed indebtedness, and, all instances herein the singular shall be constructed to include the plural.
SUBROGATION. Guarantor waives any claim, right or remedy which guarantor may now have or hereafter acquire against (Debtor)
_________________ or any person primarily or contingently liable for the guaranteed obligations or that arise from the existence or
performance of Guarantor's obligation hereunder, including without limitation, any claim, remedy or right of subrogation, reimbursement,
exoneration, contribution, indemnification or participation in any claim, right or remedy of Modesto Food Distributors against
(Debtor)____________________, or any collateral security Modesto Food Distributors now has or hereafter acquires regardless of how
such claim, remedy or right arises.
