TERMS AND CONDITIONS
1.DEFINITIONS

“Customer “ means the person(s) who has ordered or been supplied with the Goods and agree to be bound by these terms
& conditions.
“Goods” means the Customer’s order for goods from the Company.
“Conditions “shall mean these Terms & Conditions unless amended in writing by a Director of the Company.
2. SALES AND PURCHASE
2.1 When the Company sells and the purchase is made by the Customer who will require to pay the price of the Goods
contained in these Conditions to the exclusion of any others.
2.2 The Conditions may only be varied in writing by a Director of the Company.
2.3 The Customer is deemed to be bound by these Conditions when seeking a quotation, placing an order or by taking
delivery of the Goods.
3. RETENTION OF TITLE
3.1 Notwithstanding the delivery of Goods , title to the Goods shall pass to the Customer only when all sums due have
been paid in full to the Company and shall be stored separately and marked accordingly.
3.2 The Customer shall maintain Insurance cover for the Goods until title in the Goods has passed to them following full
payment.
3.3 Until such time as title in the Goods has passed to the Customer from the Company who retain the right to enter the
Customer’s premises and repossess the Goods.
4. TERMS OF PAYMENT
4.1 The Customer shall pay to the Company the price of the Goods and any other charges together with any VAT at the rate
4.2 Payment may be made either by bank transfer to ASA Supply Ltd Bank Account or by Debit Card facility to ASA. In
addition ASA Supply will accept payments through most Major Credit Cards at no additional cost to the Customer.
However payment by PayPal will incur a charge of an additional 2.5% of total invoice value and 2% of total Invoice value
through payment of American Express.
5. PRICE
5.1 The price as per the pricelist is based on the costs of supply and production and may be subject to amendment.
Charges for delivery are in addition to goods supplied and will be advised in advance of processing your order.
5.2 Where no price has been requested by or quoted to the Customer or a quoted price is no longer valid , the price listed
in the Company’s published price list current at the date of delivery or collection of the order will apply.
5.3 Charges for delivery will be made in addition to the price of goods
6. FOODSTUFF ALLERGIES
ASA endeavours to provide a full ingredient list of every product that we supply and highlight any allergy information that
products purchased from us.
7. DISPLAY STANDS
7.1 Display units whenever supplied are free on loan with the strict understanding that they will be used only to supply
products supplied by the Company.
7.2 The Company will immediately retrieve any displays used for other company’s products or displays.
8. DELIVERIES

9. QUALITY
All goods supplied are warranted to be of satisfactory quality. Except as set out in these terms and conditions, all
warrantees, conditions and other terms implied by statute or common law are to the fullest extent permitted under

10. RISK
Risk of damage to , or loss of , the Goods will pass to the Customer at the earliest of:10.2 If the Carrier has been selected by the Company, the time of delivery to the place agreed;
10.3 If the Carrier has been selected by the Customer, the time of delivery to the carrier
10.4 If the Customer wrongly fails to take delivery of the Goods, the time when the Company has tendered delivery of the
Goods.
11. GENERAL
All sales are subject to these Conditions and the Company will accept no variation unless recorded in writing and signed
by a Director of the Company.
12. INSOLVENCY
If a Customer commits any act of bankruptcy or insolvency , and being a Limited Company is subject to any act of
administration then the Company will have the right to determine all remaining contracts in writing to the Customer and
all monies due to the Company will become payable immediately.
13. CONSEQUENTIAL LOSS
Liability will be limited to the contract price
14. FORCE MAJEURE
ASA will not be liable or responsible for any failure to perform, or delay in performance of any of our obligations that is
caused by events outside our reasonable control and includes any act, event ,non-happening , omission or accident
beyond our control and includes in particular (without limitation) the following;
14.1 Strikes, Lock outs or other industrial action
14.2 Civil commotion, riot , invasion, terrorist attack or threat thereof , war or threat thereof.
14.4 impossibility of the use of railways, shipping, aircraft , motor transport or other means of public or private transport.
14.5 impossibility of use of public or private telecommunications networks
14.6 the acts, decrees , legislation , regulations or restriction of any government.
15. WAIVER
The rights and solutions provided in these Conditions are cumulative and not exclusive of those rights provided by law.
16. LAW
16.1 These conditions are governed by the Laws of England under which you agree to submit to the exclusive jurisdiction
of the English Courts.
16.2 If any provision of these Conditions is prohibited by the laws of England or judged similarly, all other Conditions
remain valid.
17. The Little Candy Company is a trading name of ASA Supply Limited.
