The French company PORCHER INDUSTRIES and the Russian company Prepreg –
Advanced Composite Materials signed a preliminary shareholders' agreement on the
establishment in Russia of a facility producing textile materials made of carbon fiber.
Prior Shareholders’' Agreement, entered into force in Q4 2010. The parties intend to cooperate
to implement joint projects of mutual interest in various sectors of economics on the territory of
Eastern Europe (CIS and Baltic Republics) and Central Asia. The parties expressed their
intention to organize the production of carbon fiber textile materials in the Russian Federation, a
joint venture and operating company.
The joint venture will be registered in accordance with the laws of Cyprus. Joint stock shares of
Joint Venture Company are: 51% - PORCHER INDUSTRIES, 49% - Prepeg-ACM, which is part
of the Holding Company "Composite" and a joint project with RUSNANO.
Operating Company PORCHER COMPOSITES Russia will be founded in accordance with
Russian law and will be responsible for the development, production, promotion and sale of
textile materials made of carbon fibers, which will be used as parts production based on
composites materials for aerospace, aeronautics and other industries. Share of Joint Venture in
joint stock of PORCHER COMPOSITES Russia is 100%.
The final terms of the Project and Business Plan will be formed in the next three months.

Prepreg – Advanced Composite Materials was founded to establish in Russia a wide range of prepregs
production, attended by RUSNANO (48% of the authorized capital), CJSC HC Composite (26% of the authorized
capital) and CJSC Unihimtek-Composite (26% of the authorized capital). The project Investment volume is 3 460
