Dear Ms. Howland :
Pursuant to New Hampshire Administrative Rules, Part PUC 2003.0l(e) and 2003.02(i), Town
Square Energy, LLC ("TSE" or "Licensee") is required to inform the New Hampshire Public
Utilities Commission ("PUC") within 30 days if any information required as part of its initial or
renewal registration changes. At this time, TSE wishes to inform the PUC that there has been a
corporate change involving its parent company, Retail Energy Holdings, LLC, a Minnesota
Limited Liability Company ("REH").
On November 2, 2016, an equity purchase agreement between REH and Genie Retail Energy,
Inc. ("Genie Retail"), a subsidiary of publicly-traded Genie Energy Ltd., was consummated . A
seamless change in control has been effected and Genie Retail is now owner of 100% of REH.
TSE has thus become a second-tier subsidiary of Genie Retail.
As relates to TSE's CEPS registration in New Hampshire, there has been no change in the name
of the Licensee and TSE continues to operate with the same staff, management and systems as
it did prior to November 2, 2016.
TSE wishes to update the registration information on file with the PUC as per the following:
1. As TSE is now a second-tier subsidiary of Genie Retail, the Division can assess the
financial soundness of TSE by reviewing the public filings of Genie Energy Ltd. (NYSE:
GNE) on the Securities and Exchange Commission's EDGAR website:
