BREEDERS’ ASSOCIATION (BTBA)
TERMS AND CONDITIONS OF THE FEBRUARY 2014 MIXED-SALE
Sales are held subject to the following Conditions. Consignors, Purchasers and all who have
business shall be deemed to have full knowledge of these Conditions, and will be bound by
them.
The BTBA shall not accept responsibility for loss or damage suffered or incurred by any
person while attending this or any Sale arranged promoted or conducted through death,
disease accident or any other cause whatsoever and whether to himself, his animals or other
property.
The BTBA retains the right to prohibit the entry to the Sales Paddock (or any other part of the
premises where the sale is being conducted) of any animal which is suspected to be
suffering from any disease or infection.
“The Auctioneer” when used in these Conditions means the person who conducts the sale on
behalf of the BTBA.
"Consignor” when used in these Conditions shall mean the person, partnership or
corporation named in the Entry Form as Owner of the Lot.
The word "Purchaser" when used in these Conditions shall mean the highest bidder to whom
a Lot is knocked down subject to the provisions of paragraph 1(2) hereof, and shall include a
person who is the Consignor or a member of a Consignor Partnership.
The word “Lot" when used in these Conditions shall include horses of all descriptions offered
for sale by the BTBA, and the singular where used throughout these Conditions includes the
plural. The term “Purchase Price” included in these Conditions of Sale shall be the price at
which the Lot was knocked down in the ring.
“Sale Graduate” when used in these Conditions in the singular includes the plural and shall
mean any horse for which an “Entry Fee” was paid and which subsequently passed through
an associated BTBA sale having been sold or unsold and for which due commissions are
paid. This includes any horse sold within the immediate 7-day period following the sale for
which due commission has been received. It shall also include any horse for which an
“Eligibility Fee” was paid to allow that horse to benefit from the sale incentives without having
to physically pass through the sale.
The term BTBA Sale shall refer to any auction owned, administered and/or held by the
Barbados Thoroughbred Breeders’ Association since 2010 (inclusive). Therefore, the word
“Auction” in these terms may be used in certain instances in lieu of “Sale” (and vice versa)
when intended as a noun.
1. RESERVES, BIDDING AND PRIVATE SALES
(1) A Lot entered in the Catalogue and advertised for sale by the BTBA shall not be sold by
the owner before the auction of that Lot. Further, for any Lot sold privately within the 7 days
immediately following the date of a BTBA sale, commission on that sale shall be due and
payable by the Consignor to the BTBA as set out in Condition 4. The BTBA is not to be under
any liability for any breach of this Condition by the consignor or his agent.
(2) The highest bidder shall be the Purchaser. Should any dispute arise between two or more
bidders, the Auctioneer shall forthwith adjudicate on the dispute and the Auctioneer’s
decision shall be final and binding on all parties. At the discretion of the Auctioneer, the Lot in
dispute may be put up again for auction and resold.
(3) Bidding shall be in the currency of Barbados Dollars. No person shall advance less than
$500 up to $20,000; $1,000 up to $50,000, $2,000 up to $100,000; and $5,000 thereafter.
The BTBA, as Agent for the Consignor, reserves the following rights:-
(a) To refuse the bidding of any person without giving any reason;
(b) To bid by themselves for any Lot;
(c) To withdraw the Lot from sale at any time before it has been knocked down; and
(d) To fix a minimum price at any or all Sales.
(4) A Purchaser shall furnish his name and address to the BTBA immediately after a Lot Is
knocked down to him and is immediately liable to pay the Purchase Price. Should the
Purchaser not sign the purchase ticket as acceptance of the transaction then the BTBA may,
at its discretion, put up the Lot for Auction again and re-sell it. Interest shall be charged on
outstanding accounts not settled within 7 days of the date of the sale at the rate of 1.5% per
month. All payments shall be made in the currency of Barbados Dollars. See also Paragraph
1 (7) (b) below.
(5) A Lot shall be at the Consignor's risk while in the custody of BTBA. The BTBA shall not
be liable for loss, damage or injury, however caused to or by a Lot while in its custody and
whether by disease, accident or otherwise howsoever, and whether to the person in charge
or control of such Lot or to a Third Party.
(6) A Lot purchased shall be removed from the Consignor’s premises not later than seven (7)
days after the date of sale. Lots will not be released until payment in full is made to the
BTBA.
(7) If a Lot is purchased and not paid for as hereinbefore provided then the following
provisions shall take effect until payment is received:
(a) Title to the Lot shall not pass to the Purchaser but shall remain vested in the Consignor,
or in the BTBA should it have accounted to the Consignor for the proceeds of Sale.
(b) The BTBA shall be entitled to retain the Lot, and in respect of the period of such retention
shall have a lien over the Lot and all documents relating to it for all expenses, including
freight, incurred by it or any Agent of its in keeping, maintaining, training, treating or
otherwise dealing with the Lot during such period of retention. Such lien may also be
exercised in respect of the unpaid Purchase Price of other Lot or Lots or otherwise and
notwithstanding that such other Lot or Lots owned by the Purchaser. Such lien shall not be
lost by reason only of the fact that the Lot is kept by the BTBA, or its Agents, elsewhere than
on its own premises. A Lot shall not be delivered to a Purchaser until the expenses
mentioned have been discharged, in addition to the Purchase Price.
(c) In the event of a Lot having been removed from the BTBA sales premises then the BTBA
shall be entitled to repossess the Lot from anyone in possession of it and to retain it as
aforesaid.
(d) Should the Purchaser fail to pay for a Lot then such Lot may at any time be resold by
Public Auction or Private Treaty, and the deficiency (if any) resulting from such resale shall
immediately be made good by the defaulting Purchaser.
(e) Nothing herein contained shall preclude the BTBA or the Consignor of a Lot from
pursuing all legal remedies available to them, or either of them, for the recovering of the
Purchase Price from a defaulting Purchaser and all expenses and damages resulting from
such default.
(8) No undertaking by the BTBA, its servants or agents to take charge of a Lot previous to or
after a Sale, or to forward such Lot to a destination, shall be held to impose upon the BTBA
any legal obligation, or vitiate any of the foregoing conditions. Any person engaged to bring
and take away a Lot shall do so at the cost and risks in all respects of the owner of such Lot.
2. DESCRIPTIONS OF A LOT, SOUNDNESS AND STABLE VICES
(1) The BTBA shall not be liable for any statements made in the Catalogue or from the
Rostrum concerning a Lot listed therein for Sale, nor for any Description, Pedigree or
Warranty expressed or implied on its behalf, such information being supplied by the
Consignor who alone is responsible for its accuracy. In particular the BTBA does not warrant
that a Lot is eligible for participation in any breeder's scheme notwithstanding that a
statement to that effect or so implying may have been included in this Catalogue or made
from the Rostrum. A Lot listed in the Catalogue is sold with its Engagements, Pregnancy
Status and/or Produce Record and Pedigree details as listed therein, or announced from the
Rostrum at the time of sale, such information being as represented by the Consignor. The
BTBA will endeavour to have all Catalogue information correctly stated, but the Consignor is
responsible for the correction of any error or omission and should notify the Auctioneer prior
to the start of the sale. In the event of any dispute as to any of the foregoing matters the
Purchaser's remedy, if any, shall be against the Consignor and the Consignor's remedy shall
be against the Purchaser, and not against the BTBA who act as Agents between Consignor
and Purchaser and shall not be liable as a Party in any Action or dispute between them.
Whether a yearling or two-year-old is a Whistler and/or Roarer and has Laryngeal
Hemiplegia will be decided by a Veterinary Surgeon appointed by the Barbados
Thoroughbred Breeders’ Association.
(2) A Lot is sold as it now stands. There is no term implied in any sale that any Lot is of
sound or merchantable quality or is fit/unfit for training or for any particular purpose. The Lot
is sold subject to these Conditions of Sale and is subject to any announcements that may be
made from time to time from the Auctioneer's Rostrum, and accordingly, it is the
responsibility of all bidders to be in attendance at the commencement of the sale of a Lot to
hear any such announcements. Subject always to Condition 2(1) hereof.
Should any dispute arise between a Consignor and a Purchaser as to any of the matters
referred to in Condition 2 (2) hereof, except where the opinion of a Veterinary Surgeon
appointed by the BTBA is expressed to be final and binding, it shall be adjudicated upon by
the BTBA at such time and in such manner as it shall think fit and its decision shall be final
and binding on all Parties. All expenses and charges incurred by such adjudication shall be
borne by the Party found to be in error. The BTBA shall not be liable as a Party in any
dispute between the Consignor and Purchaser, nor in any legal action arising thereout.
(a) Any Lot which is a wind-sucker (aerophagia); has been unnerved; is an established
weaver; an established boxwalker; or has been tubed or otherwise operated on for
unsoundness in wind, and is not so described, is returnable in accordance with Condition
2(4) hereof. Any lot which is a crib-biter only is not returnable.
(b) Any Lot which is a Whistler and/or a Roarer, (being a horse which makes an abnormal
inspiratory sound when actively lunged) and in addition has Laryngeal Hemiplegia (Recurrent
Laryngeal Neuropathy) and not so described, is returnable in accordance with Condition 2(4)
hereof, except where such horse is offered for sale with a Veterinary Certificate describing
and supporting the abnormality hence the provisions of Condition 2 (2) shall apply.
(c) Any Lot which has run at any unrecognised meeting or is on the forfeit list and not so
described is returnable in accordance with Condition 2(4) hereof.
(d) Any Lot described at the time of sale as a colt and does not at such time have two testes
descended to the scrotum; or is described at the time of sale as a gelding and is at such time
a colt or rig shall be subject to return to the Consignor under Condition 2(4) hereof, except
that a warranty with respect to descended testes shall not apply to any horse offered for sale
prior to July 1st of his yearling year.
(e) Any Lot which has impaired vision or injury to the eye and is not so described is
returnable in accordance with Condition 2(4) hereof.
(f) Any Lot which proves to be a Wobbler and such fact is not disclosed at the time of the
Sale, is returnable in accordance with Condition 2 (4) hereof.
(g) Any Lot described as a yearling or two-year-old which is a Whistler and/or a Roarer
(being a horse which makes an abnormal inspiratory sound when actively lunged) and in
addition has Laryngeal Hemiplegia (Recurrent Laryngeal Neuropathy) is returnable,
provided:(i) It has not been removed from the BTBA sales premises.
(ii) Within twenty-four hours from the fall of the hammer:-
If the Veterinary Surgeon determines that the yearling or two-year-old is a Whistler and/or
Roarer he/she will then examine the horse to ascertain if it suffers from Laryngeal Hemiplegia
(Recurrent Laryngeal Neuropathy). The decision of the Veterinary Surgeon as to either or
both of these examinations shall be final and binding on the consignor and the Purchaser.
The re-examining Veterinary Surgeon may, at his discretion, defer a decision for a period of
twenty-four hours after the yearling or two-year-old has been first presented to him for
examination. Examination with a view to detecting wind defects other than Laryngeal
Hemiplegia (Recurrent Laryngeal Neuropathy) will not be included.
(3) After the fall of the hammer any Lot purchased is at the Purchaser's expense and risk,
subject to Condition 2(4).
(4) If the Purchaser of any Lot sold with a Pedigree or Description contends that it does not
correspond with such Pedigree or Description, or that it is in breach of any of the Provisions
of Paragraph 2(2) hereof, he must notify the BTBA in writing specifying the nature of the
complaint before 5.00PM on the seventh (7th) day following the day of sale. Furthermore he
must return the Lot within the aforementioned period or within the further period of seven (7)
days from the date of notification to the BTBA as aforesaid, either to the Consignor's
premises or to the premises of the nominated referee as advised by the BTBA, and in the
case of Paragraphs 2 (2) (a), (b), (d), (e) and (f) accompanied by a Veterinary Certificate. A
duplicate of the said Notice in writing and where applicable a Veterinary Certificate must also
be received by the BTBA from the Purchaser within the said time limit. In the cases where a
Veterinary Certificate is required the BTBA may have the Lot examined by a Veterinary
Surgeon appointed by it and where the opinion of the Veterinary Surgeon so appointed does
not agree with the opinion of the Purchaser's Veterinary Surgeon as expressed in his
Certificate furnished, then the opinion of the Veterinary Surgeon appointed by the BTBA shall
prevail and shall be final and binding on the parties. In the case of the said paragraphs 2 (2)
(a), (b), (d), (e) and (f) the notification to the BTBA may be given before the Lot is removed
from its premises. In all other respects the foregoing provisions of this paragraph shall remain
applicable. The fees of the Veterinary Surgeon appointed by the Barbados Thoroughbred
Breeders’ Association shall be borne by the Consignor if the Purchaser's complaint is upheld,
and by the Purchaser if it is not. Failure to return the Lot and give the Notice to the Consignor
and to the BTBA in accordance with this Condition shall be an absolute bar to any claim in
respect of any alleged error in Pedigree or Description, or any alleged breach of the said
Paragraphs 2 (2) (a), (b), (d), (e) and (f) of Condition 2(2) generally hereof, and the
Purchaser shall be bound to keep and pay for the Lot, whether or not it complies with such
Pedigree or Description or is unsound in any of the respects set out in the said Paragraphs. If
it be decided that a Lot is returnable, the Consignor shall pay to the BTBA on behalf of the
Purchaser the cost of returning the Lot from the time of adjudication and the amount of any
payment under this Condition shall be fixed by the BTBA whose decision shall be final and
binding on the parties.
(a) The Purchaser has notified the BTBA.
(b) The Purchaser's Veterinary Surgeon has lodged a certificate with the BTBA, expressing
his opinion that the weanling/yearling is a Whistler and/or Roarer.
(c) The Purchaser presents the horse to the re-examining surgeon as instructed by the
BTBA. The re-examination will be arranged by the BTBA at the Purchaser's expense.
(5) All disputes arising in connection with the interpretation of or any dispute arising
herefrom shall be referred to arbitration. The Arbitrator shall be a person appointed by the
President of the Barbados Bar Association and any arbitration shall be conducted in
accordance with the provisions of the Arbitration Act Cap.110 of the Laws of Barbados.
3. PAYMENT
Payment for all Lots shall be made to the BTBA within the seven (7) working days
immediately following the date of the Sale. Payment shall not be made by the BTBA to the
Consignor of any Lot unless the Lot is cleared by the Purchaser. Further, payment to a
Consignor or his Authorised Agent will be made within fourteen (14) working days after the
day of Sale in respect of those Lots for which payment has been received from the
Purchaser. The BTBA shall not be answerable for any deficiency which may arise on the
resale of an uncleared Lot, nor will the BTBA be responsible for the price of any Lot delivered
without a printed order.
4. COMMISSION AND FEES
For every Lot sold by Auction, or by anyone other than the BTBA on the date of the
sale; or within the stipulated 7-working-day period immediately following the date of
the sale, the following charges are payable. All sales – five percent (5%) of the sale price,
or two point five percent (2.5%) if below the reserve, is payable by the Consignor. Full
commission is to be paid by the Consignor to the BTBA in respect of any Lot returnable
and/or returned. Horses may carry a private reserve price, which is to be noted on the Entry
Form. A cheque or cash in the amount of two point five percent (2.5%) of this reserve price
should be submitted along with the form and “Entry Fee” upon entry. Failing this, ALL
commissions on reserves MUST be submitted to The Auctioneer no later than 30 minutes
prior to the scheduled start of the Sale. Failure to enter a reserve price on any Lot will allow
the Auctioneer to knock the horse down to the highest bidder. Therefore, five percent (5%
commission) will apply to any Lot which does not carry a reserve, and is either bought-back
or sold in the Sale. Except in the case where commission is due on a reserve, all
commissions on sales (or returned Lots) must be made to the BTBA with seven (7) working
days of the date of the Sale. Where a horse is knocked down for a price less than its reserve,
the 2.5% commission already paid will be deducted from the 5% commission then due, and
the difference is payable by the Owner/Consignor within the same seven (7) working-day
period applicable to all other commissions.
NB: Due commissions which are not paid on a Lot by the relevant 7-day deadline will
prevent that Lot being eligible for the proposed incentive #3 set out below. Further,
failure to pay the required commissions on a Lot within 14 working days of the date of
the sale, will prevent that Lot being deemed as a “Sale Graduate”, and make it
ineligible for the incentives set out herein.
5. ENGAGEMENTS
A Lot is sold with engagements as given in the Catalogue, Supplement to the Catalogue (if
applicable), or announced at the time of Sale. The BTBA however accepts no responsibility
for engagements given or omitted.

$1,175.00 to make their horse eligible for the $100,000.00 bonus in the Barbados
Triple Crown races; again subject to Barbados Turf Club conditions of entry to the
Barbados Triple Crown races.

The BTBA will pay additional Breeders’ (and Sires’) Premiums on all BTBA Sale
races to the breeders (and stallion owners) of successful Sale-Graduates ONLY.
The BTBA Sale races will be open to all Barbados-bred (or foaled) horses
(including non-sale-graduates). However BTBA sale-graduates will be protected
from elimination before non-sale-graduates. Further and in addition, BTBA salegraduates (both $675.00 entrants and $1,175.00 eligible horses) will be eligible for
BTBA enhanced prize money, while non-sale-graduates will only be eligible for the
Barbados Turf Club purse.
All other horses which do not comply with the BTBA conditions as set out in #1
above will still be eligible to enter the Triple Crown races but will not be eligible for
the $100,000.00 bonus.
The Barbados Turf Club elimination rules will apply in the event that there is an
excess of entries and/or declared starters in any of the Barbados Triple Crown
races.
It is further proposed that: The buyer of a Lot (weanling, yearling or two-year-old only) which was a
legitimate purchase in the BTBA sale-ring, will receive a bonus of $5,000.00
payable by the BTBA each time that purchased Lot wins an associated BTBAstaged Sale-race as above (provided that the bonus is payable only to the
original purchaser of the Lot from the said Sale). The bonus shall not be
payable if the horse was bought back by the Owner or Consignor (or on
either’s behalf) at the Sale; nor is it payable when a horse is sold within the 7day period immediately following the date of the sale.
4.
50% of the Entry or Eligibility Fee paid for a horse that subsequently dies (on or
before March 15th of his two-year-old year), will be refunded to the consignor or
owner of the subject horse (as recorded on the official entry form). This refund will
be made upon written notice by the owner, and accompanied by a completed copy
of the “Death of Thoroughbred Report Form” lodged with the Barbados Turf
Club. These documents must be received within 7 calendar days following the
horse’s death.

All sale incentives herein referred to are subject to availability of finances derived
from such sale and maybe increased, reduced or eliminated at the sole discretion
of the Barbados Thoroughbred Breeders’ Association.
BARBADOS THOROUGHBRED BREEDERS’ ASSOCIATION SALE INCENTIVES FOR
THE FEBRUARY 2014 MIXED SALE
Upon payment of a non-refundable Entry Fee of $675.00, horses (namely
weanlings, yearlings or two-year-olds only) which subsequently pass through the
sale and which are either sold or unsold in the sale will be eligible for the
$100,000.00 bonus, subject also to Barbados Turf Club conditions of entry to the
Barbados Triple Crown races. Owners and Breeders who do not wish to enter their
With the permission and concurrence of the Barbados Turf Club, the BTBA is
proposing to stage four (4) races each year for eligible Sale-Graduates (that is
horses which became such either as a weanlings, yearlings or two year olds only).
It is proposed that these FOUR (4) races will be as follows:A race for 2-year-olds;
A race for 3-year-olds in the 1st Racing Season;
Two races for 3-year-olds & Older in either the 2nd or 3rd Racing Season;

6. JURISDICTION
The law applicable to the foregoing conditions shall be that of Barbados.
THE INCENTIVES
1. The Barbados Thoroughbred Breeders’ Association proposes to offer as an
incentive for Owners and Breeders a $100,000.00 bonus to a horse which wins all
three races in the Barbados Triple Crown namely The Guineas, The Derby Trial
(Midsummer Classic) and The Derby in 2015. This incentive bonus is subject to the
annual insurance availability and the annual Barbados Turf Club permission. The
BTBA conditions governing participating into the Barbados Triple Crown
$100,000.00 incentive bonus will be as follows:-
Any weanling, yearling or two-year-old for which an Entry
Fee of $675.00, or Eligibility Fee of $1,175 is paid for a
BTBA sale, may enter a subsequent BTBA sale upon
payment of a non-refundable Entry Fee of $225.00, and may
still be eligible for the incentives as set out herein (subject
to any applicable conditions).
6. All sale incentives herein described are available to Barbados-bred (or foaled)
horses only.
