AMENDMENT NO. 20 TO
PERINATOLOGY CONSULTATION SERVICES AND OBSTETRICS CALL
COVERAGE AGREEMENT
Hospital and County hereby agree as follows:
1.
Extension of Expiration Date of Term. Section 10.1 of the Agreement is hereby amended to
extend the term of the Agreement through August 31, 2016.
2. Defined Terms. Capitalized terms used In this Amendment but not defined herein shall h ve
the meanings set forth in the Agreement. All references In the Agreement to the Agree
shall mean the Agreement, as amended by this Amendment.
3. Compensation. From and after the Amendment Effective Date, Hospital shall pay the Co nty a
fixed monthly rate of Nine Thousand Three Hundred forty-five and No/100's Dollars
($9,345.00) for the provision of Services under this Agreement. The fixed monthly rate s all
apply to Clinical Emergency Room on-call coverage for obstetrics/gynecology, set forth i the
second paragraph of Exhibit A-I.
4. Daughters of Charity Health System Name. All references to Daughters of Charity Health
System are hereby replaced with references to Verity Health System of California, Inc.
5. Ethical Principles. Policies and Practices. All references to and requirements to comply Ith
the Ethical and Religious Directives for catholic Health Care Services are hereby deleted n
their entirety.
6. Headings. The headings in this Amendment have been included solely for reference and are to
have no force or effect In interpreting Its provisions.
7. Original Signature. This Amendment and any facsimile signatures thereon shall be canst ed
as an original document, and shall constitute the required signature to bind the parties ereln.
8. Counterparts. This Amendment may be executed In counterparts, any of which need not
contain the signature of more than one party, but all of which taken together shall be 01e and
the same agreement.

9. Miscellaneous. Except to the extent specifically amended hereby, the provisions of the I
Agreement shall remain unmodified and the Agreement as amended hereby is confirme~ as
being in full force and effect.

This Amendment No. 20 (this "Amendment") to the Perinatology Consultation Services and Obstetrics
Call Coverage Agreement dated October 24, 2006, as amended, between Saint Louise Regional ~
Hospital and County of Santa Clara, a political subdivision of the State of California, through the Santa
Clara Valley Health and Hospital System (the "Agreement") Is made and entered into effective as of
March 1,2016 (the "Amendment Effective Date") by and between Saint Louise Regional Hospital, a
California nonprofit public benefit corporation ("Hospital"), and County of Santa Clara, a political
subdivision of the State of california, through the Santa Clara Valley Health and Hospital System ,
("County").
IN WITNESS WHEREOF, Hospital and County have caused this Amendment to be executed by th11r
respective duly authorized representatives effective as of the Amendment Effective Date.
