I am writing to you today to let you know about a planned merger between Eason Diving and Marine Contractors
(Eason)andMainstreamCommercialDivers,Inc.(Mainstream),scheduledtooccurattheendofthiscalendaryear.
Asyouknow,nearlythreeyearsagoIsoldmyownershipinterestinEasontoMoranEnvironmentalRecovery(MER),
andhavebeenoperatingsincethattimeasawholly-ownedentityundertheirumbrella.Thispastyear,andwithboth
my support and involvement, MER acquired Mainstream as a means to strengthen its commercial diving footprint
andcapabilities.
Mainstreamwasfoundedin1988andheadquarteredinMurray,Kentucky;itisoneofthelargestinlandcommercial
diving contractors in the Unites States. Craig Fortenbery, former owner and founder of Mainstream, is highly
regardedintheindustryandcurrentlyservesasPresidentoftheAssociationofDiveContractorsInternational(ADCI).
CraigandIhaveworkedtogetherformanyyears,andIhavetremendousrespectforbothhimandhisorganization.
MainstreamandEasoncrewshaveregularlyworkedtogetheronlargeprojectsovertheyears,sothetransitionto
becomingonecompanyisanaturalfitforus.
The planned merger of Eason into Mainstream has been a carefully thought out milestone in the process of me
stepping away from daily business operations. Craig has recently taken over the leadership role for all commercial
dive operations within both MCDI and Eason, so the transition in essence has already begun. He and his Team at
Mainstream bring tremendous experience and capabilities to our existing Eason resources, and I believe that our
opportunitytoprovideservicestoyoushouldonlygetbetterwiththismove.
Mostimportantly,Iwanttopersonallyassureyouthatweintendtomakeanytransitionasseamlessaspossible.You
willcontinuetobeservicedbythesameteamasyouhaveinthepast,andideallyyoushouldnotnoticeanychange
inhowyouraccountishandledasidefrommyregularinvolvement.AlthoughIwillnolongerbeinvolvedonaregular
basis, I am remaining associated with the organization on special projects, so I will continue to be available if
required.
IwanttothankyouforyourmanyyearsofloyaltyanduseofEasonDivingtomeetyourunderwaterneeds,andIlook
forwardtohavingourteamcontinuetherelationshipintothefuture.Overthecomingweeks,bothCraigandIwould
