By signing and returning thiss Stewardship This Steewardship Agreemeent (“Stewardship Aggreement”) is enteredd into between you (“Grower”) Agreem ment without modificaation (other than Secction A above), Synggenta grants Growerr a limited license too use the proprietary technology Bt11 (A Attribute®) and/or the Bt11 x MIR162 x GA21 sstack (Attribute® II) (eeach, a “Licensed Teechnology”) embeddded in Syngenta’s sw weet corn seed produuct or in any seed p roduct distributed byy a third party Syngeenta-licensee (collectively, “Seed Productt”). Any proposed chhanges to this Stewaardship Agreement other o than in Sectionn A are hereby rejectted by Syngenta andd shall have no effecct unless approved in writing bby Syngenta. ARDSHIP STEWA Growerr acknowledges receeipt of the applicablee Attribute® Grower Guide G (“Stewardship Guide”) which is inccorporated herein byy this reference and may be updated froom time to time and found aat http://www.syngennta-us.com/seeds/veegetables/sweet_corn/sweet_corn.aspx under u the “Insect Prootection” tab. Grow wer agrees to periodiccally check the webssite for the current Stewarddship Guide and to read r and comply with the then current Stewardship Guide. If Grower uses any LLicensed Technologgy after Syngenta’s rrelease of a new verrsion of the Stewarddship Guide or Stew wardship Agreement then Growers use shall s be deemed an acknowledgement a oof receipt and agreem ment to comply with the then current: (i) Stewardship Guide, (ii) Stew wardship Agreementt, and (iii) the terms and a conditions on thhe Seed Product pacckaging (collectively,, the “Agreement”). The collective Agreement constitutes thhe entire agreement between Grower and Syngeenta regarding the purchase p and/or use of Licensed Technoology and supersedees any other terms aand conditions whethher express or implieed. WER’S LIMITED USE E LICENSE(S). Grow wer agrees that the Licensed L Technology is protected underr one or more U.S. ppatents (the “Patentss”). Once this Stewaardship Agreement iss GROW u the applicablee Patents, to purchasse and plant sweet ccorn Seed Products containing the Licennsed Technology in signed by the Grower then the Grower is granteed the limited right, under t the terms of the entire e Agreement. G Grower agrees that aany Seed Product accquired in the Territory shall only be the Unitted States or Canadda (the “Territory”) buut strictly according to planted in the Territory. Further, Grower agreees not to plant Seed Product in the Territory which was acqu ired outside of the TTerritory. WER RESPONSIBILITIES. Grower shall: (a) use Seed Produucts solely for planting a single commerc rcial crop of fresh prooduce, forage or graain for food, feeding oor processing; (b) GROW not suppply, transfer, resell, license or sublicensse any Seed Productts to any other persoon or entity for planti ng or any other purppose; (c) not to savee any crop produced from Seed Productss for plannting by Grower or anny other person or entity; e (d) abide by thhe terms of the entiree Agreement, as it m may be updated from m time to time as desscribed above; (e) reeport to Dealer listed d above, the number of acress and the location (coounty and state) wheere the Seed Producct is planted within 445 days of planting; ((f) communicate all aapplicable stewardsship requirements and oblligations to any of itss employees and ageents with respect to handling of or work involving Seed Prodducts and/or the cropp produced from Seeed Products, and moonitor such mpliance with Groweer’s responsibilities under u the entire Agrreement; and (g) nott use or allow otherss to use Seed Produccts, the crop produced from Seed employyees’ and agents’ com mic testing or Productts, the Licensed Tecchnology or any plannt material containingg the Licensed Techhnology for: (i) crop breeding, (ii) researrch (including, withouut limitation, agronom generattion of cooperative data d against sweet corn seed not containning the Licensed Teechnology), (iii) geneeration of registratio n data or productionn of Seed Product (uunless Grower has enteredd into a valid, written production agreemeent with a licensed seed s company expreessly authorizing onee of more of these aactions). ON. This Stewardshhip Agreement, oncee signed by Grower and accepted by Syngenta, will remaain in effect until teerminated by Groweer or Syngenta. This TERM AND TERMINATIO ed Stewarddship Agreement may be terminated byy either party at anyy time for any reasonn by sending writtenn notice of terminatioon to the other partyy at the address forr such party specifie herein. In the case of term mination of this Stewaardship Agreement by Grower, such nootice of termination m must include Growerr’s full name and address. Further, Synngenta may terminatte this Agrreement for failure of o Grower to fully coomply with the Grow wer Responsibilities described d above. Iff Grower violates anny terms of this Stew wardship Agreemennt, in addition to othe er remediees available to Synggenta and any owner of the Patents listeed above, Grower may m forfeit any right tto obtain a license too the Licensed Techhnology in the futuree. If this Stewardship Agreem ment is terminated then Grower will no longer have a rigght to purchase orr use Seed Produccts, but, Grower’s oobligations (including but not limited too the above Growe er Responnsibilities) and Syngeenta’s rights that aroose under the Agreement prior to terminaation shall remain inn effect. ATIONS OF WARRA ANTIES AND REME EDIES. Grower agreees that the Limitaations of Warrantiess and Remedies exxpressly stated onn the Seed Productt packaging shall be b LIMITA incorpoorated in this section as if set forth in n full. RAL PROVISIONS. GENER This Stewardship Agreement and the parties’ relationship shall be governedd by the laws of the sstate of Minnesota aand the United Statees (other than the choice of laws rules).
