a place for everyone candidate DETAILS for the Board of Trustees Elections 2011 Dear Trust Member, As I explained in my previous letter, in September the Trust’s Annual General Meeting formally ratified adoption of the recommendations set out in the Strategic Review led by the Rt Hon George Reid. Chief among these was the establishment of a new Board of Trustees from March 2011 to replace the existing Council and Board. As was made clear in the Review, this is a vital step in our modernisation so that we can secure the Trust’s long-term future. We invited members from across the country to stand for election to the new Board and I am pleased that so many fine candidates have taken up the challenge. The decision as to who should serve as Trustees is now up to you. I urge you to take the time to read over the candidates’ details in this booklet and cast your vote. The Trustees will be responsible for representing your interests, as well as the wider interests of the Trust, as we seek to move forward in a very difficult economic period. The future conservation and protection of Scotland’s built and natural heritage depends on your choice – please exercise your right to make that choice. Professor Sir Kenneth Calman Chairman Election of the New Board of Trustees Following approval by the Trust’s Annual General Meeting of the recommendations of the Strategic Review carried out by the Rt Hon George Reid, the membership is invited to elect ten new Trustees. The new Board of Trustees will be made up of the ten Trustees elected by the membership, the President, the Chairman, and up to three further co-opted Trustees. The Board of Trustees will have responsibility for the strategic direction and management of the Trust assisted by the management team, and will report to the membership in the Annual Report and Financial Statements and at the Annual General Meeting. Nomination Process The arrangements for the election to the Board of Trustees have been guided by the recommendations of the Strategic Review report. The current Board and Council of the Trust have established a Transition Committee to oversee the transition to the new Board of Trustees. The Transition Committee has established a matrix of skills which it considers desirable to be reflected in the new Board of Trustees. In establishing the skills matrix the Transition Committee recognised that members of the Board of Trustees should reflect the breadth and depth of the Trust’s work and a wide range of perspectives. Its objective was also to ensure that the spread of individuals joining the new Board of Trustees should reflect a range of skills commensurate with the needs of a leading conservation charity with a wide portfolio of responsibilities. Finally, efforts have been made by the Transition Committee to secure a good geographical spread of candidates and diversity of gender, age and background. The members of the Transition Committee are Prof Sir Kenneth Calman (Chairman), Mr Dick Balharry (previous interim Chairman), the Duke of Buccleuch and Queensberry (President), Ms Kate Mavor (Chief Executive), Mrs Ann Packard (member of Council), Mrs Margaret Cameron (member of Council), Ms Nora Senior (member of the Board), Dr Lawrence Rolland (member of the Board), and Prof Ian Percy (member of the Strategic Review). The Transition Committee asked all candidates to complete an application form in order to demonstrate the range and level of skills which they hold. The Transition Committee then established an Election Panel to assess the candidates’ responses against the skills matrix. The members of the Election Panel were the members of the Transition Committee (other than the Duke of Buccleuch and Queensberry), Dame Barbara Kelly (Convener of the Nominations Committee), Lady Juliet Edmonstone (member of the Nominations Committee), and Prof Anthony Cohen (Independent Assessor). The Election Panel recognised that there is a strong field of candidates standing for election this year. The Election Panel has concluded that the skills of all of the candidates reflect the skills established in the Transition Committee’s skills matrix. Voting Process Profiles of the candidates are set out in the following pages. Please read the profiles carefully before deciding which ten candidates would collectively make the best contribution to the strategic direction of the Trust. There are ten vacancies and you can vote for fewer than ten candidates if you wish, but if you vote for more than ten candidates then none of your votes will be counted. Your voting form is provided along with this booklet. You may vote by completing and returning the voting form or by internet voting. Please follow the instructions on the voting form. Your vote must be received by the Independent Scrutineer by 17.00 GMT on 2 February 2011. My responsibilities included private, charitable, family and corporate Trusts, Foundations and Limited Partnerships. I was awarded membership of the Society of Trust and Estate Practitioners in recognition of my expertise in this respect. During my career, and before moving to Jersey, I spent approximately 10 years working for legal firms as a Paralegal, in charge of tax, and tax planning for Trusts and Estates. Contribution brought to the Trust: I was appointed to the NTS Board in September 2009, as a non-executive Director. It has taken me most of that year to get a reasonable understanding of the complexities of the NTS, and of the range of responsibilities involved. My past business experience speaks for itself, and I think my Board experience of the last year could usefully be carried forward onto the new Board to ensure a measure of continuity on business matters. If elected, I would wish to serve for the 2.5 year period. Proposer: Mrs Stephen Mackie Seconder: Dr Alistair Flett Knowledge/specialism: Business Acumen; Change Management; Human Resources Qualifications and experience for the role of Trustee: I have significant experience at senior level in the financial services industry and bring seasoned management, administration and commercial skills to bear in the Trustee role. My roles have ensured I have broad experience of dealing with governance and finance issues and I am accustomed to working in a results-orientated environment where personal accountability and integrity are paramount. My experience covers strategic planning and change management across an international business, including successfully leading and managing the integration of businesses following a major acquisition, as well as planning and implementation of initiatives focusing on cost reduction, and business expansion/ reorganisation. Contribution brought to the Trust: I would seek to leverage my business skills to the benefit of the Trust. In particular around strategic planning and effecting organisational change, to help rebuild the direction of the charity. I am used to working in a team and in a matrix organisation with multiple stakeholders, and bring good people skills, acumen, strong negotiation and communications skills, which will enable me to help build consensus and facilitate decision-making of the new Board. I would also bring a high level of commitment and enthusiasm to the role. Proposer: Pat McKay Seconder: David Anderson 2 Knowledge/specialism: Strategy, Organisational Planning and Review; Change Management; Volunteer Management Qualifications and experience for the role of Trustee: I have worked as a consultant and manager for various organisations and in different contexts. My work focuses on strategy and change. Both my professional work and my volunteer work have enabled me to develop relationships on international, national and local levels. Contacts include government ministers and key representatives of private and public sector organisations. As a member of many business panels and portals, and as an active ‘local’ of Loch Lomond & The Trossachs National Park, I aim to contribute to the preservation of Scotland’s heritage as well as to a sustainable future. Contribution brought to the Trust: As the Trust is entering a new stage, facing fundamental changes, it will also explore new opportunities and form new alliances. To be successful, it needs a truly integrated approach: the experience of those who have been there for so many years, integrated with new ideas and new voices. My contributions to this journey would emanate from my expertise as an experienced strategist, as well as from a relative newcomer to the Trust, providing a new voice. It would be an honour for me to take up this exciting task in support of the staff, and all the volunteers. Have visited all except Fair Isle and Unst. Have attended over 50 meetings of Council and nearly 100 of the Executive Committee. 30 years’ experience of the textile industry including Chairman of the Scottish Woollen Industry and Managing Director of Robert Noble. Master of London Livery Company (Weavers – founded in AD 1155) and still on the Board of Trustees. Trustee of the Thistle Trust since 1994 – Chairman since June 2009. Trustee of the John Buchan Museum and involved in major changes currently being planned. Session Clerk 2005–2010. Contribution brought to the Trust: To help rebuild the reputation of the Trust as Scotland’s leading conservation body. To agree the strategy and then ensure that a realistic budget is set and adhered to in order to avoid the disasters of 2007/9; a sound financial position being the vital foundation for all other activities. To ensure that proper links are maintained with major donors, including families associated with Trust properties. To encourage the further development of volunteering throughout the Trust. Proposer: Captain David Barnes Seconder: Janet Bowen Knowledge/specialism: Change Management; Business Acumen; Volunteering Qualifications and experience for the role of Trustee: As a turnaround specialist in industry, I have been responsible for the management of change. This has required a rigorous analytical approach, a willingness to listen carefully and a determination to see through the right policy. Most importantly, it has demonstrated to me that an enterprise’s vital asset is its people. Now semi-retired, I have become increasingly involved with the Trust as a Conservation Volunteer. Whilst by no means an expert on conservation, I believe this experience, combined with my background in turnaround, would enable me to make a balanced contribution to the challenges facing the Trust. Contribution brought to the Trust: I believe the combination of my corporate turnaround experience and continuing active involvement in volunteering will allow me to take a pragmatic approach to the role of Trustee. This would allow me to make a positive and constructive contribution towards meeting the expectations of the membership and satisfying the ambitions of the employed staff and volunteers within inevitable financial, operational and legal constraints. NTS membership: < 1 year Qualifications and experience for the role of Trustee: I graduated in horticulture and forestry. My first position was in Edinburgh Parks Department. During my 14 years I covered all departmental areas including management of stores and staff. To further my experience and knowledge I spent 5 years in the Civil Service Department of the Environment. My next position was with Livingston Development new town as Principal Technical and Safety Adviser, which was a very large remit covering a new town. When I retired I had a large garden to keep my hand in whilst being appointed to take charge of the local coast guard at Kyle of Lochalsh. Contribution brought to the Trust: I would seek to contribute my vast knowledge of plants and landscaping to the Trust, after 38 years of work in Edinburgh Parks Department and the Civil Service continuously, which primarily focused on all areas for public enjoyment. I feel I have a wide appreciation of how gardens and recreation areas should be managed for the enjoyment of the paying public in these challenging times. Proposer: Mr S I Hogarth Seconder: Mr & Mrs Sutherland Proposer: Claire Fletcher Seconder: Peter Coutts 3 Mr Michael Bruce Mrs Jillian Carrick Mr Michael D Cook Geographical area: Resides in Switzerland; interest in all areas of Scotland, particularly the islands Geographical area: Resides in Glasgow; interest in the west coast, Aberdeen, Aberdeenshire and Orkney Geographical area: Resides in Dumfries & Galloway; interest in all areas of Scotland NTS membership: 8 years NTS membership: 21 years Membership of other bodies: The Cranleigh Trust (a countryside preservation trust, now closed) Membership of other bodies: None stated Membership of other bodies: None stated Knowledge/specialism: Human Resources; Policy Development; Strategy, Organisational Planning and Review Qualifications and experience for the role of Trustee: International business management at a senior level in seven countries provided wide experience and a sound basis for the establishment in 1991 of the Blood Care Foundation, an English charity. As Founder and Chairman, I am responsible for all aspects of the charity’s administration including its relationship with the Charity Commission, appointment of Trustees, development of its services including clinical advice, blood and rabies treatment for people overseas in an emergency, training of staff and development of its membership base to where, currently, some five million people are able to call on the Foundation’s services in an emergency. Contribution brought to the Trust: Contacts with expatriate Scottish communities in some 28 countries have highlighted the strong ties and pride many of them share for Scotland, its heritage and history. Given the opportunity, I believe many in these communities would welcome the opportunity to support the aims and objectives of the Trust which, in turn, would help consolidate their ties to their homeland. I should be pleased to use my experience to assist the various membership drives being made by the Trust to tap this potentially rich source of new members, thereby helping to strengthen its financial situation. Proposer: Margaret Anderson Seconder: Peter Tulloch 4 Knowledge/specialism: Learning, Outreach and Access; Volunteering; Strategy, Organisational Planning and Review Qualifications and experience for the role of Trustee: As a graduate from the Royal Scottish Academy of Music and Drama I have experience of the arts and their potential impact upon the National Trust for Scotland and would use my influence to maximise the potential. I have postgraduate qualifications from Glasgow University – Arts in Education, and the University of Strathclyde – Management in Education. My experience with festivals and largescale events would support the Trust in developing opportunities that these provide, bringing great benefit to the Trust and the nation as a whole. Contribution brought to the Trust: With extensive experience and contacts within the creative industries, and latterly the experience and skills from my role within education as a teacher and education manager, I would be able to advise the Trust. I strongly believe that sharing the story of the past is an important part of a child’s development and education, and I have the assessment experience to make knowledgeable judgements on educational programmes. Young people are important to all organisations, and in particular to the NTS, and if not informed in their early stages of development the future for the preservation of our heritage would suffer. Proposer: John Baird Seconder: Jennifer McLachlan NTS membership: 40 years Knowledge/specialism: Change Management; Strategy, Organisational Planning and Review; Policy Development Qualifications and experience for the role of Trustee: Wide experience as Director of Finance (qualified CA) since 1973 and Chief Executive since 1985 in health services, academia and the charity sector working with Boards to clarify objectives, introduce strategic and operational planning, improve financial performance and monitor and control delivery. Won ‘Best Health Board in Scotland’ awarded by The Sunday Times and Minister of Health for patient satisfaction, quality of care, staff relations and quality of management. Reorganised and simplified management structures to achieve specified objectives, e.g. for the management of 100+ buildings, 15 catering outlets, 10 gardens (one of 80 acres) and a budget of £300 million. Contribution brought to the Trust: Working with the Chair, fellow Board members and the management team, I would hope to assist in the setting of objectives, agreeing plans and setting and monitoring delivery of performance incorporating initially those concerns highlighted by the Strategic Review. This is an exciting opportunity but must be backed by robust, supportive financial management, clear assessments of affordability and improved but appropriate fundraising. Given my extensive experience in simplifying governance and improving service delivery across similar organisations, I would seek to improve accountability at all levels to the Board and ultimately to all the members of the NTS. Proposer: William Boone Seconder: Claire MacLeod Mrs Lindsay Crofts Sir Peter Erskine Mr Gregor Alexander Ewing Geographical area: Resides in Edinburgh; interest in south-east and south-west Scotland Geographical area: Resides in eastern Lowlands; interest in all areas of Scotland Geographical area: Resides in Falkirk; interest in central Scotland and Lochaber NTS membership: 31 years NTS membership: 6 years NTS membership: 16 years Membership of other bodies: Art Fund; Rare Breed Survival Trust; Soil Association; and others Membership of other bodies: None stated Membership of other bodies: Secretary and Treasurer of Duddingston Village Conservation Society; Plantlife International Knowledge/specialism: Policy Development; Legal and Governance; Strategy Qualifications and experience for the role of Trustee: Direct experience of statutory, organisational and people aspects of Trusts as Secretary of OSCR registered charity. Direct experience of working with all relevant stakeholders locally and nationally. Direct experience of what makes communities tick: NTS is extremely weak on this front and I can show how to build bridges. Relevant top level experience of strategy development, policy development and implementation, legislative development, financial management, and staff management in Scottish Government. My knowledge of the actual working of central and devolved government, NDPBs and charity boards will be immensely valuable. I have abundant common sense, good judgement, focus and commitment. Contribution brought to the Trust: The Reid Review, with focus on the need for a clear strategy and supporting policies, is the future framework. I will ensure it is not sidelined; ensure much-needed changes in culture and approach are implemented; ensure that improving the financial position of the Trust and the importance of a clear properties strategy are paramount; and ensure that the community of interests the Trust serves – members, local communities, specialists and financial guardians – is kept firmly in view in all decisions. I am recognised as having sound judgement, a clear view of priorities, and a consistent approach to delivery of solutions. Knowledge/specialism: Buildings; Countryside and Land Management; Cultural Heritage Qualifications and experience for the role of Trustee: Our diversified vision for the estate from the early 80s is now bearing fruit. We now employ more people than in the 1960s. The house is established as an excellent accommodation supplier – Cambo House on www.tripadvisor.co.uk – motivating us to keep the estate in as good a condition as possible. The gardens and golf course are of international renown. The relationships we have developed with our golf course, our charity and our prospective distillery tenants, contract farmers and many others uniquely qualify me to contribute to similar properties throughout Scotland – particularly in attracting incoming capital without loss of control. Contribution brought to the Trust: The combination of first-hand experience in such a wide range of commercial rural activities, some of which attracting outside capital, the custodianship of many listed building plus the family collection, combined with the ability to think outside the box and then make it happen will allow me to contribute greatly to shaping and managing strategies for the future prosperity of the NTS. How many other estates are adding over six figures to their annual income from their woodland weeds? Please see the website at www. camboestate.com for our full range of activities. Knowledge/specialism: Business Acumen; Change Management; Cultural Heritage Qualifications and experience for the role of Trustee: As a successful business person I wish to devote some of my time to helping the Trust achieve its goals of conserving and promoting Scotland’s heritage. My extensive business and charitable experience gained over the last 18 years, backed by my academic background, gives me an ideal grounding to help the Trust find solutions to its current problems. My keen interest in Scotland’s history and heritage allows me to give balance between calculated business decisions and compassion for conserving for future generations. At almost 40 years old I feel that I have the perfect blend of youth and experience. Contribution brought to the Trust: I will provide creative thinking skills, knowledge and enthusiasm for Scotland’s heritage to assist the National Trust for Scotland in creating a new mission statement. As part of the Board of Trustees I will utilise my business experience, planning skills and proven decision-making ability to produce a 5 year plan. I will help to make it happen, providing drive, determination and leadership to ensure that the Trust delivers on its promises. Finally, I will uphold the core values of protecting and promoting Scotland’s heritage. Contribution brought to the Trust: I have strong and varied ability, knowledge and experience. I would bring a combination of entrepreneurship, conservation knowledge and experience, practical construction ability and farm and estate management to revitalising Trust properties and income to their former glory. I am a gardener, farmer, historian, restoration builder and businessman with strong, proven commercial experience. I believe firmly in protecting, enhancing and bringing to a wider audience the importance of the built heritage of Scotland. Whilst having strong views, I understand from my political and commercial experience that compromise, diplomacy and a deal of pragmatism are sometimes necessary to achieve your aims. Proposer: Pamela Burney Seconder: Ann McMillan 6 Qualifications and experience for the role of Trustee: I have a wide experience over five decades in private business as a Chartered Surveyor within the construction industry. This has been gained through appointments from private clients, local and central governments, hospital boards and charitable organisations etc, for a wide variety of commissions. However I have also, over the years, been involved with organisations on a voluntary basis, giving me experience of a different kind. Overall, therefore, I feel that I could bring this experience to bear on many aspects of the Trust’s activities. I have always relished working as part of a team. Contribution brought to the Trust: I would endeavour to bring to the Trust my experience in business generally and, more specifically, a pragmatic approach to issues mainly concerning land, property and construction. Having been part of other organisations, not as large, but facing similar challenges, I would be able to contribute to the ongoing debates. Knowing a little of the past problems of the Trust and being aware of the aspirations it has for the future, I feel that I could, with others, assist the Trust in achieving the goals being set. Proposer: David Atkinson Seconder: David Chouman Qualifications and experience for the role of Trustee: As a Solicitor and Procurator Fiscal to the Lyon Court I understand many areas of the law which would be relevant to the role of the Trustee of the Trust (eg employment law, governance and regulatory issues, health and safety law, the Law of Arms (heraldry)). I understand civic responsibility by virtue of my board membership of a local charity and from serving as a Burgess of the City of Aberdeen. Finally, I am passionate about preserving and promoting Scotland’s history and culture derived from my strong academic background and my active involvement with Scotland’s heritage. Contribution brought to the Trust: I believe that I have the talent, experience and ability to take responsibility for the management of a complex organisation. I will contribute my professional experience and knowledge of Scots law, history and culture to facilitate the process of managing the change that the Trust must undergo to ensure its long-term prosperity. My experience of working in the private sector may also be relevant in change management and the streamlining of the Trust, which is essential in overcoming the current over-governance and gridlock. Contribution brought to the Trust: I can make a significant contribution to the Board of Trustees, particularly in the area of developing communications and especially with our members who are central to the Trust and as such have a right to be kept fully involved. In addition, I would wish to contribute to developing fully the potential of our property portfolio to express Scotland’s heritage. Through my work in the West region I have many examples of how the assets of our properties can be developed. Were I not elected, my commitment to the Trust through the West Advisory Panel would be undiminished. Proposer: Keith Griffiths Seconder: Jean Charsley Membership of other bodies: John Muir Trust (Director/Trustee from 2001–2008); Scottish Rights of Way & Access Society (current Director/Trustee); Royal Scottish Geographical Society (Edinburgh branch Committee Member); and others Knowledge/specialism: Legal and Governance; Financial Management and Investment Experience; Strategy, Organisational Planning and Review Qualifications and experience for the role of Trustee: I am a retired solicitor aged 54, and have served on NTS Council since 2006, NTS Audit Committee since 2007, and NTS East Group Advisory Panel since 2010. For 7 years to 2008 I was the Honorary Treasurer of the John Muir Trust, and I am a Trustee of Scotways. I have experience in management (particularly financial management) and governance of both charities and businesses. I supported the recent Reid Review process, and took part as consultee and Issues Group member. My involvement (sometimes constructively critical) with NTS has given me a detailed understanding of the issues NTS faces. Contribution brought to the Trust: I believe passionately that NTS must see itself and act as Scotland’s leading conservation charity, not primarily a multisite visitor attraction business. I would help ensure that NTS Trustees take the lead in developing (with members, staff and volunteers) a realistic long-term strategy giving a shared view of what NTS should be, and on which we can together build a sound and vibrant future for an NTS which benefits wider society. I would also help ensure that Trustees build and steward NTS resources, make sure issues are faced and not ducked, and where possible consult on issues before decision. Proposer: Professor David Green Seconder: T A Cameron CB NTS membership: 39 years Knowledge/specialism: Architecture; Buildings; Conservation Planning and Management Qualifications and experience for the role of Trustee: For 40+ years I have had my own private architectural practice, employing up to 18 people. Although I have designed several modern buildings, (eg the Traverse Theatre), my passion has always been with old buildings, particularly Scotland’s heritage buildings. For many years I was involved with the Georgian Society (AHSS) and I became a Life Member of the Trust whilst I was a student. I am an advanced level RIAS Conservation Architect and have personally (and on behalf of clients) been instrumental in rescuing several buildings of national importance from dereliction. I have owned and restored several A-listed buildings. Contribution brought to the Trust: Having been a member of the Trust all my adult life, it has concerned me to observe the direction it has taken and some of the policies it has recently pursued. I have become increasingly anxious regarding the neglect of some of the buildings in the Trust’s care, the policies being promoted for their regeneration and diversification into larger visitor centres. My main interest has been with buildings and gardens, and I have devoted my professional life to conserving the historic fabric of Scotland. I would like to promote the traditional values on which the Trust was originally founded. I have long been involved in volunteering – organising groups, volunteering myself and using my public profile to publicise the excellent work of volunteer organisations. I have worked tirelessly to support the causes of the environment, education and volunteering in the Scottish Parliament. I believe my experience would be a valuable addition to the work of the Trustees. I am a good team member and will do all I can to facilitate their work. Contribution brought to the Trust: I leave Parliament in April and will be free to focus my passion and expertise in support of the NTS and the work of the Trustees. I will use my knowledge of the workings of government in Scotland to aid the NTS as it moves into a new and challenging era. I have connections at all levels in environmental, conservation and education bodies throughout Scotland. I am known for my ability to enthuse and motivate and I would love to be given the chance to engage with members, volunteers, staff and the public to win support for our vital work. I worked in a major accounting firm for 20 years becoming a consulting and then auditing partner. I left the profession and worked in senior management for 20 years for a number of companies and trusts. A number were in trouble, not always financial, for which I had to find solutions. I am experienced in helping enterprises in difficulty emerge in a viable state. I was a member of the Investment Committee of the NTS for 8 years. Contribution brought to the Trust: I have 20 years’ experience in assisting enterprises of many types, which have found themselves in financial straits, to overcome their circumstances. In my experience, the painful and difficult process of cutting the coat to fit the cloth is susceptible to intelligent and imaginative solutions which can minimise the resulting potential damage to the reputation and health of the enterprise. I wish to use my experience to assist the NTS emerge with the least disruption from the present situation. Regular lecturer in a wide range of social history and decorative arts topics, leading art and cultural tours in Scotland. Currently southern Scotland co-ordinator cataloguing all oil paintings in public ownership for the Public Catalogue Foundation. Contribution brought to the Trust: I will ensure that George Reid’s challenging vision for the Trust’s future is fulfilled. I will combine a fresh objective, my passion for the preservation and conservation of Scotland’s natural and historic heritage and my enthusiasm, energy and expertise in various spheres, including my background in curatorial conservation, fundraising, educational, committee work and lecturing, to achieve this. I support decentralisation to the regions to encourage the invaluable pride in local properties. I will work towards a clear focus on the core values and financially achievable operating goals of the Trust and will ensure transparent and clear communication with the membership. I both supported the process and learnt from the experience, in particular the importance of creating a clear distinction between the roles of governance and management, whilst simultaneously building a partnership between trustees, staff and members based on transparency and trust. Other committee experience includes the National Access Forum, the Scottish Countryside Access Network and Glasgow & Clyde Valley Greenspace Trust. Contribution brought to the Trust: First and foremost I am keen to contribute my governance experience to the implementation of the Review recommendations and in particular to the development of a strategic plan and effective risk management procedures. In the longer term I would like to help the Trust develop a broader funding base, in particular by exploring opportunities for strategic delivery partnerships, and by growing the membership through enhancement of the Trust’s relevance to the broadest possible section of society. Should it prove useful, I would also put my specialist knowledge of outdoor access management at the organisation’s disposal. Knowledge/specialism: Financial Management; Legal and Governance; Human Resources Qualifications and experience for the role of Trustee: Experience in the public sector in England as a senior auditor working for the Audit Commission covering: review of financial systems’ controls with liaison with internal audit; review of management arrangements for income generation, managing change, governance, strategic planning and obtaining value for money; liaison with senior local and health authority staff/ members; presentation of reports to full Council/Board/Audit Committees; assisted in writing an audit manual for Polish auditors, complying with international standards; and experience in setting targets for staff, performing appraisals, and identifying development needs. I was also seconded to the personnel department. Contribution brought to the Trust: I would expect to use my experience to challenge the leadership team in a number of areas, such as asset management, income generation, strategic planning, and staff management, with particular emphasis on value for money. I would not be afraid to ask the difficult questions, such as ‘Do we need to do this?’. I would wish to ensure we get value for money from the internal auditors and that any recommendations made are actioned, where these are feasible and cost-effective. I feel that I would be of most use as a member of the Audit Committee, given my background. Proposer: Isobel MacQueen Seconder: Lilian Murray NTS membership: 2 years Membership of other bodies: National Trust (England) Knowledge/specialism: Nature Conservation; Countryside and Land Management; Conservation Planning and Management Qualifications and experience for the role of Trustee: I recently retired as Professor of Zoology at Glasgow University, where I now hold an honorary research post. Honorary Keeper for the Hunterian Museum & Art Gallery, one of the top five public museums in Scotland, and actively involved in the work of the museum. Currently a member of the Board and Council of the NTS, and have also served as trustee for other charities, including the RSPB, Royal Zoological Society of Scotland, Zoological Society of London and on the Scientific Advisory Committees of RSPB, NCC, SNH and other organisations involved in the management and interpretation of wildlife reserves. Contribution brought to the Trust: The Trust faces a challenging and exciting future, and the new Board must make sensible, collective decisions. So whilst I would not aim to disproportionately influence any policy areas, I would hope that two aspects of my past experience might be useful. Having recently retired from a university career I think education must be a central aspect of the Trust’s work. And whilst the Trust is usually associated with properties of historic and cultural importance, it also holds many sites of international importance for biodiversity conservation. I would hope to contribute to policy that enhances and promotes this wildlife inheritance. I have a university degree in Politics, professional qualification as a Solicitor and business qualification in Business Management from Cranfield University. I have been involved as a trustee in several organisations over many years and have chaired several organisations. I am by preference a conciliator but also a leader. Contribution brought to the Trust: It would be really great to be able to contribute to the Board of Trustees at the start of their activities. This would allow me to contribute both my ability to help achieve a consensus but also to contribute in my major areas of knowledge. I suspect these will all be at the centre of the Board’s attention as it begins its work. In particular it is inevitable that my business acumen, my knowledge of legal work and governance matters and my fascination with Scotland’s cultural heritage will be at the centre of the Board’s attention. Proposer: James Stewart Seconder: Miranda Harper Qualifications and experience for the role of Trustee: I am disciplined in business matters and have a Masters in Business Management. I have successfully operated companies. I have been and am currently a trustee with other organisations. I believe that my contribution to Trust matters will add value and I am prepared to devote a considerable amount of effort into seeing the Trust through its current difficulties as I have no personal agenda other than that I firmly believe in caring and conserving for the nation. Contribution brought to the Trust: After 5 years on Council and 1 year on the Board I understand most of the issues currently facing the Trust. I have the experience to guide management bearing in mind the competing pressures of maintaining the diverse portfolio, for the future, but always being fully aware of the financial constraints on the organisation. Governance being a big issue it will be a considerable challenge to balance the issues of a membership organisation, alongside the aspirations of a team of very creative and talented staff. I will support and challenge the senior management team as well as motivating them. I have worked in fund management, industry and with the Financial Services Authority. I qualified in 1965. My speciality is in financial management and I have helped several companies through very difficult times in terms of cost control, financial discipline and restructuring. I could bring my experience and put it to good use in the Trust. I have also spent 24 years in voluntary work for sports clubs. Contribution brought to the Trust: I would like to see very tight cost control with efficient use of what money the Trust has. I would also install a sound and continuous investment approach in what assets the Trust has and I think greater use could be made of the Trust’s assets. I do not like to hear of the selling off of Trust property. Could some of these properties not make better use of the land and therefore make more money? I have a working knowledge of the Trust through 3 years on the Board. Also been involved in selection panels for new Chief Executive and new Chairman. Contribution brought to the Trust: My main contribution would be to support the management team in the development of a sustainable financial model to enable the Trust to meet its heritage and conservation goals and commitments. Though much work has been done in this regard, it is crucial to re-examine in the current and projected economic climate the Trust’s activities and commitments on the one hand and the resources available and to seek to broaden these resources through innovative partnerships, local initiatives and where possible by national collaborations in the national heritage sector. Proposer: Frank Hitchman Seconder: W Shields Henderson Qualifications and experience for the role of Trustee: I have put my ratings in as best I could and profess no special expertise above that stated, but I know (I believe) the extent of what needs to be done. Apart from my degree, I have spent my professional life persuading and succeeding to persuade businesses (and individuals) to live within their means, and be optimally profitable, regarding this, as I have stated, to be my main task, and have (again I believe) set a good example, establishing and running my business and acquiring the property, without indebtedness, successfully, for 27 years. Contribution brought to the Trust: I know how to get things done. We’ve got to be ready for shock treatment. I’ve no time for the small print and interminable argument. No sacred cows. I know how to delegate, and, relatively new, have little baggage and am forward looking. As a taxation advocate I know how to get to the heart of the matter and achieve results. Policies have to be adopted which are practical. In summary, I believe this approach is needed and I am prepared to dedicate myself to converting the Trust to a viable, efficient and happy organisation. Proposer: J B Stevenson Seconder: Brian Murdoch Qualifications and experience for the role of Trustee: I understand the challenges facing a large public service organisation with complex objectives, a variety of stakeholders and the need to make maximise resources. During my career with the BBC, as programme maker and manager, I helped develop strategies, leadership programmes and performance reviews. I managed radical change in technology, ways of working and organisational structure. I learned the importance of communicating with staff, contributors and audiences and to consult in a timely way, as we embraced the need for change. I have been privileged to work with people who have a passion for Scotland and would do so again. Contribution brought to the Trust: We need a national conservation organisation with a clear sense of purpose and the wherewithal to fulfil it. I would be energetic, creative and analytical in the search for the required strategy. Greater co-operation with other agencies and communities may be one way ahead. The Trust must be clear on respective rights and responsibilities to maximise resources afforded by these partnerships. I would look for realistic and harmonious solutions, having consideration for existing internal circumstances. In this and every policy decision, I would do my best to support those involved in the ensuing work and be diligent in monitoring outcomes. Very keen on conservation and also cutting down on useless waste. Proposer: Carol Dryside Seconder: Clara Wormsley Knowledge/specialism: Legal and Governance; Property and Financial Management; Building Conservation and Development Qualifications and experience for the role of Trustee: As a Chartered Surveyor trained in land management I focus on achieving budgets and programmes, particularly in managing projects and meeting targets within management plans. I retain a keen interest in conservation and use of renewable energy. I understand buildings, sustainable maintenance practices, and am experienced in conversion and re-development of vernacular buildings, large and small, maximising economic benefits. As a Board member and Chairman of trusts and companies I appreciate the challenges and responsibilities of a Trustee. I am fit and energetic. Contribution brought to the Trust: While determined to contribute in planning a robust management strategy for the Trust’s next 25 years, I retain a relevant corporate memory from a long involvement of the Trust based on values and quality. I anticipate the NTS being a catalyst in leading and forging conservation which safeguards Scotland’s cultural and natural heritage through enterprise and scholarship, so attracting people of all ages, backgrounds and skills to actively support the NTS as a global exemplar. I am a good communicator and advocate for Scotland’s landscape, recently opposing new transmission pylons. I care for and about the NTS. Proposer: Mrs A D Cairncross Seconder: David Cowling 12 Knowledge/specialism: Business Acumen; Change Management; Legal and Governance Qualifications and experience for the role of Trustee: Key challenges include the implementation of new governance arrangements and the need for greater partnership working and for new funding structures. I held senior legal positions at Scottish Enterprise for 20 years, including Acting Director Legal and Board Secretary. Following Nolan recommendations, I wrote Board papers on Code of Corporate Governance and conflicts of interest. I provided commercial, compliance and legal advice on many high profile and challenging projects, including visitor attraction projects, and often as joint ventures with other public bodies and with the private sector. Relevant issues covered included innovative funding models, charity law, state aid and procurement. Contribution brought to the Trust: I would apply relevant experience and expertise outlined above to provide strategic direction, guidance and challenge to the leadership team and to the Secretary. In particular, I would seek to ensure, first, that an appropriate strategic framework and robust corporate governance and appraisal and approval procedures are put in place to inform decision-making at every level of the Trust; and, second, that all funding opportunities are fully explored with organisations which may have overlapping objectives with the core Trust principles of conservation, access, enjoyment and education. I would offer enthusiasm, energy and commitment to serve this great organisation. Qualifications and experience for the role of Trustee: I have been a Trustee and non-executive Director of a number of organisations, most of which have been charities or not for profit organisations including NTS, Scran, and the Society of Antiquaries of London. I was Chair of the Institute for Archaeologists and I am currently Vice-Chair of the Archaeology Data Service. I am also, with my chairman, responsible for ensuring my own Trustees at RCAHMS understand and carry out their duties properly. The majority of my career has been spent in local government museums – Archaeology Technician then Folk Life Assistant in Leeds; Folk Life Assistant in Gloucester; Education Assistant and Administrator in York; Depute Director in Paisley and finally Director of the Paxton Trust from whence I retired at 65 last December. Contribution brought to the Trust: My experience of management for change will be essential for the next few years whilst the Trust attains its new status of efficiency, financial soundness and staff satisfaction. In doing so, the care of the collections, buildings and landscapes will be of great importance, and involving the staff at every level. Proposer: Fiona Margaret McCulloch Seconder: Janet Isabel Gillespie Contribution brought to the Trust: I would use my experience, knowledge and open approach to charity governance to help the Board to: set high standards at all our properties, as fundamental both to our charitable aims and as a basis for influencing others; rebuild the Trust’s conservation expertise; set a framework within which the Trust can ‘go local’, making the most of the enthusiasm, expertise and fundraising capacity of property managers, local members and other potential supporters; and support the required changes in both organisation and attitudes. NTS membership: 10 years Contribution brought to the Trust: I fully support the new vision and the way forward outlined in the Reid Review, and believe that my organisational experience at senior level would contribute to forward thinking and planning. I would aim to bring continuity without transferring the baggage from the past. My experience in the heritage sector allows me to have an overview of the issues that are at the heart of NTS and through this I should be able to support the new Board in ensuring that the conservation principles remain at the heart of the Trust whilst remaining pragmatic and realistic about the future. Contribution brought to the Trust: As a Landscape Architect I can provide a balanced, pragmatic assessment of the requirements of access, nature conservation, biodiversity, agriculture, forestry, garden and the aesthetic aspects of the NTS properties. My contribution would, I believe, help to provide balance to the built environment and financial considerations required. As I work part time I have time and enthusiasm to meet the challenges that the new Board of Trustees will encounter in the forthcoming years. I will bring a visitor’s experience of overseas National Trust properties and other gardens in Australia, New Zealand, South Africa and other countries that I have visited. Proposer: Colin Ross Seconder: Francis McNeill 14 Knowledge/specialism: Strategy, Organisational Planning and Review; Marketing, PR and Communications; Change Management Qualifications and experience for the role of Trustee: The recent review highlights the need for change within NTS. I believe I have relevant qualifications and experience to achieve that change whilst ensuring its core values are retained. Specifically I have an MBA specialising in corporate strategy; I have considerable experience from major UK companies; I have developed and implemented corporate strategy and I have run my own business. On a community level, I have been Chair and Vice-Chair of primary and secondary school boards and have been actively involved in the transition from school boards to parent councils. Contribution brought to the Trust: I love Scotland’s ancient buildings and wide open spaces, but without dynamic management they could be lost to the nation. As a Trustee, I would seek to use my business acumen to create a vibrant NTS fit for the 21st century. One of the contributions I feel I can make is to transfer knowledge, skills and experience; for example, while working for a major Scottish company which had a strong heritage but which was struggling to go forward, I developed and implemented a strategy which retained its heritage but made it relevant to today. Proposer: Joan Cunningham Seconder: Chris Howther NTS membership: 3 years Qualifications and experience for the role of Trustee: I grew up in a conservation-minded family. As a 27-year-old I have recent experience of being a younger member of the Trust! I also have a 1st class degree in Business and French (St Andrews) plus a 2:1 in Financial Services (Manchester). I am an Associate of the Chartered Institute of Bankers. For the past 5 years I have worked for HSBC Bank, supporting business of all sizes. I understand and can help to solve the challenges we face at the Trust. So I bring professional knowledge and a fresh new outlook to the role of Trustee. Contribution brought to the Trust: I would: be a passionate, dynamic advocate of the Trust; promote a committed but sustainable approach to conservation; seek new, creative ways to develop the Trust for future generations; and ensure a diverse, thriving membership; apply my commercial and financial experience to help govern the Trust more effectively, and maximise its potential; respect and support, but also challenge and stretch, the leadership team; and promise to foster an open, collaborative and can-do relationship with our members. Electing me would help us build a stronger, more capable, more dynamic Trust – a world class custodian for Scotland’s natural and cultural heritage. A sense of purpose can only come from a clearly defined strategy which identifies courses of action for the achievement of core conservation objectives. My experience as a planner in public and private sectors in Scotland since 1975 has provided knowledge in areas of key importance for the Trust. Specialist knowledge both contributes to achieving objectives and is itself shaped by constraints and ambitions. Strategic action coupled with local delivery lies at the heart of the planning process. I think my experience is relevant at a time of great challenge and opportunity for the Trust. Contribution brought to the Trust: I hope to be one of a group of people who, from different perspectives, focus on NTS and its development over the next period. Not a specialist, but having knowledge which comes through working with practitioners at the top of their fields, I would hope to bring to bear a crossdisciplinary approach which is crucial for strategic thinking and the sense of purpose and impulse which this can generate. The important questions must be identified and addressed. The Strategic Review sets the scene for a challenging and exciting period for the Trust and I would like to contribute. To that background I have recently added involvement in business and the management of commercial and governance issues. My qualifications are, therefore, more general than specific. While I have enjoyed access to the highest in the land, my interests in NTS are at grass roots level and stem from a real passion to help it overcome its recent past and recover its position as the flagship organisation representing Scotland’s wonderful natural and cultural heritage. Specialised during my professional career in advising agricultural and rural businesses and accumulated considerable knowledge relating to rural economic land use. Treasurer of a Church of Scotland since 1982 and am therefore experienced in charity accounting issues and OSCR. Have a keen interest in gardening, Scottish wildlife and culture. Contribution brought to the Trust: I hope to be able to encourage the Board to look forward, with a strategic plan which will take advantage of the Reid Review. I have no prejudices or fixed opinions but hope that we can make best use of the talent and advisors available to us. We must take the members and the volunteers with us and should, where necessary and possible, work in concert with other organisations with similar interests. I hope that my personal attributes will enable me to help the Board in these directions. Contribution brought to the Trust: Having retired in November 2010, I now have the time and enthusiasm to make my professional knowledge, gained as a practising Chartered Accountant of 35 years, available to the Trust. I also have considerable experience in charity accounting issues to contribute. I am familiar with the many Trust properties throughout Scotland and have passionate interests in gardening, Scottish history, culture, wildlife and countryside issues.
