Reliable 302-654-8080 Case 17-10229-CSS Doc 223-1 Filed 03/03/17 Page 8 of 28 Wet Seal Bankruptcy Hearing 6 1 David is going to make few statements 2 and we'll go around the table. We would like each 3 person to identify one bidder. And before you 4 speak, please identify yourselves for the record. 5 We're going to record the auction and file a copy 6 of the transcript with the Court. 7 8 So with that, I'll hand it off to Mr. Peress. 9 MR. PERESS: My name is David Peress 10 from Hilco Bankstream, the ID broker retained in 11 the bankruptcy case. 12 13 So a couple of things housekeeping-wise. 14 The debtor received a stalking horse 15 bid from WS 2017, LLC, an affiliate of YM, and 16 then received two overbids, one from Fashion Nova 17 of $1.65 million, and one from GB Brands of $1.65 18 million. 19 In connection with the intellectual 20 property assets that we are seeking to sell, 21 there's been some discussion about the sale of 22 customer data by the company. 23 The company has been working with a 24 consumer privacy ombudsman in this case, Elise 25 Frejka, who has provided the company certain Reliable 302-654-8080 Case 17-10229-CSS Doc 223-1 Filed 03/03/17 Page 9 of 28 Wet Seal Bankruptcy Hearing 7 1 guidance in terms of what her recommendations will 2 be as it relates to the transfer of personally 3 identifiable information. 4 And in particular as it relates to 5 e-mails, as we've disclosed to the interested 6 parties, the debtor maintains e-mails principally 7 in two databases. 8 9 One is a marketing database that contains principally e-mails, that's called List 10 Track. List Track is a third-party service they 11 use to push e-mail campaigns. 12 database consists of approximately 2.97 million 13 opt-in e-mail addresses. 14 That e-mail In addition, the debtors, since 2007, 15 have maintained an order management system called 16 EMS that maintains information related to orders 17 placed on its ecommerce sites randb.com and 18 wetseal.com. 19 The EMS website contains 20 approximately 6.8 million e-mail addresses 21 associated to purchase order histories of 22 customers. 23 In consultation with the consumer 24 privacy ombudsman, we've agreed to limit the sale 25 of e-mail addresses in the EMS system to customers Reliable 302-654-8080 Case 17-10229-CSS Doc 223-1 Filed 03/03/17 Page 10 of 28 Wet Seal Bankruptcy Hearing 8 1 who have not otherwise opted out, who have 2 purchased product in the last 18 months. 3 So there probably -- or there 4 definitely are e-mail addresses associated to 5 customers that are older than 18 months. 6 sale of that data, those e-mails will be scrubbed. 7 Upon the In other respects, it's the 8 expectation of the debtor that the buyer of any 9 personally identifiable information is going to 10 adhere to the debtor's general privacy policy as 11 it relates to use of data, and that in connection 12 with its initial marketing messages to opt-in 13 e-mail customers, that they will provide the 14 opportunity to unsubscribe or opt out if those 15 customers elect to do so. 16 Before we go any further, does 17 anybody have any further questions about the 18 treatment of personally identifiable information, 19 and in particular e-mail data in this case? 20 (No response.) 21 MR. PERESS: 22 Prior to convening the auction, the 23 debtor's counsel circulated to the three parties 24 in the room conformed redlined copies of the Asset 25 Purchase Agreement. Okay, thank you. Reliable 302-654-8080 Case 17-10229-CSS Doc 223-1 Filed 03/03/17 Page 11 of 28 Wet Seal Bankruptcy Hearing 9 1 For purposes of this auction we are 2 proceeding on the basis that if you make a bid, 3 you are agreeing to the terms of that redlined 4 draft except for any additional changes that the 5 debtor might in its sole discretion agree to. 6 If anyone has an issue with that, 7 they need to identify that before they make 8 another bid. 9 proceeding on the basis that you have agreed to 10 Otherwise, we're going to be the agreement that has been circulated by counsel. 11 So we're going to proceed by open 12 outcry. 13 at any time. 14 That means that any party can make a bid If I do not hear bids -- higher bids 15 after a certain period of time, I will announce 16 fair warning. 17 fair warning. 18 Typically I provide one minute for If I have not received a bid or a 19 request for a break within that one minute, then 20 the auction will be closed and the high bidder at 21 that time will be the winning bidder. 22 23 24 25 Does anybody have any questions about that? MR. GREAR: David, on the APA, Fashion Nova has two changes they want noted on Reliable 302-654-8080 Case 17-10229-CSS Doc 223-1 Filed 03/03/17 Page 12 of 28 Wet Seal Bankruptcy Hearing 10 1 the APA. 2 MR. PERESS: Absolutely. 15 And it's the intention of the debtor, 16 just to confirm, that at closing we are going to 17 be delivering to the winning bidder the log-in 18 information and passwords necessary to access all 19 the domain registries, as well as all of the 20 social media sites. 21 22 MR.
