Definitions 1.1. “Billings”meansAgencyfeesbilledforservicesrendered. 1.2. Candidate”meansthepersonwhoisintroducedtotheClientbyAgency,andwhoisormaybeseekingworkand/or isbeingplacedwithorconsideredforplacementwiththeClient.Theintroductionmaytaketheformof:Agency furnishingtheCandidate’sCV,viaemail,fax,handdelivery,mailoranyotherform,ontheClient;thearrangingby Agencyofaninterview(telephonicorotherwise)betweentheClientandtheCandidate;and/orAgency’sreferral of the Candidate and his/her details or information to the Client; and regardless whether such introduction is solicitedorunsolicited. 1.3. ”Checks” means background screening, which may or may not include verification of a candidate’s credentials, education,creditworthinessand/orcriminalbackgroundchecks. 1.4. “Contractor”meansthepersonplacedwiththeClientintermshereof. 1.5. “EmploymentOffer” meansawrittenororalagreementwiththecandidatetostartemploymentatanagreed remuneration 1.6. “ExecutiveRecruitment”anounandorverbreferringtomeanstheAgencyactivelyrecruitingaCompanyExecutive suchasaBoardMember,CEOorExecutiveDirectorswhoaretoserveonaClient’sEXCO(v)and/orreferringto thedisciplineofhiring(Recruiting)aBoardMember,CEOorExecutiveDirectorswhoaretoserveonaClient’s EXCO(n). 1.7. “Executive Search”meansAgencyprocessestorecruitaCompanyExecutivesuchasaBoardMember,CEOor ExecutiveDirectorsforaClientwhoaretoserveonaClient’sEXCO. 1.8. “Fee/s”meanstheplacementfeeduebytheClienttoAgencyfortheservicesrendered. 1.9. “Party”/“Parties”meanstheClientandAgency,oreitheroneofthem. 1.10. “ProfessionalFees”meansfeesbilledforservicesrenderedorforpurposesofrecoveryofcostsincurredandmay include/excludepenaltyfees. 1.11. “Services”meanstheplacementservicesrenderedbyAgencytotheClient,includingthesourcingandgeneralpreassessmentofCandidate/s,andintroductionofandfacilitationofameetingbetweentheCandidateandtheClient. 1.12. “SolicitationofServices”meansthedirectorindirectrequestfortheAgency’sservicesbytheClient 1.13. “Territory”meanscountryorcountryinwhichsolicitationofservicestakesplace 2. TermsofPayment; 2.1. Paymentisdueonpresentationofinvoiceandwithinthegraceperiodprovidedinclause5ofthisagreementand aftertheAgencydelivereditsservicesandanyfeesnotpaidwithin24(twentyfour)hoursafterhavingbecome dueandpayablewillresultinanyguaranteesthatAgencyhasgiveninrespectoftheplacementbeingrendered void. 2.2. Agency will be entitled to charge interest at the prime lending rate charged by Agency’s bank on any monies outstandingbytheClient,compoundedmonthly. 2.3. AcertificatebyanystaffmemberofAgency(whoseappointmentneednotbeproved)astotheexistenceand amountoftheClient’soutstandingindebtednesstoAgencywillbesufficientproofofthecontentsandcorrectness thereofforpurposesofanylegalproceedingsagainsttheClient,unlessClientprovesotherwise. AllcostsandchargesandallcollectionandlegalcostsontheattorneyandownClientscaleincurredbyAgencyin, withoutlimitation,tracingtheClientandcollectingorendeavouringtocollectalloranyamountpayablebythe ClienttoAgency,includingcollectionofcommission,willbefortheaccountoftheClient. 2.5. AllpaymentsaretobemadebyElectronicFundsTransfer(EFT)orSWIFTorBankTransfers.TheClientagreesthat ithasbeeninformedthatnootherformofpayment,suchascheques,willbeacceptedaspayment. 3. Placement 3.1. TheClient’sacceptanceofaCandidateforaninterviewwillbedeemedacceptancebytheClientofthetermsand conditionsasstatedherein,regardlessofwhetherthisAgreementhasbeensigned.ShouldtheClientemploya Candidate, whether on a part-time, full-time or contract basis (without limitation), and regardless whether the positiontheCandidateisappointedtoisthepositionforwhichtheAgencyintroducedtheCandidatetotheClient, theClientagreesandherebyundertakestopayAgencythefullfeeassetoutherein.Thisclausewillsimilarlyapply intheeventoftheCandidatebeingappointedbytheClientwithin1(one)yearofAgency’sintroductionofthe CandidatetoClient,whereuponthefeeswillbedueandpayablebytheClienttoAgency. 3.2. TheClientundertakestotreatallinformationconcerningtheCandidateinthestrictestofconfidenceandfurther agreesandundertakesundernocircumstancestocontact,directlyorindirectly,theCandidate,theCandidate’s currentorpreviousemployers,ortheCandidate’sreferenceswithouttheAgency’sconsent. 3.3. TheClientundertakestorefrainfromforwardingdetailsoftheCandidatetoanyassociatecompany,subsidiary, holdingcompanyorsistercompanyorthirdparty.IntheeventthattheClientbreachesthisclause3.3,andthe Candidateis,within12(twelve)monthsofbeingintroducedtoClientbyAgency,placedwithsuchentity,theClient willbeliabletopayAgencydamages,whichdamageswillequatetothefeeAgencywouldhaveearnedhaditplaced theCandidatewithsuchentity. 3.4. AgencywilluseitsbestendeavourstoprovidetheClientwithaccuratedetailsoftherelevantCandidate/s,including with respect to their skills, qualifications and work experience. However, such details are primarily based on informationprovidedbytheCandidatehimself/herself,andAgencycannotunderanycircumstancesbeheldliable in the event of any misrepresentation, discrepancies, omissions, errors or otherwise in such information. The responsibilityrestswiththeClienttosatisfyhimself/herselfastothesuitabilityoftheCandidate,including,without limitation,his/hercapabilities,stateofhealth,integrity,honestyandotherrequirements. 3.5. ThefinaldecisionastotheplacementoftheCandidateintheemployoftheClientrestswiththeClient.Agency and/oritsemployeesacceptnoresponsibilityorliabilitywhatsoeverforanylosses,costsordamagesarisingdirectly orindirectlyfromtheactionsoftheCandidateortheappointmentoftheCandidatebyanyperson. 3.6. EmploymentOffers; 3.6.1. TheClientagreestoforwardalldocumentationpertainingtoEmploymentOfferstotheAgencyandwillnot entertain the Candidate by means by making an Employment Offer without prior consultation and communication with the Agency. The Client agrees that any Employment Offer to the Candidate will be discussedwiththeAgencybeforecommunicatingsametotheCandidate. 3.6.2. TheClientagreesthatitwillnotemploytheCandidatepriortoboththeClientandtheCandidatesigninga written Employment Offer and whereby the Agency had not been given the opportunity to study the EmploymentOffer. 3.6.3. TheClientagreestosubmitasignedofferofemploymenttotheAgencyiftheAgencyhadnotbeenprivileged toitbeforetheCandidateisemployed. 4. Fees 4.1. Upon placement of a Candidate with a Client, the Client will become liable to Agency for fees, which will be calculatedinproportiontothetotalannualremunerationpayablebytheClienttotheCandidate,whichwillbein termsofacommunicationand/oragreementwiththeClient.Paymentofsuchfeeswillbeinaccordanceofan agreementorrequestfromtheAgency. 4.2. Forthepurposesofclause4.1above,theAnnualRemuneration(Cost-to-Company)willbecalculatedinclusiveof allothermonthlyallowances,bonuses,carallowancesandotherbenefits. TheClientagreesthatitwillsubmitAgencyLegalCTCDisclosureFormECTC2017AtotheAgencybeforethe candidate commences employment with the Client and that such submission will be in conjunction of a submissiontotheAgencyofasignedacceptanceofemploymentofferbythecandidateintheeventofthe Agencynotbeenprivytoitatanystage. 4.3. OnorbeforethedatethattheCandidatecommencesemploymentwiththeClient,AgencywillinvoicetheClient withthefeeexclusiveofVAT.TheClientisrequiredtomakepromptpaymentthereofwithin7workingdaysonthe Gregorian Calendar of the Candidate’s commencement of duties with the Client. The Client is requested to communicate and/or forward by electronic communication a copy of the Electronic Bank Transfer Transaction and/orSWIFTTransferTransactionDocumentwithinsameperiodasproofofpaymenttosecureguaranteesas describedinparagraph5. 4.4. ProfessionalFeesforthepurposesofExecutiveSearchand/orExecutiveRecruitment 4.4.1. Professionalfeesarefeeschargedforservicesdeliveredoutsidethenormalrecruitmentprocess; 4.4.2. ThefeesforprofessionalExecutiveSearchand/orRecruitmentarebilledaccordingtoparagraph4.4.3.and inadditiontothefee; 4.4.3. ExecutiveRecruitmentConsultations:withtheClientwillbebilledat£80.00(eightypounds)perhourduring weekdaysandnormalofficehoursthatwillincludetravelcostswithintheradiusofthecityofLondon.Travel outsidethecityofLondonwillbebilledseparatelyandtheClientwillalsoandinadditiontoperhourcharges be billed for economy air-travel tickets and car-hire expenses incurred by Agency where it may become necessary. 4.4.4. After-hourconsultations(after17:00)aswellasonweekendsandpublicholidayswillbechargedat£95.00 (ninetyfivepounds)perhour.TraveloutsidethecityofLondonwillbebilledseparatelyandtheClientwill alsoandinadditiontoperafterhourchargesbebilledforeconomyair-travelticketsandcar-hireexpenses incurredbyAgencywhereitmaybecomenecessary. 5. GuaranteePeriod; 5.1. Subjectto2.1above,theAgencyoffersa45dayGuaranteesubjecttotheGuaranteebeingvalidated.Pleasenote thattheGuaranteeisonlyvalidatedbythefullfee(s)beingpaidinfullwithin14(fourteen)daysofthe Candidate’semploymentcommencementdate. 5.2. ShouldanemployeebehiredontherecommendationoftheAgencyandleaveforanyreason,otherthan retrenchment,withintheGuaranteeperiod,theAgencywillendeavourtoprovideasuitablereplacement Candidate,subjecttoconditionsasstipulatedinpar5.4. 5.3. IntheeventthatnoreplacementCandidatescanbefound,acreditnotewillbeissuedagainstthenext placementmadebyTheAgencyonthefollowingbasis: 5.3.1. IftheCandidateleaveswithin0to30days,acreditnoteof90%willbeissuedagainstthenextplacement; 5.3.2. IftheCandidateleaveswithin31to60days,acreditnoteof50%willbeissuedagainstthenextplacement; 5.3.3. IftheCandidateleaveswithin61to90days,acreditnoteof25%willbeissuedagainstthenextplacement. 5.4. Conditions; 5.4.1. The replacement of Candidates mentioned in clause 5.2. will be limited to one replacement per original vacancyspecification.TheClientagreesthatitwillrequestareplacementinwriting,withintendaysofthe last day of the applicant’s employment. Should the Candidate leave the Client’s employment before fee paymenthasbeenreceivedbyTheAgencyortheClient’scompanydecidesnottoreplacetheCandidate,the saidtermsandconditionsshallnotapply. 5.4.2. SpecialConditions; 5.4.2.1. Notwithstanding any agreement or clauses pertaining to guarantees in this agreement, only one replacementwillbegrantedinthefollowingindustriesandorpositionsandwithina24-monthperiod; 5.4.2.2. CallCentreworkorindustry 5.4.2.3. OfficeAutomationSales 5.4.2.4. AnyformofTelesalesorTelemarketing 5.4.2.5. Page 3 of 6 London–NewYork ühttp://deeplogi.ca 5.4.2.6. Anylifeand/orshort-terminsurancesales 5.4.3. Theguaranteewillbeconsideredvoidunderthefollowingcircumstances; 5.4.3.1. The Client or its managers created an environment which became intolerable for the Candidate/incumbent in which the Candidate/incumbent felt either victimised, unduly micromanagedtoansuchanextentthatitbecamedegradingontheCandidate’s/incumbent’sperson,or createdorcausedanintolerableworkingcondition,and/orcontravenedtheLabourRelationsand/or the Basic Conditions of Employment Acts and/or due to a Constructive Dismissal and whereby a replacementCandidatewouldbesubjectedtothesameemploymentconditionsand; 5.4.3.2. The Client reneged on promises made to the Candidate during the interview stage that were not realised after the candidate started work which resulted into the Candidate resigning within the GuaranteePeriod 5.4.3.3. TheCandidateresignedduetoanyoftheconditionsdescribedinpar5.4.2.andprovidedtheAgency withaswornaffidavitwithregardtotheabove,and/orhasinstitutedproceedingsagainsttheClient foranUnfairDismissalorConstructiveDismissalcaseattheEmploymentTribunaland/or 5.4.3.4. the resignation of the incumbent was not due to any fault of the Agency and neither due to noncompliance of the competency requirements for the role/position in which the incumbent was employedandthattheCandidateresignedbecauseofanyotherirregularorunfairlabourpracticeby theClient. 5.4.3.5. Theguaranteesofferedinthisagreementarenotapplicablewithregardtofixed-termcontractsthat areagreeduponbetweentheClientandtheCandidatethatareforaperiodoflessthan12months. Fixed-termcontractsarefurtherexplainedinclause11ofthisagreement. 5.4.3.6. TheClienthadfalsifiedorinanywayhadmisrepresentedanemploymentcontractforthepurposes ofAgencybillings. 5.4.3.7. TheClienthadinanywaymisrepresentedinformationinFormECTC2017A(LegalDisclosureofCTC Information). 5.5. BackgroundChecks; (Background Checks in relation to: Criminal Screening, Creditworthiness & Other Background Screening requirementsonCandidatessubmittedbytheAgencytotheClientforconsideration;) 5.5.1. ItisagreedthatatnostagewilltheAgencyberequiredtodoCriminaland/orITCChecksoncandidatesduring theinitialand/orfirstroundCVsubmissions. 5.5.2. TheAgencywillendeavourtodoitsbestandingoodtime,toassessthecandidate-thatisbeingconsidered forthepositionandthattheClientwishestoappointintheposition-byconductingbackgroundchecksthat pertain to work references, criminal background and credit worthiness screening. These checks will be conductedontheaccountoftheAgencyonlyintheeventthattheClienthasagreedtoa19%(nineteen percent)feeasstipulatedinthetableinparagraph4.1(a).ofthisagreement.ShouldtheClientinsistona discountedfeelessthan19%,(nineteenpercent)Criminal,ITCand/oreducationverificationandcheckswill befortheClient’saccount. 5.5.3. Exclusions; 5.5.3.1. Exclusionspertainingtoparagraph5.5.2ofthisagreementwillbedoneinwritingandapprovedby executivemanagementforittobeeffected. 6. Agencyundertakingandobligations; 6.1. The Agency agrees that it will adhere to strict ethical practices in the recruitment of Candidates while the Agreementisinforce.Furthermore; 6.2. AgencyRestraintofTrade; 6.2.1. TheAgencyagreesthatitwillnotsourcecandidatesfromtheClient’sbusinessforcompetitorswhilethe Agreementisinforce. 6.2.1.1. Inaddition,theAgencyagreesthatitwillnotsourcecandidatesfromtheClient’sbusinessforaperiod oftwelve(12)calendarmonthsafterthedateofterminationoftheAgreement,and 6.2.1.2. TheAgencywarrantsthatithasNon-solicitation/RestraintofTradeagreementsinplaceandpolicies andprocedureswithitsemployeestoprotecttheClientfromrecruitingemployeesfromitsbusiness. 6.3. ClientNon-solicitationofAgencyEmployees; 6.3.1. TheClientundertakesnottorecruitthefull-timeemployeesoftheAgencywhileanagreementisinforce andforaperiodof12monthsaftertheterminationoftheagreement.TheClientagreesthatintheeventof DeeplogicaLtd-BusinessTerms©CopyRight2017AllRightsReserved.IllegalCopyingofthisdocumentbycompetitorswillbedealtwithto thefullestextentoftheLaw. Page 4 of 6 London–NewYork ühttp://deeplogi.ca 7. 8. employinganyoftheAgency’spermanentemployeesandor/recruitmentconsultants,andwithinsucha period,theClientwillbeliableforarecruitmentfeeof30%(ThirtyPercent)payabletotheAgencywithin7 (seven)daysandcalculatedonincumbent’sCosttoCompanyremuneration. Relationship; 7.1. The relationship of the Agency to Client under this Agreement shall be that of an independent Agency. The Employees,sub-agentsandservantsofonepartyshallnotbeconsideredinanywaytobeemployees,sub-agents orservantsoftheotherparty.TheAgencyshallhavecompletecontroloverthedirectionandmannerinwhichthe AgencyperformstheservicesrequiredbyitinthisAgreement.Client,however,shallhavetherighttodesignate therequirementsandactivitiestowhichtheAgencywilldirectitseffortsand/orservicesunderthetermsofthis Agreement. 7.2. WorkingRelationship; 7.3. TheClientwillundertaketoprovidetheAgencywithcontinuousfeedbackregardingthestatusoftheCandidate andtheadvertisedposition.ShouldanychangesarisetheClientwillendeavourtocontacttheAgencywithinthe shortestpossibletime,toavoidthewastageofman-hoursbytheAgency. 7.4. TheClientagreestomatchanyexpectationscreatedbytheadvertisedpositioneithergiveninwritingtotheAgency or mentioned to the Candidate in an interview. This is to prevent the Candidate being disadvantaged by false expectationswithregardstosalaryandfurthermoretoprotectthereputationandprofessionalintegrityofthe Agency. 7.5. TheClientandtheAgencywillatalltimesendeavourtomaintainacourteousrelationship.Thisisaccomplishedby bothpartiesmeetingtheexpectationsandobligationsstatedinthiscontractandthosethatcouldbeexpected betweentwopartiesoperatingprofessionally. 7.6. Bothpartiesagreetoacordialrelationshipwitheachother. General; 8.1. IntheeventofeitherParty(“theDefaultingParty”)committingabreachofanyofthetermsofthisagreementand failingtoremedysuchbreachwithinaperiodof10(ten)daysafterreceiptofwrittennoticefromtheotherParty (“theAggrievedParty”)callingupontheDefaultingPartytoremedy,theAggrievedPartywillbeentitled,atitssole discretionandwithoutprejudicetoanyoftherightsinlaw,toeitherclaimspecificperformanceofthetermsof thisagreementortocancelthisagreementforthwithandwithoutfurthernotice,claimandrecoverdamagesfrom theDefaultingParty. 8.2. LegalBreachFees; 8.2.1. ThePartiesagreesthatanadditionalamountof£300.00(threehundredpounds)inpenalties(ifClientresides orconductsbusinesswithinthebordersoftheUnitedKingdom)willbepayableimmediatelyfollowingbreach ofthisagreementandwillbeaddedtotheAggrievedPartyclaims. 8.2.2. IntheeventoftheDefaultingPartynotrespondingtolegaldemandsoftheAggrievedParty,anadditional amount£200(twohundredpounds)willbeleviedtocovertheAggrievedParty’sLegalConsultationCosts andwillbecomepayableupfront. 8.2.3. Thesetermsandconditionsarenotcapableofvariation,cancellation,alteration,waiverorsuspensionunless agreedinwritingandsignedbybothparties. 8.2.4. Noinducements,representation,promisesorwarrantieshavebeengivenormadebyAgencytotheClient saveascontainedherein. 8.2.5. The Parties choose as their addresses at which they will accept all notices and communications their respective addresses as notified to the other Party in writing from time to time at which addresses all processesandnoticesmayvalidlybeservedordeliveredtotheParties. 8.2.6. Saveasishereinprovided,AgencywillnotberesponsibletotheClientortoanythirdpartyforanydirector consequentialdamages,oranylossofprofitthattheClientoranythirdpartymaysufferforanyreason. ClientindemnifiesAgencyagainstanysuchclaims. 9. LegalandJurisdiction; 9.1. AllInternationalAgreementsaresubjecttoEnglishLaw. 10. Intheeventofdisputes,defaultofpaymentsandrelatedliabilitiesresultingincivillawsuitsEnglishLawwillbe observedandlitigationconductedaccordingtosameinEnglishcourts. 11. SpecialClausepertainingtosolicitingservicesandProfessionalFees; ThisClauseisonlyapplicableintheeventof; 11.1. TheClienthasaninternalCandidateinmind,butisaskingtheAgencytoprovidecandidatesforthepurposesof internalprocessesand/or; 11.2. SolicitstheservicesoftheAgencybutceasesallcommunicationwiththeAgencyforreasonsnotdeclared; 11.3. OrplacesapositiononHoldafterAgencysubmittedCandidates 11.4. TheClientagreesthattheServicessolicitedfromtheAgencyisforagenuinevacancytheAgencyisrequiredto recruitfor.ShouldtheClientissueaJobSpecificationorRoleProfiletotheAgency–itwillbeconsideredasthe solicitationofservices.TheAgencywillnormallyincurcoststoadvertiseorsearchforthecorrectCandidate. ShouldtheClientaftersolicitingtheservicesoftheAgencyappointaninternalCandidatefortheposition,the ClientwillbeliableforaProfessionalFeeof£350(threehundredandfiftypounds)totheAgencyas compensationforcostsincurredandwillbepayableinaccordancetoclause2ofthisagreement. 11.5. PositionsPlacedonHold; 11.5.1. ShouldtheAgencybeinformedthatapositionhasbeenplacedonholdaftertheAgency’scandidateshad beenreferredand/orhadbeeninterviewed,theClientwillbeliableforanAdministrationFeeof£350 (threehundredandfiftypounds)payableinaccordancetoclause2ofthisagreement.Thesaidamount paidwillbedeductedonfinalinvoiceshouldacandidatebeappointedatalaterstage. 11.5.2. TheAgencywillbilltheClientaProfessionalFeefortheamountof£350(threehundredandfiftypounds) forservicesrendered(andtorecoverAgencyCosts)intermsofclause2ofthisagreementinthefollowing circumstances; 11.5.3. CommunicationFailureand/orno-responseoncorrespondenceand/ortelephonicrequestsfromthe AgencyrequestingastatusreportorfeedbackfromtheClientinasfarandintheeventoftheagency havingsubmittedCVstotheClient,buttheClientdoesnotrespondtothecommunicationwithinaperiod of14daysnor; 11.5.3.1. Rejectingthecandidate’sCVsubmissionsinwritingor; 12. Providingreasonswhycommunicationshadfailedorhadbeenunsuccessful. ClientRepresentativesandClientMandate; 12.1. TheClientagreesthatanyemployeeactingonitsbehalfandwhosolicitstheservicesoftheAgency–thatsuch anemployeeisactinguponandwithintheClient’smandate. 13. Client’sCreditWorthiness,CreditChecksandTradeReferenceswhereapplicable; 13.1. TheClientAgreestofurnishtheAgencywithtwotradereferencesshoulditbespecificallyrequested. 14. TheClientagreesthatanyemployeeactingonitsbehalfandwhosolicitstheservicesoftheAgency–thatsuchan employeeisactingwithintheClient’smandate.
