SOS Sahel - Sudan
Part I
General Provisions
1-1 Title and Commencement:
This statute may be cited as the statute of (SOS Sahel- Sudan) and
it shall come into force after its passing by the general assembly and the
approval of the Registrar.
2-1
There shall be established
under the provisions
of this article an
organizationto be known as (SOS Sahel - Sudan),which shall have its seat in
the Sudan, in the federal capital, Khartoum and it shall have the right to
establish branches inside and outside the Sudan.
3-1 Corporate
Body:
The organization
shall be a body corporate having a perpetual
contractual capacity, a common seal, logo and it shall have the right to
sue and be sued.
4-1 Language of the Organization:
Without objection for the use of any language .The Arabic and
English languages
shall be the languages of official addressing
and
correspondence in the organization.
5-1 Interpretation:
In this statute, unless the context otherwise requires, the following
words and expressions shall have the meanings stated opposite to them:

a- Commission: means the Federal Humanitarian Aid Commission.
b- Organization: means SOS Sahel - Sudan.

2-2 Means:
1. To disseminate

protection

awareness of environmental change.
2. To disseminate the culture of forests protection.
3. Boring of wells in the remote rural areas- to make hafirs (water
yards )for water storage in the rainy season.
4. Opening and rehabilitation of the existing stoke routes.
5. To encourage and support women development centres.
6. To establish small projects for earring the living.
7. To introduce the rotating funds systems in financing small projects
for the citizens.
8. To support

build
the
capacities
of the
civil
society

for the
organizati ons.
9. The organizations
achievement
shall use all the available
of the objectives
provided
that they shall not
contravene the law.

Part III
Membership
1-3 Membership:
1. The membership is divided into:
a- Principal member: who enjoy all the rights and duties mentioned
hereunder.
b- Honorary
member: He is a person who provided
services to the organization
environment
or any services
significant
in the field of
and the general assembly agrees to grant him the
membership and the member shall enjoy all the rights and duties of
a principal member with the exception of the right of nomination
and voting.
2. Conditions of Membership:
1- He shall be of Sudanese nationality and paid his subscription.
2- He shall be believing in the objectives of the organization.
3- His age shall not be less than 18 years.
4- He shall be of good conduct and behaviour.
3. Loss of Membership:
1- Acceptance of the resignation (In writing).
2- Death.
3- Disqualification (insanity, disability, absence without an exccuse
for more than three meetings).
4- Convection in a crime involving moral turpitude and trust.
5- Dismissal by the general assembly.
6- Omission in any of the duties entrusted to him by the executive
office or the general assembly ( subscription, execution of tasks

4. Right of the Members:
1- Attending the meetings of the general assembly.
2- The right of voting and nominatio'n for any function.
3- The right of requesting the amendment of the statute in accordance
with part II, article eleven.
4- The right of requesting the dissolution of the general assembly in
accordance with Chapter VII, article twelve.
5. Duties of the Member:
1- Payment of the subscription which was specified in the regulations.
2- To voluntarily perform all the tasks intrusted to him by the
executive office.
Part IV
The organizational Structure
1-4
The administrative and Organizational Structure shall be constituted
as follows:
1- The General Assembly.
2- The Board of Trustees
3- The Executive Organ.
Firstly: The General Assembly:
The general assembly shall be constituted of all the registered
members who satisfied the conditions of membership and it represent the
supreme power.

d- Approval of the value of the membership's subscriptions.
e- Laying down and passing of the general policies which regulate the
work of the organization.
f- Passing of the annual work plans or for specific periods.
g- To withdraw or renew the confidence in the Board of trustees.
h- Dissolution of the organization by the approval of four- fifths of
the members who paid their subscription.
1- To present any proposals and recommendations
to the excutive
office.
2) General Assembly Meetings:
a- The General Assembly shall convene once every year in any place
to be chosen by the members or to be determined by the executive
office.
b- The General Assembly shall convene an extra- ordinary meeting
under a request signed by two- thirds of the members of the
General Assembly or under a call from the Board of Trustees.
c- For the meetings
of the General Assembly
(50+ 1) shall constitute
absolute
majority
a quorum and in case no quorum is
constituted, the meeting shall be adjourned provided that a second
meeting shall be convened after one week and it shall be legal if
any number of the members attended thereat.
d- Resolutions of the general assembly shall be passed by the absolute
majority (50 + 1).
e- The meetings of the General Assembly shall be conducted by an
elected Chairman from the number of the General Assembly.

Secondly: Board of Trustees:
1) The Board of trustees shall be constituted from (13) members to be
elected by the General Assembly (to be selected by the General
Assembly through one of the following means):
1- Only, the post of the Chairman and the remaining members shall be
selected, and afterwards the remaining posts shall be distributed
among themselves.
2- The three officers (Chairman,
the remaining
members
his deputy, financial secretary) and
shall
be selected
by the General
Assembly.
3- They shall be selected and the posts shall be distributed afterwards
among themselves.
2) Powers and functions of the Board of Trustees:
a- To lay down the bye-laws and their approval by the commissioner.
b- To lay down the policies and plans which regulate the work of the
organization.
c- To work for the attraction of both the financial an in kind support.
d- The Board shall presents its reports to the General Assembly for
their passing.
e- To pass the proposed programs for the work of the organization,
which were submitted by the executive organ.
f- The Board may seek assistance of those it deemed appropriate to
perform its task.
g- Any other tasks to be entrusted to it by the General Assembly.
h- Selection of a principal member from the General Assembly to fill
the vacant post in case of vacuity of any post

3) Board of Trustees Meeting:
a- The Board of trustees shall convene its meetings at least once every
( six months), under the request from its Chairman or from the
person delegated by him in case of his non-presence or from the
executive organ.
b- The Board
shall carry out the procedures
for the call and
preparation for the meeting, registering the records and recording
the minutes
of the meeting which should be signed by the
Chairman.
c- The Chairman may invite anyone whom he deem appropriate from
those of experience or knowledge or the advisors to attend the
meeting of board.
d- The. Chairman of the organization shall preside over the meetings
and in case of his absence his deputy shall assume the Chairmanship of the meetings.
e- The Quorum to convene the Board shall be constituted by the
presence of (50 + 1) of its membership, and in case no quorum is
constituted, the meeting of the Board shall be convened after seven
days if any number of the members attended there at.
f- Resolutions of the Board shall be passed by the approval of the
majority of its present members and each member shall hgave one
vote and in case of equality of votes the Chairman shall have a
casting vote.

Thirdly: The Executive Organ:
1) The Executive Organ shall be constituted of officials and workers
who shall be appointed by the executive manager who is to be
appointed by the Board of trustees depending on the work need
and with contracts for fixed periods.
2) Powers and functions of the executive Organ:
1- To implement the strategies which have been passed by the Board
of Trustees.
2- To attract the support for the implementation of the objectives and
programs of the organization.
3- To conclude the agreements with different authorities.
4- To lay down the regulations for the organization of the work.
5- To administer the resources and assets of the organization.
6- To lay down proposals for work programs and to submit them to
the Board of Trustees for their passing.
7- To submit a quarterly report of performance
to the Board of
trustees.
Part Five
The Finance and Resources of the Organizations
1-5 The finance and resources of the organization shall consist of the
following:
a) The members subscriptions.
b) Donations, grants and gifts.
c) The proceeding of the organization's projects.
d) The funds of the organization shall be deposited in one of the
banks provided
that the disbursement

1- The Chairman.
2- The financial secretary .
3- The executive manager.
- The accounts of the organization shall be audited annually by a certified
auditor and shall be presented to the general assembly for their passing
and a copy of them shall be sent to the Commission.
e) No any member shall be entitled to recover any subscription or
donation which had been paid by him to the organization.
Part Six
Amendment
of the statute
1-6 Amendment:
The General Assembly may amend this statute by the majority
(two- thirds) of its membership and the amendment shall come into force
after the approval of the general Registrar in a meeting to be called for
this purpose.
1-7 Dissolution:
1. The organization shall not be dissolved except by the approval of
(Four
-
Fifths) of the members who paid their subscriptions if they
decided unanimously and stated the reasons which called for this
provided that they shall be logical and convincing in a meeting to
be called for this purpose and by the

registrar.
2. Devolution in case of dissolution of the organization which will
result in the following:
a- Formation of a liquidation committee under the Chairmanship of
the
responsible
authority

b- All the financial and legal obligations shall be enumerated and to
adderss the owners of debts due on the organization
so as to
produce the supportive documents for their claims.
c- To enumerate all the fixed and movable assets owned by the
organization.
d- To enumerate all the requirements payable to the organization and
those payable to others and to announce the final liquidation,
discharge those affiliated with the organization and to settle their
financial entitlements in accordance with the Labour Act of the
Republic of the Sudan which is in force at the time ofliquidation.
e- The dissolution of the organization shall be finally announced in
the official information media.
f- After the announcement of the dissolution the organization shall
be non-existent and it shall forfeit its corporate character.
g- After
that
and
in
accordance
with
the
organization
of
Humanitarian and Voluntary Work Act, 2006, all the properties of
the organization
belonging
working
shall be reverted to a special existing project
to the organization
or to an organization
which is
in the same field, or to the Humanitarian
Aid
Commission.
