SECTION 1 GENERAL INFORMATION FOR RESPONDERS A. Purpose Under Minnesota Statutes §160.80, the Minnesota Department of Transportation (MnDOT) operates the Logo Sign Franchise Program on Interstate highways and certain controlled access highways in Minnesota. The Program provides for blue highway signs with individual logos for businesses that provide motorist services (gas, food, lodging, camping, and 24‐hour pharmacies) and eligible attractions. MnDOT implements it by contract with a qualified firm. The current contract expires December 31, 2016. The purpose of this Request for Proposal (RFP) is to provide interested parties with information to enable them to prepare and submit a proposal for the continuance of the Minnesota Logo Sign Franchise Program. MnDOT intends to use the results of this Request for Proposal (RFP) to award a 10‐year contract and seeks proposals from qualified firms. This Request for Proposal (RFP) is not a contract. MnDOT reserves the right to amend existing provisions or to include provisions which are not addressed herein. B. Definitions and Acronyms The following definitions and acronyms are used throughout the RFP: Attraction – a service that includes facilities which have the primary purpose of providing amusement, historical, cultural or leisure activities to the public. Business – a commercial establishment that provides a motorist service (gas, food, lodging, camping or 24‐hour pharmacy) or qualifies as an eligible attraction facility. Business logo sign panel – a separately attached sign panel to show the brand, symbol, trademark, name or combination of these, for a business. Commissioner – Commissioner of Transportation Contractor – the firm awarded the Logo Sign Franchise Program Crossroad – a marked route or other public road intersecting an eligible Interstate highway or controlled‐access highway to which access is provided at an interchange. Exit ramp – a connecting roadway between two intersecting roads that are grade separated. Exit ramp logo sign – a logo sign along an exit ramp. Franchise firm – the firm awarded the Logo Sign Franchise Program Franchise Program or Program – Minnesota Logo Sign Franchise Program. Interchange – a grade separated intersection with ramps to provide movement between roadways. Logo sign – a logo sign consists of a logo sign panel and the sign structure the sign panel is attached to. Logo sign panel – a rectangular sign panel consisting of the words gas, food, lodging, camping. attraction or 24‐hour pharmacy, business logo sign panels and directional information. Mainline logo sign – a logo sign located on an interstate highway or certain controlled‐access highway. MnDOT – Minnesota Department of Transportation Motorist service – gas, food, lodging, camping, attraction or 24‐hour pharmacy Program – Minnesota Logo Sign Franchise Program Responder – a firm submitting a proposal to this RFP Rural – all Minnesota counties except the majority of the eight‐county Minneapolis/St Paul metropolitan area (see urban). 4
Seasonal business – a gas, food, lodging, camping, attraction or 24‐hour pharmacy facility that is open for business less than 12 months per year. State – State of Minnesota Structure – The sign support including any footings, see Logo sign Trailblazing signs – a sign on a local crossroad that directs motorists where to turn to reach the business. Urban – includes the majority of the Minneapolis/St Paul metropolitan area, including the counties of Anoka, Carver, Chisago, Dakota, Hennepin, Ramsey, Scott and Washington. Specific interchanges on the outer edges of the urban areas may be determined rural by MnDOT on a case by case basis. C. Scope of the Program The Program consists of management, funding, maintaining the Minnesota Logo Sign Franchise Program. The Contractor will furnish, install and maintain all logo signs relating to gas, food, lodging, camping, attractions and 24‐
hour pharmacies; market all eligible spaces for business logo sign panels to be installed on mainline and exit ramp logo signs; and install and maintain all marketed business logo sign panels on eligible routes. All costs for marketing, fabrication, installation, operation and maintenance of the Program as set forth in the contract, as well as fees due to the State, will be paid from fees and revenues received by the Contractor from business leases. The Program currently has approximately 2,294 mainline, 1,986 ramp, and 254 trailblazing business logo sign panels. See EXHIBIT 1 for a current list of eligible routes and rural interchanges. D. Buyout of Existing Inventory Any new Contractor is required to buy from the current Contractor all logo signs that are in place, including any logo signs on which no business panels are displayed. The buyout formula for signs is: P = (N/12 x O) P = Total buyout price N = Remaining years of unamortized sign costs O = Cost of structures (this should be “Cost of Logo signs” meaning that it includes the Sign Support and the Logo sign panel) E. RFP Inquiries Responders who have any questions regarding this RFP must submit questions by e‐mail only to: Ron Bisek [email protected] All questions and answers will be posted on MnDOT’s Consultant Services Web Page at www.dot.state.mn.us/consult under the “P/T Notices” section. All prospective responders will be responsible for checking the web page for any addendums to this RFP and any questions that have been answered. Note that questions will be posted verbatim as submitted. Questions regarding this RFP must be received by MnDOT no later than 2:00 p.m. Central Daylight Time on May 16, 2016. MnDOT anticipates posting answers to such questions no later than 2:00 p.m. Central Daylight Time on May 19, 2016. 5
No other MnDOT personnel are allowed to discuss the RFP before the proposal submission deadline. Contact regarding this RFP with any personnel not listed above may result in disqualification. F. Addendums Any modifications to this RFP will be made by addendum. Addendum(s) will become a part of the RFP and will be posted on MnDOT’s Consultant Services Web Page at www.dot.state.mn.us/consult under the “P/T Notices” section. G. Incurred Costs The State is not liable for any costs incurred by responders in responding to this RFP. H. Rejection of Proposals MnDOT reserves the right to reject any and all proposals that do not comply with the provisions in this RFP. Proposals received after the Proposal due date and time will be rejected. I. Proposals The evaluation and selection of the Contractor will be based on information submitted in proposals, as outlined in SECTION 2, INFORMATION REQUIRED FROM RESPONDERS, references and oral presentations, if held. All materials submitted in response to this RFP will become property of MnDOT and will become public record, in accordance with Minnesota Statutes §13.591, after the evaluation process is completed. Pursuant to the Statute, completion of the evaluation process occurs when MnDOT has completed negotiating the contract with the successful responder. If a responder submits information in response to this RFP that it believes to be trade secret materials, as defined by the Minnesota Government Data Practices Act, Minnesota Statutes §13.37, the responder must:  Clearly mark all trade secret materials in its proposal at the time the proposal is submitted;  Include a statement with its proposal justifying the trade secret designation for each item; and  Defend any action seeking release of the materials it believes to be trade secret, and indemnify and hold harmless the state, its agents and employees, from any judgments or damages awarded against the state in favor of the party requesting the materials, and any and all costs connected with that defense. This indemnification survives MnDOT’s award of a contract. In submitting a proposal in response to this RFP, the responder agrees that this indemnification survives as long as the trade secret materials are in possession of MnDOT. MnDOT is required to keep all the basic documents related to its contracts, including responses to RFPs, for a minimum of seven years. All responses must be received no later than 2:00 p.m. Central Daylight Time on May 26, 2016. Please note that MnDOT procedures do not allow non‐MnDOT employees to have access to the elevators or the stairs. You should plan enough time and follow these instructions for drop‐off: 

Once you enter through the doors, the receptionist is located on your right. 
Proposals are accepted at the Information Desk of Waters Edge only. The receptionist will date and time stamp the proposal and will call the Contract Administrator to pick up the proposal. Late responses will not be considered. Fax and e‐mail responses will not be considered. All costs incurred in responding to this solicitation will be borne by the responder. Responders must submit 5 hard copies of the proposal, along with one copy of the entire response in electronic format (CD‐ROM or flash drive). The technical proposal and Rate Proposal are to be separate files in the electronic format. Proposals are to be submitted in a sealed mailing envelope or package, clearly marked “Proposal” on the outside. An authorized member of the firm must sign the proposal. 2) Proposal Format and Organization Responders must limit their proposal to 25 pages, single spaced, 8.5”x11”, with no smaller than 11 point font. One side of a sheet is one page. Excess pages will not be reviewed and evaluated, regardless of content. Note that, the cover page and cover letter, evidence of bid bond and rate proposal will not count as part of the page limit. Term of Contract The contract will begin on or about August 1, 2016, and will terminate on December 31, 2026, unless terminated earlier under SECTION 5, Termination. Any new franchise firm will begin operating the Program on January 1, 2017. 8
SECTION 2 INFORMATION REQUIRED FROM RESPONDERS A. Evidence of Bid Bond/Insurance The responder must show evidence of a bid bond in the amount of $10,000. The bond must be obtained from a company on the Department of Treasury list issued by the Federal Register July 1, 2015, “Companies Holding Certificates of Authority as Acceptable Sureties on Federal Bonds and as Acceptable Reinsuring Companies.” Failure to pass this requirement will eliminate the proposal from further evaluation. A responder’s proposal must clearly note any exceptions desired to insurance requirements in SECTION 5E.4 Insurance, or the responder will be deemed to have accepted such requirements and waived any request for exception. B. Background/Experience Describe the following: 1) The firm’s experience as a prime Contractor performing similar work. 2) Identify any subcontractors you intend to hire, including but not limited to sign fabrication and sign installation. 3) Qualifications and experience of personnel to be assigned to the Program. Include resumes and a description of the responsibilities of each key person. 4) Familiarity with relevant federal and state laws, including Minnesota Statute §160.80, and the Minnesota Manual on Uniform Traffic Control Devices, Part 2J. 5) Experience in outdoor advertising, sign manufacturing, sign installation, advertising, sales or related fields. 6) Experience with administering similar statewide signing programs. Include a list of at least 3 references. MnDOT may contact selected references as part of the selection process. C. Work Plan Responders must understand the services needed to manage the Program. The Work Plan shall address the following categories: Work Plan: Marketing Strategy Describe your marketing strategy. Include sales goals, number of salespeople, customer contact and customer follow‐up, including the resolution of customer complaints. Include a mock‐up of your website for the Program which will provide valuable information for interested businesses. Work Plan: Sign Installation and Maintenance Describe your process to design, manufacture, install and maintain logo signs and business panels. Describe the schedule for replacing or refurbishing logo signs. Describe the proposed or existing location of equipment, materials and field labor force. Describe the estimated response time of your crew and any efficiencies in your proposed operation. Work Plan: Minnesota Office Describe the proposed or existing location of your firm’s office in Minnesota, including full‐time personnel with the authority and capability to complete a business lease and to respond to business and MnDOT requests and inquiries Monday through Friday during normal office hours. 9
Work Plan: Administration Describe your record keeping, billing and reporting systems. Describe your proposed sign inventory management system. Include mock‐ups of typical status and inventory reports. Work Plan: Program Objectives Describe how the proposal meets the objectives of the Program: benefit to motorists; minimal blank signs; financially stable Contractor; competitive rates for duration of contract; sales vigilance; satisfied customers; fair, consistent, compliant and accurate Program. D. Added Value Describe any proposed tasks, services or features that will be provided in addition to the RFP provisions. Provide an explanation of how the additional tasks, services or features will benefit the operation of the Program. Discount fees for long term leases will be considered as added value. E. Supporting Materials Proposal should include examples of supporting materials that will lead to successful management of the Program such as: site plans, as built plans, standard business lease agreement, annual compliance forms, electronic information, etc. Provide an explanation of how the supporting materials will benefit the operation of the Program. F. Rate Proposal Describe your proposed business lease rate structure. All businesses are to be charged the same rate regardless of size, location, service, average daily traffic or other variable. Responders may propose a discount to encourage long term leases. Submit your bid for: One mainline sign/month One ramp sign/month One trailblazer sign/month Long term lease discounts (if any) If the proposed rates increase by 20 percent or greater MnDOT reserves the right to approve or renegotiate proposed rate structure and/or annual payment to MnDOT. 10
SECTION 3 SELECTION AND AWARD All proposals received by the due date and time will be evaluated by a committee of MnDOT representatives. A. Preliminary Evaluation All proposals will first be reviewed to determine if proposal requirements are met. In the event that none of the responders meets the requirements, MnDOT reserves the right to continue the evaluation of proposals and to select the proposal that most closely meets the requirements of this RFP. B. Evaluation Criteria Proposals will be scored using the following criteria: Criteria Points Evidence of Bid Bond/Insurance Pass/Fail Background/Experience 40 Work Plan 35 Added Value 5 Supporting Materials 5 Rate Proposal 15 TOTAL 100 The lowest 10 year annualized lump sum total of one mainline sign, one ramp sign and one trailblazer sign will receive the maximum allotted points for Rate Proposal. Remaining rate proposals will be rated based on a standard formula (lowest cost / responders cost x 15). Proposals will be evaluated on a “best value” basis with 85% qualifications and 15% rate considerations. The review committee will not open the rate proposal until after the qualifications points are awarded. C. Notification of Intent to Award All responders who respond to this RFP will be notified in writing of MnDOT’s intent to award a contract. D. Post Selection Audit After a responder has been selected, MnDOT will conduct an audit to verify that the firm is financially capable of buying out the old structures and financing any new structures. Failure to pass the post selection audit will eliminate the proposal. MnDOT will select the next best qualified proposal. The buyout is estimated to be around $2,000,000. 11
SECTION 4 SCOPE OF WORK AND SPECIFICATIONS A. Responsibilities of the Contractor Subject to the terms and conditions in this RFP and upon a fully executed agreement, MnDOT will grant the exclusive right to the selected Contractor to operate the Minnesota Logo Sign Franchise Program. The Contractor will furnish, install and maintain all logo signs at eligible locations even if a given location has only one business advertiser. 1) Laws and Regulations The Contractor will be governed by and will comply with all applicable federal, state and local laws and regulations. 2) Minnesota Office The Contractor will provide an office in the state of Minnesota with at least one full time employee with the authority and capability to complete a business lease and maintain the Program. The office must be open during normal business hours and provide a toll‐free phone number when the office is closed. When the office is closed, a recorded message must be used to inform callers of office hours and other information. 3) Responsible Employees The Contractor agrees to employ individuals who are capable, responsible and experienced in the work being performed. MnDOT may require the Contractor to remove from the Program any employee who endangers persons or property, or whose continued employment is inconsistent with the intent of the Program. 4) Website The Contractor will provide a website for the Program. At a minimum it must provide general information about the program, program lease fees and options, contact information, office hours and location, and eligibility criteria for GAS, FOOD, LODGING, CAMPING, ATTRACTIONS and 24‐HR PHARMACY categories. 5) Interchange Eligibility Prior to marketing a particular interchange, the Contractor will make a preliminary determination of the eligibility of that interchange and submit that determination to MnDOT’s State Signing Engineer for approval. 6) Permit Prior to start of construction, the Contractor must apply to the appropriate MnDOT district office for a right of entry permit. Each time right of entry is desired after initial written permit approval, verbal approval from the district maintenance engineer or his representative will suffice. Notwithstanding any language in the permit, the permit shall expire at the termination of the franchise contract. 7) Traffic Control Traffic control must comply with Part 6 of the current edition of the Minnesota Manual on Uniform Traffic Control Devices. Interference Due to Highway Construction The Contractor will advise all business lease holders that highway construction may temporarily interfere with the location and/or visibility of logo signs. If a detour or other construction‐related activity interferes with the location or visibility of business panels, MnDOT will not be held liable for any reduced efficacy. The Contractor is responsible for removing, salvaging, reinstalling or replacing logo signs at no cost to MnDOT before, during and after road construction. Interference Due to Other Activities The Contractor will advise all business lease holders that some activities or circumstances may require the removal or relocation of logo signs. Such activities include, but are not limited to, 1) new interchanges; 2) new traffic generators; 3) changes in regulatory, warning or guide signs. If such activities occur, MnDOT will not be held liable for the removal or relocation of logo signs. The Contractor will refund to the business advertisers the balance of any unearned, prepaid leases. Required Submittals to MnDOT Unless otherwise specified all submittals listed will be submitted to MnDOT’s authorized agent by the date listed of each agreement year: January 15 Payment to MnDOT – See SECTION 5A.13 Current Logo Sign Inventory Year End Program Summary Annual Income Statement Compliance Check – Submit written documentation that the Contractor has annually verified that all participating businesses have been reviewed and meet the minimum criteria or are substantially eligible to qualify for the Program. Documentation must include a detailed list of businesses that are substantially eligible and businesses that have been bumped. Surety Bond – See SECTION 5F Insurance Certificate(s) – See SECTION 5E June 15 As Builts – Two (2) complete statewide copies of current as built plans for all interchanges included in the Program. At a minimum, the two copies will identify logo sign supports as Type A or Type D, show sign locations, sign panel size, services identified on each logo sign panel, year installed and refurbished and/or replaced. Other – MnDOT may require other reports from time to time. Business Lease Rates Leasing rates to businesses will be set forth in writing and made available to the public. Costs for the business logo sign panel may not be included in such charges but may be charged for separately, OR the business logo sign panel may be supplied by the business in accordance with MnDOT standards. The Contractor will guarantee the advertised rates for the duration of the leases unless authorized by MnDOT. 13
The Contractor may charge seasonal businesses only for the months such businesses are actually open, except that the Contractor may require seasonal businesses to pay advertising rates for a minimum of 5 months per year. 12) Business Leases The Contractor’s standard lease language is to be approved by MnDOT. The length of a business lease will be 1‐5 years. Leases may be renewed automatically, but the Contractor must notify the business at least 60 days prior to expiration. The business must be allowed to renew or cancel its lease up to its anniversary date. The business lease must include all relevant bumping and termination language. When MnDOT’s contract with the Contractor expires or is terminated, all business leases expire. 13) Payment to MnDOT Submit payment on or before January 15 of each contract year payable to the Commissioner of Transportation in the amount listed below: $150,000 per year (years 1‐5 of the contract) $175,000 per year (year 6‐10 of the contract) 14) Maintenance of Logo Signs The Contractor is responsible for regular sign clean‐up, including removal of graffiti, cleaning of the panels, supply of replacement parts and all general maintenance of the sign panels and sign structures. The Contractor will inspect panels and sign structures at reasonable intervals for any damaged or broken parts and, at its own expense, repair or replace damaged or broken parts within a period not to exceed 7 days after the Contractor becomes aware of the damage or breakage. 15) Life Cycle Replacement/Refurbishment The Contractor will replace logo signs on a 12 year cycle unless otherwise approved by MnDOT’s authorized agent. This includes all sign panel sheeting on the logo sign panels and business panels as well as any necessary sign support replacements or modifications. SECTION 4D, Design Standards for Life Cycle Replacement/Refurbishment of Logo Signs, contains the requirements for the replacement/refurbishment of logo signs B. Logo Signing Program Rules and Regulations 1) Purpose To establish guidelines for the approval, design, erection, maintenance and funding of the logo signing along Interstates and certain access controlled highways for gas, food, lodging, camping, attractions and 24‐hour pharmacies. Since logo signing is authorized as a public service, only those services and eligible attractions where road users cannot conveniently reenter the mainline highway and continue in the same direction of travel will be signed. 2) General Criteria Logo signing provides road users with business identification and directional information for motorist services needed in completing a trip. Those services that are deemed essential to warrant official traffic signing are gas, food, lodging, camping, attractions and 24‐hr pharmacies. These are the only services which may be identified on logo signs along Interstate and certain controlled access highways. 14
Eligibility criteria for businesses are specified in Minnesota Statute §160.80, subdivision 1a. To be eligible for a business panel, a business establishment will:  Be open for business;  Have a sign on site that identifies the business and is visible to motorists;  Be open to everyone, regardless of race, religion, color, age, sex, national origin, creed, marital status, sexual orientation or disability;  Meet the appropriate criteria under Specific Criteria. 3) Specific Criteria GAS Gas businesses will provide:  Vehicle services including gas or alternative fuels and oil;  Restroom facilities and drinking water;  Continuous, staffed operation at least 12 hours a day, 7 days a week; and  Public access to a telephone. FOOD Food businesses will provide:  At least 2 meals a day during normal mealtimes of breakfast, lunch and dinner;  Continuous, staffed food service operation at least 6 days a week except holidays;  Seating capacity for at least 20 people;  Restroom facilities;  State or local licensing or approval, where required; and  Public access to a telephone. LODGING Lodging businesses will provide:  Adequate sleeping accommodations;  Restroom facilities;  State or local licensing or approval, where required; and  Public access to a telephone. CAMPING Camping businesses will provide:  Sites for camping;  Parking accommodations for each campsite;  Restroom facilities and drinking water; and  State or local licensing or approval, where required. ATTRACTION Attraction businesses must have regional significance and will provide:  Amusement, historical, cultural or leisure activities; 15

Restroom facilities and drinking water; State or local licensing or approval, where required; Adequate bus and vehicle parking accommodations for normal attendance; Continuous operation/accessibility for at least 3 consecutive months ; and Staffing and open to the public for a minimum of 40 hours per week and 6 days per week. Attraction businesses must meet the Specific Categories and Criteria as follows: Historic Site or District Historic sites shall have definite historical significance as determined and approved by the MN Historical Society and State Signing Engineer. Requests shall be forwarded to the State Signing Engineer. Historic District requests shall be listed on the National Register of Historic Places. Requests will be accepted from a local government agency and shall contain the following: • A map of the district. • Photographic evidence of street signage. Historic District boundaries must be distinguishable through local street signage. • Evidence that the district is providing information regarding the district in a publically accessible location within the district such as a self‐service kiosk or welcome center. Include the location of the kiosk, hours open to the public and copy of the information provided to the public, such as a pamphlet. Requests shall be forwarded to the State Signing Engineer. Cultural Site Sites shall be limited to include any facility for the live performing arts, exhibits, or concerts. In lieu of hours of operation, the facility must have a seating capacity of 2,500 seats and hold at least 50 events per year. Recreational Site  Recreational Area: Areas that include recreational activities such as: hiking, bicycling, boating, fishing, kayaking, rafting, public golfing, skiing and off‐highway vehicle riding.  Amusement Park: A permanent area, which is open to the general public for entertainment rides and food services.  Arenas: A stadium, sports complex, auditorium, fairgrounds, civic or convention center or racetrack. In lieu of hours of operation, the facility must have a seating capacity of 2,500 seats and hold at least 50 events per year.  Natural Interest Area: An area of natural or scenic beauty shall be limited to a naturally occurring area of interest to the general public, including State or National Parks, forests, nature preserve, wilderness areas, or mountain ranges. A feature created by nature or naturally occurring area of outstanding interest to the general public. Examples include, but are not limited to, unusual rock formations, caves, lakes, rivers, fossil beds, waterfalls, and similar areas. 16
Educational Site  Zoo, Aquarium or Botanical Park: A non‐retail facility in which living animals, insects, fish, or plants are kept and exhibited to the public.  Facility Tour Location: A facility such as a factory, institution, or plant which conducts daily public tours on a regular scheduled basis during hours of operation.  Museum: A museum shall be limited to facilities open to the public in which works of historic, artistic, or scientific value are cared for and exhibited. Requests for signing shall be submitted to the State Signing Engineer. These requests will be forwarded to the MHS for recommendations. The Society's recommendations shall govern MnDOT's approval or denial of requests. A non‐profit museum is also required to be a Federal tax exempt organization [IRC (Internal Revenue Code) 501 (c) (3)]. Qualified Attraction businesses may either be displayed on a Logo sign or a traffic generator sign on the same roadway in the same travel direction, but not both. Attraction facilities denied participation in the Program based on Specific Categories and Criteria above may appeal to the External Sign Variance Committee. Requesters wishing to appeal shall be sent a copy of EXHIBIT 4 and forwarded to the Chairperson of the External Sign Variance Committee. 24 HR PHARMACIES Pharmacy businesses will provide:  Continuous operations 24‐hours per day, seven days per week; and  State‐licensed pharmacist present and on duty at all times. 4) Substantially Eligible Businesses If available logo spaces are not utilized by businesses fully meeting the corresponding GAS or FOOD services criteria above, then substantially eligible GAS or FOOD businesses may participate in the Program. However, a substantially eligible business is subject to bumping if a fully eligible business of the same service chooses to participate. Substantially eligible FOOD businesses will at a minimum provide:  At least 1 meal (food may be prepared off premise e.g. reheated, prepackaged, ready‐to‐eat food) a day during normal mealtimes of breakfast, lunch or dinner;  Continuous, staffed operation at least 6 days a week except holidays;  Seating capacity for at least 20 people;  Restroom facilities;  State or local licensing or approval, where required; and  Public access to a telephone. Substantially eligible GAS businesses will at a minimum provide:  Vehicle services including gas or alternative fuels and oil;  Restroom facilities and drinking water;  Continuous, staffed operation at least 12 hours a day, 6 days a week; and  Public access to a telephone. 17
5) Seasonal Businesses Seasonal businesses must meet minimum requirements during their months of operation and indicate months of operation on the business logo sign panel. 6) Distance to Services Urban. The maximum distance that an urban service can be located from the main traveled roadway is 3 miles for gas, food, lodging, attractions, and 24‐hour pharmacies; 10 miles for camping. 7)

Rural. The maximum distance that a rural service can be located from the main traveled roadway is 15 miles for gas, food, lodging, attractions, and camping; 3 miles for 24‐hour pharmacies. Method of Measuring Distance The distance to a qualified business, rural or urban, is measured by vehicle distance via the most direct route available from the center point of an interchange (the point where the center of the interstate or controlled‐access highway intersects the center of the crossroad) to the nearest edge of the driveway of the business. If several qualified businesses share a driveway, measurement will be to the nearest door of each business. The measurement is based on government right‐of‐way maps or plans as to the location of a terminus, all center points, and driveway location of a particular business. Travel Distance Displayed on Logo Signs The travel distance to a business (may be displayed in 1/2‐mile increments on exit ramp logo signs) is measured by vehicle distance via the most direct route available from the center point of the terminus of the exit ramp to the nearest edge of the driveway of the business. The measurement of travel distance is based on government right‐of‐way maps or plans as to the location of a terminus, all center points, and driveway location of a particular business. Excess Number of Eligible Businesses When all of the eligible businesses desiring logo signs cannot be accommodated in a category, the establishments fully meeting the criteria and closest to the interchange will be given priority. Multiple Service Eligibility If a commercial establishment offers more than one motorist service or offers more than one of the same motorist service, signing will be allowed as follows:  Each service may be signed if the minimum criteria for each service are met and additional space is available within the category on the logo sign panel.  If additional space is not available, only the primary service may be eligible. Additional logos for one establishment will not prevent participation by another eligible commercial establishment whose sole service would be displaced. Service Priority and Number of Signs If sign space is limited at any given interchange and less than 4 logo signs can be accommodated then service priority shall be given in the following order to gas, food, lodging, camping, attractions and 24‐hour pharmacies. Therefore, if one, two or three logo signs can be accommodated and multiple services are present at the interchange then signing shall be based on the above priority and balance of services 18
represented on the logo signs. For example, if only one logo sign can be erected and three or four services exist at the interchange then priority is first given to gas, food and lodging. Two spaces for each service shall be displayed on the sign. If there is not a gas, food or lodging service, then another service may be signed in its place. 12) Bumping The intent of bumping is to provide services to the motoring public via businesses closest to the interchange and meeting the general and specific criteria. Therefore, the closest six applicants for gas, food, lodging, camping, attractions and 24‐hour pharmacy that fully meet the criteria will have the highest priority and will be permitted to participate in the Program. If a qualified business of the same type of service which is closer in driving distance to the interchange applies to the Program and the maximum number of businesses have already been displayed at the particular interchange, the business that is farthest driving distance from the interchange will be bumped. However, if at such time that a qualified business applies to the Program, the farthest substantially eligible business will be bumped instead. Bumping will occur one year from the date of written notification of the intent to bump, or upon expiration of its business lease, whichever comes first. The Contractor may disallow bumping in the final calendar year of the contract. 13) Removal or Relocation of Logo Signs Since the amount of available signing space at interchanges areas is limited, the State reserves the right to require removal or relocation of logo signs. Logo signs might need to be permanently relocated, or removed completely and not re‐installed if spacing requirements cannot be met due to: 1) accommodate roadway construction or maintenance 2) permanent roadway construction changes the access to the interchange 3) a new interchange is constructed 4) or when new or additional regulatory, warning, or guide signs are required to be installed, or as required by changes in Minnesota State Statutes. The Contractor will refund to the businesses the balance of any prepaid leases. This provision shall be stated in the business lease. 14) Unacceptable Locations for Logo Signs Locations for logo signs will not be authorized at the following locations or under the following circumstances:  At an interchange with another freeway  At an interchange where motorists cannot conveniently enter the business without making an illegal movement or where the motorist cannot conveniently reenter the highway mainline and continue in the same direction of travel.  At an interchange where insufficient space exists between interchanges to install at least one logo sign.  At an interchange where insufficient ramp length exists to meet spacing requirements for required ramp signs.  Where long sections of structure, retaining walls, and/or installation of noise wall limit the placement of ground mounted logo signs.  Where the State determines that for safety, operational, or other explained reasons installation of logo signs is not in the best interest of the traveling public. 19

At any interchange approach other than that which most conveniently accesses the service establishment.  Where a trailblazer sign for a business would be required off the right of way of a state highway, unless all required approvals and permits have been obtained from the governmental agency having jurisdiction over the roadway for the trailblazer sign. 15) Ramp and Trailblazing Signs Requirements for Installation Ramp signs are required when 1) the business is not on the crossroad; 2) the business is not visible from the ramp terminal (as determined by MnDOT); OR 3) the ramp divides into two or more lanes. When a ramp sign is not required, the business shall have the option to purchase a ramp sign in addition to the mainline sign. In those cases, priority shall be given to the least visible business. Where turns are necessary after exiting an interchange onto the crossroad and the business is still not visible, trailblazing signs will be required to be installed at all turns until the business is visible. The business will not be allowed to participate in the Program until all necessary trailblazing signs have been installed. The Contractor will seek approvals and coordinate the installation of trailblazing signs with all appropriate road authorities. C. Design Standards for Logo Signs and Sign Panels Standards for logo signs will comply with all provisions as specified. Exceptions will be submitted to the MnDOT authorized agent for evaluation and approval on a case by case basis prior to marketing. 1) Business Logo Sign Panel Designs Business logo sign panels shall not display the symbol, name, trademark of more than one business establishment. No business will be allowed multiple business logo sign panels within the same service category. Nor will one business be allowed signing at multiple exits in the same direction of travel. Materials Substrate: Business logo sign panels shall be fabricated on sheet aluminum substrate meeting the materials requirements of MnDOT 3352.2A1a for Sheet Aluminum Overlays. Sign Sheeting: All sign sign sheeting materials including backgrounds, legend and border shall meet the requirements of MnDOT 3352.2A2, Sign Sheeting Type IV. Sign Legend: All sign legend material shall meet the requirements of MnDOT 3352.2A5 Direct Applied Legend. Digital printing methods will not be accepted unless prior approval by MnDOT’s authorized agent is received. Fasteners: Fasteners to attach the business panels (type overlays) to the extruded panel shall follow MnDOT 2564.3H3 and use 3/16 inch aluminum alloy pull through rivets conforming to MnDOT 3352.2A6. Any materials used that exceed the above material specifications shall be approved by MnDOT’s authorized agent. Fluorescent sign sheeting is not allowed. Design A business logo may consist of the business identification symbol, name, trademark or combination thereof and be consistent on all business panels for that business (mainline, ramp and trailblazer sign panels). 20
Where business identification symbols or trademarks are used alone for a business logo sign panel the border may be omitted. A business logo that resembles a traffic control device is not allowed. If the business logo does not specify the type of service for which it qualifies, the business panel should include text that confirms that type of service. Size and Shape All business logo sign panels shall be rectangular in shape and conform to the following sizes: Mainline – 60 x 36 inches Ramp/Trailblazer – 30 x 18 inches In place signs not conforming to these size and shape requirements may be replaced through attrition (life cycle replacement/refurbishment). Legend A word message used on a business logo sign panel, not using a symbol or trademark, should have white legend and border on a blue background unless approved by MnDOT’s authorized agent. The minimum legend size is 8 inch for mainline and 4 inch for ramp and trailblazers. The use of standard highway fonts is not required but the legend still needs to be legible to the motoring public. Color Business identification symbols or trademarks may be reproduced in standard highway colors while still maintaining consistency with the general shape and color of customary use. Supplemental Messages The following supplemental messages may be included on a business logo sign panel:  Alternative fuels offered under the GAS category. Approved alternative fuels are DIESEL, E85, E15, LP GAS, DIESEL‐E85, DIESEL –LP GAS;  Seasonal business’ months of operation. Months of operation will be abbreviated using the first 3 letters of the month (e.g. APR – OCT). The length of the dash will be 40% of the height of the letters (minimum 2.5”). Likewise, spaces on either side of the dash will be 40% of the height of the letters (minimum 2.5”);  24 hour businesses may be signed as either 24 HOURS or 24 HRS;  RV access may be signed as RV ACCESS (see RV Access requirements later in this section); and  CLOSED and day of the week such as CLOSED SUNDAY.  Additional supplemental messages will be considered and approved by MnDOT on a case by case basis. Supplemental messages shall be positioned at the center bottom of the business logo sign panel. Supplemental messages are not allowed to extend beyond the edge of the business logo sign panel. Letters shall be upper case, minimum 6 inch high, and black letters on yellow background. However, months of operation shall be colors that complement the existing logo and provide the highest possible contrast against the background color. A business logo sign panel shall have no more than 1 supplemental message, but may display up to 2 alternative fuels on a single line of legend. RV Access 21
Businesses requesting RV Friendly Symbols or RV ACCESS supplemental messages shall meet the following requirements: • Roadway access and egress must be hard surface, free of potholes and need to be at least 12 feet wide with a minimum swing radius of 50 feet to enter and exit the facility. • Roadway access, egress, and parking facilities must be free of any electrical wires, tree branches, or other obstructions up to 14 feet above the surface. • Facilities requiring short‐term parking such as restaurants or tourist attractions are required to have 2 or more spaces that are 12 feet wide and 65 feet long with a swing radius of 50 feet to enter and exit the spaces. • Fueling facilities with canopies are required to have a 14‐foot clearance, and those selling diesel fuel are required to have pumps with non‐commercial nozzles. • Fueling facilities must allow for pull‐through with swing radius of 50 feet. • For campgrounds, 2 or more spaces that are 18 feet wide and 45 feet long are required. • Businesses must also post directional signing on their sites, as needed, to those RV friendly parking spaces and other on‐site RV friendly services, so that the motorist is given additional guidance upon leaving the public highway and entering the business establishment’s property. Future requests meeting the above requirements shall be identified with a supplemental message and existing RV Friendly Symbols shall be removed through attrition (life cycle replacement/refurbishment). At least once a year, review business eligibility. If the business fails to maintain any RV Access requirement, the Contractor will remove the RV Friendly symbol or supplemental message from the business logo sign panel and will not be required to refund any part of the fee. The Contractor is authorized to set a reasonable fee to cover site visits and manufacture and installation of RV supplemental messages. 2) Logo Sign Panel Designs Any in place logo signs not meeting the specifications contained in this RFP may be changed through attrition (life cycle replacement/refurbishment). Materials Substrate: Sign panels attached to Type A sign supports shall be fabricated using extruded aluminum conforming to the material requirements of MnDOT 3352.2A1b. Sign panels attached to Type D sign supports shall be fabricated on sheet aluminum substrate meeting the materials requirements of MnDOT 3352.2A1a. Sign Sheeting for Background and Legend: All sign sheeting materials for the background shall meet the requirements of MnDOT 3352.2A2, Sign Sheeting Type IV. All white legend and border shall meet the requirements of MnDOT 3352.2A2, Sign Sheeting Type XI and MnDOT 3352.2A5 Direct Applied Legend. Digital printing methods will not be accepted unless prior approval by MnDOT’s authorized agent is received. Fasteners: Fasteners to attach sign panel overlays Type A to the extruded panel shall follow MnDOT 2564.3K3 and use 3/16 inch aluminum alloy pull through rivets conforming to MnDOT 3352.2A6. Any materials used that exceed the above material specifications shall be approved by MnDOT’s authorized agent. Fluorescent sign sheeting is not allowed. 22
Electrical devices specifically designed to illuminate logo sign panels are not permitted. Design Standard sign panel designs are shown in EXHIBIT 3. Additional designs may be used but shall be approved by MnDOT’s authorized agent prior to marketing to ensure compliance with the standards of the MNMUTCD, Part 2J (EXHIBIT 2). Logo Position Orientation Business logo sign panels will be placed on mainline logo sign panels on a first come first serve basis. The first eligible business from which an acceptable application and lease are received shall have its business panel placed on the top of top left of the logo sign panel. Subsequent businesses will fill the panel horizontally or vertically. Business logo sign panels will be placed on exit ramp logo sign panels so that those businesses to the motorists’ left have their business panels placed at the top of the panel and those to the right are at the bottom. From left to right the business panels shall be placed in order of distance with directional arrows and distances placed on the panel. On exit ramp logo sign panels installed at cloverleaf and directional interchanges, the distances to the businesses with straight ahead arrows will be displayed. Legend Word messages used on logo sign panels shall use Standard Highway fonts and have white legend and border on a blue background. The minimum legend sizes are shown EXHIBIT 3. Exit Panels (EA Panels) An exit number panel (EA panel) may be used on mainline logo signs instead of the exit number on the signs located in advance of the interchange. EA panels will follow the sign designs shown in EXHIBIT 3 and the MN Standard Signs and Markings Manual, sign code E1‐5P. EA Panels shall follow MnDOT Structural Detail Sheets for Type A Signs, Type EA & EO Sign Structural Details, found on MnDOT’s website at http://www.dot.state.mn.us/trafficeng/signing/plans.html. A copy of the most current detail sheet is in EXHIBIT 5. 3) Location of Sign Panels Sight Distance Logo signs shall be erected so that they are completely visible from the right through lane for at least 800 feet. Vertical Placement Logo signs shall not be mounted overhead or on bridges. Logo signs on retaining walls will be allowed only with the MnDOT’s authorized agent approval prior to marketing. Roadside Placement Roadside placement of Type A and Type D signs shall follow applicable MnDOT standards for mounting height and lateral placement located on the Sign Placement detail, Page 1 of 2 found on MnDOT’s website 23
at http://www.dot.state.mn.us/trafficeng/signing/doc/placementstd.pdf. A copy of the most current detail sheets are in EXHIBIT 5. For Type A signs, the preferred lateral offset between the edge of the through lane, not the edge of the shoulder, and the center of the left post is 30 feet. Signs shall not be installed in narrow ditch bottoms where they may obstruct drainage and create erosion problems. The preferred lateral placement of Type D signs is 12 feet from the edge of shoulder or curb face to the edge of sign panel. Longitudinal Placement and Sign Spacing Mainline logo signs may be erected between the interchange the services are provided at and the interchange prior, including within ramps of the previous interchange. A logo sign will not be erected within 400 feet of any standard sign such as EXIT gore signs, confirmatory route markers, regulatory, warning or miscellaneous supplemental guide signs, e.g. Adopt a Highway and Rideshare signs. A Logo sign will not be erected within 800 feet of any guide sign including interchange guide signs and supplemental guide signs. A logo sign shall not be erected within 500 feet of the location at which the entrance ramp merges with the mainline. Logo sign spacing near permanently installed changeable messages signs will be considered on a case by case basis only. Exit ramp logo signs shall be located on ramps in accordance with the following:  If the ramp consists of one or two (non‐channelized) approach lanes at the ramp terminal, ramp signs may be installed at the ramp terminal. Ramp signs to be installed on the near side (near left or near right sides of the intersection) of the ramp terminal shall be at least 100 feet longitudinally from any existing signing and shall not obstruct or obscure any traffic control device including but not limited to existing signs, traffic signals or pedestrian signals. Ramp signs to be installed on the far side of the ramp terminal (far left or far right sides of the intersection) shall not obstruct or obscure any traffic control devices including but not limited to existing signs, traffic signals or pedestrian signals.  If the ramp consists of two approach lanes with channelization at the ramp terminal OR more than two approach lanes at the ramp terminal, the ramp signs shall be installed prior to the full development of the additional lanes(s). Ramp signs will be allowed in the tapers.  Ramp signs to be installed along the ramp shall be installed at least 100 feet past the exit sign (located in the gore) and at least 100 feet longitudinally from any other existing signing, or as determined by the district’s traffic engineer. Any existing “Stop Ahead” or “Signal Ahead” sign(s) located on the ramp shall be the first sign(s) past the exit sign located in the gore. The preferred location for the “Stop Ahead” or “Signal Ahead” sign(s) is 150 feet past the exit sign located in the gore.  Ramp signs may be placed on both the left and ride side of the ramps as long as there is 75 feet between the signs longitudinally.  If insufficient longitudinal space exists, and the existing signing along the ramp cannot be properly relocated to provide the required longitudinal space (as specified in the preceding paragraphs) to install exit ramp signs, the business(es) that cannot be accommodated along the ramp will not be allowed to be displayed on the corresponding mainline logo sign(s). 4) Sign Supports 24
Logo sign panels shall not be combined on the same structure as any other type of sign. Sign supports shall conform to MnDOT Structural Detail sheets for Type A and Type D sign supports as shown on MnDOT’s website which can be found at http://www.dot.state.mn.us/trafficeng/signing/plans.html. A copy of the most current detail sheets are in EXHIBIT 5. Each installation shall be designed for a wind load of 25 psf of panel area normal to the sign face. Type A sign support posts shall be spaced at least 7 feet apart (not centerline to centerline). Type D sign support posts shall be spaced at least 45 inches centerline to centerline if three or more supports are required. Footings for Type A sign supports are to be H‐pile footings unless concrete footings are necessary. Footings shall be constructed as detailed in MnDOT’s Structural Detail sheets for Type A signs as referenced earlier in this section and conform to the requirements of MnDOT’s 2564.3E. If any mainline Type D sign support is required to be removed and replaced with a Type A sign support to accommodate additional services or businesses, the Type D sign support will be removed and a Type A sign support will be installed at no cost to MnDOT. D. Design Standards for Life Cycle Replacement/Refurbishment of Logo Signs The Contractor will replace logo signs on a 12 year cycle unless otherwise approved by MnDOT’s authorized agent. This includes all sign panel sheeting on the logo sign panels and business panels as well as any necessary sign support replacements or modifications. Materials Type A logo sign panels may be refurbished by installing sign panel overlays including new background, legend and border, and new business panel overlays on existing extruded aluminum sign panels according to the specifications in SECTION 4C of this RFP. Type D logo sign panels will be refurbished by replacing the entire sign panel and following the specifications in SECTION 4C of this RFP. Construction Requirements At the same time the logo sign panel is being refurbished, the sign supports shall also be reviewed to meet current specifications and the following: Type A sign supports:  A minimum 7 foot clearance from the ground line (measured perpendicularly) to the friction fuse, AND  A minimum 7 foot clearance from the ground line (measured perpendicularly) to the closest corner of the logo sign panel from the ground.  Sign supports shall be extended according to the MnDOT Structural Detail Sheets for Type A Signs, Post Modifications, found on MnDOT’s website at http://www.dot.state.mn.us/trafficeng/signing/plans.html. A copy of the most current detail sheets are in EXHIBIT 5. 25
If a Type D sign support does not meet the structural requirements specified in SECTION 4C of this RFP then the sign support shall be removed and replaced. The new logo sign panel shall be installed on the Type D sign structure. 26
SECTION 5 TERMS AND CONDITIONS A. Termination 1) Default MnDOT may terminate the contract for default or breach of contract. An act of default or breach of contract includes, but is not limited to, the following:  The franchise firm fails to perform any material obligation required under its contract with MnDOT; OR  The franchise firm dissolves or becomes insolvent; OR  The franchise firm misrepresents the state to business advertisers regarding the Program. After an act of default or breach of contract, MnDOT will provide written notice to the franchise firm. The franchise firm will have ten business days after such written notice to rectify or correct an act of default or breach of contract. If the franchise firm fails to rectify or correct its default or breach of contract or fails to advise MnDOT of how it intends to rectify or correct the act of breach within ten business days after such notice, MnDOT may by written notice terminate the contract immediately or at such time as MnDOT determines. A notice is considered duly served when it is delivered either at the franchise firm’s business office to a responsible person of suitable age and discretion or by certified or registered mail to the franchise firm’s last known business address. 2) Exceptions to Default The franchise firm will not be in default or breach of contract if it is delayed in or prevented from performing the terms and conditions of the contract or from remedying the default or breach of contract because of the following:  Strike or other labor disputes; OR  Any order, directive or other interference by municipal, state, federal or other governmental official or agency materially affecting the performance of the franchise firm under the contract; OR  Any other cause beyond the control of the franchise firm, provided, however, that if and when the occurrence or condition which delayed or prevented the remedying of such default ceases or is removed, it is the obligation of the franchise firm, without further delay, to commence the correction of such default or to continue the corrections thereof. The delay or failure of MnDOT at any time to insist upon a strict performance of any of the terms and conditions and covenants of the contract is not a waiver of that breach or any subsequent breach or default in the terms, conditions and covenants of the contract. 3) Ownership at Termination If MnDOT terminates the contract with the franchise firm under SECTION 5 Termination, ownership of the franchise rights and any rights in the logo signs constructed at the various interchanges passes to MnDOT at the effective date of termination, and the franchise firm will be not be entitled to any compensation from MnDOT. 4) Business Panels at Termination The franchise firm will include in all of its business leases with advertisers a provision to the effect that in case of termination of the franchise contract with MnDOT, the unexpired portions of such leases are subject to cancellation and refund by the franchise firm of any unearned, prepaid charges. When the Program expires or terminates, the franchise firm, before or on the date of termination or expiration, will either remove and return 27
the business panels to the respective advertisers, OR the business panels will remain attached to the logo sign panels and become the responsibility of the third party. The Contractor will refund to the business advertisers the balance of any unearned, prepaid leases. 5) No Financial Guarantee MnDOT does not guarantee that the franchise firm will make a profit, nor is MnDOT responsible for any financial obligations of the franchise firm. B. Assignment The franchise firm shall not sell, transfer, assign or otherwise dispose of the franchise contract or any portion thereof, or of its right, title or interest therein, or of any of its assets without the prior written consent of MnDOT. MnDOT’s consent will not be unreasonably withheld if the proposed successor meets all of the requirements that were imposed by the state in the initial selection of the franchise firm. Any such attempted disposition by the franchise firm without MnDOT’s consent is an act of default, and MnDOT may terminate the franchise contract pursuant to the terms under Termination above. The franchise firm may assign a security interest in rents from its business leases to its lender. MnDOT consents to that assignment and security interest in the rents from the business leases with the understanding that the assignment and security interest given the lender is subject to the contract and subordinate to any contractual rights of MnDOT or the advertisers. No security interest may be given the lender in any signs and appurtenances placed on MnDOT right‐of‐way. C. Audit The books, records, documents and accounting procedures and practices of the franchise firm relevant to the contract are subject to examination by MnDOT, State or Legislative Auditors as appropriate, for six years from the expiration or termination of the franchise contract. D. Laws and Regulations It is anticipated that the franchise contract will include the following provisions. However, MnDOT reserves the right to amend such provisions. 1) Nondiscrimination Any and all services or goods furnished by the franchise firm and its suppliers and subcontractors will be provided pursuant to all state and federal laws and regulations, including all applicable provisions of Minnesota Statute Chapter 363, Minnesota Human Rights Act. The franchise firm agrees to comply with the Americans with Disabilities Act and all rules and regulations thereunder. 2) Jurisdiction Validity, interpretation and performance of the contract is governed by the laws of the State of Minnesota. 3) Federal, State and Local Laws The franchise firm will comply with all applicable federal, state and local laws, ordinances and rules relative to the construction and operation of the Program. 4) Data Practices Act 28
To the extent that the franchise firm takes possession of, or has access to, the private, nonpublic, protected nonpublic, or confidential data of MnDOT, the franchise firm agrees to comply with the requirements of the Minnesota Statutes Chapter 13, Government Data Practices Act. The franchise firm agrees to indemnify, save and hold harmless MnDOT, its agents and employees, from all claims arising out of, resulting from, or in any manner attributable to the franchise firm’s violation of any provision of the Data Practices Act. In the event that the franchise firm subcontracts any or all the work to be performed under the contract, the franchise firm retains responsibility under the terms of this section for such work. 5) Subcontractors The franchise firm agrees that any and all Subcontractors and suppliers of goods and services are required to comply with the applicable laws and regulations as herein required of the franchise firm. E. Indemnity and Insurance 1) Hold Harmless The franchise firm agrees to indemnify, save and hold harmless MnDOT and the State and all of the its agents and employees from any and all claims, demands, action or causes of action of whatsoever nature or character arising out of or by reason of the franchise firm’s obligations and responsibilities under the contract. The franchise firm further agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoever character arising as a result of the franchise firm’s construction, operation and/or maintenance of the Program, whether or not such action or claim alleges negligence of MnDOT or the State, its agents or employees in supervision or approval of the franchise firm’s activities, or failure to discover and/or prevent the franchise firm’s negligence. 2) Franchise Firm Worker’s Compensation Any and all employees of the franchise firm and all other persons employed by the franchise firm in the construction, operation and/or maintenance of the Program shall not be considered employees of MnDOT, and that any and all claims that may or might arise under the Worker’s Compensation Act of the State of Minnesota on behalf of said employees while so engaged and any and all claims made by a third party as a consequence of any act or admission on the part of said franchise from employees while so engaged in the construction, operation and/or maintenance of the program shall in no way be the obligation or responsibility of MnDOT or the State. 3) MnDOT Worker’s Compensation Any and all employees of MnDOT and all other persons employed by MnDOT in the performance of MnDOT’s responsibilities under the franchise contract shall not be considered employees of the franchise firm and that any and all claims, that may or might arise under the Worker’s Compensation Act of the State of Minnesota on behalf of said MnDOT employees while so engaged and acting within the scope of their employment shall in no way be the obligation or responsibility of the franchise firm. 4) Insurance  Insurance Certificates and Continuity of Coverage Required The franchise firm must provide a certificate of insurance showing that they have each type of insurance coverage and limits required herein. The certificate must be filed with MnDOT’s Authorized Representative within 30 days of execution of the contract, and prior to commencing work under the 29

contract. The franchise firm must maintain such insurance in full force and effect throughout the term of the contract. Prior to the annual expiration date or dates of expiring policies, certified copies of renewal, or new policies, or other acceptable evidence of insurance must be filed with MnDOT’s Authorized Representative. Required Insurance Insurance policy or policies shall cover the construction, operation and maintenance of the Program. The franchise firm will be required to maintain the furnish satisfactory evidence of the following insurance policies: a) Workers’ Compensation Insurance Except as provided below, the franchise firm will be required to provide Workers’ Compensation insurance for all its employees and, in case any work is subcontracted, will require its subcontractor(s) to provide Workers’ Compensation insurance in accordance with the statutory requirements of the state of Minnesota, including Coverage B, Employer’s Liability. Insurance minimum limits are as follows: - $100,000 – Bodily Injury by Disease per employee - $500,000 – Bodily Injury by Disease aggregate - $100,000 – Bodily Injury by Accident If Minnesota Statutes §176.041 exempts the franchise firm from Workers’ Compensation insurance requirements, or if such responder has no employees in the state of Minnesota, the franchise firm will be required to provide a written statement, signed by an authorized representative, indicating the qualifying exemption that excludes the franchise firm from the Minnesota Workers’ Compensation requirements. If, during the course of the contract, the franchise firm becomes subject to the Workers’ Compensation Insurance requirements, the franchise firm then must comply with such requirements and must provide MnDOT with a Certificate of Insurance evidencing such coverage. b) Commercial General Liability Insurance The franchise firm will be required to maintain insurance protecting the franchise firm from claims for damages for bodily injury, including sickness or disease, death and for care and loss of services as well as from claims for property damage, including loss of use which may arise from operations under the contract whether the operations are by the franchise firm or by a subcontractor or by anyone directly or indirectly employed by the franchise firm pursuant to the contract. Insurance minimum limits are as follows: - $2,000,000 – per occurrence - $2,000,000 – annual aggregate - $2,000,000 – annual aggregate – Products/Completed Operations The following coverages must be included: - Premises and Operations Bodily Injury and Property Damage - Personal and Advertising Injury - Blanket Contractual Liability - Products and Completed Operations Liability - State of Minnesota named as an Additional Insured, to the extent permitted by law 30
c) Commercial Automobile Liability Insurance The franchise firm will be required to maintain insurance protecting the franchise firm from claims for damages for bodily injury as well as from claims for property damage resulting from the ownership, operation, maintenance or use of all owned, hired, and non‐owned autos which may arise from operations under the contract, and in case any work is subcontracted the franchise firm must require the subcontractor to provide Commercial Automobile Liability insurance. Insurance minimum limits are as follows: - $2,000,000 – per occurrence Combined Single limit for Bodily Injury and Property Damage In addition, the following coverages must be included: - Owned, Hired and Non‐owned Automobile d) Additional Insurance Conditions - The successful responder’s policy(ies) will be primary insurance to any other valid and collectible insurance available to MnDOT with respect to any claim arising out of the franchise firm performance under this contract; - If the franchise firm receives a cancellation notice from an insurance carrier affording coverage herein, the franchise firm agrees to notify the state of Minnesota within five business days with a copy of the cancellation notice, unless the franchise firm’s policy(ies) contain a provision that coverage afforded under the policy(ies) will not be cancelled without at least 30 days advance written notice to the state of Minnesota; - The franchise firm is responsible for payment of contract related insurance premiums and deductibles; - If the franchise firm is self‐insured, a Certificate of Self‐Insurance must be provided to MnDOT; - The franchise firm’s policy(ies) must include legal defense fees in addition to its liability policy limits; - The franchise firm must obtain insurance policies from insurance companies having an “AM BEST” rating of “A minus”, a Financial Size Category VII, or better, and authorized to do business in the state of Minnesota; and - An Umbrella or Excess Liability insurance policy may be used to supplement the franchise firm’s policy limits to satisfy the full policy limits required by the contract. Failure of the franchise firm to procure and maintain insurance as set forth above shall be considered a default and cause for termination under SECTION 5, Termination. F. Surety Bond 1) The franchise firm shall obtain an initial payment and performance bond in the amount of $1 million for the remaining months of calendar year 2016 to ensure that it will meet the duties and obligations of the franchise contract. Thereafter, the franchise firm shall obtain an annual payment and performance bond in the amounts specified for the following calendar years: 2017 ‐ $1,000,000 2018 ‐ 900,000 2019 ‐ 800,000 2020 ‐ 700,000 31
2021 ‐ 600,000 2022 – 2026 ‐ 500,000 2) The bond shall cover all actions required of the Contractor to satisfy the terms of the contract and to guarantee payment of its obligations in connection with the contract. The bond shall be conditioned upon the faithful completion of the contract and the payment of all indebtedness incurred for all labor, materials and supplies. The Contractor will furnish MnDOT with evidence of the initial and any subsequent bonds and shall not modify or cancel such bonds without MnDOT approval. Sixty days prior to the expiration of any bond, the Contractor will submit to MnDOT evidence of a new or renewed bond. Bonds must be in place for the term of the contract. Failure to obtain or maintain the required bonds will be considered default under SECTION 5, Termination. 3) The bonds will cover, but are not limited to, the following potential losses: Losses to the State a) Costs incurred by the State to continue the franchise firm’s duties and obligations under the Program in the event of default by the franchise firm pursuant to SECTION 5, Termination; b) Reletting the contract in the event of default by the franchise firm; c) Restoration of MnDOT right‐of‐way in the event of default by the franchise firm; d) Maintenance of structures, logo sign panels and business panels in the event of default by the franchise firm e) Removal or reinstallation of structures, logo sign panels and business panels where needed in the event of default by the franchise firm; f) Continue fulfilling the terms of the business leases in the event of default by the franchise firm. Losses to Creditors Payment for any sign structures or panels where there are liens or legal proceedings threatening their removal. Losses to Employees of the Franchise Firm Payment for any claims brought by employees in the event of default by the franchise firm. Losses to Advertisers Payment of unexpired leases to businesses under Termination, Exceptions to Default. G. Permits, Licenses and Taxes The franchise firm shall procure all applicable permits and licenses; pay all charges, fees and taxes; and give all notices necessary and incidental to the due and lawful prosecution of the work. When requested, the franchise firm shall furnish MnDOT with evidence indicating that it has complied with permit, license and tax requirements. H. Approvals Before the franchise contract becomes binding and effective, it shall be executed and approved by the franchise firm, MnDOT and such state officers as the law may provide in addition to the Commissioner of Transportation. 32

Chapter 2J. Specific Service (Logo) Signs
Introduction
In order to qualify for a logo sign panel in the State of
Minnesota, services shall meet the following criteria
according to State Statute 160.80, subd1a:
A. To qualify for a GAS logo sign panel, a business shall:
1. Provide vehicle services including gas or
alternative fuels and oil;
2. Provide restroom facilities and drinking water;
3. Provide continuous, staffed operation at least 12
hours per day, 7 days per week; and
4. Provide public access to a telephone.
B. To qualify for a FOOD logo sign panel, a business
shall:
1. Serve at least 2 meals a day during normal
mealtimes of breakfast, lunch and dinner;
2. Provide a continuous, staffed food service
operation at least 6 days a week except holidays;
3. Provide seating capacity for at least 20 people;
4. Possess any required state or local licensing or
approval.
C. To qualify for a LODGING logo sign panel, a business
shall:
1. Include sleeping accommodations
2. Provide public access to a telephone;
3. Provide restroom facilities; and
4. Possess any required state or local licensing or
approval.
D. To qualify for a CAMPING logo sign panel, a business
shall:
1. Include sites for camping;
2. Include parking accommodations for each
campsite;
3. Provide sanitary facilities and drinking water; and
4. Possess any required state or local licensing or
approval
D. To qualify for an ATTRACTION logo sign panel, a
facility shall have:
1. Regional significance, which have the primary
purpose of providing amusement, historical,
cultural, or leisure activities to the public;
2. Provide restroom facilities and drinking water;
3 Possess any required state or local licensing
approval; and
4. Provide adequate bus and vehicle acommodations for normal attendance.
F. To qualify for a PHARMACY logo sign panel, a
pharmacy shall be:
1. Continuously operated 24 hours per day, 7 days
per week, and shall have a State-licensed
pharmacist present and on duty at all times; and
2. Located within 3 miles of an interchange on the
Federal-aid system.

The Minnesota Sign Franchise Program, which allows for
the installation and maintenance of Logo Signs was
established by Minnesota Statute 160.80 in 1984. This sign
franchise program is in general conformance with the
Specific Service Signing guidelines in the Federal MUTCD
for gas, food, lodging, camping, attractions, and 24-hour
pharmacies as contained in Minnesota Statute 160.80 and
MnDOT’s Sign Franchise Contract.

Eligibility
STANDARD:

Logo signs shall be defined as guide signs that provide
road users with business identification and directional
information for services and for eligible attractions. Eligible
service categories shall be limited to gas, food, lodging,
camping, attractions, and 24-hour pharmacies.
GUIDANCE:

The use of Logo signs should be limited to areas primarily
rural in character or to areas where adequate sign spacing
can be maintained.
Logo signs should not be installed at an interchange
where the road user cannot conveniently reenter the freeway
or expressway and continue in the same direction of travel.
STANDARD:
Eligible service facilities shall comply with laws
concerning the provisions of public accommodations
without regard to race, religion, color, age, sex, or national
origin, and laws concerning the licensing and approval of
service facilities.
The attraction services shall include only facilities which
have the primary purpose of providing amusement,
historical, cultural, or leisure activities to the public.
Distances to eligible 24-hour pharmacies shall not exceed
3 miles in any direction of an interchange on the Federal-aid
system.

STANDARD:
A logo shall be either an identification symbol/trademark
or a word message. Each logo shall be placed on a separate
logo sign panel which shall be attached to the Logo sign.
Symbols or trademarks used alone for a logo shall be
reproduced in the colors and general shape consistent with
customary use, and any integral legend shall be in proportionate size. A logo that resembles an official traffic control
device shall not be used.
The number of Logo signs along an approach to an
interchange, regardless of the number of service types
displayed, shall be limited to a maximum of four. In the
direction of traffic, successive Logo signs shall be for 24hour pharmacy, attraction, camping, lodging, food, and gas
services, in that order.
A Logo sign shall display the word message GAS, FOOD,
LODGING, CAMPING, ATTRACTION, or 24-HOUR
PHARMACY an appropriate directional legend such as the
word message EXIT XX, NEXT RIGHT, SECOND RIGHT,
or directional arrows, and the related logo sign panels.
GUIDANCE:
A word message logo, not using a symbol or trademark,
should have a blue background with white legend and
border.
No more than three types of services shall be represented
on any sign or sign assembly. If three types of services are
displayed on one sign, then the logo sign panels shall be
limited to two for each service type (for a total of six logo
sign panels). If two types of services are displayed on one
sign, then the logo sign panels shall be limited to either three
for each service type (for a total of six logo sign panels) or
four for one service type and two for the other service type
(for a total of six logo sign panels). The legend and logo sign
panels applicable to a service type shall be displayed such
that the road user will not associate them with another
service type on the same sign. No service type shall appear
on more than two signs.
SUPPORT:
Section 2J.5 contains information regarding the minimum
letter heights for logo sign panels.
OPTION:
Where business identification symbols or trademarks are
used alone for a logo, the border may be omitted from the
logo sign panel.
A portion of a logo sign panel may be used to display a
supplemental message horizontally along the bottom of the
logo sign panel, provided that the message displays essential
motorist information (see Figure 2J-3).
The signs shall have a blue background, a white border,
and white legends of upper-case letters, numbers, and
arrows.

Where a service type is displayed on two signs, the signs
for that service should follow one another in succession.
The Logo signs should be located to take advantage of
natural terrain, to have the least impact on the scenic
environment, and to avoid visual conflict with other signs

used, the circle should have a diameter of 10 inches and the
letters should have a height of 6 inches.
If a State or local agency elects to display the designation
of businesses as providing on-premise accommodations for
recreational vehicles with the RV ACCESS supplemental
message or the RV Access circular message, there should be
a statewide policy for such designation and criteria for
qualifying businesses. The criteria should include such site
conditions as access between the public roadway and the
site, on-premise geometry, and parking.
STANDARD:
All supplemental messages shall be displayed within the
logo sign panel and shall have letters and numerals that
comply with the minimum height requirements shown in
Table 2J-1.
GUIDANCE:
A logo sign panel should not display more than one supplemental message.
The supplemental message should be displayed in a color
to contrast effectively with the background of the business
sign or separated from the other legend or logo by a divider
bar.
STANDARD:
A logo sign panel shall not display the symbol/trademark
or name of more than one business.

SUPPORT:
Typical supplemental messages might include DIESEL,
24 HOURS, CLOSED and the day of the week when the
facility is closed, ALTERNATIVE FUELS (see Section
2I.3), and RV ACCESS.
Number and Size of Signs and Logo
Sign Panels
GUIDANCE:
Sign sizes should be determined by the amount and height
of legend and the number and size of logo sign panels
attached to the sign. All logo sign panels on a sign should be
the same size.
OPTION:
The RV ACCESS supplemental message may be circular.
STANDARD:
Each Logo sign or sign assembly shall be limited to no
more than six logo sign panels.
STANDARD:
If the RV ACCESS supplemental message is circular, it
shall be the abbreviation RV in black letters inside a yellow
circle with a black border and it shall be displayed within the
logo sign panel near the lower right-hand corner (see Figure
2J-4).

OPTION:
Where more than six businesses of a service type are eligible
for logo sign panels at the same interchange, additional logo
sign panels of that same service type may also be displayed
in accordance with the provisions of the following Standard.
The additional logo sign panels may be displayed either by
placing more than one service type on the same sign (see
Paragraph 3 of the Standard in Section 2J.2) or by using a
second Logo sign of that service type if the additional sign
can be added without exceeding the limit of four Logo signs
at an interchange approach (see Guidance in Section 2J.2).
STANDARD:
The Logo signs shall be installed between the preceding
interchange and at least 800 feet in advance of the Exit
Direction sign at the interchange from which the services are
available (see Figure 2J-2).
GUIDANCE:
There should be at least an 800 foot spacing between the
Logo signs, except for Logo ramp signs. However, excessive
spacing is not desirable. Logo ramp signs should be spaced
at least 100 feet from the exit gore sign, from each other, and
from the ramp terminal.
STANDARD:
Where logo sign panels for more than six businesses of a
service type are displayed at the same interchange or intersection approach, the following provisions shall apply:

No more than 12 logo sign panels of a service type shall
be displayed on no more than two Logo signs or sign
assemblies;
No more than six logo sign panels shall be displayed on
a single Logo sign; and
No more than four Logo signs shall be displayed on the
approach.
Single-Exit Interchanges
STANDARD:
At numbered single-exit interchanges, the name of the
service type followed by the exit number shall be displayed
on one line above the logo sign panels. At unnumbered interchanges, the directional legend NEXT RIGHT (LEFT) shall
be used.
At single-exit interchanges, Logo ramp signs shall be
installed along the ramp or at the ramp terminal for facilities
that have logo sign panels displayed along the main roadway
if the facilities are not readily visible from the ramp
terminal. Directions to the service facilities shall be
indicated by arrows on the ramp signs. Logo sign panels on
Logo ramp signs shall be duplicates of those displayed on
the Logo signs located in advance of the interchange, but
shall be reduced in size (see the third Standard of Section
2J.4).
SUPPORT:
Section 2J.8 contains information regarding Logo signs
for double-exit interchanges.
STANDARD:
Each logo sign panel attached to a Logo sign shall have a
rectangular shape with a width longer than the height. A logo
sign panel on signs for freeways and expressways shall not
exceed 60 inches in width and 36 inches in height. A logo
sign panel on signs for freeway and expressway ramps shall
not exceed 30 inches in width and 18 inches in height. The
vertical and horizontal spacing between logo sign panels
shall not exceed 8 inches and 12 inches, respectively.
GUIDANCE:
Logo ramp signs should include distances to the service
facilities.
SUPPORT:
Sections 2A.14, 2E.15, and 2E.16 contain information
regarding borders, interline spacing, and edge spacing.

OPTION:
An exit number plaque (see Section 2E.31) may be used
instead of the exit number on the signs located in advance of
an interchange.

each section. At unnumbered interchanges, the word

(LEFT) shall be used in place of the exit number. The
number of logo sign panels on the sign (total of both
sections) or the sign assembly shall be limited to six.

STANDARD:
Logo trailblazer signs shall be installed along crossroads
where the route to the business requires a direction change,
where it is questionable as to which roadway to follow, or
where additional guidance is needed. Where it is not feasible
or practical to install Logo trailblazer signs to such
businesses, those businesses shall not be considered eligible
for signing from the ramp and main roadway. A Logo
trailblazer sign shall not be required at the point where the
business is visible from the roadway and its access is readily
apparent.
GUIDANCE:
At a double-exit interchange, where a service type is
displayed on two Logo signs in accordance with the
provisions of Section 2J.4, one of the signs should display
the logo sign panels for that service type for the businesses
that are accessible from one of the two exits and the other
sign should display the logo sign panels for that service type
for the businesses that are accessible from the other exit.
GUIDANCE:
If used, a Logo trailblazer sign should be located a
maximum of 500 feet in advance of any required turn.
OPTION:
At a double-exit interchange where there are four logo
sign panels to be displayed for one of the exits and one or
two logo sign panels to be displayed for the other exit, the
logo sign panels may be arranged in three rows with two
logo sign panels per row.
STANDARD:
The location of other traffic control devices shall take
precedence over the location of a Logo trailblazer sign.
When used, each Logo trailblazer sign or sign assembly
shall be limited to no more than four logo sign panels. The
logo sign panels on Logo trailblazer signs shall be duplicates
of those displayed on the Logo ramp signs.
At a double-exit interchange, where a service is to be
signed for only one exit, one section of the Logo sign may

EXHIBIT 4 APPEALS PROCESS FOR LOGO ATTRACTION BUSINESS PANELS MnDOT retains the authority to deny requests for signing where acceptable standards cannot be met, including locations where other supplemental guide signs are already in place. Requests denied based on Minnesota Statutes or engineering standards (i.e. insufficient space and design standards) may not be appealed. At the discretion of the District Traffic Engineer, signing requests denied based on MnDOT policy may be appealed to the External Sign Variance Committee (ESVC). The ESVC is composed of persons outside of MnDOT who meet periodically to consider various requests for signing. The group serves as a variance committee making recommendations to the Commissioner's Office on signing requests that have been denied by the district office or Minnesota Logos. They review requests to see if the denials can be substantiated to have negative effects on the requester and/or motorists. The ESVC also reviews policies and criteria on informational signing matters. The Chairperson is a MnDOT employee who serves in a non‐voting capacity to organize and schedule all functions of the ESVC. This individual serves as secretary and records decisions on sign variance requests. The chair represents the ESVC, not MnDOT, on all matters pertaining to the ESVC. If you have been denied signing by Minnesota Logos and desire to appeal, you should contact the Chairperson listed below. The procedures for this Committee are as follows: 1. A requester who has been denied signing by Minnesota Logos and is interested in appealing the decision must submit a written request for a hearing by the ESVC. The requester should contact the chair of the ESVC directly, and will then be advised of procedures and meeting date. The ESVC hears the requester's appeal and MnDOT's presentation separately. 2. For each signing request, the recommendations made by the ESVC and the State Traffic Engineer are forwarded to the Commissioner's Office for review. Presentations on each request are made to a special committee (Internal Sign Variance Committee) appointed by the Commissioner for final concurrence or denial. The requester and Minnesota Logos will be notified by the chair of the ESVC of the decision made by the Commissioner. 3. If the ESVC and the Commissioner approve the variance, the letter from the ESVC will notify the requester with additional instructions. The requester will then work with the Minnesota Logos to complete the process. All costs pertaining to signing will be the responsibility of the requester. 4. If the ESVC and the Commissioner deny the variance, the requester will be unable to reapply unless there is a significant change in the request. 5. If the requester is unable to attend the appointed ESVC meeting, they are required to notify the ESVC Chairperson at least 48 hours prior to the meeting date. Nonattendance without prior notification will result in an automatic denial for the facility. The requester cannot present to the ESVC again unless there is a significant change in their request.
