AVOIDANCE ACTIONS, EFFECTIVE AS OF JUNE 2, 2016
Upon consideration of the application (the “Application”)2 of the Committee
pursuant to sections 1103(a) and 328(a) of the Bankruptcy Code seeking authorization to retain
and employ Gellert Scali Busenkell & Brown, LLC (“GSBB”) as local special counsel to pursue
Avoidance Actions in the above-captioned cases; and upon the Gellert Declaration and the

Kennedy Declaration attached to the Application as Exhibits B and C, respectively; and the
Court being satisfied based on the representations made in the Application and the Gellert
Declaration that GSBB does not hold or represent any interest adverse to the Debtors’ estates,
and that the employment of GSBB as local special counsel to the Committee is necessary and in
the best interests of the Debtors’ estates; and it appearing that the Court has jurisdiction to
consider the Application; and it appearing that due notice of the Application has been given and
no further notice need be given; and upon the proceedings before the Court; and after due
deliberation and good and sufficient cause appearing;
IT IS HEREBY ORDERED THAT:
1.
The Application is GRANTED as set forth herein.
2.
The Committee is hereby authorized, pursuant to section 1103(a) and
328(a) of the Bankruptcy Code, to retain and employ GSBB as local special counsel in these
chapter 11 cases, effective as of June 2, 2016, pursuant to the terms set forth in the Application.
3.
The Committee and ASK are hereby authorized to compensate GSBB in
accordance with the terms and conditions set forth in the Application.
4.
Except as provided under section 328(a) of the Bankruptcy Code, GSBB’s
fees, which are to be paid solely by ASK LLP and not by the Committee or the Debtors’ estates,
shall not be subject to further review or challenge.
5.
GSBB shall comply with all provisions of the Final DIP Order regarding
the pursuit and/or disposition of Avoidance Actions.

The Committee and GSBB are authorized and empowered to take all
actions necessary to implement the relief granted in this Order.

The terms and conditions of this Order shall be immediately effective and
enforceable upon its entry.

or related to the implementation of this Order.
