Mrs. M. Bruns moved, Mr. M. Wesche seconded the motion to adjourn to executive session at
7:02 p.m. to consider matters required by federal laws or rules or state statutes to be kept
confidential.

Bostelman, Fogo, Cowell and Weber left the executive session at 7:28 p.m.
The Board of Education returned to the regular session at 7:41 p.m.

Superintendent regarding the student disciplinary matter.

SUPERINTENDENT’S REPORT
1. Facilities Update – Fogo
As a quick update, the abatement of CD Brillhart is complete. The demolition contractor
will be mobilizing later this week or early next week. The abatement crew is at West
currently and we are in the post-bid stages for identifying the winner demolition bidder –
the architect and district meet with the low bidder and ensure that the bid specifications

are included in the contractor’s bid, discuss timelines, and remind the contractor of the
requirements for working with the City Engineer’s department prior to and during the
demolition. Lastly, the district is beginning to meet with local realty firms to discuss the
marketing and sale of the West property once the demolition is completed.
2. Civic Center Proposal - Fogo
In January, the Civic Center Foundation proposed to the Board that the John L Johnson
Auditorium and a portion of Central Elementary be preserved from demolition and turned
over to the Civic Center Foundation for $1. I’ve asked that trustees representing the Civic
Center be here this evening to further discuss their proposal to the Board. I see Tom and
Ken, so if you two would come forward. Just to start off, could you remind the Board and
the audience of what the proposal is and if you would, please include the process for
restoring the JLJ and approximate timelines.
Fogo – What parts of the building are not being destroyed and what happens when the partial
demo is done?
Tom Jenny – We will board up holes and are fundraising to cap holes eventually. The lower
gym will be used as a gymnasium and banquet hall. Auditorium would have 700 seats and
used for plays and concerts. Classrooms would be used for meeting areas or other groups in
the community. Upper gym would be used as basketball facility. Multi use for citizens of
city.
Cashman – Any discussion with the City regarding grounds maintenance?
Jenny – Things are negotiable; perhaps trade use of gyms and soccer fields for maintaining
grounds, etc. The City is interested. The city manager did not feel a zoning change would be
a problem.
Cashman – What is the estimate of cost for capping the ends?
Jenny - $700,000.00 approximately and does not include in kind services.
Cashman – What is the annual maintenance and upkeep costs?
Jenny – It should be cheaper than it is now. Units for the gyms and auditorium and single
units for the classrooms; but not sure of the exact figure. Groups using rooms would pay
utilities.
Wesche – I thought we would get the information on the bank financing; have we received
it?
Fogo – No
Jenny – We have worked on a business plan with the bank and Board of directors and they
have a meeting this Friday.
Wesche – Is that essential for the project?
Jenny – The bridge loan will be necessary but hopefully we will not need to use it.
Cashman – Could you provide an update of what the fundraising is?
Jenny – We have approximately $300,000.00 in cash and pledges.
Otto – How much in cash?
Jenny – Not sure at the moment but pledges are as good as cash.

Neuenchwander - $700,000.00 also includes the demo costs which they won’t be responsible
for. It is difficult to say exactly since part will be in-kind services and volunteer labor.
Rettig – It would be difficult to bid with a partial demo.
N – There will be six opening on both ends of the corridor.
Cashman – Is it the banks intention to have an answer after this meeting?
Jenny – I cannot speak for the bankers but we are hopeful.
Otto – How much are you asking for?
N – Mr. Wendt was estimating $300,000.00 for the bridge loan. We do not want to have to
use the bridge loan; it is a safety net. The bank also mentioned that they have not said
anything about a direct donation yet, but NCC is hopeful for a donation.
Rettig – Does $300,000.00 in pledge and cash include the $100,000.00 from the State?
Jenny – Yes
Fogo – Are there any strings attached?
Rob McColley – No strings, would have $100,000.00 from the Capital Budget.
Cashman – Would more come in the future from the State?
McColley – Sometimes at the end of year funds left over go into the Capital Budget and then
they are sometimes allocated to projects in certain Districts. It could happen again if the
economy is good, but I would not bank on it.
Rettig – Assess grant success for NCC?
McColley – Not sure of available grants but my office would help in any way possible.
Wesche – Does the Board have a legal obligation to demolish the building if there is no NCC
project?
Fogo – Yes
Wesche – The cost share is 62% us and 38% State.
Fogo – OFCC wants to complete this project and would like demo abatement to start ASAP.
Any unused funds go back to the State and are reallocated back to other schools. Once done
the State money goes away so in the future if the project does not succeed we would not have
the funds to demolish it and we would not be responsible since we wouldn’t own it.
Wesche – If sold for $1.00; we the Board have no further obligation? Only the demolition
we agreed to; when would we demo if it is not sold and the State would like it by July 31st?
Rettig – Any additional cost by delaying?
Fogo – Only cost would be remobilization of abatement team but we are not sure of the
amount.
Rettig – Partial demolition of old building; what liability is there and is the bid back?
Fogo – No estimates are back; no one wants to guess and we want contractors to bid. Part of
contract with NCC would be no Board responsibility for collapsing walls.
Rettig – Is that OK with NCC?
N – We are not expecting the Board to incur any costs once walls are removed. Everything is
on hold until the land is turned over.
Fogo – Total demolition drawings bid package is ready – the partial demo will be an
alternate. There will be some cost to shore up the walls and NCC understands this. We do
not know what difference in cost will be.
Wesche – Will project go forward without the bridge loan?
N – We intend to, yes. Donations and pledges have stalled but we expect it to pick back up
when the deed is transferred.

Rettig – Understand that this is an emotional issue and we want all the facts we can get. We
are trying to do what is best for the community.
Jenny – This started back in 2012 and we are trying to do our due diligence and have a
business plan, 501(c) (3) designation. I play trumpet and see what other communities have
and would like to see that for Napoleon.
Fogo – What do you see happening if all goes well; what is the timeline?
N – Board up the six openings, and then close up those openings. It is up to Lanzers how
long it would take them to close in openings. We would want the facility open ASAP; gym,
JLJ and banquet halls are first priorities after the walls are complete.
Fogo – What is the cost to renovate the facility?
N – Would have two gyms almost immediately and would want a banquet hall; we would
want it zoned as multipurpose.
Fogo – 2.5 million all in?
N – That is what Beilharz said initially. $700,000.00 gets the building functional. Nothing
can happen till we know.
Rettig – We are considering this and would like to see donors come forward and make our
decision easier.
N – Some donors do not want to be known. Buckenmeyer stadium was projected over 2
million and it was built for under 1 million.
Cashman – Board does not want a boarded up building. What happens if funding doesn’t
happen?
N – After five years if we do nothing then the City would come after us.
Otto – Any ideas of buying building as is?
Jenny – Yes, but the older part has just deteriorated too much; also the cut off part that is
below grade. We also want to reduce roofing responsibility.
N – Believe Loose Field will stay as a recreational facility and the City will move forward
afterwards.
Rettig – When do you expect other bids on CES/NMS?
Fogo – I do not have an answer on that one; will check with Beilharz.
N – If the bank falls through, we will need to meet as a group to see if they want to move
forward.
Wesche – Trying to figure out timing.
N – Can the Board vote with a contingency?
Wesche – The Board has expressed what we are willing to do. We would like to see the bank
commitment. We want to know how much of the building to demolish. Let’s extend until
we hear what the bank says.
Sue Schink – NCC is not aware of your true intent. Is $1.00 what is agreed to if we our
ducks in a row?
Rettig – That would be fair to say.
Fogo – Any additional cost for demolition as a result of the project would be NCC
responsibility.
Schink – So we are on the same page?
N – Can get the building in the dry for $300,000.00 we currently have. There are estimates
from Brent Gray.
Rettig – He is nervous to give hard numbers due to delicate structure.

Wesche – I have never heard the Board speak of a purchase price of more than $1.00 but
additional legal costs, architectural fees and difference in demolition cost would be
responsibility of NCC.
Nicole Fry – Is there a number for the building; is it $700,000.00? What do you need from
us?
Cashman – Bank commitment is key. The number on the building is tough to answer because
we have no actual figures.
Jenny – Can we do it contingent on the bank approval?
Wesche – Generally a letter of commitment has conditions.
N – In conversation with Mr. Wendt, he felt the $300,000.00 would be a good for the bridge
loan and bank would hold the first mortgage on the building. Bank Board of Directors asked
me to do this.
Truus Leaders – Community has nothing; we need to save this and need this theater for
cultural presence. It is a boring town.
Schink – When can we meet again?
Rettig – We have to give a 24 hour notice.
Fogo – Jobs are at stake without community growth. My job is to protect NACSD. If you
cannot finish the job it will be the last time we pass a levy in the future.
Leaders – This is different than McClure.
Rettig – We are asking hard questions to get data May 2nd could be a special Board of
Education meeting at 7:00 p.m.

AUTHORIZING CHANGE ORDER TO MAUMEE BAY TURF CENTER CONTRACT
The Superintendent recommends approval of a change order to the agreement with Maumee Bay
Turf Center (MBTC) for additional work to resurface the track at Buckenmeyer Stadium and to
recrown and update the irrigation system for the varsity football and soccer practice field.
Rationale:
1. The Board previously authorized a field turf project with MBTC and approved an
agreement with MBTC for the project.
2. The turf project has generated a large amount of topsoil that can be used to provide a
needed makeover for the varsity football and soccer field, rather than incurring the cost to
have the topsoil hauled away from the site, and the irrigation system at the field needs to
be updated prior to the recrowning of the field with the extra topsoil.
3. MBTC has provided pricing for the irrigation system updates and recrowning the varsity
football and soccer field in the total amount of $49,750.
4. MBTC has also provided pricing to resurface the track at Buckenmeyer Stadium with the
installation of a new running chute in the total amount of $166,500.
5. The work can be added by change order to the existing contract with MBTC, which was
based upon AEPA pricing through the District’s membership in the Southwestern Ohio
Educational Purchasing Council, which is a member of Ohio Council of Educational
Purchasing Consortia, the Ohio member of AEPA.
BE IT RESOLVED by the Napoleon Area City School District Board of Education as follows:
1. The change order to the Maumee Bay Turf Center contract for the field turf project at the
football stadium is approved in the total amount of $216,250 to add the track resurfacing
with a new running chute and the recrowning and updated irrigation system for the
varsity football and soccer field to MBTC’s scope of work.
2. The Superintendent and Treasurer are authorized to proceed with the added work and
issue a purchase order for the change to the MBTC contract in the amount of $216,250.
43. accept the financial reports as presented in Exhibits A-D.
44. approve the appropriation modifications as presented in Exhibit E.

S. Fogo – This money has been set aside for two years. This lets us have State term pricing and
do it at the same time. Also, the dirt from the Buckenmeyer will go to do irrigation at football and
soccer practice fields to save the cost of hauling dirt away.
M. Wesche – Track is resurface and adding the chute?
S. Fogo – Asphalt should be stable and this resurfaces the track.

T. Otto: Attended the play and enjoyed if very much. In favor of NCC vision but need to see more of a
plan.

M. Bruns: Went with the band to Orlando and they did a fantastic job and were a great group of kids and
a great band director.
R. Rettig: Attended the play; seating and sound were nice and the kids did a great job.
