3.9. CONFLICT OF LOYALTY POLICY
CMRF Crumlin CONFLICT OF LOYALTY POLICY
The strength of CMRF Crumlin comes from the broad range of skills, experience, expertise
and backgrounds of its Board members which are recognised and acknowledged. Therefore
as volunteers CMRF Crumlin Board members may be connected with other not for profit
organisations.
The purpose of the CMRF Crumlin Conflict of Loyalty Policy for Board members is to fully
understand where the potential of conflict arises and how we resolve and harness such
conflicts.
The Board of Directors of CMRF Crumlin has adopted the following policy designed to deal
with any possible conflict of loyalty in which a Board members loyalty to the Foundation
conflicts with his or her loyalty to another not for profit organisation, to which he or she is
connected to.
Such conflicts of loyalty may not necessarily disqualify an individual from Board
membership, however it is important that any potential conflicts that may exist are
understood at Board level.
A "possible conflict of loyalty" is deemed to exist where a board member may be involved in
board decisions and may be (or perceived to be) potentially influenced by considerations
other than the best interests of the organisation. This might happen when the board member
has come onto the board as a nominee of a particular group e.g. members in a particular
county, a funding body, beneficiaries or staff. This situation may possibly cause the board
member to think that they should act in the interests of the grouping which nominated them.
However, in all cases, regardless of their route onto a board of directors, all board members
should act in the interests solely of the organisation on whose board that they sit, rather than
acting in the interests of the grouping which nominated them. Conflicts of loyalty may be
sufficiently serious to amount to conflicts of interest.
Examples of when a possible conflict of loyalty might occur:


Where a family member of a Board member is employed by CMRF Crumlin.

Where a Board member takes up an executive, staff or Board position with
another fundraising organisation with similar objectives.

A nominee of a particular group
1. Responsibilities of Directors. The opportunity to declare conflicts of loyalty will be
given at the time of joining the CMRF Crumlin Board. Specific time will also be
scheduled at some Board meetings to declare potential conflicts that arise after
members join. The annual compliance review will provide another opportunity to
declare and identify potential conflicts of loyalty. Conflicts can also be brought to the
attention of the Chairperson as they arise. In the instance where a director is in doubt
of a potential conflict they should revert to the Chairperson as soon as possible.
2. Register of Conflicts of Loyalty
A register of all conflicts of loyalty will be kept by the CMRF Crumlin compliance
officer. This register will be reviewed and updated as conflicts are declared. The
register will be accessible by the Chairperson of the CMRF Crumlin Board and the
Chairperson of the CMRF Crumlin Governance committee.
3. Dealing with conflicts of loyalty:
Background monitoring of all potential conflicts will be carried out by the CMRF Crumlin
Compliance Officer and the CMRF Crumlin Finance Manger. This monitoring will be
informed by the Board agenda. The Chairperson of the CMRF Crumlin Board in consultation
with the Chairperson of the Governance Committee will review the register of conflicts of
loyalty identifying any conflicts that may preclude a Board member from participation. It is
the responsibility of the CMRF Crumlin Board members to ensure that any conflicts of loyalty
are declared when conducting Board business and that the individual excludes themselves
from the conversation.
This policy statement shall be made available to each Board member and each person
appointed to a CMRF Crumlin position.
I have read and understand CMRF Crumlin’s policy on Potential Conflicts of loyalty. I agree
to report promptly any such interest which arises in my conduct of CMRF Crumlin’s business
and, in other respects, to comply with the policy and its procedures.
