DECLARATION OF MARK HERBERS
I, Mark Herbers, make this declaration and certify as follows:
1.
I am a Director of AlixPartners, LLP (“AlixPartners”), and an Authorized
Representative of AP Services, LLC (“APS”), which maintains offices at 40 West 57th Street, 29th
Floor, New York, NY 10019.
2.
I have significant expertise in interim crisis management and have advised senior
management and boards of directors of companies in various industries in connection with the
design and implementation of sound turnarounds and restructurings.
3.
I am familiar with the work performed by APS for the Debtor.
4.
No agreement or understanding exists between APS and any other persons or parties
to share in any compensation received in connection with these chapter 11 cases, other than as among
members of APS or AlixPartners.
5.
This declaration is submitted pursuant to section 504 of title 11 of the United States
Code, Rule 2016 of the Federal Rules of Bankruptcy Procedure and the Local Rules of the
Bankruptcy Court for the Western District of Texas (the “Local Rules”).
6.
I have read the Application, and to the best of my knowledge, information and belief,
formed after reasonable inquiry, the compensation and expense reimbursement sought is in

conformity with the guidelines contained in the Local Rules. The compensation and expense
reimbursement requested are billed at rates, in accordance with practices, no less favorable than those
customarily employed by the APS and generally accepted by APS’s clients.

knowledge, information, and belief.
