PROPOSED CHANGES TO THE CONSTITUTION – for consideration at the 2013 AGM PROPOSED CHANGE NO. 1 Increase the annual work party levy We have experienced minimal turn-out to work partys in recent years. The costs of maintaining and developing the lodge are increasing. The committee conducted a questionnaire to our members re work partys. Timing, levy value etc... Responses supported an increase to the work party levy. The committee recommends the following: Proposal: Increase work party levy: Committee recommends an increase of $20 family for those on family subscriptions and an increase of $10 for all other categories (Senior, 1 Parent and 1 Junior or Intermediate, Midweek and Midweek Couple). PROPOSED CHANGE NO. 2 To ensure we maintain our Certificate of Exemption for Resident Withholding Tax (RWT) Inland Revenue advised us to make the following changes to our constitution and rules to ensure we maintain our Certificate of Exemption for RWT. (Wording supplied by Inland Revenue). • • • wording of “Objects” should include the word “amateur”. Alteration of rules needs strengthening so clauses dealing with “aims, payments to members and winding up” cannot be changed. Remuneration may be paid in return for services actually rendered, with specific provisions. Proposed additional wording is in red Section 3 OBJECTS. Insert “amateur” to clauses 3.1, 3.2 and 3.5 Original text: 3.1 To encourage and promote ski running in all its forms including ski racing, snow boarding, ski jumping and touring on skis, both in New Zealand and overseas 3.2 To encourage and promote mountaineering, mountain exploring, snowcraft, alpine sports and activities 3.3 3.4 3.5 To hold, encourage, promote and support alpine sporting competitions, championships, and any like events and members participation in them 3.6 Amended text: 3.1 To encourage and promote amateur ski running in all its forms including ski racing, snow boarding, ski jumping and touring on skis, both in New Zealand and overseas 3.2 To encourage and promote amateur mountaineering, mountain exploring, snowcraft, alpine sports and activities 3.3 3.4 3.5 To hold, encourage, promote and support amateur alpine sporting competitions, championships, and any like events and members participation in them Section 7 COMMITTEE. Delete clause 7.12. Add it to new section 9 below as clause 9.2 Create new section 9 PAYMENTS TO MEMBERS Add new clause 9.1 and insert old clause from 7.12 as 9.2 New and amended text: 9.0 PAYMENTS TO MEMBERS 9.1 No private pecuniary profit shall be made by any member of the Club, except that: (a) Any member may receive full reimbursement for all expenses properly incurred by that member in connection with the affairs of the Club; (b) The Club may pay reasonable and proper remuneration to any member of the Club as an honorarium in return for services actually rendered to the Club. Provided however that any member, or any person associated with a member, who is to receive remuneration in accordance with this clause shall not by virtue of that member’s capacity in any way determine or materially influence the amount of the remuneration to be paid. 9.2 The honorariums of the Secretary and Treasurer, or the Secretary/Treasurer if those positions are combined, and of the Catering, Works and Booking Officers shall from time to time be fixed for the new financial year by the Club at the Annual General Meeting after recommendation by the Committee. Renumber sections 7.13 to 7.15 to become 7.12 to 7.14 Renumber sections 9.0 to 16.1 to become 10.0 to 17.1 Section 14.0 becomes section 15.0 ALTERATIONS TO RULES Section 14 currently reads: 14.0 ALTERATIONS TO RULES 14.1 Any additions to, amendment or rescission of these Rules shall be Special Business and shall be made only by a resolution passed by the required majority at an Annual General Meeting of the Club or at a Special General Meeting called for that purpose. Notice of motion for alteration, amendment or rescission shall be given to the Secretary in accordance with Rule 6.6 and by the Secretary to the members in accordance with Rule 6.2 Add clause 14.2 New numbering and additional text: 15.0 ALTERATIONS TO RULES 15.1 Any additions to, amendment or rescission of these Rules shall be Special Business and shall be made only by a resolution passed by the required majority at an Annual General Meeting of the Club or at a Special General Meeting called for that purpose. Notice of motion for alteration, amendment or rescission shall be given to the Secretary in accordance with Rule 6.6 and by the Secretary to the members in accordance with Rule 6.2 15.2 No addition to or alteration of the objects, payments to members section or the winding up section shall be approved without the approval of Inland Revenue. The provisions and effect of this clause shall not be removed from this document and shall be included and implied into any document replacing this document.
