1) in the name of the Articles of Association the word “Open” shall be replaced with the
work “Public”;
2) clauses 1, 3, and 4 shall be amended to read as follows:
“1. Public Joint Stock Company “State Savings Bank” (hereinafter referred to as the
Bank) is a state bank.
The Bank is established by Order of the President of Ukraine of May 20, 1999 No. 106,
Resolution of the Cabinet of Ministers of Ukraine of May 21, 1999 No. 876 by transformation of
State Specialised Commercial Savings Bank of Ukraine into Open Joint Stock Company “State
Savings Bank”, the type of which is changed to Public Joint Stock Company in accordance with
the Law of Ukraine “On Joint Stock Companies”.
“Activity of the Bank is governed by the Constitution and the Laws of Ukraine “On
Banks and Banking”, “On the National Bank of Ukraine”, “On Joint Stock Companies”, other
laws, acts of the President of Ukraine, the Cabinet of Ministers of Ukraine, the National Bank of
Ukraine, and these Articles of Association.
4. Full name of the Bank:
in Ukrainian – публічне акціонерне товариство «Державний ощадний банк
України”;
in English – Public Joint Stock Company “State Savings Bank of Ukraine”;
in Russian – публичное акционерное общество «Государственный ощадный банк
Украины”.
Short name:
in Ukrainian – АТ “Ощадбанк”;
in English – JSC “Oschadbank”;

3) passages one and three of clause 6 shall be amended to read as follows:
“6. The Bank is a legal entity having its own property, may on its own behalf acquire
property and personal non-property rights, including perform juridic actions (agreements,
contracts), sue and be sued (participate in legal proceedings) in courts of general jurisdiction
(including commercial, administrative courts), or arbitration courts.”
“The Bank shall obtain the status of a legal entity in accordance with the legally
established procedure”;
4) in clause 8 the figures “01023” shall be removed;
5) in passage one of clause 11 the words and figures “in accordance with the structure of its
assets, over 50 percent of which is private deposits of individuals,” shall be removed;
6) the second sentence of passage two of clause 16 shall be amended to read as follows:
“Authorised Capital of the Bank shall be increased by contribution of additional shares
having the current par value, or increase of their par value.”;
7) in clause 19:
sentence: “A share shall confirm corporate rights of a shareholder for the Bank” shall be
appended to passage one;
in passage two the words “The Bank issues” shall be replaced with the words “The Bank
performs issue”;
clause shall be appended to the clause as follows:
“The Bank shall have the right to consolidate and divide shares in accordance with the
procedure established by the Securities and Stock Market State Commission.”;
8) passages three and four of clause 20 shall be amended to read as follows:
“The Bank is prohibited to pay dividends or divide capital in any form, if such payment
or division lead to breach of standard capital adequacy.
The Bank shall give notice to the Cabinet of Ministers of Ukraine of the date, amount,
procedure, and period of payment of dividends within ten days from the date of decision to pay
dividends.”;
9) in clause 21:
in passage ten the words “, and may act as a registrar of the State Register of Movable
Property Pledges” shall be removed;
passages twenty four and twenty five shall be amended to read as follows:
“operations under money claims, provision of guarantees, guarantees under money
obligations;
financing for assignment of legal claim (factoring), and keeping of related accounting of
money claims of customers to debtors, presentment of money claims on behalf of customers or
or its own behalf, as well as other operations aimed at obtaining of funds from a debtor;”;
10) in clause 22:
in passage two the words “upon consent of the National Bank of Ukraine” shall be
removed;
in passage ten the word “percent” shall be replaced with the word “percent”;
in passage eleven the words “percentage rates” shall be replaced with the words “interest
rates”;
11) clause 23 shall be amended to read as follows:
“23. Branches, territorially separated off-balance sheet outlets (within the scope of
competence provided by the Regulations on them) of the Bank shall have the right to take
measures for pre-trial dispute settlement, submit claims, statements of defense, other procedural
documents to courts of general jurisdiction (including commercial, administrative courts) or
arbitration courts, and perform legal proceedings provided by the laws on behalf of the Bank.”;
12) in clause 26 the words “and other banks” shall be replaced with the words “, other banks
and financial establishments”;
13) in passage three of clause 29 the words “Employees of the Bank” shall be replaced with
the words “Managers and employees of the Bank”;
14) in clause 32:
new passages shall be appended to the clause after passage six as follows:
“The reserved matters of the Supervisory Board include deciding on:
determination of the key lines of activity of the Bank and approval of their performance
reports;
approval of annual performance of the Bank, including its subsidiary enterprises;
approval of reports and opinions of the Audit Commission and an external auditor;
allocation of profit and cover of loss.”
Therefore, passages seven to thirty eight shall be considered to be passages twelve to
forty three correspondingly;
passages eighteen and nineteen shall be amended to read as follows:
“- investment in the Authorised Capital of legal entities (purchase of shares), except
obtaining of ownership of shares due to exercise of a pledgee’s right;
- interest of the Bank in bank corporations, bank holding groups, and financial holding
groups, and on determination of the list of authorities transferred by the Bank to such bank
associations;”;
a new passage shall be appended to the clause after passage nineteen as follows:
“ – interest of the Bank in non-profit societies or associations;”
Therefore, passages twenty to forty three shall be considered to be passages twenty one to
forty four correspondingly;
passage twenty one shall be amended to read as follows:
“- issue, division, or consolidation of shares of the Bank on the basis of acts of the
Cabinet of Ministers of Ukraine;”;
in passage thirty five the words “contracts (agreements)” shall be replaced with the word
“juridic actions”;
15) in clause 33:
passage one shall be amended to read as follows;
“33. The procedure of formation of the Supervisory Board, termination of authorities of
its members, the number of members and personal composition of the Supervisory Board shall
be determined in accordance with the laws.”;
in passage six the words “than twice a year” shall be replaced with the words “than once
a quarter”;
in passage seven the word “five” shall be replaced with the word “eight”;
passage ten shall be removed;
passage eleven shall be amended to read as follows;
“Members of the Supervisory Board in accordance with the laws shall bear responsibility
for protection of interests of the state and the Bank, keeping of bank secrecy, and other
confidential information that became known to them in relation to performance of their
authorities. Upon appointment members of the Supervisory Board shall sign an obligation to
keep bank secrecy. In case of observance of breach of these provisions by a member of the
Supervisory Board, or any other breaches of it the Management Board of the Bank may submit a
petition to the Supervisory Board for dismissal of such member. After consideration of the
petition and making of the respective decision the Supervisory Board may apply to the
Verkhovna Rada of Ukraine, the President of Ukraine, the Cabinet of Ministers of Ukraine
correspondingly regarding bringing up of an issue of termination of authorities of the members
of the Supervisory Board, appointed by them, and who allowed such breaches;”;
16) in clause 34:
the sentence: “The number of members of the Management Board of the Bank is eleven”
shall be appended to passage seven;
the words “, territorially separated off balance sheet outlets and representative offices”
shall be appended to passage twenty one;
in passage twenty three the words “percentage rates” shall be replaced with the words
“interests rates”;
new passages shall be appended to the clause after passage twenty five as follows:
“to decide on issue and placement of savings (deposit) certificates;
to decide on floating of bonds of the Bank;”
Therefore, passages twenty six – fifty five shall be considered to be passages twenty eight
– fifty seven correspondingly;
in passage thirty the words “conclusion of agreements” shall be replaced with the words
“performance of juridic actions”, and the words “fixed assets” shall be replaced with the word
“property”;
new passage shall be appended to the clause after passage thirty five as follows:
“to decide on assignment of the shares obtained due to exercise of the pledgee’s right;”.
Therefore, passages thirty six – fifty seven shall be considered to be passages thirty seven
– fifty eight correspondingly;
passages thirty nine, forty, and forty nine shall be removed;
17) in clause 35:
in passage eight the words “conclusion of agreements” shall be replaced with the words
“performance of juridic actions”, and the words “fixed assets” shall be replaced with the word
“property”;
passage shall be appended to the clause as follows:
“In case of temporary impossibility for the Chairman of the Management Board to fulfil
his obligations authorities, they shall be fulfilled by one of Deputy Chairmen of the Management
Board on the basis of an order.”;
18) in clause 37:
passage three shall be amended to read as follows:
“the Bank outlets having an separate balance sheet, regional branches, Main
Administration in Kyiv and Kyiv region, Crimean Republican Branch;”;
passage four shall be removed;
passage eight shall be amended to read as follows:
“Outlets, territorially separated off-balance sheet outlets and representative offices of the
Bank are not legal entities, and shall act on behalf of the Bank on the basis of the provisions
determining their competency, functions, other issues of activity and subordination. The
provisions on such establishments and amendments to them shall be approved in accordance
with the procedure established by these Articles. Registration of outlets, territorially separated
off-balance sheet outlets and representative offices of the Bank shall be made in accordance with
the requirements of the laws,”;
19) in clause 39:
in passage one the words “on outlet, on the basis of written permit” shall be replaced with
the words “on such outlet and on the basis of written permit, if any”;
in passage two the words “on the basis of written permit” shall be replaced with the
words “and on the basis of written permit, if any”;
20) in passage one of clause 47 the word “activity” shall be replaced with the words
“reliability of financial statements”;
21) passage two of clause 55 shall be amended to read as follows:
