notìl'rcation. Each location will be sun'eyed by the Ou'ner ancl/ol the Coffi'actor and a

labor provided bi' the Contractor lvill be rc-pailed on a Time basis i,r'ith ccluìprnent
provided by the Contractor. All labor rlecessary to coilect detècts in the Contractors
uorknranship rvill be provided b¡'the Contlactor'.
To insure coirpliance r.vith the quality and i¡stallation standards established by tire
O'nvner, cable to be installed must be furnished by the Ouncl. At the Orvner's cliscretiou,
if the Contractor can plovide material thaL meets the Ouner's specrfications at or beiorv
the cost that the Or,vner would normally pay, the Contractol'uould then be aliou'ec1 to
purchasc the products using their venclol's.
2.2
The Contractor acknou'ledges that it has no ríght, title. ol interest iu the liardu'are
or othel materials suppliecl by the Ou'ner fbr installation by the Contractor.
2.3
The Contr-actor agrees to perfom a1l work in accordance r,r'ith and consistent rvith
the installation stanclards set fblth bt'the Ou'ner. Anl'u-ork deemed to be substandard or
iuconsistent r,i.ith the c1ualit1' standards set forth b1' the Ou'ner, shall be correctcd and
blought into conrpliance at the Contractor''s expense.

3.1
The Cìty agrees to use the Contractor's selvices in colrnection u'ith emergencv
BIL\N restoration needed and recluíred b1 it dr-rring the period ñ'orn June 15. 2014 to .lure
15,2017, inclusive, and the Contractor covenants ancl agrees to provicle said senices as
required and requestecl b¡'the City duling said peliod.
3.2
Tlie Work to be perf'ormed under the Contract shall be completed on an inclividual
project basis. fhe cornpletion of each ploject rvill be basecì on the Or.mers recluirerncnts
and a mutualll, accepted baseline schedule,

5.1
The Contract Surn for each site shall be paid in accordance r¡itli the lollorting

pr'ovided and performeci by tl-re Contractor', its agents. and emplo;'ees, alising frorl the
Contractors sole negligence il performing lhe Work.
9.3
Jhe Contractor, its agents, employees, and replesentatives rlho are or may
pertbrm anl'part of the Work shalÌ satisly all backgrouucl check recluireurents as rec¡"rited
by the Orvner. These background checlcs ma¡.be perfolmed from time to time, at the
discletion of the Or4'neL, and maf include clirninal ancl driving recorcl checks. The
Contractor agrees to full1' cornply r,vith all required documentation and procedr.rres
necessary to complete the background checks including rnaking its eurplo¡'ces, agents,
and replesentatives ar ailable for all background check proceclules.

OTHER CONDITIONS
'fhe Contractor shaÌl check all rnaterials, equipments. and iabor enteling into the
ü'ork and shall keep such full and detailed accormts as rna) be necessar:y for proper
hnancial rnanagenent under this Agreernent.

10.2 The Contractor shall not assign this Contract without the i,vritten consent of the
Ou,ner. nor sub-contract the whole or an)'portion of this Contract vritholrt the written
consent o1'thc Owner', the Contractor shall not assign an)'zunount clue or to become dne
under this Contract u,ithont r,vritten notice to the Orvner,
10.3 The Contlactol shall give all notices and comply rvith all Jarvs, ordinances, rtiles.
regulations, and orclers of any public authoritv bealing on the performance of the Work
rurder this Contlact. The Contractor shall secure and pa¡'for all permits and
gover'runental fees, licenses and inspections necessaly fol the proper execution and
completion of the Work.
I0.4 fhe Contractor shall cornpl-v- u,itl-r Federal, State, and local tax laws, Social
Secr-rrit¡'Acts, unemployrnent compensation acts and u'orkers compensation acts insofar
as applicabie to the perf'ormance of this Contract. In addition, the Contractor, it agents,
ernplol'ees, and representatir¡es shall comply u'ith all lules ancl regulations as specified by
the On'ner.
10.5
The Contractor shall take all reasonable safety precautions with re spect to the

laste materials ol rubbish alising out of the opelations of this Contract. The Clontractor
shall not be held responsible for unclean conditions caused b1' other T'he Contractors of
subcontractors.

11.7 The relationship betu'een the Contractor and the City is that of an independent
contractor. The Contlacto¡ shall suppi¡'all personnel, equipment, materials and supplies
at thei¡ ov\rl expense, e.xcept as specificalll' set f'orth herein. The Contracto¡ sirall not be
deemed to be, nor shall they representlhernselves as, employees, paftners, or joint
verltlrrers of the Citl'. No employee or officer of the City shalì sr.rpen'ise the Co¡lractor.
The Contractor is not entitled to workers' compensation benefits ¿rnd is obligatcd to
directly pay federal ¿rnd state incomc tax on monej, earned under this Agreement.
1.8
The Contractor cefiifies that the Contractor shall comply with the prolisions of
section 8-17,5-101 et seq.. C.R.S. The Contractor shall not knowingly emplol, or'
cont¡act with an illegal alien to perfbrrn work under this contract or entel into a contract
u'ith a subcontractor that fails to certify to the Contractor tirat the subcontractor shalì not
