intelligent energy and automation solutions, subcontracting solutions and systems, lightweight solutions, surface
technology applications, and measurement and control technology right through to condition monitoring systems.
Deutschen Messe Standard Terms and
Conditions for Theme- and Custom Tours
1. General
By placing an order for a Custom Tour the Client accepts
these Standard Terms and Conditions. These Terms and
Conditions apply exclusively. Any Terms and Conditions
of the Client that are contrary to or inconsistent with
these Terms and Conditions shall not be acknowledged,
unless Deutsche Messe expressly agrees to do so.
2. Formation of a contract
To order a Custom Tour the Client must complete the
order form and return it to Deutsche Messe. The contract
for a Custom Tour takes effect upon receipt of the
invoice. The Exhibitor may not assign or transfer its rights
under the Guided Tour Agreement.
3. Payment Terms
The amount of the Custom Tour fee is stated on the order
form. The amount stated in the order form is binding and
does not include VAT. The invoice for the Custom Tour
amount is due in full immediately upon receipt. Prior
payment of the invoice amount in full is the prerequisite
for execution of the Custom Tour. Deutsche Messe
reserves the right to collect default interest starting on the
due date if there is a payment default.
4. Obligations of the Client
The Client agrees to indemnify Deutsche Messe against
justified claims by third parties based on the infringement
of any industrial property right or copyright.
5. Liability
Deutsche Messe is liable solely for the performance of its
contractual services. It is not responsible or liable beyond
this for the achievement of the wider communication
objectives pursued by the Client in entering into this
contract.
Deutsche Messe accepts no liability whatsoever for loss,
damage or defects unless the loss, damage or defects
were caused intentionally by or through the gross
negligence of Deutsche Messe, its representatives or
agents.
This exclusion of liability does not apply with respect to
claims pursued on the basis of loss of life, personal injury or
impairment of health; nor does it apply with respect to
breaches of material contractual obligations. Liability for
breach of material contractual obligations on the basis of
ordinary negligence shall be limited to typical, foreseeable
contract damages.
6. Early Termination of the Agreement
The Client may not rescind or terminate the agreement.
Deutsche Messe may give notice canceling this agreement
with immediate effect at any time up to two months before
the start of the event, if the planned event has not reached
the point of financial viability by that time owing to
insufficient participant registrations. Should this occur, any
monies paid up until that point shall be refunded unless
value has already been given in consideration of said
payments. In addition, Deutsche Messe may cancel the
contract if the Client remains in default of payment of duly
issued invoices despite having been afforded a reasonable
grace period for payment thereof or if insolvency
proceedings are petitioned for or instituted against the
Client’s assets. In such cases, Deutsche Messe shall have
the right to retain or pursue the contractual fee less any
expenses saved by virtue of the cancellation.
7. Written Form, Statute of Limitations, Jurisdiction
The Client must make all claims against Deutsche Messe in
writing. Such claims shall be time-barred within 12 month
commencing with the expiration of the year in which the
claims arose. Jurisdiction shall lie with the competent courts
in Hannover. The agreement shall be subject to the laws of
the Federal Republic of Germany.
