AUDIT COMMITTEE – 2015-2016
CHARGES:
1. Review the independent auditor’s assessment of the organization’s internal control structure.
2. Review the scope and approach of the audit proposed by the independent auditor.
3. Conduct a post-audit review of the financial statements and audit findings, including any
significant suggestions for improvements provided to management by the independent
auditor.
4. Review the performance of the independent auditor.
5. Review the independent auditor’s fee arrangements.
6. Recommend appointment (or reappointment) of the independent auditor.
7. Review, with the organization’s counsel, any legal matters that could have a significant effect
on the organization’s financial statements.
8. Review the findings of any examinations by regulatory agencies.
9. If necessary, institute special investigations and, if appropriate, hire special counsel or

CAS (Council for the Advancement of Standards in Higher Education) – 2015-2016
CHARGES:
1. Serve as the NACS representative to CAS.
2. Serve as a contributing member of the CAS Board of Directors.
3. Represent NACS interests to CAS, including the development and maintenance of relevant
standards and guidelines for college stores and related auxiliary service operations.
4. Participate in other CAS standard and guideline development/maintenance activities as time
permits.
5. Work with the staff partner for CAS to develop and deliver appropriate reports and updates
to the NACS leadership regarding CAS activities.
6. Work with the staff partner for CAS and other members of the industry to present sessions,
author articles, and otherwise educate NACS members on use of the CAS standards for
operational evaluation and development.
7. Work with the staff partner for CAS and other members of the industry to promote the tools
and resources available to NACS members from CAS.
8. Work with NACS staff to offer orientation, training, evaluation, and transition procedures for
all council and committee members and initiate replacement procedures as needed.
9. Solicit input from the volunteer leaders, Association membership, and NACS staff for the
development and implementation of programs and services related to CAS.
10. Maintain communication with the various component groups of the Association and industry
as it relates to CAS (e.g., advocate to state and regional associations that they host sessions
on operation evaluation using the CAS standards).

CCRA COUNCIL – 2015-2016
In addition to being the governing body of CCRA, the CCRA Council is charged with identifying
vendor programs and services deemed to be exceptional based on established criteria. The
Council meets with vendors to discuss the higher education channel, share expertise and come
to a more comprehensive understanding of how vendors and resellers can work together for the
betterment of the industry. Vendors whose programs meet the established criteria are awarded
the VIP designation.

CERTIFICATION COUNCIL – 2015-2016
CHARGE:
The Certification Council of the National Association of College Stores will serve as the oversight
authority for current and future certification programs offered by the Association. Its purpose
shall be to ensure that all certification program rules and guidelines are being followed, to effect
changes in program rules and guidelines as may be needed in the future, to adjudicate member
complaints and appeals related to eligibility requirements and exam scores, and to advocate on
behalf of the NACS certification program(s). Operating independent of the NACS Board of
Trustees, the Certification Council shall have the right to decide upon program rules,
requirements, exam scoring processes, fees and other such matters directly related to the
ongoing management of NACS certification programs. The NACS Board of Trustees reserves the
right to overturn any decision made by the Council, shall always serve as the final authority for
program appeals brought by the membership, and retains responsibility for oversight and/or
continuation of the Council.

ASSUMPTIONS: The Executive Committee consists of the President/Treasurer, the PresidentElect/Secretary, the Immediate Past President, and the chief executive officer, ex-officio, without
vote. In interim periods between Board meetings, the Executive Committee is empowered to
issue directives and establish procedures not otherwise specifically covered by the Bylaws or by
official Association policy. Any such action shall be reported to the full Board within five (5)
working days. The President/Treasurer and one other voting member shall constitute a quorum
for the transaction of business. Meetings may be called by the President/Treasurer or by two
members.

FINANCE & BUDGET COMMITTEE – 2015-2016
CHARGES:
1. Oversee and continually improve the financial reporting process. The committee should have
a general understanding of the financial reporting (which includes procedures and internal
controls) and budgeting process.
2. Review the proposed NACS operations and capital budget, recommend changes if necessary,
and present to the NACS Board of Trustees for approval. Ensure that the budget meets the
financial policies of the association and contributes to the success of the strategic and longrange goals of NACS.
3. Ensure that projected cash flow is adequate to cover proposed capital expenditures and
required funding of the contingency reserve.
4. Review interim financial reporting. If actual financial results for the period varied significantly
from budgeted or projected results, then ascertain why and report to the Board.
5. Review inter-company transactions and allocations for reasonableness and financial
soundness for PartnerShip, NACSCORP, indiCo, and the NACS Foundation.
6. Review the NACS portfolio of investments to ensure compliance with the guidelines of the
investment policies.
7. Conduct a post-audit review with management to examine the annual financial report and
results of the yearend audit. The committee should be aware of the auditor’s process for
developing and issuing letter to management on suggestions noted as a result of the audit.
8. Periodically review dues revenue and propose structural change and/or dues increase when
necessary.

ASSUMPTIONS: This is a Board committee, which will meet between the summer and the fall
Board meeting. It also meets the evening or day before each other NACS Board meeting.
This committee will consist of the NACS President-Elect and one Trustee from each class. The
third-year trustee will chair the committee, or may appoint one of the other trustees to chair.
The committee chair will meet in Oberlin for a one-day planning meeting to meet with the CEO,
CFO, and Director of Finance prior to the full committee meeting in September/October.

GOVERNMENT RELATIONS COMMITTEE – 2015-2016
CHARGE:
The role of the Government Relations Committee (GRC) is to support the goals of the strategic
plan, monitor, and recommend policy to the association on legislative, regulatory, and legal
issues. The committee is also responsible for analyzing issues, addressing technical components,
and educating the membership about how legislation, regulations, and court decisions will affect
the industry and what steps the association and membership can take to shape federal and state
policy. On occasions when the Board deems appropriate, the GRC may also propose changes in
NACS policy to the Board of Trustees. The GRC will also act as a sounding board of ideas as well
as in the formulation, implementation, and the after action review of our annual government
relations plan.

MISSION: The mission of the Large Stores Group is to devote its energies and resources to the
concerns of larger institutional and other independent university stores, whose primary mission
is to serve the college or university with which it is affiliated. This includes the reporting of

1. Identify and report to the Education Committee trends, issues, and opportunities related to
Council’s content area.
2. Recommend topics for the CAMEX educational conference, taking into account the need for
more advanced-level programming.
3. Finalize the “Who to Know on Campus” and the “7 Steps to Building a Great College
StoreBrand” resources and work on a checklist for creating a store’s vision and mission
statement.
4. Promote the use of MCR-created resources through CAMEX education sessions, Virtual Lunch
Dates, member calls, or other methods as appropriate.
5. Act as Champions of Engagement in the Hub
a. Initiate discussions and update glossary entries as needed.
b. Share documents in the Marketing & Campus Relations community library and, as
appropriate to educate and update colleagues of developing trends, in The Hub Global
library.

NOMINATING COMMITTEE – 2015-2016 continued
ASSUMPTIONS: The President shall recommend for Board of Trustees approval a Nominating
Committee, chaired by the Immediate Past President, consisting of not less than ten (10)
persons to nominate candidates for officer and for the Board of Trustees. This committee shall
include at least three (3) Past Presidents, and shall include at least one (1) member from each of
the geographic regions. (NACS Bylaws)
Past presidents may also serve as a geographic region representative.
Potential Committee members in addition to the above:
1) Sophomore Class Trustees – These individuals will not qualify for an officer position as they
will not have served a full three years term on the Board, yet they will be aware of the work
before the association and the skill sets needed for furthering the association’s strategic
priorities.
2) At Large – These individuals may be former trustees who are not interested in serving as an
officer, and others who are familiar with the complexities of NACS Inc. as they have served on
one or more of the NACS Inc. Boards. May also be individuals who could help to raise visibility of
candidates from an under-represented segment of the membership.

1. Recommend ways to enhance communication among privately owned stores. Serve as a
resource to member stores involved in competitive environments.
2. Plan the 2016 Private Stores Conference.

a. Private Stores CAMEX Luncheon
b. Education session(s) e.g. roundtable, open forum, panel, etc.
4. Coordinate fundraising to underwrite Conference and CAMEX expenses.
