This Twelfth Amendment to the Offering Plan modifies and supplements the
Offering Plan ("Plan") for The 301 East 501h Street Condominium, dated April 11, 2014.
The Plan, the First Amendment, dated May 20, 2014, the Second Amendment, dated,
June 6, 2014, the Third Amendment, dated June 13, 2014, the Fourth Amendment,
dated August 6, 2014, the Fifth Amendment, dated September 25, 2014, the Sixth
Amendment, dated October 17, 2014, the Seventh Amendment, dated March 6, 2015,
the Eighth Amendment, dated March 16, 2015, the Ninth Amendment, dated April 10,
2015, the Tenth Amendment, dated June 18, 2015, the Eleventh Amendment, dated
October 8, 2015 and this Twelfth Amendment are collectively referred to as the "Plan".

Amended Purchase Price of Residential Units
Schedule A of the Plan is hereby amended to reflect a new Purchase Price for
some of the Residential Units. Sponsor reserves the right to revise further the Purchase
Prices and other terms of sale of all Units in accordance with the Plan. The change in
Purchase Price for a Unit does not apply with respect to a Purchase Agreement for that
Unit which has been signed by the Purchaser and the Sponsor and is in effect. The
new offering price is disclosed on Exhibit "A". The other information on Schedule A and
the Footnotes to Schedule A, which appear in the Plan, are unchanged.

Incorporation by Reference.
The Plan, as modified and supplemented by this Amendment, is incorporated
herein by reference with the same force and effect as if set forth at length.
3.
Certain Definitions.
All capitalized terms used in this Amendment which are defined in the Plan shall
have the respective meanings ascribed to such terms in the Plan, unless otherwise
indicated.
4.
No Other Material Changes in the Plan.
There have been no material changes in the Plan except as set forth in this
Amendment. The Plan, as hereby amended, does not knowingly omit any material fact
or knowingly contain any untrue statement of material fact.
