SEVENTEENTH AMENDMENT
TO
CONDOMINIUM OFFERING PLAN
HALCYON CONDOMINIUM
This Seventeenth Amendment modifies and supplements the terms of the Condominium
Offering Plan for the premises known as the Halcyon Condominium ("Condominium") and located
at 305 East 51st Street, New York, New York 10022 ("Building"), dated March 22, 2013, the First
Amendment dated April 25, 2013, the Second Amendment dated May 9, 2013, the Third
Amendment dated June 17, 2013, the Fourth Amendment dated June 27, 2013, the Fifth
Amendment dated August 1, 2013, the Sixth Amendment dated August 7, 2013, the Seventh
Amendment dated August 26, 2013, the Eighth Amendment dated October 4, 2013, the Ninth
Amendment dated November 5, 2013, the Tenth Amendment dated November 14, 2013, the
Eleventh Amendment dated January 29, 2014, the Twelfth Amendment dated March 10, 2014, the
Thirteenth Amendment dated May 30, 2014, the Fourteenth Amendment dated July 23, 2014; the
Fifteenth Amendment dated September 19, 2014, and the Sixteenth Amendment dated October 1,
2014 (the "Plan"), and should be read in conjunction with the Plan.
The terms of this Seventeenth Amendment are as follows:

PLANDECLARED EFFECTIVE
The Plan is hereby declared effective based upon the execution and delivery by
bona fide purchasers and acceptance by Sponsor of Agreements for eighty eight (88) Units. Said
Agreements represent seventy one percent (71 %) of the 123 Units offered for sale under the
Plan.
Annexed hereto as Exhibit A is a copy of "Sponsor's Affidavit in Support of
Declaring the Plan Effective".
2.
INCORPORATION OF THE PLAN
The Plan, as modified and supplemented hereby, is incorporated herein by
reference with the same effect as if set forth at length. AU provisions of the Plan which are
consistent with this Amendment shall remain in effect.
3.
NO OTHER MATERIAL CHANGES
Except as set forth in this Amendment, there have been no material changes in the
Plan.
4.
DEFINITIONS
All capitalized terms expressly defined m this Amendment shall have the
meanings given to them in the Plan.
5.
EFFECTIVE PERIOD FORUSING THE PLAN IS EXTENDED
The Plan, as modified and supplemented hereby, may not be used after six
(6) months following the Filing Date of this Amendment, unless the Plan is further extended or
amended.

Ziel Feldman, being duly sworn, deposes and says:
1.
I am the authorized signatory of 51 ' 1 Street Main Lot Owner, LLC (the "Sponsor"), the
Sponsor of that certain Offering Plan dated March 22, 2013, as amended (the "Plan") for condominium
ownership of the premises known as 305 East s1•t Street, New York, New York (the "Property").
2.
The Plan was accepted for filing by the Attorney General of the State of New York on
March 22, 2013.
3.
All purchasers who are counted for purposes of declaring the Plan effective (i) are bona
fide purchasers; (ii) are not purchasing as an accommodation to, or for the account or benefit of, the
Sponsor or principals of the Sponsor; and (iii) have duly executed agreements and have paid the foll down
payment as required in the "Procedure to Purchase" section of the Plan.
4.
There are no material changes to the budget for the first year's operation which have not
been disclosed in a duly filed amendment to the Plan.
5.
No purchaser counted for the purposes of declaring the Plan effective is (i) the Sponsor,
the Selling Agent or the Managing Agent; or (ii) a principal of the Sponsor, the Selling Agent or the
Managing Agent; or (iii) related to the Sponsor, the Selling Agent or the Managing Agent or to any
principal of the Sponsor, the Selling Agent or the Managing Agent by blood, marriage or adoption, or as a
business associate, an employee, a shareholder or limited partner.
- As of the date hereof,, agreements have been executed for eighty eight (88) Units,

representing more than fifteen percent (15%) of all Units being offered for sale. Attached as Schedule A
hereto is a list of the Units for which agreements have been executed, together with the date of each such
agreement.
7.
I hereby submit this Affidavit to the Attorney General in connection with that certain
Amendment declaring the Plan effective.
