POP SECRET INSTANT-WIN GAME AND SWEEPSTAKES (“PROMOTION”)
OFFICIAL RULES
NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER, PLAY, WIN OR CLAIM A
PRIZE. PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. OPEN
ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) U.S. STATES AND THE DISTRICT OF COLUMBIA
WHO ARE EIGHTEEN (18) YEARS OF AGE OR OLDER OR, IF HIGHER, THE AGE OF MAJORITY IN
THEIR STATE OF RESIDENCE AS OF DATE OF PARTICIPATION. VOID WHERE PROHIBITED.
1. PROMOTION PERIOD AND BRIEF OVERVIEW: The Promotion consists of an instant-win game and
a sweepstakes (“Sweepstakes”). The Promotion begins at 12:00:00 p.m. (noon) Central Standard Time
(“CST”) on February 19, 2017 and ends at 11:59:59 p.m. Central Daylight Time (“CDT”) on April 1, 2017
(“Promotion Period”). Sponsor’s clock is the official time keeping device for this Promotion.
2. ELIGIBILITY: The Promotion is open only to eligible legal residents of the fifty (50) United States
or the District of Columbia who are eighteen (18) years of age or older, or, if higher, the age of
majority in their state of residence as of the time of participation. Employees, officers and directors
of S-L Snacks National, LLC (“Sponsor”), Disney Destinations, LLC (“DDLLC”), Disney Interactive (“DI”,
and collectively with DDLLC, “Disney”), each of their respective parents, subsidiary, and affiliated
companies, advertising, promotion or production agencies, Web masters/suppliers, and their IRS
dependents, immediate family members (spouse, parents, children, siblings and each of their respective
spouses, regardless of where they reside), and individuals residing in their same household (whether or
not related) are not eligible to participate. By participating, participants agree to be bound by these Official
Rules and the decisions of Sponsor which are final and binding in all respects. Void where prohibited by
law. Each participant may be required to furnish proof of identification and other proof of eligibility under
these Official Rules.
3. TO PARTICIPATE: Code required for participation. There is no purchase necessary. During the
Promotion Period, there are two (2) ways to obtain a Code as outlined below.
(a) To receive a Code with purchase, purchase any specially-marked box of Pop Secret popcorn
products, while supplies last. Look for your unique promotion code (“Code”) found on the inside of the
game piece which is located on the outside of the package. To reveal your Code, carefully cut the game
piece where indicated when the package is empty.
(b) To receive a Code without making a purchase, visit www.popsecret.com/disney (the "Website")
and follow the instructions to request a Code. Code will be emailed to the email address you provide on
the Website.
Upon obtaining a Code, visit the Website and follow the instructions to enter the Code and play for a
chance to win an Instant-Win Prize (an “Instant-Win Play”). If you are the potential winner of an InstantWin Prize your computer screen will display a preliminary prize-winning message. All potentially winning
Instant-Win Plays are subject to verification in the sole discretion of the Sponsor. If you are not a winner
of an Instant-Win Prize, your computer screen will display a non-winning message. For each Instant-Win
Play, you will also receive one (1) entry into the Sweepstakes. A participant is not a winner of any prize,
even if a message suggests otherwise, unless and until participant’s eligibility and the potential winning
Instant-Win Play have been verified and participant has been notified that verification is complete. Proof
of submitting an Instant-Win Play does not constitute proof of delivery or submission of an Instant-Win
Play. All Instant-Win Plays become the property of Sponsor and will not be acknowledged or returned.
IMPORTANT: If a participant enters a Code using a mobile device, message and data rates may apply.
Participants should consult their wireless providers’ pricing plans.
Instant-Win Prize and Sweepstakes Entry Limit: Online entry of Codes (however obtained) is
limited to one (1) Code per day, per person during the Promotion Period. All Codes must be entered
at Website prior to the end of the Promotion Period for a chance to win a prize. A “day” is defined as
starting at 12:00:00 a.m. (midnight) and ending at 11:59:59 p.m. (CST or CDT, as the case may be) on a
calendar day during the Promotion Period, except on February 19, 2017, when a day is defined as
starting at 12:00:00 p.m. (noon) CST and ending at 11:59:59 p.m. CST. Each submission of an InstantWin Play must be manually key stroked and/or manually entered by the individual participant; automated
and/or repetitive electronic submission of Instant-Win Plays (including but not limited to submissions
made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from
these or related email accounts or IP addresses may be blocked. Additionally, use of multiple email
addresses or the manipulation of a participant’s contact information, for the purpose of obtaining more
than the stated number of Instant-Win Plays, is prohibited and such persons will be disqualified and all
Instant-Win Plays (and entries into the Sweepstakes) shall be deemed invalid and any prize awarded
shall be forfeited.
Participants may be asked to consent to receive promotional emails for upcoming promotions and
information about Sponsor. Consenting to receive such emails is not a requirement to participate in the
Promotion, will not result in any additional Instant-Win Plays to the participants and will not increase
participants’ chances of winning.
4. POTENTIAL WINNER DETERMINATION AND ODDS OF WINNING:
Instant-Win Prize Winners: Instant-Win Prizes are randomly awarded by chance. To be an Instant-Win
Prize winner, a participant’s Instant-Win Play must have occurred at the exact randomly predetermined
winning time as determined by Sponsor or, if the Instant-Win Play does not occur at the exact randomly
predetermined winning time, participant’s Instant-Win Play must be the first Instant-Win Play following the
predetermined winning time. In the event that more than one (1) Instant-Win Play occurs at the exact
same randomly predetermined time resulting in a “tie”, the winning Instant-Win Play will be randomly
determined by chance as between tied Instant-Win Plays. The odds of winning an Instant-Win Prize
depend on the random winning time selected for each Instant-Win Prize available to be won, the total
number of eligible Instant-Win Plays received during the Promotion Period, and the time and order any
Instant-Win Play is submitted and recorded.
Sweepstakes Prize Winner: On or about April 4, 2017, one (1) potential Sweepstakes Prize winner will
be selected in a random drawing from all eligible Sweepstakes entries received during the Promotion
Period. The Sweepstakes Prize winner is deemed to be a potential winner pending verification of his/her
eligibility (described in Section 5 below) and compliance with these Official Rules as determined by
Sponsor, at Sponsor’s sole discretion. The odds of winning the Sweepstakes Prize depend on the
number of eligible entries received.
5. POTENTIAL WINNER NOTIFICATION AND HOW TO CLAIM A PRIZE:
(a) Potential Instant-Win Prize Winners: All potential Instant-Win Prize winners will be notified at the
time of playing and will receive a prize-winning message. The preliminary prize-winning messages are not
binding or final and a participant’s status as a winner of a prize will be subject to verification for
compliance with all of the Official Rules. Instant-Win Prizes will be emailed to winners upon verification.
(b) Potential Sweepstakes Prize Winner: Potential Sweepstakes Prize winner will be notified by email,
phone and/or postal mail following the Sweepstakes random drawing. To claim the Sweepstakes Prize,
potential Sweepstakes Prize winner will be required to complete, sign, have notarized and return an
Affidavit of Eligibility and Liability/Publicity Release (except where prohibited) and any other requested
documents (“Winner Documents”) within seven (7) days of date of prize notification. Failure to sign, have
notarized and return Winner Documents within the specified time period will result in disqualification and
prize may be forfeited. All potential winners must continue to comply with all terms and conditions of
these Official Rules and winning is contingent upon fulfilling all requirements. Sponsor is not responsible
for any change in a participant’s contact information. A potential winner is subject to verification, including,
without limitation, verification of age and compliance with these Official Rules. If a potential winner is
found not to be eligible or not in compliance with these Official Rules, if Sponsor is unable to contact a
potential winner within a reasonable time period or if prize notification is returned as undeliverable, such
potential winner may be disqualified. All federal, state and local taxes, if any, and any other costs and
expenses associated with prize acceptance and use not specified herein as being provided are solely the
winner's responsibility, regardless of whether prize, in whole or in part, is used. If any prize is returned as
undeliverable, prize may be forfeited and Sponsor shall have no further liability to award that prize.
Any personal information provided by participants in connection with the Promotion, including through the
Website, is subject to Sponsor’s Privacy Notice posted at http://snyderslance.com/privacy/. By
participating in the Promotion, participants hereby agree to Sponsor’s collection and usage of their
personal information and acknowledge that they have read and accepted Sponsor’s Privacy Notice. If you
are chosen as a winner, your information may be included in a publicly available winner’s list.
6. PRIZE DETAILS: One (1) Sweepstakes Prize: The Sweepstakes Prize winner will receive a four (4)
night vacation for four (4) persons to the Walt Disney World® Resort near Orlando, Florida consisting of
the following: (a) Four (4) round trip coach airfares between the major gateway airport closest to traveler's
residence in the 50 U.S./D.C. and the Orlando International Airport (if winner resides within 250 miles of
the Walt Disney World® Resort, air fare will not be provided and no additional compensation for this
portion of the prize will be awarded); (b) Four (4) round trip ground transfers between the Orlando
International Airport and the Walt Disney World® Resort via Disney’s Magical Express® Service if winner
travels via air transportation; (c) Room accommodations consisting of one (1) standard room(s) (with a
maximum of four (4) persons per room) for four (4) night(s) at a hotel at the Walt Disney World® Resort
selected by DDLLC in its sole discretion and based on availability; (d) Four (4) 5-Day Magic Your Way
Tickets with Park Hopper® Option; (e) One (1) $500.00 Disney Gift Card; (f) One (1) Memory Maker Card
which includes unlimited downloads of all of your Walt Disney World® vacation photos taken by
PhotoPass® Photographers along with photos taken at select dining and select attractions; (g) One (1)
Welcome Basket in winner’s Walt Disney World® Resort hotel room (for winner only); (h) One (1) Disney
Signature Dining experience for four (4) persons (awarded in the form of a $250.00 Disney Gift Card); (i)
VIP viewing for one (1) Disney Theme Park parade or show for four (4) persons. Parade and/or show
selection and date of experience is at the discretion of DDLLC (Based on availability. Restrictions apply.);
(j) One (1) Disney Character Meet and Greet with photo opportunity for winner and his/her guests; (k)
One (1) Disney Character Dining experience for four (4) persons (awarded in the form of a $250.00
Disney Gift Card); and (l): One coupon for each guest to receive a bag of popcorn a day for five (5) days
at designated locations within the Walt Disney World ® Resort Theme Parks Only. Disney Gift Cards are
subject to restrictions and terms and conditions as set by issuer. Approximate Retail Value (“ARV”) of the
Sweepstakes Prize: $6,946.36.
Applicable to Sweepstakes Prize: Vacation must be taken between May 15, 2017 and May 14, 2018. In
the event the winner cannot travel between the dates designated by Sponsor, winner may be disqualified.
Travel is subject to availability. Certain travel restrictions and black-out dates may apply. If any guest is a
minor, his/her parent or legal guardian must be the winner or one of winner’s guests and minor guest
must be accompanied at all times while on the trip by his/her parent or legal guardian. Guests (or if a
minor, his/her parent or legal guardian who must be the winner) must complete and return a
Liability/Travel Release within seven (7) days of Sweepstakes Prize winner’s prize notification. See
Section 5 (POTENTIAL WINNER NOTIFICATION AND HOW TO CLAIM A PRIZE). Winner and guests
are responsible for obtaining any necessary documentation (e.g., valid photo ID or passport) prior to
travel. All federal, state and local taxes and all other costs associated with prize acceptance and use not
specified herein as being provided, including, without limitation, meals, beverages and transportation
(other than as stated above), in-room charges (e.g., mini-bar, room service, telephone, movies, etc.),
laundry service, travel upgrades, luggage fees, souvenirs, gratuities, service charges, incidentals and any
other personal expenses incurred during the trip, and any/all travel and other applicable insurance are the
sole responsibility of the winner and/or guests. Winner or one (1) of winner’s guest may be required to
provide a valid major credit card or some other acceptable form of payment, as determined in the hotel’s
sole discretion upon hotel check-in and all in-room charges, telephone calls, meals, beverages, hotel
upgrades, amenities, personal incidentals and any other expenses charged to the winner’s hotel room will
be charged to that major valid credit card or deducted from the deposit provided (if any). Sponsor is not
responsible for any fees or additional charges resulting from a winner’s or guest’s change to itinerary or
accommodations. Sponsor shall not be responsible for any cancellations, delays, diversions or
substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation
companies or any other persons providing any of these services and accommodations to passengers
including any results thereof such as changes in services or accommodations necessitated by same. In
the event winner and/or a guest misses a scheduled airline flight or ground transportation (through no
fault of Sponsor or due to force majeure), Sponsor will have no liability for any costs associated with
changing or rebooking transportation. Sponsor shall not be liable for any loss or damage to baggage.
Lost, stolen or damaged airline tickets, travel vouchers or gift cards will not be replaced or exchanged.
Sponsor is not responsible for any delay or cancellation of a prize event due to unforeseen
circumstances, or those outside of Sponsor’s control. Winner and guests agree to comply with all
applicable venue regulations in connection with the prize. The entire Sweepstakes Prize and its individual
components may not be sold, traded, transferred, rescheduled to dates not within the fulfillment period set
forth above, or refunded, and are not redeemable for cash.
THE SWEEPSTAKES PRIZE WINNER WILL BE ISSUED A FORM 1099 FOR TAX PURPOSES, AS
REQUIRED BY LAW, AND MUST SUBMIT HIS/HER SOCIAL SECURITY NUMBER OR TAXPAYER ID
NUMBER FOR SUCH PURPOSE IN CONNECTION WITH COMPLETING THEIR WINNER
DOCUMENTS.
Instant Win Prizes (1,000) Disney Movies Anywhere (“DMA”) Digital Movie Codes:
Five hundred (500): One (1) DMA digital movie code to download and stream Beauty and the Beast
(animated).
Five hundred (500): One (1) DMA digital movie code to download and stream Princess and the Frog
(animated).
Applicable to all DMA digital movie codes: DMA Digital movie codes may only be used towards the
movie specified and must be redeemed by September 30, 2017 on the DMA website, located at
https://www.disneymoviesanywhere.com (“DMA Website”). ARV: $19.99 each. DMA digital movie codes
are subject to the DMA Terms and Conditions located on the DMA Website. The sale, distribution, or
purchase or transfer of DMA digital movie codes outside of the methods set forth herein or in the DMA
Terms and Conditions is unauthorized. Sponsor specifically prohibits the sale, distribution, purchase or
transfer of DMA digital movie codes on any online sales platform. Sponsor reserves the right to invalidate
any DMA digital movie codes it suspects have been sold, distributed, or purchased or transferred in a
manner inconsistent with these Official Rules or the DMA Terms and Conditions. Sponsor reserves the
right, in its sole discretion and without notice or liability to impacted winner, to restrict, suspend and/or
discontinue the participation privileges of any winner who Sponsor believes has engaged in any
fraudulent activity or has used the DMA digital movie codes in a manner inconsistent with these Official
Rules or the DMA Terms and Conditions or any federal, state, provincial, municipal, territorial or local
laws, statutes or ordinances. Sponsor shall have the right to take appropriate administrative and/or legal
action, including criminal prosecution, as it deems necessary in its sole discretion.
Total ARV of all Promotion prizes is $26,936.36.
If a potential winner cannot accept a prize (or portion thereof) as stated, prize may be forfeited in its
entirety. No substitution, cash redemption, assignment or transfer of any prize, except by Sponsor who
reserves the right, in its sole discretion, to substitute a prize (or portion thereof) with one of comparable or
greater value. As applicable, prizes are awarded “as is” without any warranty or guarantee, either express
or implied by Sponsor. All prize details are at the sole discretion of Sponsor. Unclaimed Instant-Win
Prizes will not be awarded.
Limit one (1) Instant-Win Prize per person/email address/household. An Instant-Win Prize winner is
eligible to win the Sweepstakes Prize.
7. LIMITATION OF LIABILITY: By participating in the Promotion and/or accepting a prize, each
participant hereby agrees to release and hold harmless Sponsor and Administrator, their respective
subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective
officers, directors, employees, representatives and agents (the “Sponsor and Administrator Released
Parties”) and Disney, and their parent, subsidiary and affiliated companies, advertising and promotion
agencies, and all of their respective officers, directors, employees, representatives and agents
(collectively, the “Disney Released Parties” and, collectively with the “Sponsor and Administrator
Released Parties”, the “Released Parties”) and that such Released Parties shall have no liability
whatsoever for and against any liability for any injuries, losses or damages of any kind to person(s)
including, without limitation, death, or property resulting in whole or in part, directly or indirectly, from
acceptance, possession, misuse or use of any prize or participation in this Promotion or any Promotionrelated activities including, without limitation, travel thereto; and for any claim based on publicity rights,
defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual
property-related cause of action.
By participating in the Promotion and/or accepting a prize, each participant hereby agrees to allow
Sponsor and those acting under its authority to use his/her name, photograph, voice and/or likeness and
biographical and prize information and/or statements, at any time or times, for advertising, trade,
commercial, publicity and promotional purposes without additional compensation, in all media now known
or hereafter discovered, worldwide in perpetuity, and on the Internet and/or world wide web, without
notice or review to, or approval, except where legally prohibited by law.
Participants who do not comply with these Official Rules, or attempt to interfere with this Promotion in any
way shall be disqualified. Sponsor, Administrator and Disney are not responsible if Promotion (or any
portions thereof) cannot take place or if any prize cannot be awarded due to acts of God, acts of war,
natural disasters, weather, acts of terrorism, or any other cause outside Sponsor’s reasonable control.
In no event will any of the Released Parties be responsible or liable for any damages or losses of
any kind, including direct, indirect, incidental, consequential or punitive damages arising out of
access to and use of any websites, software, applications, content, products or services
(“Promotional Services”) associated with this Promotion or downloading from and/or printing
material downloaded from such Promotional Services.
WITHOUT LIMITING THE FOREGOING, ALL OR ANY PORTION OF THE PROMOTIONAL SERVICES
IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT
ALLOW LIMITATIONS OF EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS
OR EXCLUSIONS MAY NOT APPLY TO YOU. Check your local laws for any restrictions or
limitations regarding these limitations or exclusions.
Released Parties are not responsible for lost, late, misdirected, incomplete, inaccurate, stolen, garbled,
postage-due or non-delivered Instant-Win Plays and/or mail or email; or for interrupted or unavailable
satellite, network, wireless provider, server, Internet Service Provider (ISP), website, application or other
connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or
cable transmissions, or lines, or technical failure or jumbled, corrupted, scrambled, delayed, or
misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or
difficulties, or other errors of any kind whether printing, typographical, human, mechanical, electronic or
network or otherwise, including, without limitation, errors or problems that may occur in connection with
the administration of the Promotion (or any portion thereof), the announcement of the winners and/or
prizes, the incorrect or inaccurate capture or processing of Instant-Win Plays and/or mail or email or the
failure to capture, or loss of, any such information, or in any other Promotion-related materials. Persons
who tamper with or abuse any aspect of this Promotion or otherwise attempt to undermine the legitimate
operation of the Promotion by cheating, hacking, deception, or other unfair playing practices or intending
to annoy, abuse, threaten or harass any other participants or Sponsor representatives, as solely
determined by the Sponsor, will be disqualified. Released Parties are not responsible for injury or damage
to participant’s or to any other person’s computer or device related to or resulting from participating in this
Promotion or downloading materials from or use of any website associated with this Promotion. Should
any portion of the Promotion be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, nonauthorized human intervention, technical failures or other causes which, in the sole opinion of the
Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of InstantWin Plays, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the
Promotion, and select the potential winners in a random drawing from all eligible, non-suspect Instant-Win
Plays received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Released
Parties are not responsible for any incorrect or inaccurate information, whether caused by website users,
tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion,
and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or
transmission, communications line failure, theft or destruction, or unauthorized use of any website
associated with the Promotion.
8. DISCLAIMER: Codes are void if not obtained through authorized, legitimate channels, or if any part is
defective, altered, duplicated, photocopied, forged, counterfeited, mutilated or tampered with in any way,
or if Codes contain or are the result of a programming, printing, seeding, typographical, mechanical or
other errors, or do not contain proper security devices. Sole liability for a regular official Code is limited to
replacement with a free randomly selected official Code, while supplies last. Codes may not be
transferred, sold, bartered, auctioned (including through Internet auction sites), given away, traded or
obtained through any source other than through the method(s) described in these Official Rules.
9. GENERAL: Any attempted form of submitting an Instant-Win Play or participation other than as set
forth above is prohibited; no automatic, programmed, robotic or similar means of submitting Instant-Win
Plays are permitted. In no event will Sponsor award more than the stated number of prizes. If due to a
computer programming or other error, more prizes are claimed than intended to be awarded according to
Section 6, prizes will be awarded in a random drawing from among all valid prize claims received. If a
drawing is required, it will be conducted by a third party judging organization who is independent from
Sponsor and whose decisions shall be final. All potentially winning Instant-Win Plays are subject to
verification in the sole discretion of the Sponsor. In the event of a dispute regarding Instant-Win Plays
received from multiple users having the same email account, the authorized subscriber of the email
account at the time of submitting an Instant-Win Play will be deemed to be the participant and must
comply with these Official Rules. Authorized account subscriber is the natural person who is assigned the
email address by the Internet Service Provider (ISP), on-line service provider, or other organization
responsible for assigning email addresses.
CAUTION -- ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEBSITE
ASSOCIATED WITH THE PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF THE
PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN
ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES
AVAILABLE (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST
EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
In the event of any conflict with any Promotion details contained in these Official Rules and
Promotion details contained in any Promotion promotional materials (including but not limited to
point of sale, television and print advertising, promotional packaging and other promotional
media), the details of the Promotion as set forth in these Official Rules shall prevail.
10. BINDING ARBITRATION: Any controversy or claim arising out of or relating to the Promotion
(excluding any controversy or claim arising out of or relating to the Prizes or against Disney) shall be
settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that
such location is reasonably convenient for claimant), or at such other location as may be mutually agreed
upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the
Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”) then
prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having
jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The
arbitrator shall apply California law consistent with the Federal Arbitration Act and applicable statutes of
limitations, and shall honor claims of privilege recognized at law. In the event that the claimant is able to
demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor
will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the
arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this
arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be
arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures
established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be
construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were
not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims
will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall
be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a
demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery
shall be completed within sixty days after the demand for arbitration is made, unless further extended by
mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS
PARAGRAPH SHALL BE IN THE PARTICIPANT’S INDIVIDUAL CAPACITY AND NOT AS A
PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE
PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER
PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS PROMOTION
IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN
ACCORDANCE WITH THESE OFFICIAL RULES.
BY PARTICIPATING IN THE PROMOTION, EACH PARTICIPANT AGREES THAT TO THE EXTENT
PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF
ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION (EXCLUDING ANY AND ALL

BROUGHT AGAINST DISNEY), , WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING
ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2)
ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED
WITH THE PRIZES OR THE USE THEREOF OR ANY AND ALL DISPUTES, CLAIMS, AND CAUSES
OF ACTION BROUGHT AGAINST DISNEY SHALL BE RESOLVED INDIVIDUALLY, WITHOUT
RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY IN A COURT LOCATED IN
ORANGE COUNTY, FLORIDA HAVING JURISDICTION; (3) ANY AND ALL CLAIMS, JUDGMENTS
AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED
(IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (4)
UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD
FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK,
PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY
OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES, AND/OR ANY RIGHTS TO
HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (5) PARTICIPANT'S REMEDIES
ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY
WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO
NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY
TO EVERY PARTICIPANT.
11. GOVERNING LAW & JURISTRICTION: The Promotion is governed by US law and subject to all
applicable federal, state and local laws and regulations. All issues and questions concerning the
construction, validity, interpretation and enforceability of the Official Rules, or the rights and obligations of
participant and Sponsor in connection with the Promotion, shall be governed by, and construed in
accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws
rules thereof, and any matters or proceedings which are not subject to the procedure as set forth in
Section 10 of these Official Rules and/or for entering any judgment on an arbitration award, shall take
place in the State of California, in the City of Stockton. All issues and questions concerning the rights and
obligations of Disney in connection with the Prizes, shall be governed by, and construed in accordance
with, the laws of the State of Florida, without regard for conflicts of law doctrine of Florida or any other
jurisdiction.
