2011 Secured Loan Documentation
Seminar OVerview
Proper loan documentation and perfection of collateral are key components toward
ensuring the health of the bank’s loan portfolio. Inadequate loan documentation and
lien perfection contribute to significant loan losses on transactions that otherwise
would be quality earning assets. In particular, errors in the loan documentation
process lead to additional concerns for the lending officer and the bank when
borrowers fail to pay or loans are deemed to need special servicing attention.
The purpose of this one-day workshop is to provide participants with a thorough
understanding of the loan documentation process. The presentation will expose
attendants to a variety of topics, pitfalls, and other considerations related to the
lending process and collateral documentation. The five steps of the lending process
reviewed by the speaker include:
• Identification of the borrower
• Identification and understanding of the collateral
• Documentation to evidence the debt
• Assigning the collateral
• Perfecting the security interest
Who should attend
The target audience for this workshop includes all persons in the bank associated with
the lending process—lending officers, credit analysts, credit department personnel,
lending assistants, internal auditors, loan review officers, compliance department
personnel, administrative assistants, senior management, etc.
Delivery method and Program level/content
This group-live, overview program will cover the many steps and issues for those
involved in the loan documentation process. Each participant will receive valuable
information along with documents and examples they will use as reference materials
ongoing. The instructor will take time to discuss and answer questions participants
may have relevant to the loan documentation process.
Course objectives
Upon completion of the workshop participants will:
• Understand and identify documentation to evidence the debt for various types of loan transactions
• Identify collateral documentation required to assign and perfect the security interest for various types of collateral
• Understand and guard against pitfalls and documentation errors that may lead to collateral insecurity and potential loan losses
