OF WATERSHED MANAGEMENT, IN AN AMOUNT NOT TO EXCEED FOUR HUNDRED NINETY
THREE THOUSAND SEVEN HUNDRED THIRTY DOLLARS AND ZERO CENTS ($493,730.00); ALL
CONTRACTED WORK WILL BE CHARGED TO AND PAID FROM 5052 (WATER &
WASTEWATER R&E FUND) 170201 (DWM WATERSHED CONSTRUCTION MANAGEMENT)
5413002 (BUILDING IMPROVEMENTS) AND 4310000 (SANITARY ADMINISTRATION); AND FOR
OTHER PURPOSES.
WHEREAS, the City of Atlanta ("City") identified the need for a comprehensive energy management
and energy related capital improvement strategy to achieve long term savings through reduced energy
and water use at City owned facilities; and
WHEREAS, the long term savings and reduced energy and water use can be best achieved through
multiple performance based agreements that will include both an Investment Grade Energy Audit
Agreement ("Audit Agreement") and a Guaranteed Energy Savings Performance Contract ("GESPC");
and
WHEREAS, the Audit Agreement will result in an Audit Report that the City will review and determine,
at its sole discretion, whether to execute a GESPC to implement the recommendations identified in the
Audit Report to achieve long term savings through reduced energy and water use at City owned
facilities; and
WHEREAS, the Commissioner of the Department of Watershed Management desires to implement a
strategy to achieve long term savings through reduced energy and water use at certain Department of
Watershed Management owned facilities through an Audit Agreement and a GESPC; and
WHEREAS, the City advertised for FC-8047, Energy Service Performance Initiatives on behalf of the
Mayor's Office of Sustainability; and
WHEREAS, the Commissioner of the Department of Watershed Management, the Director of the
Mayor's Office of Sustainability, and the Chief Procurement Officer recommend that FC-8047A-2,
Energy Service Performance Initiatives be awarded to Schneider Electric/ME Cubed Engineering, JV in
an amount not to exceed Four Hundred Ninety Three Thousand Seven Hundred Thirty Dollars and Zero
Cents ($493,730.00).
THE CITY COUNCIL OF THE CITY OF ATLANTA, GEORGIA HEREBY RESOLVES, that the
Mayor, or his authorized designee, is authorized to enter into an agreement with Schneider Electric/ME
Cubed Engineering, JV for FC-8047A-2, Energy Service Performance Initiatives, on behalf of the
Department of Watershed Management, in an amount not to exceed Four Hundred Ninety Three
Thousand Seven Hundred Thirty Dollars and Zero Cents ($493,730.00).

BE IT FURTHER RESOLVED, that the authorization for an agreement with Schneider Electric/ME
Cubed Engineering, JV for FC-8047A-2, Energy Service Performance Initiatives authorizes both an
Investment Grade Energy Audit Agreement and a Guaranteed Energy Savings Performance Contract
should the City, at its sole discretion, decide to execute a Guaranteed Energy Savings Performance
Contract to implement the strategies identified in the Audit Report to achieve long term savings through
reduced energy and water use at certain Department of Watershed Management owned facilities.
BE IT FURTHER RESOLVED, that the term of the Audit Agreement will not exceed three hundred
fifty (350) days, and the term of the Guaranteed Energy Savings Performance Contract, if executed by
the City, will be determined by the results of the Investment Grade Energy Audit Agreement.
BE IT FURTHER RESOLVED, that should the City, at its sole discretion, decide to execute a
Guaranteed Energy Savings Performance Contract, all contracted work will be charged to and paid from
the costs savings realized in the Guaranteed Energy Savings Performance Contract and paid from 5052
(Water & Wastewater R&E Fund) 170201 (DWM Watershed Construction Management) 5413002
(Building Improvements) and 4310000 (Sanitary Administration).
BE IT FURTHER RESOLVED, that should the City at its sole discretion, decide not to execute a
Guaranteed Energy Savings Performance Contract, all contracted work under the Investment Grade
Energy Audit Agreement will be charged to and paid from 5052 (Water & Wastewater R&E Fund)
170201 (DWM Watershed Construction Management) 5413002 (Building Improvements) and 4310000
(Sanitary Administration).
BE IT FURTHER RESOLVED, that the Chief Procurement Officer, in consultation with the City
Attorney, is directed to prepare an agreement in substantially similar from to terms set forth in the
agreement attached as Exhibit A for execution by the Mayor, or his authorized designee.
BE IT FURTHER RESOLVED, that the agreement will not become binding upon the City, and the City
will incur no liability under it until the Contract is approved by the City Attorney as to form, executed
by the Mayor, attested to by the Municipal Clerk and delivered to Schneider Electric/ME Cubed
Engineering, JV.
