Russin & Vecchi is an international law firm with eleven
independent but affiliated offices spanning the globe. The
firm’s first offices were opened in Bangkok in 1966, Saigon in
1967, Santo Domingo and Washington, D.C. in 1969, to create
an international practice serving the developing commercial
environments of Asia and Latin America.
As global cooperation grew and the changing economic
environment set new challenges for businesses worldwide, the
firm both developed its existing practices and continued its
expansion to emerging markets, opening new offices around
the globe, including in the United States, the Dominican
Republic, Russia, Vietnam and Taiwan.

The firm’s first Russian office was opened in
Moscow in 1991, at the very end of the Soviet era,
in anticipation of the significant growth of cooperation
between Russia and major Western economies at both
the government and private business levels, which
was expected to be spurred by the opening of the
Russian border to foreign investments, liberalization of
the Russian economy, establishment of a competitive
market and other factors.
After such international giants as ExxonMobil, Shell,
and British Petroleum (now BP plc) approached the
Russian market and under took a number of multibillion
oil and gas projects in the Russian Far East, the demand
for legal services rendered by exper ts qualified to serve
the business needs of multinational corporations and
knowledgeable in regional and local specifics increased
significantly, and it became clear that the firm’s Russian
practice should be expanded to cover strategic regions
of the Russian Far East. Thus, Russin & Vecchi was the
first international law firm to open offices in both
Vladivostok (1995) and Yuzhno-Sakhalinsk (Sakhalin
Island, 2001) and to maintain a full time presence in
the Russian Far East.
The Moscow office was intended to carry on the
firm’s tradition, based on long experience, of making
legal services available in emerging economies. Russin
& Vecchi’s team in Moscow specializes in complex
commercial transactions integrating the talents of
attorneys trained in both common law and civil law
jurisdictions. Working within a restructured and evolving
legal system, the Moscow office seeks to achieve
client goals by offering sensible advice and practical,
workable solutions. The firm’s lawyers are trained to
give maximum priority to promptly responding to client

The Yuzhno-Sakhalinsk office serves large and small
businesses in the rapidly expanding oil and gas industries
on the shelf of Sakhalin, as well as onshore coal-mining
industry. Through an in-depth knowledge of local law,
practice and institutions, our legal staff provides clients with

As part of the Russian Practice Group, the Vladivostok
and Yuzhno-Sakhalinsk offices’ attorneys work closely with

ENERGY
Multinational projects handled by the firm have included
legal guidance on multibillion-dollar projects involving
the extraction of oil and gas within the Sakhalin-1 and
-2 framework; government approval of a PSA for the
development of shelf deposits within the Sakhalin-3
framework; and assistance with the complex permitting
and licensing required by a multitude of local Sakhalin
and federal government agencies for contractors and
subcontractors engaged in these projects.
During work on these projects, the firm’s lawyers successfully
completed many significant assignments, such as:
• assisting in arranging for the large-scale international
maritime transport of equipment and personnel to
undeveloped beach sites for the installation of unique
horizontal drilling operations;

• reconciling the latest drilling waste disposal
technologies with Russian environmental law and PSArelated requirements;
• consulting on structuring contractual relations for
maximum tax and foreign exchange advantages;
• structuring contractor and subcontractor obligations
for the construction of oil and gas pipelines and
liquefied natural gas (LNG) plant on Sakhalin;
• structuring transactions for the construction of
offshore oil and gas platforms;
• assisting a foreign liquefied petroleum gas (LPG)
trading company in establishment of a joint venture for the
construction and operation of a maritime LPG terminal in the

NATURAL RESOURCES AND ENVIRONMENT
FINANCIAL
Russin & Vecchi provides continuing suppor t to
investors in the timber and coal-mining industries in
the Russian Far East. Some of the legal matters dealt
with by the firm’s attorneys include:
• assisting a multinational corporation with various
regulatory issues associated with coal extraction and
risks of operating in the Russian Far East region;
• assisting in antimonopoly filings and in the
acquisition of a coal-mining extraction and expor t
group of companies by one of the world’s largest
industrial consor tiums;
• structuring a transaction for the purchase of por t
facilities for coal expor t, including performing due
diligence on the facilities, procuring government approval
and permits, and developing operational guidelines to
ensure compliance with Russian maritime and natural
resources laws;
• assisting a client with an environmental pollution
and vessel collision liability risk assessment for its oil
and gas terminal operations in the Sakhalin region;
• preparation of a legal opinion on the legislative
requirements for reclamation of land damaged by
construction activities under a PSA (production sharing
agreement);
• advising a client on the applicability of the Russian
oil spill response plan requirements to foreign-flagged
vessels owned by a foreign company;
• advising on legality of the requirement of the Ministry
of Natural Resources of the Russian Federation that a
separate subsoil use license be obtained for reinjection of
cuttings and drilling muds back into the subsoil.
Russin & Vecchi’s attorneys have an extensive background
in representing both public and private lenders involved
in financing large-scale projects in Russia, many of which
have involved the establishment of mortgages and other
security arrangements. Some of the firm’s notable projects

• advising a French commercial bank on a billion-dollar
project involving issuance of Eurobonds by two major
Russian banks;
• assisting a foreign investment fund with structuring and
implementation of a special-purpose loan transaction for
the completion of a Class A office building construction
project in Moscow;
• advising a liquefied petroleum gas (LPG) trading
company on a joint venture project financing transaction
involving the construction and operation of a maritime
LPG terminal in the Russian Far East;
• advising an international bank group on Russian
banking licensing requirements relevant to cross-border
financing of a local government;
• due diligence of a borrowing company and examination
of a multimillion-dollar credit and facility agreement for
compliance with the applicable Russian laws;
• structuring a special-purpose loan transaction for
the construction of a large residential real estate and
landscaping project in Moscow, developing necessary
transaction documents, including a special-purpose loan
agreement, operating agreement, shareholders agreement,
and the associated securities;

issues, including the negotiation, registration and execution
of ship mortgages, the planning and construction of port
facilities, and the development of port navigation rules. Other
noteworthy projects handled by the firm in this sphere
include:
• advising a client on the transportation and operation of a
foreign-flagged dredging vessel in Russian territorial waters off
the northern part of Sakhalin Island;
• advising on legal (customs, tax, environmental, regulatory,
etc.) implications of coastal operations on Sakhalin for the
purpose of avoiding cabotage between Russian ports;
• assisting a client with locating a vessel hidden in a foreign
port and with collecting payments from the ship owner;
• advising on reflagging a platform on the Sakhalin shelf for
one of the operators of the Sakhalin projects;

requirements for foreign-flagged vessels owned by a foreign

• advising a U.S.-based transportation company on tax

Russin & Vecchi has substantial experience in
representing the interests of foreign investors operating
in the Russian real estate market and involved in the
acquisition of Russian real estate and in the construction
of manufacturing facilities, production bases and other
commercial projects. The firm’s attorneys have been
providing clients with services involving a wide variety
of real estate and construction issues, including:
• providing an international brewing company with
comprehensive legal assistance during the construction
of one of the largest brewery plants in Russia;
• preparation of a set of model lease agreements
for leasing plots under a pipeline, liquefied natural gas
(LNG) plant and other facilities within one of the
largest oil and gas projects in Russia;
• providing a major agricultural holding company
from Southeast Asia with legal guidance during the
construction of a feed mill in the Moscow region;

Russian intellectual property (IP) law. The firm’s trademark
attorneys handle trademark clearance, registration,
prosecution and enforcement, licensing and assignment of
rights, domain name registration and dispute resolution,
copyright and trademark counseling, infringement matters,
opposition and cancellation proceedings. The IP matters
routinely handled by the firm’s trademark attorneys
include:
• representing trademark holders before the Russian
PTO (Rospatent) through conducting trademark availability
searches, handling trademark filings and prosecution and
overcoming refusal actions as well as renewing trademark
registrations and entering amendments to them;
• representing clients in various trademark matters in
the Chamber of Patent Disputes of the Russian PTO;
• assisting non-Russian trademark holders in overcoming
Russian PTO refusals to grant protection to international
trademarks filed under the Madrid System;
• developing license and assignment of rights

LITIGATION AND ARBITRATION
Russin & Vecchi’s dispute resolution team represents clients
in complex commercial disputes at all court levels in Russia
and before international arbitration tribunals. The firm’s
litigation attorneys regularly represent clients in disputes with
a wide range of state agencies such as the Federal Customs
Service, the Federal Tax Service, and labor commissions as
well as other regulatory agencies and committees. The firm’s
recent experience in dispute resolution includes:
• representing a vessel operator in a court dispute,
contesting demand by the customs authorities for
administrative responsibility for use for a not intended purpose
of a sea vessel imported under PSA terms and restrictions
with payment of the full amount of import customs duties
and taxes;
• representing a major Japanese trading company within
legal proceedings associated with recovery of a debt from a
Russian contractor being liquidated and successfully achieving
application of interim measures in the form of a prohibition
against registration of the liquidation of the debtor by the
Russian tax authorities before execution of the judgment;
• representing a client in a recovery action against a vessel
located in China;
• representing a global manufacturer of drilling equipment
in a dispute with the Russian customs authorities associated
with the reclassification of equipment imported to Russia and
recovery of a multimillion overpayment of customs duties;
• representing the interests of a holding company

corporate disputes with former shareholders;
• assisting a foreign company specialized in implementation
of major construction projects in connection with recovery
from a Russian counterparty of outstanding amounts
for the works done and equipment supplied within the

in bankruptcy proceedings initiated against the named

experience, Mr. Lazarev brings his
unique knowledge of the Russian
legal and business landscape to
every client issue. Mr. Lazarev has
been facilitating foreign business
operations in the Russian Federation
for around 25 years.
Under his supervision, the firm provided legal support
for multibillion dollar oil and gas extraction projects within
Sakhalin-1 and Sakhalin-2, including the construction of the
first LNG plant in Russia with a capacity of 10 mln. tons
per year; government approval of the production sharing
agreement (PSA) to develop the shelf field within Sakhalin-3;
and adoption of a law of the Russian Federation on including
the Kirinsky block into the subsoil plots for which use rights
may be granted on a production sharing basis.
Mr. Lazarev is one of Russia’s leading lawyers and
has been recognized by The Legal 500 for work in
the oil and gas sector, suppor ting companies engaged
in development of the Sakhalin oil and gas projects; by
IFLR1000, which identifies him as an exper t in M&A;
by PLC Which lawyer? and The Best Lawyers, which

Mr. Lazarev served for ten years as a research
scholar at the Institute of Scientific Information for
Social Sciences (INION) at the Depar tment of State

addition to many ar ticles and abstracts on problems
of state and law, international law, foreign policy
and political science, he is the author of the book
International Arbitration. He is a frequent speaker
at international conferences and is a member of
the Russian Association of International Law and the

Following completion of his studies at the George
Washington University in 1993, Mr. Lazarev worked

Mr. Russin is the founder of Russin & Vecchi’s
Russian Practice Group. He conceived, organized and
supervised the firm’s integrated practice of Russian and
American lawyers from its Moscow inception in 1991
until his relocation to Washington, DC, in 2013. Mr.
Russin now directs the independent office of Russin
& Vecchi in Washington, DC, from which he continues
to serve as Senior Counsel to the Russian Practice

Mr. Lyapin has an LL.M. in transnational business practice

Since joining Russin & Vecchi in 2007, Mr. Parinov has
been actively involved in advising multinational corporations
on cross-border transactions and establishment of their
operations in Russia. He has participated in a number of
large projects, including assisting one of the world’s largest
industrial corporations in acquiring a group of Russian coal
producers; advising an investment group from Southeast Asia
on constructing a modern agricultural complex in Russia; and
counseling global media, telecommunication and IT companies
on compliance with Russian regulatory requirements.
Mr. Parinov advises clients on formation of joint venture
companies, implementation of anti-corruption policies
and compliance in Russia with the FCPA requirements,
corporate governance, structuring M&A deals, debt
recovery and dispute resolution. He also represents clients
in international arbitration proceedings and assists with
enforcement of foreign arbitral awards.
Ms. Mandrika has extensive experience in providing legal
assistance to Russian and foreign companies undertaking
projects in various areas of business. Her main fields of
specialization are corporate law, real estate, labor and
immigration law, and dispute resolution.
Before joining Russian & Vecchi, Ms. Mandrika worked as
a lawyer at a Sakhalin-based law firm, where she acquired
substantial experience in providing legal services to companies
and individual entrepreneurs, including representing clients’
interests before arbitration courts and courts of common
jurisdiction and before various state and local government
bodies. Ms. Mandrika also worked as a senior legal advisor
at the Sakhalin branch of Russian Agricultural Bank, one of
the largest banks in Russia. Until 2010, she worked as a
legal advisor at a trading company with a chain of stores on
Sakhalin, where she represented the company before state
bodies and courts of different levels.

Ms. Lysenko has broad experience in registration of
rights to immovable property, representation of clients in
all types of courts in a wide range of civil cases, and
interaction with state and municipal agencies on a wide
scope of matters. Her practice areas include civil law, real
estate law, corporate law, business law, Russian litigation,
and private international law.
Before joining Russin & Vecchi, Ms. Lysenko acquired extensive
experience working as a lawyer in the legal department of a
well-known Russian commercial industrial holding company for
three years and as a leading lawyer in a law firm in Vladivostok
for two years.
Ms. Lysenko completed a Ph.D. program in civil law, business
law, family law, and private international law at the Far Eastern
Federal University and is currently working on her dissertation.
Mr. Khlopushin provides advice to clients on a wide
variety of legal matters, specializing in corporate law, M&A,
contract law, labor law and migration, real estate, energy
and natural resources, project finance, joint ventures, loan
securitization, civil litigation and commercial arbitration.
Mr. Khlopushin has assisted a leading state-owned
investment fund in deal structuring and securitization of
a special purpose loan. He has represented clients before
state bodies and courts of different levels.
Mr. Khlopushin began his career as a junior lawyer at a law
firm in Vladivostok and there acquired substantial experience
in corporate law, bankruptcy law and real estate law.
He completed a one-year practice at the Vladivostok-based
legal clinic, where he assisted clients in the areas of civil and
labor law.
Mr. Yuzhanin counsels clients on legal matters in the
areas of M&A transactions, contract law, and migration
regulations.
His specialties include civil law, migration law, and
commercial arbitration. He has experience in representing
both Russian and foreign clients before state bodies and
courts of different levels.
Starting his career as a junior lawyer at a law firm in
Vladivostok, Mr. Yuzhanin acquired experience in aviation
law, corporate law, and migration law. During that period,
he took part in a significant project involving insurance
issues associated with an aircraft incident.
Mr. Yuzhanin completed a one-year practice at the
Vladivostok-based legal clinic, where he acquired his first
experience in legal work on civil and family law matters.
Mr. Lyakhov provides advice to clients on a broad
range of legal matters, specializing in corporate law, M&A,
contract law, labor law and migration, real estate, energy
and natural resources.
Since joining Russin & Vecchi as an associate in 2007, Mr.
Lyakhov has participated as a leading lawyer in a number
of large infrastructural projects in the Russian Far East,
including due diligence of telecommunication companies,
timber processing companies and sea terminals, as well as
construction of APEC 2012 Summit objects.
After obtaining an LL.M. in financial law from Goethe
University in Frankfurt in 2014, Mr. Lyakhov worked in the
banking law practice of one of the ten largest international
law firms in Frankfurt and in the legal department of the
largest Italian bank in Munich.

Mr. Kalinovsky has headed the trademark section at
Russin & Vecchi since 2006, arriving from a large Russian
IP firm where he had worked since 1998, also as head
of the trademark section. He was among Russia’s first
registered trademark attorneys and was appointed head of
the Trademark and Industrial Designs Department in 1980,
a position that he occupied until 1998. Previously, he was
nominated as a senior consultant for Sojuzpatent under the
USSR Chamber of Commerce and Industry. Mr. Kalinovsky
joined the All-Union Research Institute of State Patent
Examination (the former Russian patent and trademark
office) as a senior expert in the Transport Department
in 1971. Prior to this, he worked at the Central Research
Institute of the Ministry of Communication after completing
his engineering degree in 1966.
Ms. Kalinovskaya focuses her practice on intellectual
property portfolio management, including trademark
clearance, registration, prosecution and enforcement,
copyright and trademark counseling, and domain name
registration and dispute resolution. She also handles licensing
and assignment of rights. Ms. Kalinovskaya counsels clients
on maintenance of trademark rights, infringement matters,
opposition and cancellation proceedings. She works with
clients in a diverse range of industries, including computer
software, telecommunications, pharmaceuticals, restaurant
services, and consumer products.
Ms. Kalinovskaya joined Russin & Vecchi as a trademark
attorney in 2006. She began her professional activity in
1999 with a large Russian IP law firm where she acquired
substantial experience in patent and trademark matters.

Ms. Radmaeva specializes in international maritime law
and insurance (P&I, H&M), and has seven years of work
experience as Counsel of the Legal Department of
“FESCO” – a major shipping company, which has offices
in many countries and transports different types of cargo
worldwide. As Senior Counsel of the logistic company of
“SOLLERS” Group, Ms. Radmaeva provided complete legal
support to the company in its daily operations connected
with multimodal transportation of cargo from Asia to
Russia and vice versa, port operations, container terminal
operations, construction projects, land related issues, as
well as on matters involving corporate, administrative and
labor law.
Mr. Apataev has served in the investigation office of
the Administration of the Federal Service of the Tax
Police, where he carried out preliminary investigations of
criminal cases, concentrating on tax crimes. He participated
in tax audits, analyzed financial and economic activities
of taxpayers, and reviewed financial documents for
compliance with Russian regulations. Mr. Apataev began his
legal career in 2001 in the investigation department of the
Administration of Internal Affairs in Yuzhno-Sakhalinsk.
He has successfully completed courses at the Russian
Tax Advisors Chamber and received the Tax and Duties
Advisor Certificate. In 2009, he obtained the status of
advocate (barrister).
