Introduction:ThisdocumentisaRequestforQualification(RFQ)fromClarksvilleLight&Water(CLW)
forpurposestoassesstheinterestoftheserviceprovidercommunityinjoiningCLWinapublicprivatepartnershiptodeployIPtypebroadbandservicesthroughoutthecity.CLWseekscreative
solutionsforconnectivityandadvancingbroadbandadoptionthroughoutthecommunityincluding
anchorinstitutions,businessandcommercialentities,andeventuallyresidentialcustomerswith
theultimateobjectivebeingeconomicgrowthandlocalsustainability.Serviceprovidersareasked
torespondwiththeirqualifications,levelofinterest,technicalcapabilities,potential
service/productofferings,andinformationregardingtheiroverallinterestinjoiningCLWina
public-privatepartnership.Thispartnershipcouldbeeitherinaretailorwholesalefashionand
designedtobedeliveredoverultra-highspeedcommunicationsoverafiberopticnetworkCLW
owns.
1.1 Purpose:thepurposeofthisRFQistodeterminethefollowing:
1. Developinformationtodeterminelevelofserviceproviderinterest.
2. Definehigh-levelgoalsforaCLW-Serviceproviderpartnership.
3. SolicitcreativesolutionsfromqualifiedserviceproviderstojoinCLWinaplantodeploy
gigabitservicesthroughouttheCLWservicearea.
4. Determineashortlistofinterestedserviceprovidersforpotentialcontractsand/or
negotiations.
5. ThisRFQisnotabid,howevercostsofserviceswillbeconsideredasapartoftheoverall
valueofthepartnershiparrangement.Theprocesswillbeconductedfollowingthespirit
oftheArkansasProcurementLawsSubchapter8providingforprofessionalservicesto
beselectedbaseduponqualificationsandA.C.A.§14-58-1001whichallowsmunicipal
utilitiestoselectonanegotiatedbasis.
1.2 IssuingAgency:ClarksvilleLight&WaterCompany(CLW)istheissuingagencyandisownedby
theCityofClarksville,Arkansas.Thehistoryoftheutilitygoesbackto1913whentheelectric,
waterandsewerageoperationsstartedprovidingutilityservicestothecommunity.Atthetime
ClarksvillewasconsideredoneofthemostprogressivetownsinArkansas.CLW'scurrent
governingboardstructurewasestablishedin1947,whentheCityCouncilappointeda
CommissiontoactasanagencyoftheCity,chargedwiththeresponsibilityofadministeringthe
CLWinthebestinterestofthecitizensofCityofClarksville.Alsoreferto

Allvendorexpensesassociatedwiththeinitialpresentationexceptwillbebornebythevendor.
1.10 DefinitionofTerms:TheRFQwillusethewordsserviceprovider,vendorandrespondent
interchangeablytogenericallydescribeinterestedpartiestoapublic-privatepartnership.
1.11 Publicity:Newsreleases,oranyreleaseofinformationinapublicmannerincludingbutnot
limitedtosocialmedia,pertainingtotheRFPortheservices,study,dataorprojecttowhichit
relateswillnotbemadewithoutpriorwrittenapprovalofCLW,andthenonlyinaccordancewith
theinstructionsfromCLW.Failuretocomplywiththisrequirementisdeemedtobeavalid
reasonfordisqualificationofthevendor’sresponse.
1.12 RFQEvaluation:TheinitialRFQwillbeevaluatedbyaCLWworkgroupselectedbytheCLW
GeneralManagermadeupofCLWstaffandinterestedindividualswithtechnicalexpertisefrom
localinstitutions.Anyresultingcontracts,ifany,willbeissuedafteranegotiationhasbeen
completedandCLWissatisfiedthattheneedsoftheutilityandtheCityofClarksvillewillbe
fulfilledtakingintoconsiderationgeographicareasandspecificpopulationsproposedtobe
servedbytheprovider.Thissolicitationmayallowforresultingcontractstobeissuedtomultiple
vendorsifinthebestinterestoftheCLWandcorrespondinginterestedpartywishingto
participatetodoso.
1.13 Negotiations:AsprovidedinthisRFQ,discussionsmaybeconductedwithresponsiblevendor(s)
whosubmitresponsesdeterminedtobereasonablyqualifiedofbeingselectedforapublicprivatepartnershipwithCLW.
1.14 Financialrecords:Theserviceprovidershallberequiredtomaintainallpertinentfinancialand
accountingrecordsandevidencepertainingtothecontractinaccordancewithgenerally
acceptedaccountingprinciplesandotherproceduresspecifiedbyCLW.Accesswillbegranted
uponrequest,toCLW,oranyothersubjectgoverningentitiesoranyoftheirdulyauthorized
representatives.
1.15 PrimeContractResponsibility:Qualifyingvendorswillberequiredtoassumeprimecontractor
responsibilityandwillbethesolepointofcontactforanyresultingcontracts.
Ifanypartoftheworkmustbesubcontracted,vendormustincludealistofsubcontractors,

includingfirmnameandaddress,EIN(EmployeeIdentificationNumber),contactperson,
completedescriptionofworktobesubcontracted,anddescriptiveinformationconcerning
subcontractor’sorganizationalactivitiesinthenegotiatedcontract.CLWreservestherightto
refusethechoiceofanyparticularsub-contractorthatmaybeproposed.
Thevendorshallnotassignthecontractinwholeorinpartwithoutthepriorwrittenconsentof
theCLW.ThequalifyingvendorshallgiveCLWimmediatenotice,inwriting,bycertifiedmailof
anyaction,which,intheopinionofthecontractor,mayresultinlitigationrelatedinanywayto
thecontractortoCLW.
1.16 ConditionsofContract:Qualifyingvendorsshallatalltimesobserveandcomplywithfederal
andstatelaws,locallawsandordinances,orders,andregulations.Respondentsshallindemnify
andsaveharmlesstheagencyandallitsofficers,representatives,agents,andemployeesagainst
anyclaimorliabilityarisingfromthisRFQ.
1.17 CLWStatementofLiability:TheCLWwilldemonstratereasonablecarebutshallnotbeliablein
theeventofloss,destruction,ortheftofvendor-ownedequipment,software,ortechnical
literaturetobedeliveredortobeusedintheinstallationofdeliverables.Thequalifiedvendoris
requiredtoretaintotalliabilityforequipment,software,andtechnicalliteratureuntilthe
deliverableshavebeenacceptedbythe“authorizedagencyofficial.”AtnotimewilltheCLWbe
responsiblefororacceptliabilityforanyvendor-owneditems.
1.18 AwardResponsibility:CLWwillberesponsibleforawardandadministrationofanycontracts
resultingfromthisRFQ.
1.19 Confidentially:Qualifiedprovidersshallbeboundtoconfidentialityofanyinformationthatits
employeesmaybecomeawareofduringthecourseofperformanceofcontractedtasksinthe
eventacontractisawarded.Consistentand/oruncorrectedbreachesofconfidentialitymay
constitutegroundsforcancellationofthecontract.

CityofClarksvilleandCLW:
3.1 TheCityofClarksvilleisnestledatthefootoftheOzarkMountainsandintheheartoftheRiver
Valley.Clarksvilleisatownofdynamicopportunities.ThenaturalbeautyofArkansasistruly
exemplifiedinourmountains,rivers,lakes,andlandscape.Clarksvilleiscentrallylocatedto
everythingthatisgreataboutArkansas,fromwinetastingandfinedining,tocanoeing,
horsebackriding,hangglidingandmore.ClarksvilleLight&Water(CLW)isamunicipallyowned
utilitybelongingtothepeopleofClarksville,Arkansas.ThepopulationofClarksvillewas9,251as
ofthelastcensusandhasexperiencedconsistentgrowthforthelastfewdecades.Theutility
currentlyprovideselectric,waterandwastewaterservicestothecommunityofClarksvilleaswell
aspotablewatertocityresidentsonaretaillevel.
3.2 CL&Wisuniquefromacoupleofdifferentaspects.Itisoneofonlyfourteen(14)citiesinthe
StateofArkansastoownanelectricutility.Atpresent,theelectricutilitysystemhasasummer
peakatover50megawatts’.CL&Wservesover4,500retailcustomersandhasahealthy
industrialloadforacommunityofjustfewerthan10,000.AsignificantamountofCLW’spower
supplyismadeupofrenewableenergyresourcesaswell.AlthoughCLW'swaterutilityhasretail
customerswithinthecitylimits,CLWservesanadditionaleight(8)wholesalewatersystemswith
oursixteen(16MGD)million-gallonplantcapacity.ThismeansthatCLWactuallyservesa
populationofapproximately28,000populationintheArkansasRiverValleyarea.The
Wastewaterutilityhas3,600customers.
3.3 ThecurrentgovernanceofCL&Wwassetupinitspresentformin1947.AtthattimetheCity
CouncilappointedaUtilityCommissiontooverseeitsoperationsinabusinesslikemanner.The
Commissionisanagencyofthecity,responsibletothecitizensofClarksvillethroughtheCity
Council,whosemembersareelected.Commissionersareappointedforstaggeredfive-year
termsandservewithoutcompensation.Theyarechargedwiththeresponsibilityof
administeringCLWinthebestinterestofthepeopleandbusinessesofClarksville.

SECTION4,SCOPEOFPROJECT:

CLWBroadbandWorkGroup:
4.1 CLWLeadershipandWorkGroup:ThegeneralmanagerofCLWhaselectedtoformacitizen’s
advisorypanelconsistingofrepresentativesfromthecommunityincludingsecondaryschools,
highereducation,areaeconomicdevelopmentexecutivesandrepresentativesfrombusinessand
industryaswellasselectstaffofCLW.Themembers’areasofexpertiseincludetechnology,
businessoperations,governmentaloperationsandeconomicdevelopment.Themissionofthe
workgroupistoresearch,considerandrecommendthefuturedirectionrelatedtocommunity
offeringsoverthefiberopticnetworktoCLWmanagementandutilitycommission.More
specifically,theserecommendationsshouldaddresswhattypescustomerclassesshouldbe
consideredforservice,whattypesofservicesshouldbeprovisionedonthenetwork,andfinally
howandwhatroleCLWshouldplanonprovidingthoseservices.TheRFQisdesignedtoallow
vendorsandserviceproviderstoaddressaccordingly.
4.2 GoalsandObjectivesoftheProject:Theprimarygoaloftheprojectistoleverageapre-existing
fiberfacilityconstructedtosupportthecity’selectricutility,whichisownedandoperatedby
CLW.Attheendof2015,theCLWboardapprovedacapitalbudgetforthe2016fiscalyear,
whichincludedtheimplementationofaSupervisoryControlAndDataAcquisition(SCADA)
systemfortheelectricutility.TheSCADAwillallowtheClarksvillegridtobemonitoredfora
numberofitemsandthisinitialstepwillbethefoundationoftheautomationprocess.SCADA
alsocontrolsandmonitorsitswatertreatmentplant,storagetanksanddevicesinthefieldfor
thewaterutility.Althoughthenetworkwillbeacombinationofwirelessandwireline,the
primarymethodchosentocarrythedatacommunicationwasviafiberopticcable.The
constructionofthecorefibernetworkforSCADAbeganinDecemberof2015andwascompleted
byMarch2016.ByearlyJuneallofCLWbusinesscommunicationsneedwerebeingtransported
onthefibernetworkaswell.Thecorenetworkconnectsallfourelectricsubstationsaswellas
wirelesslyconnectstotheSouthwesternPowerAdministrationgridtiesubstationlocatednorth
ofClarksvillenearLudwig.ThefibernetworkwillalsoconnectsCLW'soperationsbuilding,the
MainOffice,theWestHillWatertower,thePollutionControlFacilityandfinallytheWater
TreatmentPlant.Thenetworkisdesignedinawaythatmakethesystemveryreliable,highly
redundant,andultra-highspeed.The288-strandcablewillprovideenoughcapacityforthelongtermneedsoftheutilityandithasplentyofcapacityfortheimplementationofotherservicesfor
thecommunity.ItisCLW’sdesiretoownalloftheoutsidefiberplantforthedeliveryofservices.

divisionoflaborandresponsibilitybetweentheserviceproviderandCLW.

4) BalancedPartnership:Oneselectedserviceproviderwillbegrantedexclusivelyforan
initialperiodof2-3years.Thereafter,thenetworkwillbeanopen-accessnetwork
availabletoqualifyingserviceproviders.

offeringservicestovariouscontentprovidersandprovidersofotherservicesonan
equalaccessbasis.
b. Aspreviouslymentioned,medicalfacilitiesaretopprioritycloselyfollowedby
EducationalinstitutionsincludingK-12andHigherEducation,PublicSafety,and
EmergencyServices.
c. Thesecondpriorityrelatestobusinessandcommercialusersincludingprospective
businessconsideringrelocatingorexpandingbusinessintheCLWservicearea.
d. Thelastpriorityisanticipatedtoberesidentialusersduetothehigherdemand
