MISSION STATEMENT
TheobjectiveoftheUSSpyderRydersmotorcyclerydingclubistopromoteCan-AmSpydersandSpyderrydingwhilefocusing
onhavingfunandatthesametimeattemptingtodothemostgoodforourcommunityandlocalcharities.Weaccomplish
this objective with positive interaction within our community while providing a safe and controlled environment for our
membersduringallourfunctions.Weprideourselvesintheinvolvementofmanycommunityandcharitableevents.Wewill
havelocalrydes,longdistancerydes,socials,andfundraiseractivities.
BYLAWS
MEMBERSHIP
TobecomeamemberanindividualmustbeaSpyderOwnerorSpyderPassenger,paytheannualdues,andaccepttheBylaws
oftheclub.Membersarerequiredtopartakeinatleastoneclubsupportedcommunityserviceeventandatleastfourgroup
rydingeventsperyeartobeclassifiedasbeingingoodstandings.Iftheclubsupportedcommunityserviceeventisaryding
event that event will qualify as one of the four required ryding events. Member may also sponsor up to two Associate
Memberspercalendaryear.
Professionalandcourteousbehaviorisexpectedfromallmembers.Thisincludesdealingwithfellowmembersoftheclubor
any affiliate of the club (i.e. sponsoring dealership, charity organizations, other clubs, etc.). Any member not acting in a
professional or courteous manner will be subject to review by the Board for possible disciplinary action or membership
termination.
Members with Seasonal Residence
Asamemberoftheclub,ifthememberisaseasonalresidentwithinthegeographicalfootprintoftheclub’shomebase
themember’sfourgroupryderequirementwillbeproratedbasedontheirtimeinthearea.Forexample:
• 6to8monthsoftheyear,aminimumofthreerydingeventsofwhichonemustbeacommunityserviceevent.
• 3to6monthsoftheyear,aminimumoftworydingeventsofwhichonemustbeacommunityserviceevent.
• 3monthsorless,aminimumofonerydingevent,whichmaybeacommunityserviceevent.Iftheoneryding
eventisnotacommunityserviceevent,thenthemembermustdonatetoaclubcommunityserviceeventand
showproofofdonationattimeofmembershiprenewal.
Reinstatement of Membership
Membersthathaveallowedtheirmembershiptolapseforgreaterthan30-daysorthathavebeenseeninthepastasa
member not in good standing will be reviewed by the Board of Directors before membership is reinstated. Should the
Board elect not to reinstate the member’s membership the submitted dues with the membership renewal will be
returned to the party that submitted them (i.e. either the member or the dealership submitting on behave of the
member).
Associate Membership
Associate Membership may be attained by a non-Spyder owner via sponsorship of a club member that is in good
standings. Associate Members are sanctioned to the same Bylaws as all members. Should the sponsoring member
becomeamembernolongeringoodstandingtheassociatemember’ssponsorshipcaneitherbetransferredtoanother
memberingoodstandingsormayresidewiththeclubforthebalanceofthecurrentyearassumingtheassociatemember
isingoodstandings.Theassociatememberwillneedtosecureadditionalsponsorshipforthenextcalendaryearshould
theywishtocontinuetheirmembershipwiththeclub.

DUES
MembershipduesarepaidinDecemberofeachyearandprovidesmembershiptotheclubfortwelvemonths(Januarythru
December).AnyonejoininginthemonthofAugustorthefollowingmonthswillbeconsideredpaidforthenextyear.Dues
aresetannuallybytheBoard;ifanannualrateisdeemedunsustainable,theBoardmayvoteduringthecurrentyeartolower
thatyear’srateatanytime.TheBoardmayonlylooktoincreaseduesduringtheannualreviewfortheupcomingyear.This
review will take place during the beginning of the end of the 3rd quarter of the year and will be communicated out to the
membershipuponcompetition.Duespaidareusedtofundoperatingcostsoftheclub,tomakecharitablecontributions,and
for any other expense the majority of the Board deems appropriate. Members that have not paid their annual dues by
December25thofthecurrentyearwillbenotedas‘inactive’andwillnothavevotingrightsduringtheannualmeeting.
WAIVER/INSURANCE
Amemberagreestocarryinsurancecoveragetoprotectthemselves,theirpassengers,andtheirvehicle,aswellasanyone
involved in an accident with them. A member also agrees to hold harmless the club and all Board members from any
accidentsorinjurieswhichoccurtothememberduringclubactivities.
MEETINGS
ThegeneralmembershipwillmeeteachJanuarytoelectofficers/boardmembersduringtheAnnualClubMeeting.TheBoard
ofDirectorswillmeetatleastquarterlytodiscussandvoteonanyoperatingissuesoftheclubwhichrequiretheirattention.
These quarterly board meetings may be either in person or virtual. Should the Board deem they may also call quarterly or
special meetings of the membership; these types of meetings should be used to update the general membership on the
operationoftheclubandtoalsodiscussanyissuesthatwouldrequiremembershipinputandorvote.Suchaneventwillneed
tobepostedontheclubwebsiteaminimumoffivedayspriortothescheduledmeeting.Allmeetingswillbeconductedusing
themannerofRobert’sRulesofOrder(currentrelease).
Voting Rights
All voting will be done by all members in good standing that are present at the membership meetings, unless
otherwisedeterminedbytheBoardtoallowforproxyvotes.Allvotingwillbeapprovedbyasimplemajoritythatis
presentwhethervotedonbytheBoardorthegeneralmembershipdependingonthemeetingtype.Intheeventofa
tievote,thePresidentwillcastthedecidingvote.
COMMUNITY SERVICE
While ryding and fellowship are a big aspect of the club, we will all commit to supporting our community and charitable
causesthatthemembershiporBoarddeemasclubsponsoredactivities.Theclubwillsupportaminimumoftwocharitable
organizationsperyearwithmajorfundingactivities.Oneofthosetwoorganizationswillbeselectedbytheclub’ssponsoring
dealershipandtheotherwillbevotedonbythemembershipoftheclubduringtheannualmeeting.Eithersupportedcharity
mustbea501c3organization.
OFFICERS
Annually, in the month of January the membership will elect the following officers into office - President, Vice President,
Webmaster,Secretary,Treasurer,Meet&EatChairperson(s),andRoadCaptain(s).TheseindividualswillcomprisetheBoard
ofDirectorswhowillrunthedaytodayoperationsoftheclub.Officersmayperformmorethanonefunctionhoweverwillbe
seenasonlyonevotingmemberontheBoard.Officerswillberequiredtoperformthefollowingobligationsalongwiththeir
electedduties.

1) Bepresentforatleastsixgrouprydingeventsduringtheyear.Threeofwhichshouldbeinthefirstsixmonthsofthe
yearandthreeofwhichshouldbeinthelastsixmonthsoftheyear
2) Puttogethertwogrouprydesoreventswithintheyearthatheorsheisinoffice
3) AttendaminimumofthreeBoardmeetingsalongwiththeAnnualClubMeeting
Shouldanofficernotfulfillhisorherobligations,theBoardofDirectorsmayelecttotakeactionandremovetheofficerfrom
office with a 2/3 vote of all Board Members. Should an officer be removed, a replacement officer may be appointed into
officebytheBoardofDirectorsforthedurationoftheterm.Notificationwillbesenttothemembershipexplainingthereason
forremovalofanyofficeralongwiththenamedreplacementshouldonebenamed.
Membersmayonlybeelectedintoofficeiftheyareingoodstandingswiththeclubandpresentfortheannualmeetingunless
unabletoattendduetoamedicalorfamilyissue.SaidissuemustbesubmittedtotheSecretaryoftheclubatleast5-days
priortothemeetingandmustalsobereadtothemembershipthatispresentpriortoavoteforthepositionsaidmemberis
runningfor.
MEDIA SITES
Allclubmediasites(includingbutnotlimitedtoFacebookandClubwebsites)willbeusedsolelytopromotetheoperations
andeventsofthisclub.AnycommentsonthesesitesdeemedinappropriatebytheWebmasterandPresidentwillberemoved
andnotificationoftheremovalwillbesenttoeachBoardofDirectorsalongwiththemember(s)involved.Continuedabuse
willresultintheWebmasterandPresidentsuspendingmemberprivilegesonallmediasitesalongwithareviewbytheBoard
ofDirectorsforpossiblefurtherdisciplinaryactionandorterminationofmembership.
DISCIPLINARY ACTION
Should a member be placed on disciplinary action by the Board, said member will not be allowed to participate in club
supportedeventsforasaiddurationwhichwillbedecidedbytheBoarddependingontheoffense.Ifamemberisplacedon
multipledisciplinaryactionsoverarollingtwo-yearperiodsaidmember’smembershipwillbeterminated.IftheBoardfeels
that the action by the member is conduct unbecoming of the club, the Board may move to terminate the member’s
membership.Duringanydisciplinaryactionthemember(s)beingbroughtupondisciplinaryactionwillhaveachancetostate
theirsideduringtheinvestigationperiod.
TERMINATION OF MEMBERSHIP
MembersthathavenotpaidtheirannualduesbythetimelinesetundertheDuesSectionoftheseBylawswillbeconsidered
inactiveandmembershipwillbeterminated.Shouldamemberwishtoterminatehisorhermembership,theymaydosoat
any time with written notification to the Secretary. Termination of membership either by the member themselves or by
disciplinaryactionwillresultinthememberforfeitinganyduespaidandaccesstoallclubmediasites.
