T E R M S Luna Textiles requires payment in full with purchase order from all first time customers. Accredited customers receive net 30 days payment terms.
A 50% deposit is required on all custom fabric orders, whether or not credit has been established. A service charge of 1½% per month will be levied on all
past due accounts and the customer will be responsible for any collection fees incurred. Luna Textiles reserves the right to require full or partial payment in
particular circumstances before shipment of an order, regardless of the account status of the customer.
Fabric may be reserved for ten (10) working days by calling Luna Textiles in San Francisco, CA or your local sales
representative. Reserves will cancel automatically after ten days unless a request is received to re-reserve the fabric. One ten (10) day re-reserve per
transaction is allowed.

T O P L A C E A N O R D E R Specify fabric name, color and number along with yardage requirements for each fabric. Be sure to include the “Ship To”
and “Bill To” addresses, and a contact name and phone number for questions. Purchase orders may be faxed to Luna Textiles at 415.252.7183.
A minimum order of one (1) yard is required on each purchase of each standard fabric. Standard fabrics are sold in ½ yard
increments after the first yard. Minimums for custom colors of standard fabrics are printed in the price list. Minimums for custom fabrics are established on
a case by case basis.

C U S T O M O R D E R s Many of our fabrics can be woven to meet a specialized color or application requirement. Custom fabrics are sold in bolt increments, which can range from 50 to 65 yards. In addition, up to 10% overage will be shipped and billed on custom fabric orders. A cutting of the approved
custom fabric must accompany your order. Contact your local sales representative for more information.
w a l l c o v e r i n g a p p l i c a t i o n s Some of Luna’s fabrics may be suitable for use in secondary applications such as wallcovering. For more
information contact Luna for Luna Textiles’ Wallcovering Terms and Conditions.
Please note that the repeat sizes for all fabrics are printed in this Price List. Repeats on upholstery fabrics are typically small; some pattern
repeats may be more visible in a vertical application. It is your responsibility to review and approve this and all other aesthetic aspects of the fabric before
you place your order with us.

All reasonable requests for changes will be accommodated when possible. Luna Textiles
reserves the right to charge for labor and administrative costs associated with change orders. Confirmed orders may not be cancelled without the written consent of Luna Textiles. Approved cancellations are subject to a 25% cancellation fee. No cancellations are accepted once the fabric has been cut, or processed
in any way by the Customer or Customer’s agent, or once manufacture has begun. No cancellations are accepted on confirmed orders for custom fabrics.
CH A NGE OR DER S A ND C A NCELL ATIONS
c l a i m s All claims against Luna Textiles for defects, shortages or errors must be filed with Luna Textiles in writing within ten (10) days of delivery. Failure
to make such a claim shall constitute acceptance of the yardage and a waiver of all defects, shortages or errors. Luna Textiles is not liable for claims against
any defects, shortages or errors once the fabric has been cut or treated.
r e t u r n s Returns require prior written approval from Luna Textiles and must be requested within forty-five (45) days of receipt of delivery. Returned
fabric must be received on our premises within thirty (30) days from the date on the written Return Authorization. Unauthorized returns will be returned to
sender freight collect. Authorized returns will be subject to a 25% restocking charge plus all freight charges, and must be in reusable condition. Fabric returned
in unsaleable condition is not subject to any credit allowance. Under no circumstances will lengths of less than five (5) yards, or cut or treated fabrics, be
accepted for return. Custom fabrics and discontinued fabrics are not returnable.
F I B E R C O N T E N T & C O L O R Luna Textiles maintains the highest standards of quality control and color matching between dye lots. However,
Luna Textiles cannot warrant, guarantee or represent an exact match to cuttings, memos or any samples. In addition, fiber content and/or yarns may be
substituted at our discretion. Customers should request a cutting for approval whenever color and content are critical.

for specific applications. Additional backings and finishes are available. Not all treatments are available on all fabrics. All fabrics on which special backings
or finishes are desired are subject to 10% overage, as shrinkage will occur during processing. Some fabrics may experience shade changes as a result of added
treatments. Fabrics wider than 54” will need trimming to 54” width for Nano-Tex® with DuraBlock™ processing. Additional cost/leadtime may apply. For

The Association for Contract Textiles has developed the following Voluntary Performance Guidelines to make fabric specification easier. Look for these
symbols to assure that the fabrics you specify perform up to contract standards and pass all applicable testing. All flame tests noted in this pricelist comply
with Class 1 or A. For additional information, refer to the ACT website at www.contracttextiles.org.
These categories describe a material’s performance features as measured by specified methods under standard laboratory conditions.
F l a m m a b i l i t y : The measurement of a fabric’s performance when it is exposed to specific sources of ignition.
w e t & d r y c r o c k i n g : Transfer of dye from the surface of a dyed or printed fabric onto another surface by rubbing.
c o l o r f a s t n e s s t o l i g h t : A material’s degree of resistance to the fading effect of light.
p h y s i c a l p r o p e r t i e s : Pilling is the formation of fuzzy balls of fiber on the surface of a fabric that remain attached to the fabric. Breaking Strength is the measurement of stress exerted to pull a fabric apart under tension. Seam Slippage is the movement of
yarns in a fabric that occurs when it is pulled apart at a seam.

and/or services listed hereon irrespective of any different terms and conditions heretofore or hereafter specified in any quotation, invoice, purchase order, price
list or otherwise. Prices are subject to change without notice.
ACCEPTANCE
Luna accepts Customer’s offer to purchase on the terms and conditions stated herein, subject to the absence of any mathematical, typographical or transcription
error or other deviation from Luna standard pricing not hereon specifically acknowledged. Customer shall be deemed to have accepted all terms and conditions
hereof, despite any additions, deletions or changes to the terms and conditions of any offer from Customer or of any previous agreement, if the goods or services
are accepted by Customer, or if Customer does not within ten (10) days from the invoice date deliver written notification to Luna of Customer’s specific objection
to a term, condition or provision contained hereon.
PRICES
Customer agrees to pay for all items at the price schedule in effect at the time of the order acknowledgement. All prices in the Luna Price List are NET per
yard FOB San Francisco, CA or other shipping location. Taxes, insurance, shipping costs, delivery and storage, handling, packing, installation, and finishes
or backings are additional. Prices are subject to change without notice. If the shipping date requested by Customer is more than sixty (60) days later than
shipping date on the normal Luna shipping schedule in effect at the date of this order acknowledgement, Luna may invoice Customer according to the prices
in effect at the time of shipment.
TA XES
The prices stated hereon do not include any taxes (except as noted) or other charge imposed by law related to the sale, use or resale of the merchandise or
any service performed in connection therewith. All such taxes and charges shall be paid by Customer.
SHIPPING
Shipping instructions should be included with Customer’s Purchase Order. If no instructions are given, Luna Textiles reserves the right to ship by what is in
its opinion the best way. Partial shipments may be made at the discretion of Luna Textiles, and invoiced accordingly.
CL AIMS
All Luna Textiles are carefully inspected and securely packed prior to shipment from San Francisco, CA or other shipping location, and are accepted as such
by the carrier. Luna’s liability ceases when shipments are delivered to the transportation company. Luna Textiles is not responsible for loss or damage incurred
in transit or storage. Before accepting goods from the carrier, Customer should inspect the shipment carefully. Loss or visible damage should be noted on the
delivery slip. All claims, including those for concealed damage, must be filed with the carrier within five (5) days of delivery.
Other claims against Luna Textiles for defects, shortages or errors must be filed with Luna Textiles in writing within ten (10) days of delivery. Failure to make
such a claim shall constitute acceptance of the yardage and a waiver of all defects, shortages or errors. Luna Textiles is not liable for claims against any defects,
shortages or errors once the fabric has been cut.
DEL AYS & FOR C E M A J E U R E
Luna shall not be liable for any delay or inability to deliver merchandise ordered when such delay is directly or indirectly caused by any governmental action,
statute or regulation; strikes or labor difficulties; delay or failure of usual sources of supply or shortages of materials, labor, fuel or supplies; transportation
difficulties; fire, flood or other natural calamity; accidents, war, riots, fires, acts of God, or any other causes beyond Luna Textiles’ reasonable control.
WARRANT Y
Luna Textiles warrants all shipments in accordance with the Textile Fiber Products Identification Act and the Wool Products Labeling Act of 1939. All
Luna Textiles fabrics are produced to contract industry standards and meet or exceed the Association for Contract Textiles (ACT) performance guidelines.
Luna T­extiles does not guarantee or warrant and does not accept any responsibility whatsoever for fading, crocking, wear abrasion, stretching, shrinking,
seam slippage, tearing, staining, discoloration from liquid contact or any finish treatment, tensile strength, pilling, or flammability. Luna Textiles is not
responsible for dye lot variations or discrepancies in widths of fabrics. Fibers and/or yarns may be substituted at our sole discretion. Luna Textiles does not
guarantee or warrant an exact match to cuttings, memos or any samples. In any event, Luna Textiles’ responsibility shall be limited to either replacement
of merchandise or refund of purchase price at the option of Luna Textiles. The foregoing constitutes the sole and exclusive remedy of the customer. In
no event shall Luna Textiles be responsible for any consequential damages or any charges, costs, expenses or obligations other than as expressly set forth
herein. Other than as is herein expressly set forth, Luna Textiles makes no other warranties, expressed or implied, as to any product sold by Luna Textiles
and all such other warranties are hereby excluded. Without limiting the generality of the foregoing, Luna Textiles makes no warranty of merchantability
or fitness for any purpose, either expressly or by implication.

DEFAULT
Should Customer default in the performance of its payment obligations hereunder, Customer shall pay Luna all attorney’s fees and costs of any suit or proceedings initiated by Luna to collect such payments, including but not limited to any collection charges or late charges as provided in Section 6. All such costs
and charges shall be payable by Customer to Luna regardless of whether such suit or proceeding is resolved by legal judgment in Luna’s favor or by settlement
whereby Customer pays Luna all or part of the disputed amounts.
ARBITR ATION
Any dispute or claim arising out of this Agreement shall be finally settled by binding arbitration in Santa Clara County, California under the Commercial
Arbitration Rules of the American Arbitration Association by one arbitrator appointed in accordance with such Rules. Judgment on the award rendered by
the arbitrator may be entered in any court having jurisdiction thereof.
GOVERNING L AW
This Agreement shall be enforced under the laws of the State of California and any action brought concerning it shall be filed in the State of California.
SE VER ABILIT Y
If any provision of this Agreement shall be held to be invalid or unenforceable in any jurisdiction in which this Agreement is being performed, the remainder
of this Agreement shall be valid and enforceable and the parties shall negotiate, in good faith, a substitute provision which most nearly effects the parties’
intent in entering into this Agreement.
