SPECIAL RESOLUTION FOR THE WINDING UP OF THE
PARA HILLS GYMNASTICS CLUB INCORPORATED
NOTICE IS GIVEN that the following Motion be proposed as a Special Resolution.
That the following actions be approved and implemented to take effect on and from 1 January
2016:-

To the extent that a Liquidator of PHGC of PHGC is required upon winding up,
the President of PHGC is appointed to that role.
Assets

That Para Hills Gymnastics Club be wound up in accordance with Part 5 Division
1 of the Associations and Corporation Act 1985 (SA).
That the President of PHGC after payment of all debts and legal liabilities shall
transfer to the Tea Tree Gully Gymsports Incorporated Gym Club any and all
remaining assets of PHGC.
Members
4.1
That each current and financial member (as at 31 December 2015) of PGHC
become a member of TTGG, subject to the TTGG Rules.
4.2
That each current life member of PHGC will be recognised as life members of
TTGG and retain the same rights as held by PHGC life members on transfer.
Website
5.1
The PHGC website will be redirected to the website of TTGG until such time as
the domain expires.
5.2
The PHGC email accounts will be re-directed to TTGG.
Coaches
PHGC coaches will be offered positions at TTGG subject to meeting the skill set required
by TTGG.
