oral-pharyngealfunctionandprovidespeechandlanguageservicesforthehabilitationor
preventionofcommunicationdisorders.Servicesareprovidedwithintheclassroomorin
individual/smallgrouptherapysessionsasspecifiedbytheIEP.
SocialWork
o Providestudentswithalinkbetweenhome,schoolandcommunity,enablingstudentsand
theirfamiliestoovercomesocialandpersonalproblemsthatimpedelearning.
o Provideindividualandgroupcounseling,consultationtoteachers,andotherservicesthat
helpastudentcopewiththeirindividuallearningchallenges.
o Collaboratewithcommunityagenciesandprovidecasemanagementforstudentsandtheir
familiesrequiringmultipleservices.
PsychologicalEvaluations
Consultandworkcooperativelywithschooladministrators,specialeducationprogramstaff,
teachersandparentsinevaluatingthestudent(afterareferralisinitiatedandparental
consentobtained).
o Evaluationsinvolvesperformingassessmentsusingavarietyoftechniquesandtools.An
evaluationmayincludethefollowing:aneducationalevaluation,apsychologicalevaluation,
asocialhistory(ahistoryofthestudent’sdevelopmentbasedlargelyonaninterviewwith
theparent),andobservationsofthestudentinhisorherclassroom.
o AppliestheCattell-Horn-Carroll(CHC)theory,whichisanempiricallybased,validand
measurableconstructfortheanalysisoflearningabilities.Mayalsoconductother
evaluationstodeterminethesourceofthestudent’sdifficulties,includingafunctional
behavioralassessment(FBA)ifthestudent’sbehaviorinterfereswithlearning.
IEP/METMeetings
o Oncetheevaluationiscompleteandthefindingsoftheevaluationhavebeenreportedper
federalandstateguidelines,theinformationandrecommendationsaresharedwiththe
parentsthroughanIEP/METmeeting.ProviderwillscheduletheIEP/METmeeting,during
whichtheparentistoldifthestudentiseligibleforspecialeducation.
§ Ifthestudentiseligible,anIEPiscreatedforthestudent.TheIEPisalegal
documentthatincludesthestudent’spresentlevelsofeducationalperformance,a
listofmeasurablegoalsandobjectivesandrelatedservices,suchascurriculum

Indemnity,Release,InsuranceandSecurity
Insurance
1.
EvidenceofVendorInsuranceCoverage
a. TheVendorshallprovideMacDowellatthetimetheBidProposalissubmitted,
CertificatesofInsuranceand/orpolicies,acceptableaslistedbelow:
i. CertificateofLiabilityInsuranceproperlyexecuted.Individualcertificatesof
insuranceand/orpoliciesmayberequiredpriortoworkcommencing.
b. InsuranceRequirements
i. Duringtheperformanceanduptothedateoffinalacceptanceofthework,the
Vendormusteffectandmaintaininsurancehereafterlistedbelow:
1. TheVendorshallprocureandmaintainduringthelifeofthiscontract,
Workers’CompensationInsurance,includingEmployersLiability
Coverageatlimitsof$100,000perperson,$500,000aggregate,in
accordancewithallapplicablestatutesoftheStateofMichigan.
2. TheVendorshallprocureandmaintainduringthelifeofthiscontract,
CommercialGeneralLiabilityInsuranceonan“OccurrenceBasis”with
limitsofliabilitynotlessthan$1,000,000peroccurrenceand/or
aggregatecombinedsinglelimit,PersonalInjury,BodilyInjuryand
PropertyDamage.
ii. ThefollowingshallbeAdditionalInsuredsonCommercialGeneralLiability
Insurance:MacDowell,andincludingallelectedandappointedofficials,all
employeesandvolunteers,allboards,commissionsand/orauthoritiesandtheir
boardmembers,employees,andvolunteers.
iii. ThiscoverageshallbeprimarytotheAdditionalInsureds,andnotcontributing
withanyotherinsuranceorsimilarprotectionavailabletotheAdditional
Insureds,whetherotheravailablecoverageisprimary,contributingorexcess.
Ifanyoftheabovecoveragesexpireduringthetermofthiscontract,theVendorshall
deliverrenewalcertificatesand/orpoliciestoMacDowellatleastten(10)dayspriortothe
expirationdate.
2.
IndemnificationandHoldHarmless
1.
TheVendorshallindemnifyandholdharmlessAPS,MacDowell,itsofficers,agents,and
employeesfrom:
a. Anyclaims,damages,costsandattorneyfeesforinjuriesordamagesarising,inpart
orinwhole,fromthenegligentorintentionalactsoromissionsoftheVendor,its
officers,employeesand/oragents,includingitssuborindependentvendors,in
connectionwiththeperformanceofthecontract.
b. Anyclaims,damages,penalties,costsandattorneyfeesarisingfromanyfailureof
theVendor,itsofficers,employeesand/oragents,includingitssuborindependent
vendors,toobserveapplicablelaws,including,butnotlimitedto,laborlawsand
minimumwagelaws.
c. MacDowellwillnotindemnify,defendorholdharmlessinanyfashiontheVendor
fromanyclaimsarisingfromanyfailureonthepartofthevendor,itsemployeesor
suppliers,regardlessofanylanguageinanyattachmentorotherdocumentthatthe
Vendormayprovide.
d. TheVendorshallreimburseMacDowellanyexpensesincurredasaresultofthe
Vendor’sfailuretofulfillanyobligationinaprofessionalandtimelymannerunder
theAgreement.

IntheeventtheVendorshalldefaultinanyoftheobligationsorconditionssetforthin
theAgreementortheirperformancedoesnotmeetestablishedcriteria,MacDowell
maynotifytheVendorofsuchdefaultinwriting.
Writtennoticereferredtointhisarticleshallbedeemeddelivereduponpresentationto
anypersondesignatedbytheVendorasthemanageror,inthecaseofnoticebythe
VendororbymailingthesamecertifiedorregisteredmailtotheaddressfortheVendor
intheproposal,ortheaddressforMacDowellinthecaseofnoticebytheVendor.
FailureonthepartofMacDowelltonotifytheVendorofdefaultshallnotbedeemeda
waiverbyMacDowellofMacDowell’srightsondefaultoftheVendorandnoticeata
subsequenttimewillhavethesameeffectasifpromptlymade.
Uponreceiptofnoticeofdefaultfrom,theVendorshallimmediatelycorrectsuch
default.IntheeventtheVendorfailstocorrectthedefaulttothesatisfactionof
MacDowell,MacDowellshallhaveallrightsaccordedbylaw,includingtherightto
immediatelyterminatetheAgreement.SuchterminationshallnotrelievetheVendorof
anyliabilitytoMacDowellfordamagessustainedbyvirtueofanydefaultbytheVendor.
TheVendoragreesthat,intheeventeitherpartydeemsitnecessarytotakelegalaction
toenforceanyprovisionoftheAgreement,andintheeventMacDowellprevails,the
VendorshallpayallexpensesofsuchactionincludingMacDowell’sattorneyfeesand
costsatallstagesofthelitigation.
Thepartiesmaymutuallyterminatethecontract/agreementthatresultsfromthis
proposalatanytime.Eitherpartymayterminatethecontract/agreementwithcause
givenasixty(30)daynoticetotheotherparty.
Integration

orders,andcontractwiththesuccessfulvendorcontainstheentireunderstanding
betweentheparties.
