Business Legal Services Flat Fee Options Please read to the bottom to review the conditions that apply to our flat fee legal service options. Services are offered on a sliding fee scale, depending on your household income and family size. 1. Choice-of-entity advice ($160-240) a. 90 minute meeting with junior and senior lawyers to discuss entity types, needs, etc. 2. Form an LLC (new entity, single member) ($300-500) a. Entity formation (Articles of Organization) b. Resolution of Organizer c. Initial Member Resolutions d. Operating agreement e. Federal Tax ID f. S-corp election, if applicable 3. Form a corporation (new entity, single shareholder) ($300-500) a. Entity formation (Articles of Incorporation) b. Resolution of Incorporator c. Initial Board Resolutions d. Bylaws e. The full flat fee is required in advance. The fee is a deposit on legal services and it will be held in a Lawyer Trust Account (known as an “IOLTA” account) until we earn it. When you receive draft documents from us we will consider half our fee earned. When you sign final documents, we will consider the other half of our fee earned. 2. Filing fees and out-of-pocket expenses are not included in the flat fee so please be prepared to pay those as well. We will provide an estimate of filing fees when we begin. 3. The quoted price is based on our providing standard forms of documents without significant alterations, and there being no significant issues with the proposed business, its owners, managers, employees, assets, liabilities or other matters that require additional consultation, negotiation, and drafting. 4. The flat fee option includes individual meetings with your lawyer. You will have an intake meeting where your lawyer will gather extensive information about your legal matter. You will have another meeting to review drafts with your lawyer. At the end, you will have a signing meeting with your lawyer, a notary, and witnesses. Each meeting could take 1-2 hours. 5. If your entity has more than two owners additional fees may apply given that additional discussions and legal work will be necessary to understand and document the relationships between the owners. To keep prices fair, we charge more for bigger ownership teams. 6. Legal matters can be unpredictable. Flat fees are based on the typical case. If your matter becomes complicated or requires significant alterations, we may need to charge additional fees. We will advise you immediately and explain the added costs before proceeding. We keep prices low because we want legal services to be more accessible. What that means is that we cannot easily absorb the cost of a legal matter that goes far beyond the scope of our flat fee program. The conditions and terms described on this price sheet are subject to change, without notice and at our discretion. Catalyst Law Institute also offers an hourly fee legal service option. Hourly rates vary between $25 and $150 depending on family size and income.
