NOTICE TO BIDDERS
Kendall County Highway Department will accept sealed bids for the purchase of Bulk Rock Salt
to be provided during the winter of2010-2011. Salt shall conform to AASHTO MI43-03, and
shall be delivered to 13 local government agencies in Kendall County. Sealed bids shall be
delivered to Kendall Comty Highway Department, 6780 Route 47, Yorkville, IL 60560. Bids
will be accepted until 10:00 A.M., March 12, 2010, at which time they will be opened and read
publicly. Kendall Comty reserves the right to reject any or all bids and to waive irregularities.

INSTRUCTIONS TO BIDDERS
Bulk Rock Salt Bid - 03/12/2010
1.
Bids shall be submitted upon the formes) provided and all blank spaces in the formes)
shall be fully completed in ink. Signatures shall be in long hand and the completed form
shall be without delineations, alterations or erasures. No bids will be accepted after 10:00
AM. on March 12, 2010.
2.
Kendall County reserves the right to reject any and all bids received and waive any and
all technicalities or irregularities. If an award is made for this contract, it shall be done
within 45 days of the bid opening date.
3.
Bidders will not be required to submit a proposal guarantee with their bid.
4.
The successful bidder, hereafter referred to as "Vendor", shall within 30 days of the
Notice of Award, furnish a Performance Bond in an amount equal to twenty percent
(20%) of the total bid amount, conditioned upon the faithful performance of all covenants
and stipulations included in these bid documents and holding good until the completion
of the contract to protect the County of Kendall against inadequate performance per all
requirements of the bid documents, The Performance Bond shall remain in effect until
the end of the contract period; in this case, April 30, 2011.

The Vendor shall, at all times, fully indemnify, hold harmless, and defend the County and
its officers, agents, and employees from and against any and all claims and demands,
actions, causes of action, and cost and fees of any character whatsoever made by anyone
whomsoever on account of or in any way growing out of the performance of this contract
by the Vendor and their employees, or because of any act or omission, neglect or
misconduct of the Vendor, their employees and agents or their subcontractors including,
but not limited to, any claims that may be made by the employees themselves for injuries
to their person or property or otherwise, and any claims that may be made by the
employees themselves or by the Illinois Department of Labor for the bidders violation of
the lllinois Prevailing Wage Act.
Nothing contained herein shall be construed as prohibiting the County, its officers,
agents, or its employees, from defending through the selection and use of their own
agents, attorneys and experts, any claims, actions or suits brought against them. The
Vendor shall likewise be liable for the cost, fees and expenses incurred in the County's or
the bidders defense of any such claims, actions, or suits.
The Vendor shall be responsible for any damages incurred as a result of its errors,
omissions or negligent acts and for any losses or costs to repair or remedy construction as
a result of its errors, omissions or negligent acts.
The County does not waive its defenses or immunities under the Local Government and
Governmental Employees Tort Immunity Act by reason of indemnification or insurance.
6.
At all times during the term of the contract, the Vendor and their independent contractors
shall maintain, at their sole expense, insurance coverage for the successful bidder, their
employees, officers and independent contractors, as follows:

All insurance policies are to be issued by companies authorized to do business under the
laws of the State of Illinois.
8.
Invoices for delivered bulk rock salt shall be sent directly to each local governmental
unit. Due to the infrequency of processing local government vouchers, interest shall not
be charged on accounts due for 45 days after receipt of invoice.
9.
The Vendor shall provide each governmental unit with an MSDS for the supplied
material prior to the first delivery of that material.

Important Condition of This Bid: It is possible that one or more agencies included
in this bid may decide to "opt out" of the award of the contract Kendall County
reserves the right to award a contract for less than the estimated contract tonnage of
13,500 tons; but in no case shall the award be less than 80% of the estimated 13,500'
tons (10,800 tons). The Vendor shall place no penalty nor deny fulfillment of this
contract, subsequent to an award, for a total contract quantity that is at least
10, 800 tons.
SPECIFICATIONS
Bulk Rock Salt Bid - 0311212010
MATERIAL
1.
Bulk rock salt shall conform to AASHTO Designation M143-03, Sodium Chloride Type
1, Grade 1.
2.
Bulk rock salt shall be not less than 95% pure sodium chloride.
3.
Maximum moisture content shall not exceed 2.5%.
DELNERY
1.
For the purposes of this bid, delivery dates shall be between October 1,2010 and April
30,2011. Deliveries by the vendor shall be made F.O.B. to each local governmental unit
in 20 to 25 ton increments.
2.
Kendall County will construct a community salt storage building at 6780 Route 47,
Yorkville, IL (Highway Department Office) during the summer of 2010. The local
governmental units listed on the attached sheet, who are participants in this contract, shall
have the right to receive deliveries at their primary salt storage location listed on the
attached sheet and at the community salt storage building located at the Kendall County
Highway Department Office as their secondary salt storage location, with no additional
cost for delivery.
3.
All quantities shown in this bid document are estimates only. The total quantity
delivered shall be sufficient to service the needs of the local government unit. Each
governmental unit guarantees the purchase of at least 80% of their estimated quantity
prior to April 30, 2010. The seller guarantees to provide up to 120% of the estimated
quantity at the bid price.
4.
Upon receipt of an order for bulk rock salt, the vendor shall provide delivery of the
requested quantity to the local agency within 10 calendar days. The vendor shall not be
held responsible for any delay or failure to deliver caused wholly or in part by any cause
not resulting from negligence on the part of the vendor.
5.
Deliveries shall be made by the vendor only during regular working hoWS (7:30 A.M. to
3:30 P.M.), Monday through Friday, except when special arrangements have been made
in advance with the appropriate representative at the delivery site. During delivery, all
truckloads of bulk rock salt shall be covered with weatherprooftarps.
6.
Local Governmental Units reserve the right to require that some trucks occasionally be
directed to a scale in the vicinity of the delivery point as a check on delivered truckloads.
