Approve a resolution to approve and authorize execution of an interlocal agreement between
Salt Lake County and Salt Lake City for a contribution of TRCC funds to Salt Lake City

BACKGROUND/DISCUSSION:
Salt Lake County, Salt Lake City, and the Redevelopment Agency of Salt Lake City entered into
an Interlocal Agreement dated March 19, 2013 establishing an interlocal entity known as the
Utah Performing Arts Center Agency (“UPACA”). UPACA was established to acquire, construct,
own, operate, and maintain the Utah Performing Arts Center in Salt Lake City, now known as
the George S. and Dolores Doré Eccles Theater (“Eccles Theater”).
In October 2014, the City hired Katherine Potter as a full-time Senior Advisor in the Mayor’s
Office for Arts and Cultural Programs. One of the primary responsibilities of this position is to
act as the Executive Director of UPACA and to manage aspects of the Eccles Theater. The City
has requested a contribution from the County to offset a portion of the Executive Director’s

compensation. The County Council appropriated TRCC Funds in the amount of $12,500 for this
purpose as part of an interim budget adjustment to the 2015 Budget.
An interlocal agreement has been drafted to memorialize this transfer of funds. The interlocal
agreement and associated resolution are attached to this transmittal.

Authorizing the Approval of an Interlocal Cooperation Agreement
Between Salt Lake City Corporation and Salt Lake County for
A Contribution of TRCC Funds
WHEREAS, Salt Lake County (the “County”) and Salt Lake City (the “City”) are “public
agencies” as defined by the Utah Interlocal Cooperation Act, Utah Code Ann. §§ 11-13-101 et seq.
(the “Cooperation Act”), and, as such, are authorized by the Cooperation Act to enter into this
Agreement to act jointly and cooperatively on the basis of mutual advantage in order to provide
facilities in a manner that will accord best with geographic, economic, population and other
factors influencing the needs and development of local communities; and
WHEREAS, the County receives funds (“TRCC Funds”) pursuant to the Tourism,
Recreation, Cultural, Convention, and Airport Facilities Tax Act, Utah Code Ann. §§ 59-12-601
et seq. (the “TRCC Act”). The TRCC Act provides that TRCC Funds may be used for, among
other things, the development, operation, and maintenance of publicly owned or operated
cultural and recreation facilities; and
WHEREAS, the County, City, and the Redevelopment Agency of Salt Lake City entered
into an Interlocal Agreement dated March 19, 2013 establishing an interlocal entity known as
the Utah Performing Arts Center Agency (“UPACA”). UPACA was established to acquire,
construct, own, operate, and maintain the Utah Performing Arts Center in Salt Lake City, now
known as the George S. and Dolores Doré Eccles Theater (“Eccles Theater”); and
WHEREAS, the City has recently designated a full-time employee to act as the Executive
Director of UPACA and to manage aspects of the Eccles Theater. The City has requested a
contribution from the County in the amount of $12,500 to cover 25% of the Executive Director’s
compensation for a six-month period on the basis that the County is a 25% stakeholder in
UPACA and the Eccles Theater. The County Council appropriated TRCC Funds for this purpose
as part of an interim budget adjustment to the 2015 Budget; and
WHEREAS, the City and the County now desire to enter into the Interlocal Cooperation
Agreement attached hereto as ATTACHMENT A (the “Agreement”) wherein the County agrees
to grant TRCC Funds to the City to cover 25% of the Executive Director’s compensation for a sixmonth period and wherein the City agrees to abide by certain terms and conditions outlined in
the Agreement.

THEREFORE, BE IT RESOLVED, by the City Council of Salt Lake City, Utah as follows:
1.
It hereby approves the attached Interlocal Cooperation Agreement
between the County and the City, in substantially the form attached hereto as
ATTACHMENT A, and authorizes the Salt Lake City Mayor to execute the same.
The Interlocal Cooperation Agreement shall become effective upon execution by both
Parties and upon filing with the keeper of records of each Party as provided by Section
111. 13-209 of the Cooperation Act.
