Terms and Conditions of Sale
The following conditions apply to all sales of goods by JCM Seating Solutions (“the Company”) to any purchaser (“the Customer”) and
succeed any terms and conditions contained or referred to in the Customers order and in any correspondence. Any provisions to the
contrary are hereby excluded.

Unless otherwise agreed all purchases will require a valid JCM quotation prior to being able to place an order
All quotations supplied for chairs, accessories or parts include delivery cost to the UK mainland & Northern Ireland
Quotations supplied are in pound sterling and exclusive of VAT
VAT will be charged at the rate currently in force on all products and will be automatically added to invoices
VAT is only excluded from invoices when a VAT Exemption Form accompanies the purchase order or the order comes from a
registered charity
Quotations given by the Company can be withdrawn or revised at any time prior to acceptance by the Company of the
Customers order
All quotations supplied are valid for a period of six months only from the date of the quotation. Should an order be placed
after the six month close date, a new quote & potentially a re-assessment may be necessary. Any price increases applied by
the Company in that time will be reflected in the new quotation supplied.
The Company may at any time amend its prices to take into account changes in the costs of materials, labour, goods, carriage
and any other overheads as the Company sees fit but will notify clients with outstanding orders in process
All orders paid for by companies & organisations must be on an official purchase order and signed by an authorised officer
Official authorised purchase orders are the preferred method of ordering from JCM however telephone orders can be
accepted if payment is being made at the same time.
The Company reserves the right not to accept any order that they consider has not been approved by the correct authorities
Orders from private Customers are only accepted if payment in full either accompanies the order request or is received
before the expected date of despatch; goods will not be released before full payment & a completed VAT Exemption Form
(where applicable) is received
The Company reserves the right to alter or change the specification of the goods within reasonable limits without notice to
the Customer
Purchase orders for servicing & engineer call outs are expected to be supplied with accurate details regarding the location of
the chair and contact numbers for appointment setting
Minimum order value for the purchase of spare parts and components is set at £15.00 + VAT (if VAT is applicable)
Cancellation



Requests to cancel purchase orders must be made in writing to the Company, cancellations cannot be accepted verbally
Dependent upon circumstances cancellations may incur a 10% of the invoice value charge & carriage/return costs
Cancellation charges will be confirmed in writing to the Customer before cancellation is finalised/agreed

Payment

Despatch & Delivery








All payments should be made to JCM Seating Solutions Ltd and can be made via BACS, card payment or cheque
Payment of all invoices unless otherwise agreed by the Company in writing must be paid in full within 30 days of the date of
invoice
If an extension of credit terms is given to the Customer it can be changed or withdrawn by the Company at any time
In the event of default in payment by the Customer, the Company shall be entitled without prejudice to suspend all further
deliveries without notice and to apply interest at 5% above the HSBC Bank’s base rate to late payments
In the instance of a pro forma account, the Company is entitled after three months from the date upon which the goods
became available to the customer pending payment to dispose of the goods in a manner they see fit
The Company will endeavour to despatch/deliver the goods as arranged with the Customer and despatch/delivery dates are
given as accurately as possible but cannot be guaranteed. The Customer shall not be entitled to cancel the order or to claim
damages if the Company is not able to despatch/deliver on the delivery date arranged.
Alterations to the order made by the Customer during production may result in a delay in despatch/delivery
The Customer must ensure the provision to the Company of adequate access to the point at which delivery is to take place
Special access, arrangements & deliveries must be advised to the Company at the point of order and may incur an additional
charge
Goods delivered should be inspected before being signed for from the designated carrier; damaged goods should not be
accepted but returned to the Company via the delivering carrier
The Company will not be held responsible for items damaged or delivery shortages unless notified within three working days
of receipt to the delivery address
If no damage or shortage is reported against the order within three working days of delivery, then the goods shall be deemed
to be in all respects in accordance with the contract and the Customer shall be bound to pay for the same accordingly
Returns




The Customer shall not be entitled to return the goods supplied for any reason than under the warranty conditions or in
accordance with the Customer’s statutory rights
The Company accepts no responsibility for items ordered, delivered and subsequently found to be unsuitable for the end
user through no error of the Company
Products supplied under the QA20 process are non-standard items supplied at the Customer’s specification and as such
cannot be returned unless found to be faulty under warranty
Items exchanged or returned at the request of the Customer may attract a surcharge for delivery and handling at 10% of the
invoice value

7.
Warranty
In the event of a manufacturing defect in the goods supplied becoming apparent within the valid warranty period which commences
from the despatch date, the Company will effect any necessary repair or replacement of parts free of charge on condition that the
Customer complies with the following provisions of this warranty:






Products manufactured by JCM Seating Solutions Ltd are covered by a manufacturing warranty for three* years from the
date of despatch and is only valid on products purchased after 1st April 2006.
Any part repaired or replaced under manufacturing warranty is covered for a period of twelve months
Parts failure caused by natural wear & tear, extreme usage, neglect or mis-use are not covered under warranty
To ensure the warranty remains valid, Customers are advised that servicing, maintenance and re-issuing guidelines must be
followed, documented as stated in JCM instruction manuals, website & brochures
Products sold by JCM Seating Solutions Ltd but manufactured by a third party are supplied with a one year warranty only
from the date of despatch
Ex demonstration products are sold as seen and with the remainder of the warranty applicable to its original date of
despatch. Any discounts applied to these orders are reflective of this.
This warranty does not affect the statutory rights of the Customer but if the Customer wishes to have the benefit of the Company’s
warranty conditions all provisions must be complied with.
General



Copyright in all specifications and designs remain the property of the Company
Neither party shall be under any liability for such delay, loss or damage caused wholly or partly by act of God, governmental
restriction condition or control or by any reason of any act done or not done pursuant to a trade dispute whether such
dispute involves its employees or not by reason of any other act, matter or thing beyond its reasonable control

Legal

The contract of sale shall be governed and interpreted exclusively according to the Law of England and shall be subject to
jurisdiction of the English Courts only
